This Agreement made and concluded this 13th day of July, 2020 by and between
The National Center for Outdoor & Adventure Education
and
Orange County EMS
WITNESSETH:
WHEREAS, The National Center for Outdoor & Adventure Education (NCOAE) has passed a
resolution to establish and operate an Emergency Medical Technician (EMT) program and an
Advanced Emergency Technician (A-EMT) program, in compliance with the standards
established by the North Carolina Department of Health and Human Services , Division of Health
Service Regulations, Office of Emergency Medical Services.
WHEREAS, in order to facilitate such a program, the use, assistance and cooperation of a
Service Agency is necessary, and the above Agency has agreed to act in such capaci ty:
I. Agreement
This is a mutual agreement between the Administration of Orange County EMS and
NCOAE that the Service Agency will accept students for clinical practice and learning
experiences. The students in the program shall be the responsibility of the faculty of the EMT
and A-EMT programs of NCOAE.
The faculty shall work in close relationship with the EMS Dire ctor and EMS staff. The
faculty shall be responsible for the orientation and rotation of the students during the practice

and learning experience period at the Service Agency. The curriculum as presented by the
North Carolina Office of Emergency Medical Services for EMT and A-EMT stipulating standards
for approved programs shall be considered as part of this agreement.
NOW, THEREFORE, in consideration of the mutual obligations stated hereinafter below
and the benefits according to each of the parties hereto, the NCOAE and Service Agency do
hereby enter into this agreement, upon the following terms, covenants, and conditions.
II. Conditions
1. NCOAE will identify a Clinical Coordinator as a contact person during the preceptorship.
2. Orange County EMS will identify the Training Officer as their contact person.
3. Orange County EMS will provide the necessary equipment and supplies for patient care.
Equipment issued to employees will not be provided to students.
4. The NCOAE Clinical Coordinator will supervise students when necessary. At other times,
Orange County EMS staff will supervise. Ultimate responsibility for the well-being of the
patients shall remain with the Orange County EMS staff. Orange County EMS staff can
intervene/interrupt patient care delivery by the students at any time.
5. The NCOAE Clinical Coordinator will schedule and maintain academic records on each
student. Requests to schedule students for participation will be submitted to the
Training Officer by the Clinical Coordinator via commercial clinical tracking software
and/or email at least ten (10) days prior to the requested clinical.
6. The student(s) will observe the Orange County EMS personnel policies and procedures
at all times during the affiliation. They will observe at all times the CONFIDENTIALITY of
patient care and are subject to being held liable for breaching the doctrine of
CONFIDENTIALITY.
7. Orange County EMS has the right to terminate a student’s preceptors hip experience in
the event that the student’s conduct, patient care or other justifiable reasons dictates
this course of action. Termination must be documented in writing by Orange County
EMS personnel to the Clinical Coordinator.
8. The Training Officer of Orange County EMS will have final approval over the scheduling
of students in the facilities of Orange County EMS.
9. The senior person on the duty crew at Orange County EMS has the right to request that
only Emergency Medical Services personnel be allowed to respond to a particular call.
10. If either party wishes to withdraw from this agreement, a notice of at least ninety (90)
days shall be given to the other party. Students who have entered the preceptorsh ip

experience when notice is given will be allowed to complete the full program of
preceptorship experiences.
11. Proof of professional liability insurance coverage in the amount of $1,000,000.00 must
be provided to Orange County EMS for each student enrolled in the EMT and/or A-EMT
Program.
12. Orange County EMS will provide preceptors with a minimum of one-year experience as
an EMT.
13. Students will have demonstrated competence in the skills they are expe cted to perform
prior to entering the field preceptorship.
14. Orange County EMS will provide any necessary emergency medical services to faculty
and students in the event of accident or injury. The expense of such health services
shall be assumed solely by the faculty or student at issue.
III. NCOAE, governed by the Board of Directors, shall arrange for the attendance of students in
the Service Agency, the Term to begin 8/1/2020. The agreement will automatically renew
annually unless either party provides ninety (90) days’ notice of intention to end this
agreement.
The total number of students to be assigned to the Service Agency shall be mutually agreed
upon and shall meet the standards established by the North Carolina Office of Emergency
Medical Services.
