PURPOSE: To review and approve proposed revisions to the by-laws of the Orange County
Human Services Transportation Advisory Board.
BACKGROUND: Orange County is required to have a Transportation Services Board (TSB) by
the North Carolina Department of 1~ransportation (NCDOT) and Federal Transportation
Administration (FTA) in order to receive grant funding for community transportation. The
Human Services Transportation Advisory Board by-laws have not been revised since March 9,
1992. Over the years, several issues have occurred including: (1) the Board size proved too
large for effective participation, especially with the inclusion of alternates, and (2) some of the
permanent agency appointments were deemed to be less crucial, while other agencies such as
Triangle Transit Authority (TTA) an~1 Emergency Management Services (EMS) were deemed
important to include.
The existing Human Services Tran:~portation Services Advisory Board membership reviewed the
current by-laws on May 23, 2000 and recommended the following changes: (1) Re-name the
board to "Transportation Services Esoard" to better reflect its broader concern with overall public
and not just human service centered transportation; (2) eliminate the designation of alternates;
and (3) expand opportunity for community representation. The current membership also
determined that the revised board :structure would enhance the process for reviewing and
updating the Community Transport,~tion Improvement Plan (CTIP) that is currently underway.
An advisory board for transportation services, as consistent with NCDOT and FTA
requirements, was always intended and designed to be an operational board with
responsibilities for reviewing and making recommendations on the direct delivery of transit
services. The North Carolina Department of Transportation requires the local advisory board to
provide input on the annual Community Transportation Program (CTP) grant application, for

example. The Orange Public Tran:~portation (OPT) grant request for FY 2003-2004 is
$196,528, and the grant application must be approved by the local advisory board prior to the
presentation to the BOCC for its approval on November 18, 2003. The grant application is due
to NCDOT by November 21, 2003.
The local advisory board for OPT operations is not seen as a substitute for the "Orange County
Transportation Planning Steering Committee" that has been discussed informally. A steering
committee of that nature would have a much larger planning scope concentrating on all aspects
of transportation including roads, environmental impacts, area transit, bike-ways, and
relationship to economic and population growth. An Orange County Transportation Planning
Steering Committee would likely be formed and facilitated through the Orange County Planning
Department, and the Committee membership would probably include representatives from the
administrative and/or advisory board level of OPT.
FINANCIAL IMPACT: There is no financial impact associated with the proposed changes.
RECOMMENDATION(S): The M~~nager recommends that the Board review and approve the
proposed by-laws revisions.

Article I-NAME
The name of the board established by the Orange County Commissioners is the Orange
County u,,,..,^^ r°~~~^°~ Transportation ~e~} Services Board (TSB).
ARTICLE II-POWERS AND DUTIES
The Transportation ~~'~ervices Board shall be responsible for the following
duties:
(1) Serve as a liaison between the residents of Orange County and the County
Government concerning transportation service issues.

~. Orange Pul-lic Transportation (OPT).
(3) Recommend policy to the Board of County Commissioners, particularly with
respect to a compreher..sive, coordinated, cost effective approach to the delivery
of transportation services for human services agencies.
(4) Work to stimulate and promote needed transportation services and programs for
Orange County residents.
(5) Assist public and volwrtary agencies in providing transportation services to their
clients.

ARTICLE III -COMPOSITION
1. Number and Qualifications of Members
The Orange County Transportation ~~iser3~-Services Board is composed of

members shall be appointed by the Board of County Commissioners.

(b) Five members, residents of Orange County, shall be chosen at large by the
Orange County Board of Commissioners with priority given to those in rural areas
and/or experience in the following fields: private transit operation,
transportation, business, faith and disability communities, child care providers and
health care providers.
(c) Two liaison members shs~ll be chosen by the Board of County Commissioners.
One of these members may be a County Commissioner and the other may be from
the County Manager's office.
2. Terms and Replacement of Members
Members of the Transportation ems} Services Board shall serve ~e-~}e~
three year terms, but Rio more than two consecutive three year terms.
3. Vacancies
All vacancies on the Transportation ~~y Services Board shall be filled by
appointment by the County Board of Commissioners,

4. Attendance
Any member of the Board who misses more than three meetings in any twelve
month period shall lose his/her status as a member of the Board and shall be

member shall be considered approved absences and shall not affect the member's
status. Following the :second absence, the secretary will notify the member in
writing of the attendance policy.

Representatives of the following four organizations shall be designated by
the Director or Executive Director of these organizations. These are non-
voting representatives who are not required to be residents of Orange
County:

(2) Durham Technic,~l Community College
(3) Employment Sec~irity Commission
(4) Triangle Transit Authority (TTA)
ARTICLE IV -REGULAR MEETINGS

according to a schedule decided at the first meeting of each year, to be held in
February. All meetinls will be conducted with a maximum time limit of two (2)
hours unless extended by a majority vote of those present. Location of
meetings and specific times will be established by the Transportation ems}
Services Board.

A majority of the voting members of the Board then in office shall constitute a
quorum for the transaction of business for any meeting of the Board.
ARTICLE V -OFFICERS
Number and Title
The principal officers of the Board shall be a chairperson, vice-chairperson and
secretary. The office c-f secretary will be held by the Director of the Orange
County Department ors Aging or another appointee of the County Manager.
2. Election
The chairperson and vi ~e-chairperson shall be elected by the Board for a term of
one year at its first meeting in the County fiscal year or until his/her successor
shall be duly elected anal qualified.
3. Vacancies
Any vacancy in any office elected by the TSB Beard maybe filled by the Board
for the unexpired portic-n of the term.
4. Chairperson .
The chairperson shall preside at all meetings of the Board and shall represent the
Board in approved acti~~ities on its behalf.
5. Vice-Chairperson
In the absence of the C ~airperson, the Vice-Chairperson shall perform the duties
of the Chairperson.
6. Secretary
The Director of the Department on Aging or another appointee of the ~
County Manager as S ~cretary shall:
(a) record and keep a file of the minutes of the board meetings,
(b) see that all noti~;es of meetings are duly given and,
(c) in general perform all duties incident to the office of secretary.
AE~TICLE VI -COMMITTEES
The Board may designate one ~r more Committees as it shall determine. Persons other
than Board members may be named to committees, but they may not serve as
chairperson.
ARTICLE VII -RULES OF ORDER
At all meetings of the Board alid of such committees as maybe established by it,
parliamentary procedure shall be governed by the latest edition of Roberts Rules of
Order, and as modified by the rules of the Board.
ARTICLE VIII -AMENDMENTS
These by-laws maybe adopter., amended or repealed by the affirmative votes of a
majority of the Board members in office at any regular or special meeting of the Board,
but only if the written notice o f such meeting shall have contained a copy or an accurate
summary and explanation of tl~e proposed by-laws amendment, alteration, or repeal as the
case maybe. The written noti~;e of the proposed by-law change must be mailed at least 7
days prior to the meeting. Amended by-laws shall then be submitted to the Orange
County Board of Commissions;rs for final approval.

service. To assist with the forming of a larger transportation board that will focus on all
aspects of transportation within Orange County.
Article I-Name: Remove Human Services from Transportation Advisory Board and
change name to Transportation Services Board.
Article II-Powers and Duties: #2. Emphasize the role of the Transportation Services
Board is to provide advice to tine public transit service.
Article II-Powers and Duties: ;#6. Change the name of the Development plan to reflect
the NCDOT Community Tran,>portation Improvement Plan (CTIP).

Article III-Composition/#1.Number and Qualifications: Change the composition of the
Transportation Services Board with no alternates. The voting members do not have to be
residents of Orange County. 'Che intent is to drop agencies or members that have
reduced interest in transportation over a period of years and to include agencies that have
an active involvement in trans~~ortation. Ten members will be the Director or Executive
Director or designee appointed by the Board of County Commissioners from the
following agencies:
(1) Orange County Planning Department
(2) Economic Development Commission
(3) Emergency Medical Services
(4) O.P.C. Mental Health
(5) Orange County Department on Aging
(6) Orange County Department of Social Services
(7) Orange County Health Department
(8) Orange County Recreation and Parks
