ORANGE COUNTY ARTS COMMISSION
2020-21 GRANT AGREEMENT
THIS AGREEMENT, entered into this 12 day of October, 2020, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1.Approved Grant Project. Grant funds are provided under this Agreement for the project
(“Project”) described in the Grant Recipient’s Grant Application, attached hereto and
incorporated herein as Exhibit A.
2.Grant Award. Grant funds in an amount not to exceed ($ )
have been awarded by the Arts Commission to the Grant Recipient for the approved
Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash
from the Grant Recipient’s funds not derived from either Orange County appropriations or
the North Carolina Arts Council, as outlined in the attached Exhibit A.
3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4.Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2020 and June 30, 2021. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient’s request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission’s decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non–assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining to
costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 12, 2021. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5.Responsibilities of the Arts Commission
A.Payment. The Arts Commission shall release the grant funds in the amount of
$ to the Grant Recipient.
6.Publicity
A.Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i.County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: “This program is supported by the
Orange County Arts Commission.”
ii.North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: “This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources.”
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred) to their main webpage.
7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8.Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9.Termination
A.In the event of any of the circumstances set forth below (hereinafter referred to as
“default”), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County’s or the Arts Commission’s
remedies in law or in equity.
10.Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Governing Law and Priority: Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Description
In 2018 the Chelsea Theater became this area’s only nonprofit
dedicated solely to the appreciation and understanding of film. W ith a
three-screen theater and operating 365 days a year, the Chelsea
shows a mix of first run, independent, international, documentary,
classic and specialty films. Educational programs and special ev ents
are offered on a regular basis, frequently with community partners.
Since March 17, 2020, the Chelsea has been closed, but in the year
prior, nearly 47,000 people purchased tickets to films. Hundreds
more participated in non-box-office ticketed courses, and special
programs such as our partnership with Duke Univ ersity’s OLLI and
v arious departments at UNC. Monday ev ening and weekend special
ev ents included films and conv ersations with local experts on a
v ariety of topics.
Since closing, the Chelsea has turned to v irtual streaming. W e work
with distributors to offer films for rent v ia our web site that are not
typically av ailable on other streaming serv ices. In July, we initiated
Chelsea Selects: A Lens on the Triangle, in which works by area
filmmakers are shown for two weeks at a time. Proceeds are shared
with the filmmakers. W e also present Zoom discussions. For
example, filmmakers Courtney Symone Staton and Olympia Stone
and Marsha Gordon hav e or will discuss their work in Chelsea
Selects.
W e are currently working with the local chapter of the NAACP on a
v irtual showing of Let the People Decide on the history of v oting
rights along with two other timely films about women’s representation
in national political campaigns.
W hile the majority of our audience are Orange County residents,
many trav el from other parts of the Triangle and beyond.
Demographically, our audience skews on the older side of fifty, which
is typical of arthouse theaters across the country. W e estimate that
racial composition is approximately 79% Caucasian, 12% Black or
African American, 6% Asian, and 3% Hispanic or Latino. This is based
on informal surv eys that compare audience composition with the
div ersity of films shown. Gender makeup is approximately 60%
female.
There are currently twelv e elected board members ranging in age
from twenty-fiv e to mid-sev enties. (There are three open seats which
will be filled ov er the next six – twelv e months.) Current board
members include film makers, marketing and communication
professionals, accounting and business professional, a film
historian, health professionals, and community v olunteers. Two are
African American, eight are female and four are male. Two full-time
employees include the executiv e director with an extensiv e
background in nonprofit arts management and operations manager
who has a background in film and technology. Films are booked
through a professional film broker who works with our part time film
programmer and program committee on selections and av ailability.

Deficit/Surplus During our first two years of operation, we accumulated operating
surpluses which hav e helped us to weather being closed for fiv e
months. Upon closing, we were forced to lay off the part time
employees who run the films, tickets, and concessions, and retained
only the two full time employees and hourly webmaster as needed.
W e immediately sought and receiv ed limited rent deferral from our
landlord. W e secured a $75,000 EIDL loan (more was av ailable but
the board did not want to take on higher debt), to be repaid ov er 30
years, but expected to be much less!!!; and a $27,000 PPP loan,
which will fund essential salaries from July through December 2020
and will thus be forgiv en. The community continues to support us
with operating gifts, and memberships, although we are now not
ov ertly asking for membership support until we hav e a better sense
of reopening plans. W ith plans to reopen continually being pushed
back in time, cash reserv es hav e dwindled. Timing of reopening will
be dependent on external v ariables dictated by State and Local
Health Department rules.
The EIDL loan will be paid back beginning in 2021 on a monthly basis.
Deferred rent will be repaid ov er time beginning in 2022 on a monthly
basis.

Request Summary OCAC support will prov ide important funding for basic expenses
such as part time employee wages, supplies and utilities as we
reopen the theater and ramp up operations to whatev er lev el is the
“new normal.”
Organizational Goals On February 23, 2020, the Chelsea Board held a planning retreat and
identified the following priorities to guide the Chelsea. These
included:
1. Maximizing our unique position as the area’s only nonprofit v enue
dedicated solely to film while co-existing with multiple local mov ie
theaters with differing business models and ov erlapping audiences.

2. W orking with multiple program audiences to deliv er a v ariety of
film experiences: Our audiences crav e more than entertainment:
films that are cinematically and artistically excellent but also
enlightening, educational and/or inspiring – i.e. showings that include
discussions as well as screenings. W e seek to expand and broaden
our audience. Ticket sales exceeded 46,000 admissions in 2019.
Although some of our attendees come for all films, we recognize that
specific genres, directors, and performers draw audiences
accordingly. As examples in 2019 Amazing Grace, Aretha Franklin’s
acclaimed liv e concert film and one of our best attended - drew
significant numbers of African Americans and music lov ers; The
Farewell (Lulu W ang’s award winning comic story of a Chinese
American family’s return to see their grandmother in China) drew
large crowds, many of Chinese and generally Asian descent; our
collaboration with NC Modernist attracts people with interest in
architecture and design. Our strategy is to continue this successful
path and to more activ ely reach out to v arying audiences to turn
occasional v isitors into regulars.
At the retreat we discussed the need to hold a staff training on
dealing with customers of different races and nationalities. Since we
closed shortly thereafter, we did not hav e a chance to implement this
important element of customer serv ice to make sure that all
customers feel welcome.
4. Improv ing the facilities: Greatly outdated and rundown seating,
lobby, restrooms, sound system and acoustics hav e been an
acknowledged disadv antage for the Chelsea when compared with
mov ie chains and locally owned theaters. At the time of the retreat,
we were fully operational and could only env ision a fundraising
campaign that would be followed by a lengthy closure. No one
anticipated that the unforeseen “opportunity” of COVID-19 would
allow us to jump start this process. Our board determined that our
success after reopening would be largely dependent on being able to
demonstrate to and assure our audiences that we are not only a
comfortable but also a safe env ironment in which to spend two hours
watching a mov ie. All improv ements hav e been planned specifically
with COVID and antiv iral needs in mind, from minimizing touch
surfaces, to being able to easily clean and sanitize the theaters
between shows, to prov iding clean and filtered air.
One special feature of the new Chelsea lobby will be a newly
commissioned mural - a call for entries will be issued to artists and
publicized in early September.

How will you
evaluate whether or
not your goals have
been met?
The demise of the mov ie theater business has been predicted in the
media for years. Some suggest that ev en post-pandemic, people will
be reluctant to leav e their homes and will be utterly content with the
v ariety (or glut) of streaming content. But my mailbox tells me
differently. Since March, hundreds of people hav e donated funds and
sent me notes telling how much they lov e and miss the Chelsea and
can’t wait to return. W e’v e raised a lot of money for renov ations (with
more to be raised) --these are not people who are planning on staying
home and watching mov ies on their telev isions. As has been the
case for years, people like to do both. Much of the media “hype” has
circled around Hollywood. But the Chelsea’s existence is not based
on the latest new release and NY Times rev iew. Although these hav e
definitely been and will remain our bread and butter, the Chelsea’s
commitment to community is based on partnerships and outreach
and to prov iding a great and enriching, ev en transformativ e
experience.
The Chelsea goals are not based solely on quantitativ e
accomplishments, but are equally qualitativ e: How to prov ide a more
impactful film experience (physical comfort, artistic/cinematic quality,
educational purpose, and community/customer serv ice). If these
functions are not met, we will hav e failed in fully reaching our goals.
1. Physical comfort: The renov ations will prov ide greater comfort in
the theaters: seating, acoustics, lighting, sound, env ironmental
controls, and amenities. (W e are not trying to expand any food
serv ice!). W e will monitor response to the renov ations.
2. Artistic/cinematic quality: This will be ongoing as we broaden and
div ersity our audiences. W e hav e found that many of our offerings
are either fairly unique to the Chelsea and/or best offered with
college/univ ersity partnerships. W e will ev aluate the extent to which
we can expand these and additionally include historically and
contemporary significant work ov er the next year. By nature, these
projects ev olv e ov er more than a year.
3. Educational purpose: Upon reopening, or when learning that large
attendance lev els are feasible, we will relaunch Monday programs but
will meanwhile attempt to hold alternativ e Zoom or similar programs.
Limitations on audience sizes may make this a slower process.
4. Community/customer serv ice: it is imperativ e that upon reopening
our customers hav e utmost confidence in the Chelsea and staff
training will take place prior to reopening. Feedback will be immediate
if we are not responsiv e.

How do you promote
and publicize the
work of your
organization?
W hen we are open, tickets are sold in adv ance through Fandango,
the national go-to mov ie ticket on line source which publishes our
schedule; through our website; and at the door.
The weekly e-newsletter is sent to 3,200 addresses and is managed
by a v olunteer. Occasionally, we send a second newsletter with a
message from the director or board chair.
There is an activ e Facebook and small Instagram presence. W e also
solicit and receiv e features in area publications and put information
on special ev ents sites. For special programs or festiv als, we create
posters and flyers. For large, special ev ents we purchase promotions
on W UNC and/or W CHL. Partnerships with other organizations help to
maximize promotions through their publicity channels.

generate revenue.
In 2019 the majority of rev enue came from ticket sales, gift cards,
concessions, and theater rentals (approximately $450,000 gross).
Memberships, donations, grants and sponsorships generated
$120,000. Additional income of $7,853 came through rental of space
to Joe v an Gogh and sales tax refunds.
Beginning with the second quarter of 2020, the financial picture
changed dramatically, and in the absence of on site earned income,
we hav e looked to increased contributions and loans. For the year,
membership has generated $24,200; general donations are at
$22,000 and grants are at ov er $6,000, the latter as a result of special
COVID-19 granting initiativ es locally and through a national arthouse
theater initiativ e.
W e hav e raised close to $75,000 for renov ations (not including
prev ious support of $25,000) since June through direct mail.
Looking to the future, the board is examining ways to generate
rev enue anticipating that reopening will not immediately return to
prev ious audience lev els. W e are anticipating our own phased
reopening, beginning with a lobby only curbside phase, i.e. selling
concessions, memberships, posters, etc. to reintroduce the Chelsea,
followed by a full reopening, although we anticipate reduced capacity
requirements at that time. W e will also redouble membership,
marketing and all fundraising, capitalizing on the improv ements that
will hav e been made. Finally, because two of the three theaters will
also hav e been equipped with audio v isual enhancements, we would
promote additional rentals for community, education, and business
groups.
