ORANGE COUNTY ARTS COMMISSION
2020-21 GRANT AGREEMENT
THIS AGREEMENT, entered into this 12 day of October, 2020, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1.Approved Grant Project. Grant funds are provided under this Agreement for the project
(“Project”) described in the Grant Recipient’s Grant Application, attached hereto and
incorporated herein as Exhibit A.
2.Grant Award. Grant funds in an amount not to exceed ($ )
have been awarded by the Arts Commission to the Grant Recipient for the approved
Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash
from the Grant Recipient’s funds not derived from either Orange County appropriations or
the North Carolina Arts Council, as outlined in the attached Exhibit A.
3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4.Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2020 and June 30, 2021. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient’s request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission’s decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non–assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining to
costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 12, 2021. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5.Responsibilities of the Arts Commission
A.Payment. The Arts Commission shall release the grant funds in the amount of
$ to the Grant Recipient.
6.Publicity
A.Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i.County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: “This program is supported by the
Orange County Arts Commission.”
ii.North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: “This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources.”
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred) to their main webpage.
7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8.Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9.Termination
A.In the event of any of the circumstances set forth below (hereinafter referred to as
“default”), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County’s or the Arts Commission’s
remedies in law or in equity.
10.Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Governing Law and Priority: Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

IMPORTANT NOTE FOR SCHOOLS: At this time, the status of in-
person attendance in NC public schools is unknown. W e are working
with our partners at The ArtsCenter to determine the best way to offer
high-quality, accessible arts experiences for the children in Orange
County and Chapel Hill-Carrboro schools. Because of this, the
Grassroots Arts Program Application for schools will be delayed until
the fall. All schools will be notified when the application period opens.
Primary Organization
Description
North Carolina Arts in Action (NC AIA) uses dance, music and
performance to instill self-esteem, persev erance, and excellence in
children. NC AIA is an internationally acclaimed in-school, curriculum
based, performing arts program for elementary students. As an

associate of the National Dance Institute (NDI) in New York, the
program is directed at dev eloping life skills such as self-esteem,
teamwork, and focus among students, particularly those who are
underserv ed. W e prov ide dance teaching from trained instructors,
liv e music, and allow students rigorous exercise. NC AIA benefits 14
schools across Durham, Orange, Chatham and W ake counties and
directly serv es more than 1,400 children this year.
NC AIA works with ev ery child in the fourth grade at each school. A
Lead Teacher/Choreographer, Musician, and Assistant Teacher lead
ev ery class. NC AIA reaches div erse low-income communities, and
its partner schools are Title I. Since 2005, NC AIA has reached ov er
10,400 North Carolina students through direct instruction. More than
just another dance education program, NC AIA motiv ates children to
believ e in themselv es, prov ides an env ironment with professional
expectations, yet the nurturing and encouragement to dev elop a
personal standard of excellence. Teachers report that students who
struggle in a traditional classroom gain confidence and increase their
ability to focus.
Implementing NC AIA in Title I schools is in direct response to a
community need. School administrators believ e that the NC AIA
program enhances student learning. Rashkis’ program assists its
underserv ed population. Rashkis has 465 children with these
demographics: 24% are Asian; 10% are Hispanic; 13% are Black; 47%
are W hite; 0.5% are American Indian; and 6% are two or more races,
and 30% participate in the Free and Reduced Lunch program. Our
staff of 4 full time and 11 contract employees includes 1 Hispanic, 4
Black and 10 white employees. Our board of 14 includes 2 Hispanic, 2
Black, and 10 white members, and one member of the LGBT
community.
NC AIA uses dance and music to define a standard of excellence
through activ e mov ement, intellectual stimulation and artistic
expression to build essential life skills children can carry into school
and throughout life. The program’s distinctiv e features are using
dance as a medium to teach life skills; professional teaching artists
trained in the NDI pedagogy teach the children; and an accompanist
plays liv e music in ev ery session! NC AIA’s expertise is teaching
children how to find excellence in themselv es and enhancing their
learning experience.
Our program will be launched as a liv e online classes through Zoom
for Rashkis and other schools this Fall. Teaching artists will use a
v ariety of online teaching tools and working closely with our school
partners to dev elop an effectiv e plan that utilizes social distancing
for this school year. Our team is dedicated to prov ide quality
programming for all of our students during this time of uncertainty.
Our program will begin in September as a 16 session once a week
program that will culminate in a liv e final performance on Google
Meet.

Summary
NC AIA’s program is activ e in Rashkis Elementary, where it will
celebrate its fifteenth year of performances this year. NC AIA is
committed to serv ing all children, and with a focus on underserv ed
children in Durham, Chatham, Orange, and W ake County Schools
with high rates of students participating in the free and reduced
lunch program.
Grant funding of $3,000 from the Orange County Arts Commission
will help NC AIA reach 100 elementary school children in Rashkis
Elementary School in Orange County in 2020-21. Our program will be
offered as liv e online instruction for all fourth grade students at
Rashkis this year.
North Carolina Arts in Action’s, “Dream Big,” online program will
feature a 16-session v irtual Project Based Learning curriculum that
will teach students about notable women in North Carolina’s history
through dance and music while integrating social emotional learning
objectiv es centered on building children’s confidence, motiv ation,
resilience, persev erance, and excellence. Ev ery week, teaching
artists and musicians will lead children on a journey through history
while teaching them what professional dancers and musicians do.
Students will watch pre-recorded warmup v ideos, dance lesson
v ideos, and topic of study v ideos. They will complete a weekly
assignment to assess understanding and engagement. Our teaching
artists will prov ide indiv idual feedback to all students. The program
will be offered on both Canv as classroom and Google classroom.

Project Goals In combination with NC AIA’s dev eloped teaching techniques, and in
alignment with NC Essential Standards, residency competency goals
include:
• Use dance v ocabulary to describe how elements of mov ement
communicate ideas in dance.
• Understand cultural, historical, and interdisciplinary connections
with dance.
• Utilize multiple perspectiv es and criteria in ev aluating dances.
• Identify how other arts disciplines are integrated into dance creation
and performance.
• Explain the influence of the choreographer’s v ision and intent on
the creativ e process in dance.
• Interpret dance from personal, cultural, and historical contexts.
An ov erarching goal of the NC AIA program is to use the arts as a
platform to build strong communities. In partnership with staff at
Rashkis and at each of our 14 schools, through high quality dance
education, we focus on prov iding a well-rounded educational
experience to all students regardless of language barriers or
economic status. Our school staff recognize that supporting NC AIA
in their schools enriches students' learning.
Our ev aluations found that after participation in NC AIA:
• 95% of students feel better about what they can accomplish at
school after completing the program
• 93% of students feel better about being in school on NC AIA days
• 90% report an increase in confidence;
• 67% of parents report that their child has a positiv e attitude toward
school attendance
• 60% of parents report that their child has an improv ed opinion of
him/herself
• 57% of parents report that their child has an increased interest in
school academics
Audience Description Rashkis Elementary School has 465 children with these

Location Description This project seeks funding for NC Arts in Action’s program at Mel and
Zora Rashkis Elementary School, located at 601 Meadowmont Lane in
Chapel Hill. The NC AIA in-school residency is an inclusiv e program
that prov ides all children, regardless of talent, abilities, or special
needs, the opportunity to dance and perform. In NC AIA, children with
disabilities and non-disabled peers dance in partnership, with the
goals of maximizing participation and challenging ev ery dancer to
achiev e their best through teamwork, creativ ity, empathy, and
discov ery.
Many dance steps in NC AIA hav e been adapted to work for all
children. For example, if a child is in a wheelchair, instead of doing a
plié in eight counts (a mov ement in which a dancer bends the knees
and straightens them again), he or she can roll the chair forward and
back in eight counts. Other techniques the program uses for working
with children of all abilities successfully include: v isual aids, taking
time to allow for solo demonstration, breaking the class into smaller
groups, and improv isation. Ev ery fourth grader at Rashkis, including
those who hav e limited proficiency in English, those receiv ing special
education serv ices, and those with physical limitations, will
participate in the residency.
Fourth graders will present their final performance for parents, the
entire school and the community in a liv e final performance on
Google Meet.

Artist Description The three artists running the Rashkis program are Marlon Torres,
Doug Largent and Tiana Sutton.
NC AIA’s Executiv e Director, Marlon Torres, ov ersees the program in
all schools. As former principal dancer of the international modern
dance company Galumpha, Marlon created and performed award-
winning choreography showcased around the world. His work as a
Planner, Trainer, and Dev eloper of Project Management Concepts
through Body Mov ement receiv ed the 2014 Platinum Award from the
NC Project Management Institute. He holds an MBA in marketing from
the Univ ersity of Leicester in the UK and earned a B.A. in theatre and
dance from Binghamton Univ ersity. Marlon is Hispanic.
Musical Director Doug Largent is a Carrboro, NC-based music
director, double bassist, jazz organist and pianist. After earning his
degree at UNC-Chapel Hill, Doug worked in New York City as a
freelance musician at jazz clubs such as The Blue Note, Smalls, and
the Jazz Standard. As a studio musician, he contributed to hundreds
of projects, including Emmy-winning children's programs W onder
Pets, Sesame Street, and Third and Bird. After mov ing back to NC in
2010, Doug has played in productions at NC Theater, Burning Coal
Theater, and Raleigh Little Theater. He serv ed on the faculty of The
UNC Jazz W orkshop. His jazz group The Doug Largent Trio has
released fiv e albums. Doug plays organ and bass at Unity Church of
the Triangle and Cornerstone Presbyterian. He accompanies ballet
classes at Duke Univ ersity. Doug is a part-time employee of Arts in
Action. Doug is white.
Tiana Sutton is a dancer and choreographer who has been with NC
AIA for the past three years. She is a full-time NC AIA teaching artist,
and she also teaches hip hop at sev eral area schools and is trained
in the NDI methodology. Tiana is African American.

How will the
project/program be
publicized and
promoted to reach
intended
participants?
This program is offered to the entire fourth grade class at Rashkis
Elementary School, during the school day. Therefore publicity to
ensure participation is not needed. Howev er, since the program is
partly funded by indiv idual donors, businesses and foundations, NC
Arts in Action uses a combination of social media tools, including our
webpage, Facebook, Constant Contact and Twitter, to promote our
performances. W e also work with a v ideo production company,
Centerline Digital, to help us promote our work throughout the
community. NC AIA utilizes sev eral social media tools, including our
webpage, Facebook, Constant Contact and Twitter, to promote our
programs and all performances. A media and marketing company,
Centerline Digital, helps us with our message in the community.
Centerline Digital also produced v ideos for targeted audiences to
help us promote our work throughout the community, and undertook
a rebranding with a new logo and materials this past year. In addition,
we produce a printed annual report, print newsletters, and a monthly
electronic newsletter, to market NC Arts in Action throughout the
Triangle and region.
How will you
evaluate the success
of the program?
NC Arts in Action draws from ev aluations, direct quotes from
students, parents, teachers and administrators to see if the intended
targets hav e been met. NC Arts in Action utilizes The Link Group in
RTP which has dev eloped child-friendly assessment tools. The Link
Group also shares this info with the W CPSS internal ev aluation and
research staff for further input and refinement. Gathering good data
is a critical goal for NC Arts in Action. In addition, the Arts in Action
program success will be measured through a combination of data
related to: Number of students participating in the program; Increase
in pre-NC Arts in Action and post-NC Arts in Action academic
achiev ement and measurable improv ed classroom behav iors;
Qualitativ e data from classroom teachers on indiv idual student
improv ement and self-assessment; Continuity of the program;
Increase in donors and supporters from the community; and v irtual
school attendance by students on NC Arts in Action days.
