WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient Hillsborough Arts Council two thousand five hundred thirty-three $2,533 DocuSign Envelope ID: 272BCC8F-92B2-46D2-BE9B-3765A91AF9FA 2 Revised July 2018 A. Implementation. The Project implementation shall take place between July 1, 2020 and June 30, 2021. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C. Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 12, 2021. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient must enter all events, exhibits, and performances open to the public and related to this grant award on the Orange County Arts Commission website at www.artsorange.org/events. In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: 272BCC8F-92B2-46D2-BE9B-3765A91AF9FA 4 Revised July 2018 (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. HAC achiev es this by: • fostering appreciation of the arts • engaging div erse audiences in events and programs • connecting artists, organizations, and audiences. HAC provides arts ev ents, programs, and educational opportunities for the people of Hillsborough and surrounding communities. HAC typically offers twelv e arts programs annually: • Art Walk: Features galleries and artist studios in historic downtown Hillsborough on the Last Friday of the month (January-Nov ember). • Parlor Concerts: Classical, jazz, and folk set in homes in Hillsborough, NC (dates vary). • Last Fridays: Concert Series: Music, crafts, performers, and visual art on the Last Friday of the month (April- September). • Art in the Heart: Art Fair: A juried show and sale of local arts and crafts in the spring of each year (April). • Paint it Orange: Plein Air Paint Out: Artists paint outside at any location in Orange County for this annual competition and W et Paint art sale (September). • Riv er Park Concert: A one-day music festiv al featuring local and regional musicians and food, drinks, and v endors (October). • Handmade Parade: A parade featuring larger-than-life handmade puppets, costumed marchers, and a v ariety of performers (October, odd years only). • Solstice Lantern W alk: A community celebration of the winter solstice and lantern processional along Riv erwalk (December). • HAC Gallery and Gift Shop: Local artisan goods, crafts, and fine art av ailable for sale in Downtown Hillsborough (ongoing). • ArtCycle: The collection of art supplies donated by community members for redistribution to schools and community centers (ongoing). • Public Art: A program committed to new public art projects and fostering an appreciation for art in public spaces (ongoing). • Classic Film Society: Film screenings accompanied by a lecture on the film or a related topic (ongoing). HAC has implemented new programs to meet the COVID-19 gathering restrictions: • HAC Writer’s Series: A v irtual series of interviews, readings and creative writing prompts from local authors • Mobile Platform (working title): a towable platform stage that will host musicians and performers for short sets while ensuring safe gathering sizes and social distancing. • HAC Workshops: Liv e virtual workshops in an assortment of artistic media (v isual, performing, written, culinary) for various skill levels. Prior to the COVID-19 pandemic, HAC has serv ed 30,000-35,000 people annually through ev ents and programs. The budget for FY20-21 was revised to incorporate the expected losses due to continued gathering restrictions and limitations caused by the pandemic. Operational expense (arts organizations ONLY) Request Summary This application requests support for the full-time Executive Director (ED) position to ensure continuation of the ED’s important role in maintaining a high lev el of educational arts programming and outreach opportunities for the Hillsborough community. The specific areas of operations the ED is responsible for include: planning, coordinating, developing, promoting, and ev aluating HAC’s twelv e arts-related programs. These programs create free, arts-oriented educational and creativ e opportunities for the community, encourage widespread participation, and promote access and inclusivity. During the challenging months of the COVID-19 pandemic, the ED has led the board and program leaders in the creation of new initiatives, and adaptation of existing plans, and dev elopment of new plans. The ED is more important than ev er as the HAC nav igates uncertain times and unexpected and rapid changes impacting arts- oriented non-profits and local businesses in Orange County. Consistent and strong leadership is needed to ensure the sustainability and longev ity of the HAC during and after the COVID-19 crisis. Organizational Goals The Executiv e Director is directly involv ed in planning and support of all organizational and program goals and ensures that both administrativ e and financial goals are met. HAC’s primary goals focus on ways to increase involv ement in educational and enrichment opportunities through the arts in Hillsborough and the surrounding communities. The target audiences for these programs include: the general population, schools, senior centers, community centers, and other nonprofit groups and organizations. HAC’s goals are achiev ed through a v ariety of ev ents and programs aimed at engaging audiences, connecting with and supporting artists, and fostering an appreciation for the arts in Hillsborough. This includes an ongoing effort to increase audience div ersity and inclusion of all populations that make up the Hillsborough area and greater Orange County. The COVID-19 pandemic has led to unprecedented challenges that affect HAC’s ability to meet its primary goals. Although these obstacles hav e not altered the primary objectives of the organization, we have had to make some alterations to adapt to the rapidly changing pandemic env ironment. HAC’s short-term strategy has been rev ised to meet the impact of the pandemic on the Hillsborough community through the re-design of existing programs, addition of new initiativ es, increased fundraising activ ity through multiple channels, and the creation of a strategic marketing plan to promote growth or, at least, our survival under these difficult circumstances. W e can all agree that 2020 is going to be a most difficult year for nonprofit organizations. HAC, like many other nonprofits, has lost major sources of rev enue due to the restraints on gathering imposed by the health hazards of the pandemic. In addition, many of our donors hav e experienced sev ere financial setbacks due to unemployment and rev enue lost to their businesses. Despite the fact that we face an existential threat, HAC will continue to fund raise, modify programs, and create new programs. An infusion of grant money will be extremely helpful as we ev olve what may be a v ery different env ironment for nonprofits. We do hav e an adv antage. We are artists, we are creativ e, we like to innov ate, and we are used to challenges. Funding for leadership and program development will help us meet our primary goals of art promotion and enrichment of our community through the arts. The Personnel Committee conducts bi-annual performance rev iews of the Executiv e Director. Criteria for assessment are based on the job description for the position which includes organizational leadership, program ov ersight, and general administrativ e duties. A rev iew of ongoing and completed projects, fundraising success, program growth, and related outcomes is also included. These rev iews hav e created important benchmarks for progress of the organization’s growth and the dev elopment of the ED. Since 2018, the newly formed position of ED continues to dev elop as important functions are identified and the ED’s skills are refined. In addition to the ov erall performance goals of the ED, COVID-19-related benchmarks have also been added. These benchmarks include careful ov ersight of the financial and analytics reporting to ensure efforts being made by HAC are reaching their maximum potential while carefully adhering to budget restrictions created by the pandemic. HAC usually makes use of practical and effectiv e measures to determine program success and goal achiev ement. The usual measures, based on audience size at events, number of students participating in school-related programs, sales at the HAC Gallery and Gift Shop, and number of activ e v olunteers, may hav e limited relev ance during the pandemic. In accordance with guidelines and in the interest of safety, gatherings are v ery limited and largely forced to take place v irtually, the HAC Gallery and Gift Shop has limited shopping hours, and instruction at the local school district may be entirely v irtual. Howev er, HAC‘s audience is growing rapidly online, with an av erage increase of 36% of followers across all social media and e-mail platforms last fiscal year. Through strategic marketing and use of social media platforms we expect that growth to continue through the pandemic and beyond. Online audience metrics allow us to carefully track and analyze the success of our v irtual programs and to continue to refine them to promote growth and sustainability for of the organization. W e will continue to use targeted fund-raising efforts through the website, email, and postal mail. Of course, fund raising is not a direct means of assessing program success but it can serv e as an indirect indicator of audience satisfaction and interest in our programs. How do you promote and publicize the work of your organization? HAC’s promotions and publicity are under the direction of the Marketing Committee and are implemented by the Executive Director. Publicity efforts include program-related posts on Facebook, Instagram and Twitter with targeted paid boosts for special events and programs. Press releases and announcements are shared with an extensive local and regional media contact list as well as through HAC’s e-newsletter and postings on the HAC website. In addition, adv ertising is purchased on WUNC as well as other local print and online media sources that best apply to a particular program. HAC is working to improve our “brand” recognition through a v ariety of projects that increase program v isibility and promote a connection between HAC’s programs and the organization itself. These include: the creation and sale (or giv eaway) of branded items; additional collaborative ev ents including “She Changed the World” with Alliance for Historic Hillsborough Partners, “Pass the Hat” with W HUP FM and Nash Street Tav ern and others; and increased one-on-one contact with our local businesses partners and other merchants. The pandemic has caused few changes in our marketing plan which relies heav ily on online resources, calendars, and paid boosts on social media. Because of the shift to virtual ev ents in the latter half of 2020, these marketing strategies hav e successfully supported our new programs. Please describe efforts by your organization to generate revenue. HAC generates rev enue in a v ariety of ways, all of which are continually assessed and adjusted as needed. Revenue is brought in through the Gallery and Gift Shop in which HAC takes a small commission for items sold. Artists are chosen based on their local connection, uniqueness, and the salability of their artworks. HAC’s programs commit an agreed upon percentage of funds earned. Though this v aries by program, each supports HAC with 10% to 15% of earned net rev enue each fiscal year and Riv er Park Concert gives 100% of net rev enue. The remainder of funds raised by a program supports future iterations of that program. HAC continues to seek ways to improv e and expand programs to create greater financial independence and sustainability, increase audience size, and expand support from local merchants and restaurants. Each year, grants, municipal contracts, and sponsorships are received and designated in a v ariety of ways to programs and the general fund. In addition, HAC raises funds annually through direct donor solicitations including monthly giving, a major gifts program, and investment giving. Howev er, as mentioned prev iously, this pandemic year, 2020, promises to be a very difficult one for nonprofit fund raising. The direct donor solicitation program will be expanded and enhanced this fiscal year. Research on fund raising indicates clearly that a scheduled monthly giv ing program is a v ery effectiv e method of improving the size and frequency of donations. W e plan to increase the number of monthly donors. In addition, we are initiating a program to increase the number of donors making large donations.
