ORANGE COUNTY ARTS COMMISSION
2020-21 GRANT AGREEMENT
THIS AGREEMENT, entered into this 12 day of October, 2020, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1.Approved Grant Project. Grant funds are provided under this Agreement for the project
(“Project”) described in the Grant Recipient’s Grant Application, attached hereto and
incorporated herein as Exhibit A.
2.Grant Award. Grant funds in an amount not to exceed ($ )
have been awarded by the Arts Commission to the Grant Recipient for the approved
Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash
from the Grant Recipient’s funds not derived from either Orange County appropriations or
the North Carolina Arts Council, as outlined in the attached Exhibit A.
3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4.Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2020 and June 30, 2021. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient’s request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission’s decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non–assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining to
costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 12, 2021. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5.Responsibilities of the Arts Commission
A.Payment. The Arts Commission shall release the grant funds in the amount of
$ to the Grant Recipient.
6.Publicity
A.Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i.County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: “This program is supported by the
Orange County Arts Commission.”
ii.North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: “This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources.”
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred) to their main webpage.
7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8.Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9.Termination
A.In the event of any of the circumstances set forth below (hereinafter referred to as
“default”), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County’s or the Arts Commission’s
remedies in law or in equity.
10.Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Governing Law and Priority: Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Description
Founded in 2010, FRANK is a contemporary fine arts gallery featuring
work by local artists and enriching community through exhibitions,
ev ents and arts education. The Gallery displays and sells the work of
more than 100 mostly local artists and its 22 member artists operate
the Gallery’s retail business and until the end of May 2020 the
nonprofit Michael and Laura Brader-Araje Community Outreach
Gallery also located in Univ ersity Place. The members also support
the Gallery’s financial v iability through membership dues and multiple
fund-raising ev ents. The Gallery has a Board of Directors and one full
time employee, Natalie Knox our gallery manager. Ov er the past ten
years the Gallery has presented both v isual and performing arts free
to the public. In 2019, more than 8,100 people v isited the gallery and
an additional 3,150 attended ev ents there. Approximately 70% of
these v isitors were from the Chapel Hill -Carrboro area, 15% were
from Durham, 10% from Raleigh/surrounding areas and 5% were from
outside the Triangle. Attendees and local participants of all races and
religions attended workshops, classes, salons, openings, artist talks
and fund raisers. Participating v isual and performing artists included
those with Caucasian, African American, and Nativ e American. Asian
and Hispanic heritages. In addition, the Gallery partners with many
local arts and community organizations on projects that particularly
benefit the Chapel Hill-Carrboro community. FRANK also has a
v ibrant Karen Youth Art Group serv ing young Burmese artists who
were born in refugee camps in Thailand after their homes were
burned down by the Burmese (Myanmar) military. Through
associating with these young people on a weekly basis ov er a period
of eight years, FRANK has achiev ed a great measure of success.
One student is now in Guilford College and currently applying to law
school, another is studying Fine and Graphic Arts at UNC
Greensboro, others are contemplating a career in the graphic arts
while two are contemplating careers in the medical field Exposure to
artists from FRANK Gallery, writing an illustrated bilingual
book(Karen/English) about our local Transplanting Traditions
Community Farm and creating art portfolios and exhibitions hav e
furnished these students with confidence, excellent skills and
dreams enabling them to make career choices.

Deficit/Surplus During our 10 years of existence we were able to accrue a financial
reserv e specifically for uncertain times.This has prov en to be helpful
during this pandemic because we hav e been able to meet our basic
expenses while were closed and now operating under N.C.stage 2
restrictions. W e might add here that the $10,200 PPP we receiv ed
under the Cares Act was instrumental in our being able to keep our
gallery manager paid during lock down. Our physical gallery space
and our relationship with our landlord is critical during both certain
and uncertain times. Ev en though we created an online shop from
mid-March to July 1st 2020 when the gallery was closed, we still
sustained a loss of $32,461 in sales during that closure prov ing how
critical it is to hav e an accessible physical business space. Our one
fundraising ev ent of the year, the "Off the W all Gala" typically helps
the gallery maintain a surplus throughout the year. Howev er, with the
postponement of that Gala and the mov e to make it a v irtual ev ent in
the fall of 2020 we are facing a lot of "unknowns" and will likely
generate less income from this our main fundraising effort.

Request Summary W e are requesting a grant for $3000 to assist with FRANK gallery's
rent of $1,608/month which includes HVAC/trash and water charges
by Univ ersity Place. FRANK shows the work of its 22 member artists
and also the work of a wide range of local and regional artists
including painters, ceramicists, fiber artists, jewelers, photographers
and artists working in wood and mixed media. Since the onset of
COVID-19 in March 2020, we hav e been busy not only maintaining the
quality of art in our Gallery and paying our Gallery manager and rent
but also making the work of our participating artists av ailable online.
W e hav e created an ongoing v irtual exhibit of all the work that is in
the Gallery and set up a v irtual shop. During the lockdown 20% of the
shop's proceeds went to PORCH, the local hunger relief non-profit
program with the rest going to the gallery and its artists. Now open
under NC COVID Stage 2 orders on Thursdays, Fridays and
Saturdays from 12-5:00pm, we are also accepting reserv ations for
priv ate v iewings often with the purpose of purchasing art. W e are
back on our show schedule and are busy interv iewing participating
FRANK artists for our online artist talk series. Nev ertheless, we are
being dictated by COVID-19's trajectory and if we lock down again we
now hav e a robust online presence to present to the community.
Essential to ev erything is the retention of our physical exhibition
space for which we are seeking operational support.

Organizational Goals As stated, FRANK Gallery is a contemporary fine arts gallery featuring
work by local artists enriching the community through exhibitions,
ev ents and arts education. W e are the only non profit fine arts gallery
in Chapel Hill-Carrboro and our community outreach mission has led
us to collaborate with a broad spectrum of arts and community
minded organizations. Until the end of June 2020 and in addition to
our main art gallery, we also ran the FRANK Community Gallery in
Univ ersity Place which gav e us an ideal space for teaching and
partnering with our many non-profit collaborators in our attempt to
fulfill that part of our mission. These organizations hav e included the
Orange County Artists Guild, Duke Center for Documentary Studies,
UNC-Chapel Hill Art Department and Arts For Life program at Duke
Hospital. W e no longer hav e the Community Gallery-the Mall has
plans to re purpose that space. Our main commitment now is
keeping FRANK Gallery as a high quality fine arts gallery, partnering
with other community groups at FRANK, maintaining an online shop
and our v irtual exhibits,sharing talks by artists and other community
leaders and to maintain our FRANK Karen Youth Art Group (Burmese
refugees) which, for the past eight years, has used the gallery as a
teaching v enue and a v aluable source of inspiration for youth art.
Our goal for this youth group is, through our art and enrichment
activ ities, to support them with real skills and v isions and future liv es
that schools and home cannot equate. W e are also aware of the need
to show the work of culturally div erse local artists and currently hav e
on display the work of our FRANK emerging artist (a one year
designation), Charlie Dupee, who is black and who also belongs to
the LGBTQ Community as well as the work of three other artists
featured for the first time at FRANK. W e are applying for operational
support to help us meet our current ov erhead expenses which will
enable us fulfill our organizational goals and ensure that FRANK
continues to stage high quality contemporary art exhibitions at its
current purpose built v enue. Like all arts organizations, we hav e
been impacted by COVID-19. Nev ertheless, our resilience, our ability
to attract a $10,200 PPP Cares Act loan and a $1,000 Orange County
Arts Commission emergency grant together with the continued
support of our membership and the public all indicate that FRANK
Gallery is an artistic force which the Chapel Hill/Carrboro and Orange
County communities v alue.

How will you
evaluate whether or
not your goals have
been met?
W e are constantly ev aluating whether our goals are being met
through monthly membership and board meetings. W e ev aluate our
success as a fine arts gallery not only by sales but also by sustained
interest from non-member local professional artists in showing in the
space and by the continuing support of our art collectiv e's
membership. In addition, our Gallery curator with membership
support plans and monitors all the exhibitions and the quality of work
being shown at the Gallery. All members hav e to be juried in
(including the emerging artist candidate) by a committee of members.
W e ev aluate our ability to enrich the community through exhibitions,
ev ents and arts education by attendance and by the public's
engagement with the gallery's art work and donations to its non-profit
activ ities. In the case of the Karen Youth Art Group, we ev aluate our
art enrichment programs and the dev elopment of our youth groups'
progress by our students' ability to engage in further studies and
enter higher education.Giv en our loss of the FRANK Community
Gallery we are still attempting to make the shift from face to face art
education by our artists to online offerings through posting v ideos
on our website and through social media channels. This will take
some time giv en our current need to concentrate on putting the
Gallery's fine arts offerings and artist presentations online. Our
ultimate goal is to stay in business and that goal can only be
ev aluated by our ability to remain sustainable. The gallery is staying
ahead of changes by getting behind v irtual means to keep our new
and existing clientele engaged. Our current efforts to adapt to the
changes caused by COVID will need to be constantly ev aluated both
by our membership and Board during the v irus's trajectory in the
coming months.

How do you promote
and publicize the
work of your
organization?
FRANK promotes and publicizes the work of our gallery through a
v ariety of means, mostly using av ailable free promotion
organizations. Our website is continuously updated to increase
v iewership through our artist’s pages, v ideos, v irtual exhibit, and our
online shop.
The gallery is back to its regular schedule of changing the exhibits
ev ery two months, and we hav e made a Showcard promoting the four
featured artists and mailed it to our 800 constituents. W e regularly
submit our ev ents/exhibits to the OCAC and INDY magazine websites.
W e also send regular e-blasts to ov er 3000 people who hav e signed
up for our emails. Our emails hav e links directly to our website as well
as to other organizations we are/were promoting such as PORCH.
W e also submit 4-7 Instagram and Facebook posts weekly and pay
for sponsored boosts in order to place our posts in front of a larger
audience. During shut-down we created our own Instagram campaign
called #FRANKathome showcasing the artwork that customers hav e
purchased and hav e hanging in their homes as a way to highlight

and the Daily Tar Heel for articles about our ev ents and updates from
our gallery.
The gallery had been doing monthly posts with ArtGuide Magazine
Online. Unfortunately that website did not surv iv e the tribulations of
COVID and is now shut down.

efforts by your
organization to
generate revenue.
Almost as soon as the decision was made to close the gallery down
in mid-March we created an online, v irtual exhibit in order to show the
public the beautiful new exhibit that had just been set-up 5 days prior
to closing. W e then quickly created an online shop, with 20% of the
proceeds going to local organization PORCH. The shutdown pushed
us to open the online shop and it is something that we will keep up
going forward, with regular updates with new work. Our gallery
manager then arranged for non-contact pick-up of purchased works
from artists which, in turn, were deliv ered to customers. W e also
shipped sev eral pieces of art out of state. Because the post lock
down opening date seemed ambiguous the gallery then made a
request from our constituents for donations in order to assist with
some immediate expenses. W e also applied for $10,200 PPP under
the Emergency Cares Act which we receiv ed and also for support
from the Orange County Arts Commission's Relief Fund from which
we receiv ed $1000.
Since re-opening the gallery in July, we hav e been promoting the fact
that we are now open again with shorter hours and the fact that we
are also offering priv ate gallery v isits by appointment. Throughout
the onset of COVID 19 restrictions our gallery manager has stayed in
regular contact with customers and taken ev en opportunity to
generate sales. Furthermore, by continuously promoting work
through e-blasts and social media we hav e been able to maintain our
presence v irtually, with little lapse, consequently maintaining our
relev ance with the public. Despite the fact that since re opening we
hav e had a significant decrease in foot traffic we hav e had an
increase in sales from June and July 2019 v s June and July 2020.
