WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Implementation. The Project implementation shall take place between July 1, 2020 and June 30, 2021. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C. Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 12, 2021. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: 695A1714-C7AB-4D4B-8382-68F21FCD9EA9 4 Revised July 2018 (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. To spotlight the needs of this v ulnerable population, I will perform and digitally record an original monologue, Sometimes I Sing, at UNC, then re-stage the show or offer screenings of the recording to Orange County social serv ice agencies to enhance their staff training, public education and fundraising efforts. Set in rural Iowa in 1901, Sometimes I Sing portrays a woman conv icted of killing her abusiv e husband. She tells her story to an unseen female reporter seeking absolution for her role in the woman’s conv iction. The show has been called “mesmerizing” (Columbia Daily Tribune), “a tour de force” (Law Professor) and “a seamless weav ing of history, hardship…and redemption” (Former Editor/Ms. Magazine). My monologue was inspired by the work of early-twentieth-century journalist-turned-playwright Susan Glaspell. In 1916 Glaspell premiered her one-act masterwork, Trifles, based on a murder trial she cov ered for the Des Moines Daily News. In 1917, she adapted the play as a short story called “A Jury of Her Peers.” In both, Glaspell indicts the many systems that keep a battered woman in an abusiv e env ironment. The play and story were also textual acts of redemption, after the woman whose trial she cov ered was conv icted. Since 2010, I hav e toured Sometimes I Sing – often paired with Trifles or “Jury” – to festiv als, univ ersities, conferences and theaters. W hen possible, I follow the show with a talkback panel featuring representativ es from a local women’s shelter. For the last decade, the performance has prov ided an effectiv e window into v iewing this still potent social issue, prompting conv ersation and inv iting action within communities. I’ll perform Sometimes I Sing for an upcoming festiv al produced by UNC’s Communication Department Artist-in-Residence Joseph Megel as part of his Process Series. The proposed festiv al dates are February 17-21, 2021. Depending on the course of the pandemic, the festiv al may be presented liv e or liv e-streamed from a media studio in Swain Hall. Audiences will include the public and faculty, staff and students from the Departments of English, American Studies, Communication and Dramatic Art, the School of Journalism and Media, and the Law School. My show will be digitally recorded at that time. I hav e inv ited Patricia L. Bryan, Glaspell Scholar and UNC Law Professor, plus the Director DocuSign Envelope ID: 695A1714-C7AB-4D4B-8382-68F21FCD9EA9 of the Carolina W omen’s Center, and the Education Director of the Compass Center for W omen and Families – or their representativ es – to join me in a post-show talkback. To further extend the community impact of the performance following the festiv al, this grant would allow me to offer a liv e show or screening of Sometimes I Sing (with talkback) to the W omen's Center and Compass Center, as well as to the Chapel Hill Police Department Crisis Unit, and Pathways to Change in Hillsborough. This project would be the first step in an ongoing community partnership with these organizations, using performance to directly and indirectly adv ocate for and to help raise surv iv ors’ v oices. Community Impact Sometimes I Sing – as a public performance or a digital screening – allows its audiences both historical distance and emotional immediacy in grappling with a difficult topic. I believ e that its use as a resource would help make surv iv ors of intimate partner v iolence more easily seen and more readily heard, perhaps ev en by their abusers in rehabilitation programs. In her May 26 News and Observ er article, Tammy Grubb states: “Some abusers hav e used COVID-19 to tighten the reins, telling partners they can’t leav e because of stay-at-home orders…” She asserts “238 people were referred to [the Orange County Sheriff’s Office v ictims serv ices] from March 1 to May 12…including from Carrboro, Chapel Hill and Hillsborough. Requests at the Compass Center for emergency housing more than doubled…Civ il no-contact orders also grew.” In an August 13 NC Policy W atch article, Joe Killian reports, “Police departments across the state are reporting an uptick in domestic v iolence calls.” He states that “…many places where abuse is first detected…are shut down...to slow the spread of the coronav irus. The result: long-running domestic v iolence may be getting worse and new cases are going undetected and unreported.” That’s why it seems v ital to reach out to local agencies dealing with v ictims of domestic v iolence. As an artist, activ ist and scholar, I striv e to build bridges to marginalized indiv iduals and at-risk communities using performances that address their experiences and concerns. By offering Sometimes I Sing as a resource, I am aiming to build relationships with social agencies, indiv iduals and organizations that assist v ictims of domestic v iolence as a way to support the surv iv ors themselv es. This project begins on the UNC campus and then reaches out into Orange County – and hopefully beyond. The Raleigh-based W omen’s Theatre Festiv al is also considering how it could help prov ide Sometimes I Sing as a liv e/digital resource throughout the Triangle. The Compass Center for W omen and Families serv es ov er 5,000 clients a year. The Carolina W omen’s Center opens its doors to nearly 30,000 students. Pathways to Change has graduated ov er a hundred participants from its Strong Father Program, and serv ed DocuSign Envelope ID: 695A1714-C7AB-4D4B-8382-68F21FCD9EA9 hundreds of clients and their families. In a February 23, 2019 article in the Daily Tarheel, Lauren Vied writes that “Chapel Hill has been on the forefront of progressiv e policing for many years as a town, including in domestic v iolence and sexual assault policies.” I hav e reached out to the Crisis Unit of the Chapel Hill Police Department to be my fourth community partner. To each of these, I am offering a free liv e performance or digital screening for use in a staff training, public education ev ent or (where appropriate) fundraising efforts. As a nationally known touring artist, I usually ask $2000 per public performance, but my honorarium for local nonprofit organizations and community agencies is $500. Thus a $2000 grant from the Orange County Arts Commission would cov er presentations offered gratis to these four community agencies in Orange County. Artist Experience A GRAMMY-nominated performer, digital storyteller and v eteran touring and teaching artist, I’v e worked in univ ersities, museums, theaters, schools, libraries, faith communities, senior centers, residences for mentally challenged adults and prisons. Similar project examples: 2010: Through Independent Actors Theatre, I mounted Changing Skins, interweav ing folktales featuring non- heteronormativ e characters with science, sociology and personal observ ation. The show features ten photos of transgender people. Photographer Jane Lav ender and Sam Bullington, a transgender univ ersity professor, participated in the premiere’s talkback. W hen touring the show, I ask audiences how hearing these stories impacts their understanding of the fluidity of gender, and share my findings at national conferences. 2012: I premiered Sometimes I Sing as part of a production called: Justice Serv ed: three short plays about women confronting v iolence. Patricia L. Bryan – the author of Midnight Assassin: A Murder in America’s Heartland, a book-length study of the murder trial that inspired Susan Glaspell’s Trifles – gav e a related lecture and participated in the post-show talkback with representativ es of the local women’s shelter. 2016: I compiled Tales from Beyond the Ban, featuring folktales from the sev en predominantly-Muslim countries named in the president’s initial trav el ban. Following this show-intended-as-adv ocacy, I interv iewed international grad students from the targeted countries about their experience of the ban. W eav ing snippets of their oral histories with folktales familiar to them, I’v e toured Tales to raise money for groups helping immigrants and refugees, and written about it in the International Journal of Conflict and Reconciliation.
