HomeMy WebLinkAbout2021-215-E-Housing-The Picnic Basket Catering-FEMA Emergency Sheltering Non-Congregate Care Feeding DocuSign Envelope ID: 106478AD-8769-47BD-8163-F7A58CA0212C ORANGE COUNTY THIRD AMENDMENT TO SERVICES AGREEMENT NORTH CAROLINA THIS AMENDMENT,made and entered into this the 30 day of April, 2021,by and between the County of Orange, a body politic and corporate of the State of North Carolina,("County"),and The Picnic Basket Catering("Provider"); WITNESSETH: WHEREAS, the County and Provider entered into a FEMA Emergency Sheltering Non-Congregate Care Services Agreement dated November 23,2020,and identified by the County as 2020-926-E Housing("Original Agreement"), an Amendment to Services Agreement dated December 9, 2020("First Amendment"), and a Second Amendment to Services Agreement dated March 10, 2021 ("Second Amendment"), to provide services to be rendered by Provider to County; and WHEREAS,the County and Provider desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement, First Amendment, and Second Amendment not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: Paragraph 4.a.,Term,is hereby revised as follows: The term of this Agreement shall be from November 23, 2020 to June 30,2021,unless sooner terminated in accordance with Section 10 of this Agreement. The second sentence of Paragraph 5.a, Compensation for Basic Services, is hereby revised as follows: The maximum amount payable for Basic Services shall be Seven Hundred Twenty Thousand and Seven Hundred Eight Dollars ($720,708.00). Except for the changes made to Paragraphs 4.a,Term, and 5.a, Compensation for Basic Services, herein,the Original Agreement,First Amendment, and Second Amendment shall remain in full force and effect to the extent it is not inconsistent with this Third Amendment. In the event that there is a conflict between the Original Agreement and this Third Amendment,this Third Amendment shall control.
