AMENDMENT TO SERVICES AGREEMENT
NORTH CAROLINA
THIS AMENDMENT, made and entered into this the 15t1i day of October, 2020, by and between the County of
Orange, a body politic and corporate of the State of North Carolina, ("County"), and Benevate Inc. (dba Neighborly
Software) ("Provider");
WITNESSETH:
WHEREAS,the County and Provider entered into a Services Agreement dated, June 18, 2020, and identified by the
County as 2020-381-E Housing, to provide services to be rendered by Provider to County's Housing Department
("Original Agreement"); and
WHEREAS, the County and Provider desire to amend the Original Agreement, while keeping in effect all terms
and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties
agree to amend the Original Agreement as follows:
Modify Section 3 a. of the Services Agreement, Section 1 of Exhibit A., and Exhibit D. to replace Tenant Based
Rental Assistance with Emergency Housing Assisance; Modify the Annual Recurring Fees section of Exhibit D. to
increase the number of administrative users from four (4) to seven (7), for an annual cost of $16,800. Moficy
Exhibit D to reflect The Anticipated Year One Total will be $23,300 and the Anticipated Year Two Total will be
$16,800.
Except for the changes made to Section 3 a. of Services Agreement, Section 1 of Exhibit A. and Exhbit D. herein,
the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this
Amendment. In the event that there is a conflict between the Original Agreement and this Amendment, this
Amendment shall control.
IN WITNESS WHEREOF,Orange County and the Consultant have signed this Amendment, effective this
the 2 day of November , 2020.
