Present: Keith Bagby,Chairman Patrick Bums,Vice Chairman lane Cousins,Member Mike Lassiter,Member Tony DuBois,General Manager Angela Willoughby,Asst.General Manager Ron McCoy,Finance Officer Angel Neighbours,Board Secretary Chris Willett,Beemer,Hadler&Willett,P.A. Absent: Renee Price,BOCC Liaison Elizabeth Carter,Member Visitors: Michelle Moffit,One Digital Health and Benefits Call to order: at 8:31am a quorum was present and Mr. Bagby, Board Chairman, called the regularly scheduled Board Meeting to Order. Mr. Bagby read the Mission Statement: The Mission of the Orange County ABC Board and our employees is to serve our locality responsibly by controlling the sale of spirituous liquor,returning profits to law enforcement,Alcohol Education, and the County Fund while providing excellent service in customer friendly,modern and efficient stores. Mr. Bagby read the Conflict of Interest Statement The question was asked: does anyone have a conflict of interest with respect to any matters on the agenda?Mike Lassiter recused himse/ffrom the conversation and vote on Health Benefits 1 Approval of the Open meeting Agenda: Mr. insulter made a motion to approve the Open meeting agenda,Mr.Burns seconded the motion and the vote carted 2 Meeting Minutes: The Open and Closed Meeting Minutes for October 15, 2019 were presented. Discussion was held. Mr. Burns made a motion to approve the open session minutes, Ms. Cousins seconded the motion and the vote carried.Mr. Bums made a motion to approve the dosed session minutes,Ms. Cousins seconded the motion and the vote carried 3 Health Insurance Renewals: Michele Moffit and Ms. Neighbours presented the Health Insurance renewals. We received several quotes from Blue Cross Blue Shield, First Carolina Cue and United Health Care.First Carolina Cue will allow us to continue our pre-65 retirees'health insurance coverage on our plan with a 3.25%decrease in premiums this year.Discussion was held Ms. Cousins made a motion to continue health insurance benefit' with First Carolina Care, Mr. Burns seconded the motion and the vote carried 4 Dental Life and Voluntary Life Renewals;Michele Moffit and Ms.Neighbours presented the renewals for Dental,Life and Voluntary Life.Dental with oar current carrier came in with a 3.85%increase from last year.However,our Life and AD&D policy of$20,000 has a 0%increase.Discussion was held.Mr. Burns made a modon to continue coverage far dental and fife with our current carrier Metlife,Ms. Cousins seconded the motion and the vote carried Open Session 11/19/2019 Page 1 of 3 pages Orange County ABC Board Open Meeting Board Minutes Tuesday November 19,2019 5 Consent Agenda:October 2019 a.Financial Reports: i.Comparative Statement of Net Assets ii.Comparative Revenue and Expenses for Oct.2019 and Oct.2018 iii Actual-to-Budget Oct.2019 b.Oct.2019 and Year-to-Date Retail Sales c.Statewide Sales Report Discussion was held.Mr. Bums made a motion to approve the October 1019 Consent Agenda,Mr. Lassiter seconded the motion and the vote carried 6.Management Updates: 1.Law Enforcement Reports:This report is required by the NCABC. Reports were not available at the time of the board meeting. 2.Banking Update:BB&T and SunTrust will merge soon.Capital Bank has changed hands again. We will look into new avenues for our company's banking needs. 3.Property Sale Update: Property at 112 John Earl St, Hillsborough is scheduled to close on December 9. 4.Oakdale Project Update: The project is done. Updated pictures were shown on the meeting. We open today November 196 at 9:00am.The Grand Opening event will take place December l Oa starting at 8:45 an,with ribbon cutting at 9:00am. 5. Security Updates: The Board approved additional funds for upgrades to the retail stores surveillance and security systems.These upgrades are in the process of completion.Employees are trained on the surveillance system and security procedures.Each store performs a monthly security assessmem/test.Law enforcement includes security training in our bi-annual BARS classes. 7.Oakdale Project Update:Work on the new Hillsborough Store#10 at Oakdale Drive bas been completed. By the end of November, we will see a substantial increase in capital outlay for the project. An updated Project Budget was presented to the Board. S. Budget Amendment:Mr.McCoy presented a proposed budget amendment.The budget amendment was for additional capital expenses related to the installation of upgraded security equipment in our retail stores approved by the Board. The budget amendment would also allow for the recording ofthe revenues from the sales of the property at 112 John Earl Street as well as the loss anticipated from the disposal of the same asset.Discussion was held Mr.Bums made a motion to approve the presented budget amendments,Ms. Cousins seconded the motion and the vote carried(See Attachment). 9. Board Attorney Contract Review: Our Board Attorney's contract was up for renewal.Board members reviewed the current contract.Mr. Burns made a motion to approve the contract and renew services with Mr. ifXd for two years with no changes to the contract,Ms Cousins seconded the motion and the vote carried Open Session 11/19/2019 Page 2 of 3 pages Orange County ABC Board Open Meeting Board Minutes Tuesday November 19,2019 10.Board Comments: • Mr.Bagby attended the Drug Court Graduation at Freedom House. • Mr.Bagby stated anyone that would like to be on Board should apply. 10:11 am Ron McCoy and Mike Lassiter left the meeting. Mr.Lassiter recused himself from closed session. Section 1. To increase additional revenues received from the sale of property at 112 John Earl Street, Hillsborough, NC. Revenues received from the sale of 112 John Earl St. 450,000 Total additional revenues 4 Section 2. To increase expenditures related to the loss on disposal of an asset, due to the sale of the property at 112 John Earl St. increase decrease LOSS on disposal of an asset 348,450 Working Capital retained 348,450 Section 3. To increase outlay for capital expenditures related to the cost of upgrading and installing security surveillance equipment in our retail stores. increase decrease Security equipment 38,000 Working capital retained 38,000 Section 4.
