BACKGROUND: This is an annual renewal of the agreement with the Department of Dental Ecology of the UNC School of Dentistry for the services of a Dental Director for the Health Department. The School of Dentistry has provided this service since the inception of the Dental Program 20 years ago. The Dental Director provides clinical oversight and consultation to health department staff and to the variety of dental attendings, residents, and students that provide actual clinical services to the program. The Dental Director develops dental policies and consults with the Health Director as requested. During the coming year, the department will be exploring the consolidation of the dental director role with the part-time faculty that the department also utilizes through the School of Dentistry. The agreement is for $10,000 annually and has not increased. FINANCIAL IMPACT: The agreement is for $10,000 for Fiscal Year 2001-2002 and has been included in the requested budget for the department. RECOMMENDATION(S): The Manager recommends that the Board approve the agreement and authorize the Chair to sign pending county attorney review and approval of the FY 2001- 2002 budget. 2 STATE OF NORTH CAROLINA COUNTY OF ORANGE AGREEMENT BETWEEN THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL SCHOOL OF DENTISTRY FOR ITS DEPARTMENT OF DENTAL ECOLOGY AND ORANGE COUNTY HEALTH DEPARTMENT DENTAL SERVICE AS PART OF THE COUNTY OF ORANGE THiS AGREEMENT is made and entered into this 1~ day of July, 2001 by and between The University of North Carolina at Chapel Hill, School of Dentistry, for its Department of Dental Ecology; and The Orange County Health Department hereinafter referred to as "The Health Department." W~I~ESSETH: WHEREAS, the Health Deparment desires the services of one faculty to direct the Dental Service of the Orange County Health Department for the fiscal year 2001-2002, and WHEREAS, the Health Department desires ~ reimburse The School of Dentistry for the faculty's time commitment; NOW, THEREFORE, in consideration of the premises and of the following Mutual promises, covenants and conditions, The School of Dentistry and The Health Department agree as follows: 1. The Health Deparment will reimburse The School of Dentistry at the close of each quarter for'/a of $10,000. 2. The School of Dentistry will provide the services of one faculty to The Health Deparment for the purpose of directing the dental program in the Health Department. 3. School of Dentistry will bill The Health Department $2,500 at the close of each quarter for the salary. Between The University of North Carolina School of Dentistry for its Department of Dental Ecology ` And Orange County Health Department And UNC Hospitals Page 2 of 3 3 4: The person whose services are to be provided pursuant to the Agreement is, for all purposes an employee of The University of North Carolina School of Dentistry. 5. While the School of Dentistry faculty is on rotation at the Orange County Health Department, professional liability insurance coverage will be provided by the School of Dentistry with coverage of at least $1 million, per incident, $3 million per year. 6. This Agreement shall run far a period of one year, from the i~ day of July 2001 to the 30~' day of June 2002, and shall be renewable thereafter. 7. This Agreement or its renewals may be terminated at any time without penalty by either party provided that written notice of such termination is furnished to the other party at least 90 days prior to termination. In the event of such termination any payment due shall be prorated to the date of termination. 8. In compliance with 42 U.S.C. 1395x(v)(1)(1) and implementing regulations, The School of Dentistry and The Health Department agree, until the expiration of four year after the services are furnished under this contract, to allow the Secretary of the Department of Health and Human Services and the Comptroller General access to this contract and to the books documents and recorcJs of The School of Dentistry and The Health Department necessary to verify the nature and extent of this contract. 9. The Health Department and The University of North Carolina hereby agree with The School of Dentistry that in its educational and/or employment practices The Health Department and The School of Dentistry will comply with such non-discrimination laws as may be applicable to it in the performance of this Agreement. 10. The Agreement contains the entire understanding of the parties and shall not be altered, amended or modified, except by an agreement in writing executed by the duly authorized official of both parties. The laws of North Carolina shall govern the validity and interpretations of the provisions, terms and conditions of the Agreement.
