MEMORANDUM OF AGREEMENT BETWEEN
THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL
FOR ITS SCHOOL OF PUBLIC HEALTH AND
ORANGE COUNTY HEALTH DEPARTMENT
WHEREAS, the University of North Carolina at Chapel Hill for its School of Public Health is
desirous of having its students receive experience at Orange County Health Department
beginning on or about July 1, 2019 until June 30, 2021 or until such time either party desires to
terminate contract by giving a 30 day written notice; and
WHEREAS, the Orange County Health Department wishes to cooperate by working with the
faculty and students of the School of Public Health in permitting the use of its facilities in the
ways hereinafter set forth; and
WHEREAS, both parties anticipate that two master's degree candidates will participate for up to
Ten-weeks (400 hours);
NOW THEREFORE, in consideration of the premises and the following mutual promises, the
parties agree as follows:
A. The University of North Carolina at Chapel Hill for its School of Public Health agrees
1. To be responsible for the following services that will be provided through the faculty
liaison of the Department of Nutrition:
a. supplying curriculum and course information to a designated Orange County Health
Department(hereinafter referred to as Agency) representative;
b. communicating periodically with the designated Agency Representative to:
1) discuss the nature of the students' learning experiences
2) provide for continuity of dietetic service, and
3) monitor the quality of the services and products provided by the students;
c. evaluating the learning experiences of the students;
d. planning and conducting student conferences;
e. working closely with the designated Agency representative and staff to maintain and
promote the policies and services of the Agency;

£ requiring students to observe policies, rules, and regulations of the Agency including
those related to the protection of confidential health information.
g. providing documentation indicating that each student has professional liability
insurance in the amount of$1,000,000 per occurrence and$3,000,000 aggregate.
g. completing a criminal background check on each student.
h. assuring that all students complete online HIPAA training and OSHA Bloodbome
Pathogen training prior to their field experience.
i. requiring students to comply with any requirements of Agency regarding
immunizations. Any immunizations required which student does not yet have must be
obtained prior to beginning student's experience and the cost for the immunization
shall be paid for by student or student's own medical coverage.
2. To terminate an individual student's experience if the learning activity is shown to be
detrimental to client welfare.
3. To require students to carry individual health insurance.
4. To inform students and faculty that they must be responsible for their own transportation
including parking while involved in the learning experiences associated with the Agency.
5. The Department of Nutrition in the School of Public Health reserves the right to
terminate the experience should the Agency's site coordinator become unavailable or
unable to continue supervising the student(s) due to unforeseen circumstances.
6. The University of North Carolina at Chapel Hill for its School of Public Health shall
indemnify, hold harmless and defend Agency, its officers, directors, employees and
agents from and against any and all losses, liabilities, claims, damages, causes of action,
costs and expenses, including reasonable attorney's fees and litigation costs arising from
University's breach of any covenants or obligations set forth in this Agreement. This
obligation shall survive the termination of this Agreement.
B. Orange County Health Department agrees:
1. To designate an appropriate Agency representative to be responsible for maintaining
liaison with the School of Public Health. In this connection the responsibility of this
person will be:
a. to supply information concerning the Agency, staff, and clients (including
health/medical records of the latter)that will facilitate the students' learning
experience(s). It is understood that protected health information will be kept
confidential.
b. to communicate periodically with the faculty to:

1) discuss the nature of the students' experiences;
2) provide for continuity of dietetic service; and
3) monitor the quality of services provided by the student.
c. to provide an adequate number of learning opportunities for student experiences;
d. to make available where possible, additional learning experiences which will
facilitate the learning of students;
e. to provide instruction and supervision of the students as may be necessary to maintain
quality and continuity of services, and contribute to the students' learning;
f. to provide expected supplies/equipment for service delivery;
g. to work closely with the Department of Nutrition to support the policies and programs
of the school.
2. To permit students to utilize the resources of the Agency.
3. To maintain the right to request termination of an individual student's experience.
Reasons for such termination will be made in writing.
IT IS FURTHER UNDERSTOOD that parties to the agreement will not discriminate against any
employee or applicant for employment or student registered for the clinical experience course
because of race, gender, color, creed, national origin or handicap.
