CONTRACT AMENDMENT
ORANGE COUNTY
THIS CONTRACT AMENDMENT("Amendment") is made and entered into this 25th day of February, 2020 by and
between ORANGE COUNTY (hereinafter referred to as "County") and ECS Southeast, LLP. (hereinafter referred to
as"Consultant").
WITNESSETH:
THAT WHEREAS, the County and Consultant entered into a contract dated April 21, 2019, (hereinafter the "Original
Agreement"), for the provision of Construction Materials Testing for the Southern Campus Expansion project for the
County; and
WHEREAS, the County and Consultant desire to amend the Original Agreement while keeping in effect all terms and
conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to
amend the Original Agreement as follows:
1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended
to reflect an end date by which all Services shall be completed as of December 31, 2020.
2. Exhibit I to the Original Agreement is amended by adding additional requested testing and inspection
services for 9 additional samples for classification and proctor density results in an attempt to locate suitable
soil on site after the initial indicated MH material.
3. Article 5, Section A is amended to reflect a maximum payable not-to-exceed amount of Thirty-Four
Thousand One Hundred Dollars ($34,100.00). The original agreement amount of$31,600.00 plus the amount
of this change amendment of$2,500.00 to existing PO 1901762.
4. Except for the changes made herein,the Original Agreement shall remain in full force and effect to the extent
it is not inconsistent with this Amendment. In the event that there is a conflict between the Original
Agreement and this Amendment,this Amendment shall control.

We hereby agree to make the change(s)specified below:
This change order is for the additional requested testing and inspection services and associated
fees. The site contractor and general contractor requested an additional 9 samples be tested for
classification and proctor density results in an attempt to locate suitable soil on-site after the initial
proctor indicated MH material.
Based upon the scope of services and our fee schedule, ECS estimates that our services for this
project will be on the order of$2,500.00.
Our estimated cost provided does not constitute a lump-sum or not-to-exceed price for our services.
Additional visits, re-inspections and unanticipated scopes of services may be required and will be
invoiced in accordance with the fee schedule provided in the authorized proposal.
NOTE: This estimate becomes part of and in conformance with the existing contract.
