DocuSign Envelope ID:86AA2D69-2618-49CA-ABD9-3717E162CF6E [Departmental Use Only] TITLE OCPT Sewer Tie in FY 2019-2020 ORANGE COUNTY CONTRACT UNDER$5,000.00 NORTH CAROLINA THIS AGREEMENT, made and entered into this 20th day of February, 2020, ("Effective Date") by and between Orange County,North Carolina, a body politic and corporate organized under the laws of the State of North Carolina, (the "County"), party of the first part; and Summit Engineering and Design Services PLLC(the "Provider"),party of the second part; WITNESSETH: For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby contracts for the services of the Provider, and the Provider agrees to provide the following services to the County in accordance with the terms of this Agreement,time being of the essence: The services and/or materials and/or construction (hereinafter referred to collectively as "Services") to be furnished under this Agreement are as follows: As per attached proposal dated 01/08/2020 with revision date of 02/12/2020 The term of this agreement rendered shall be from 02/20/2020 to Completion as per attached proposal dated 01/08/2020 with revision date of 02/12/2020. Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities,mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or responsibility granted or required by this Agreement,without the prior written approval of the County. SPECIFIC TERMS I. Payment: The County agrees to pay at the rates specified for Services satisfactorily (as determined by the County) performed in accord with this Agreement. The amount to be paid by the County shall not exceed Four Thousand Two Hundred and 0/100 Dollars, ($4,200). Payment shall be made within thirty (30) days of an invoice properly submitted to County. Should Provider fail to perform its duties under the terms of this Agreement, County may,without fault or penalty,withhold any payment associated with the work to be performed until such time as said work is completed. 2. Non—waiver: Failure by County at any time to require the performance by Provider of any of the provisions hereof shall in no way waive or affect the County's right hereunder to enforce the same,nor shall any waiver by the County of any breach be held to be a waiver of any succeeding breach or a waiver of this Non-Waiver Clause. 3. Independent Contractor: The Provider shall operate as an independent contractor, and the County shall not be responsible for any of the Provider's acts or omissions. The Provider shall not be treated as an employee with respect to the Services performed hereunder for federal or state tax, unemployment or workers' compensation purposes. The Provider understands that neither federal, nor state, nor payroll tax of any kind shall be withheld or paid by the County on behalf of the Provider or the employees of the Provider. 4. Insurance: Provider shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers' Compensation Insurance, and any additional insurance as may Revised 11/19 1 DocuSign Envelope ID:86AA2D69-2618-49CA-ABD9-3717E162CF6E be required by County's Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://www.orangecountVnc.gov/departments/purchasing division/contracts.php). If County's Risk Manager determines additional insurance coverage is required such additional insurance shall be designated here N/A (if no additional insurance required mark N/A as being not applicable). Provider shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. 5. Indemni : To the extent authorized by North Carolina law the Provider agrees, without limitation, to defend, indemnify, and hold harmless Orange County from all losses, liabilities, claims, demands, suits, costs, damages or expenses (including reasonable attorney's fees) arising from bodily injury, including death, to any person or persons or damage to or destruction of any property caused in whole or in part by any negligent or intentional act or omission on the part of the Provider in carrying out Provider's duties and obligations related to the Services to be provided in this Agreement. It is the intent of this provision to require the Provider to indemnify the County to the fullest extent permitted under North Carolina law. 6. Termination: This Agreement may be terminated at any time by mutual written agreement of the parties or by the County upon written notice to the Provider. County may suspend this Agreement upon reasonable notice to Provider. 7. Entire Agreement and Signatures: The parties have read this Agreement and agree to be bound by all of its terms, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless and until modified in writing and signed by the parties. Modifications may be evidenced by telefacsimile signature. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the consent of the Parties to utilize electronic signatures and the intent of the parties to comply with Article I IA and Article 40 of North Carolina General Statute Chapter 66. 8. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non- Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.oran ec�ounlync. og v/departments/purchasing division/contracts.php.). Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement Provider affirms Provider is and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. 9. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Non Appropriation: Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non-appropriation of public funds. The following scope and fees are based on our January 2, 2020 meeting where all of the projects were discussed in great detail. We look forward to working with you to meet the needs and goals for these projects. A more detailed description of each project along with a sketch highlighting scope of work for each project is in Appendix A. SCOPE OF WORK The following Tasks would be similar for all buildings except the Motor Pool / Transportation Administration building which has more detail for plan preparation. The Motor Pool design is to include permitting drawings but not being bid at this time. The Transportation Administration Building is to include a sanitary sewer extension which will require a separate NCDENR sewer line extension permit and certification. Zoning permit (ZCP), COA and minor works applications will be included where needed within the Historic District (all but the Motor Pool facility). Task 1 — Due Diligence / Schematic Design — Concept Report; SUMMIT will perform due diligence on each site including a field walk identifying problem areas. The information gathered at these field walks will be used to develop conceptual solutions. These solutions along with Atlas Engineering's review will be put together to generate a Concept Report. This Report will identify problem areas and recommended solutions for the problems. If proposed improvements exceed project funds, we will prioritize the list to allow the County to select what improvements should be made at this time. The construction drawings will be reviewed by the County prior to us developing bid documents. Our subconsultant Cumming will provide 3rd party cost estimating services for the proposed improvements. If costs exceed project funds, the contract documents will include alternatives for projects over the estimated amount to allow the County to get bids and determine what improvements can be built at this time. Task 3 - Contract Documents and Bid Assistance: Bid Administration - SUMMIT will prepare project specifications and bid documents. We will also assist in advertising the project, public bid opening, perform a bid review, prepare bid tabulations of the bids received, and submit a formal bid award recommendation to the County. Attend preliminary and other meetings throughout the Design and Bid process. Construction Administration - SUMMIT will provide onsite inspection personnel that will periodically monitor the contractor's adherence to the project plans and specifications. SUMMIT will review and approve all Pay Application and facilitate the processing of any necessary Change Orders. The project team will perform a final inspection of all locations and develop a punch list. We will monitor the completion of the final punch list and review the final pay application. Task - Geotechnical services have been identified for each building as follows. Board of Elections - Six hand auger borings will be performed at the Board of Elections building and advanced to 6 feet or hand auger refusal, whichever comes first. Piezometers will be installed at two of the hand auger boring locations. Sheriff's Office - Three hand auger borings will be performed at the Sheriff's Office and advanced to 6 feet or hand auger refusal, whichever comes first. No piezometers will be installed at this location. Whitted Facility - Six borings will be advanced to 10 feet around the Recreation building with two piezometers installed in those borings. Four borings will be advanced to 10 feet around the Health building with temporary piezometers installed in two of those borings. One boring will be advanced to 10 feet at the dumpster area, and three borings will be advanced to 5 feet in the gravel parking lot leading to the dumpster to determine if more gravel will be required. Borings will be terminated if auger refusal occurs. DocuSign Envelope ID:86AA2D69-2618-49CA-ABD9-3717E162CF6E Orange County Transit Site - No Borings Transportation Building Site Task 1 — Due Diligence / Schematic Design — Concept Report: None Task 2 — Detailed Design: SUMMIT will develop the most economical route to extend the sanitary sewer lateral to the Transportation Building. We will prepare a plan to abandon the septic tank and a sanitary sewer lateral drawing to submit to the Town of Hillsborough for approval with the Sanitary Sewer Extension Permit. We anticipate that the following permits will be required for the project and SUMMIT will prepare and submit the applications to be reviewed by each authority. a) Town of Hillsborough Sanitary Sewer Extension Permit o A sanitary sewer extension permit will be required for providing sanitary sewer to the administration building. This is the only permit anticipated at this time. If during the review process it is determined that other permits will be required, SUMMIT will assist as needed with those permits on a time-and-material basis or per an approved Change Order. Task 3 — Contract Documents and Bid Assistance: Bid Administration — SUMMIT will prepare project specifications and bid documents. We will also assist in advertising the project, public bid opening, perform a bid review, prepare bid tabulations of the bids received, and submit a formal bid award recommendation to the County. Attend preliminary and other meetings throughout the Design and Bid process. ASSUMPTIONS & EXCLUSIONS: • Additional services outside this scope of services will be provided if requested by the Client for a negotiated lump sum fee or at our standard hourly billing rates. CLIENT RESPONSIBILITIES: It shall be the responsibility of the Client to provide the following items: 1. Access to the site. 2. Decisions on critical design issues as necessary in a timely manner. 3. Payment of all invoices per conditions of the agreement. 4. Client/Owner to be responsible for the payment of all regulatory agency fees for applications, plan review and permitting. Sever, PE Senior Project Manager Attachments: Schedule of Standard Rates DocuSign Envelope ID:86AA2D69-2618-49CA ABD9 3717E162CF6E Appendix A— Background and Detailed Scope Board of Elections Background: The Orange County Board of Elections building located at 208 South Cameron Street, Hillsborough NC was built in 1968. The location of this property is within close proximity to the Eno River and within a stream that feeds into the Eno River. The Board of Elections Building is a one-story building over a partial day-lighted basement and partial crawlspace. The building has an irregular footprint measuring approximately 87' x 115'. Originally the basement housed the HVAC and electrical systems. Due to flooding the HVAC equipment has been relocated to the attic space and courtyard of the facility, and the electrical distribution has been relocated to the exterior. Over the past few years there have been multiple floods within the basement, then over the past year there have been environmental concerns reported within the facility. Over the past eight months Orange County has replaced the complete HVAC system, carpet, ceiling systems and remediated all organic growth found within the facility. The basement is now partially sealed with access outside the flood plain and (2) commercial dehumidifiers are operating within the crawlspace/basement to avoid future environmental concerns. Board of Elections Building Scope (200 S. Cameron Street) The primary goal of Orange County is to reduce any water intrusion or future flood damage to the existing facility. This includes the study of the existing drainage/stormwater management systems, including the runoff that overwhelms the system during heavy rainfalls. This building is located on an elevation lower than the existing roadway that provides access to the facility. This scope includes ensuring all stormwater drains are open and flowing as designed, site grading as required to move the water to the drainage system and away from the facility and installation of waterproofing as needed for reduction of water intrusion during future weather events. The scope would also include ensuring the existing ramp (located at the back of the facility) is to be removed and backfilled; the sidewalks are reinstalled to meet accessibility requirements if removal is necessary to correct site grading. All landscaping shall be restored after all construction is complete. Richard E. Whitted Complex Background: The Whitted Building Complex is located in Hillsborough at 300 & 302 West Tryon Street. The oldest sector of this complex was constructed in 1922, with additions in 1936 and 1957. The complex was acquired by Orange County in 1975. Orange County perform significant renovations during 2002-2004, included replacement of HVAC system, 2012 included Health medical and dental clinic spaces, and 2014 for creation of a new Board of County Commissioners' meeting space and related services. The "A" and "B" buildings house the Orange County Health administrative offices, Health and Dental clinic space and Housing and Community Development departments. Major components of the HVAC system also serve the Central Recreation building which includes a gymnasium. Significant renovations for this facility occurred during 2002-2004, including replacement of HVAC system. An accessible entrance was constructed in 2007. All three facilities have shared parking, sidewalks, utilities, and stormwater management. This complex currently needs the necessary site and storm water management improvements to the rear of the Richard E. Currently the major water intrusion occurs on the ground level of building "B" Orange County Dental Clinic, north east corner of the building. There are also concerns with water/moisture within the flooring of the Central Recreation facility causing the tiles to curl and become trip hazards. Richard E. Whitted Complex Scope The primary goal of Orange County is to reduce the potential for water intrusion or any future flooding to the existing facilities. The scope includes performing a study of the existing complex stormwater management systems for necessary site and storm water management improvements in the rear area of the Richard E. Whitted Complex, including Whitted buildings A and B, and the Central Recreation Building. The scope includes facility waste container corral, site drainage improvements, building waterproofing, site grading changes, gravel parking lot improvements, back stair step/sidewalk improvements, fencing repairs, landscaping, and required signage. Orange County Sheriff's Office Background (106 E. Margaret Lane) The Orange County Sheriff's Office is considered a part of the Orange County Justice Facility. The original facility was built in 1954 and then the Sheriff's office was added in 2008. Currently the uniform room located below grade has been experiencing water intrusion and humidity problems. The current uniform room was formerly used as a mechanical boiler room. Orange County Sheriff's Office Scope (106 E. Margaret Lane) The primary goal of Orange County is to reduce the potential for water intrusion or any future flooding to the existing uniform room. The scope includes performing a study of the existing stormwater management systems for necessary storm water management improvements in the exterior area directly related to the uniform room. The scope includes stormwater drainage improvements, building waterproofing, site grading changes, and related landscaping. Public Transportation Administration Building Scope (600 Hwy 86N) The scope includes the removal of the existing septic system and connecting this facility to the sanitary sewer lateral serving the Motor Pool building.
