HATCHELL LANDSCAPE .ARCHITECTURE,PLLC (hereinafter referred to as"Consultant"). WITNESSETH: THAT WHEREAS,the County and Consultant entered into a contract dated December 3,2018,(hereinafter the"Original Agreement"),for the provision of consulting services for the development of Blackwood Farm Park;and WHEREAS, the County and Consultant desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended to reflect an end date by which all Services shall be completed as of March 1, 2022. 2. The Original Agreement is amended by adding the following tasks and services to the Services to be provided by the Consultant: Design, Permitting and Construction Administration of additional site work, a 2" waterline tap and water line extension, and an Amphitheater estimated at $400,000 with associated grading, stormwater, and crushed screenings access trail per proposal titled "Proposal for Additional Services —Blackwood Farm Park Renovations"dated January 27,2020. 3. Article 7, Section 7.7.1 is amended to reflect a maximum payable not-to-exceed amount of Three Hundred Six Thousand,Forty Dollars($306,040.00). 4. Except for the changes made herein,the Original Agreement shall remain in full farce and effect to the extent it is not inconsistent with this Amendment. In the event that there is a conflict between the Original Agreement and this Amendment,this Amendment shall control. Task I: Design Development, Construction Drawings, Permitting, Bidding, and Construction Administration of an Amphitheater, additional grading and stormwater, associated trails, 2"waterline tap and water line extension The following is the scope of work: SHLA-Susan Hatchell Landscape Architecture, PLLC TG—Timmons Group (formerly Ward Consulting Engineers) ECA—Ellen Cassilly Architect, Inc. NV5—NV5 (formerly Calyx Engineering) • SHLA will revise the current site plan and grading concept to include the final location of the amphitheater as well as a crushed screenings trail that can accommodate vehicular traffic from the farmstead to the amphitheater. Includes additional plan sheet to show site work. ■ TG will prepare additional sheets to show additional grading, storm drainage and erosion control for the extended limits of disturbance. • TG will incorporate the additional impervious area into the stormwater impact analysis. ■ TG will revise the utility plan to show a new 2-inch water tap to the existing line on NC86.A bore and jack will be required under the roadway as this is a primary roadway. • TG will provide an additional plan sheet and details to include appropriate metering, valves and backflow prevention for the new line. ■ SHLA will show location for park entrance sign on the site plan. ■ Additional erosion control measures will be added for the off-site work to be included in the permit submittal to the NC Land Quality Department. • Amphitheater 60% Design Development(ECA) o Prepare 60% DD Plans incorporating comments on 30% SD plans o Coordinate with team members including Structural, MEP and Civil o Architectural Cost estimate and outline specification ■ Amphitheater 100% Construction Documents {ECA} o Prepare 100% CD Plans incorporating comments on 60% DID plans o Coordinate with team members including Structurai, MEP and Civil o Two(2) design team meetings with Orange County{ECA and SHLA} o Architectural Cost estimate and final specifications • Architecture sheets to include: Appendix B, Coversheet Information, Foundation Plans, Floor Plans, Framing Plans, Roof Plans, Exterior Elevations, Wall Sections, Structural and MEP Engineering sheets to support the architectural drawings • Site electrical service will be provided to a transformer near the amphitheater. ■ SHLA, ECA, TG and NV5 will address comments for the additional work during the 60% and 100% submittal sets and the Orange County Plan Review process. 1 DocuSign Envelope ID:8880C4F3-E132-469D-9F1A-0516B69BADB7 • Specifications for the additional work will be provided for the project manual. • 60% and 100%overall Cost estimate • One(1) meeting to discuss value engineering possibilities—ECA and SHLA • Incorporate additional sheets and specifications into the bid set. • Additional Services for Bidding/Construction Administration o Answer bidder questions and produce addendum as needed during bidding- * Assist Orange County in contract negotiation and execution. o Coordination with Owner, Design Team and Contractor. o Prepare construction management documentation. o Review and approve submittals and shop drawings for additional work. o Prepare necessary bulletins and respond to project RFIs. o The amount of road widening work completed will be dependent on unit prices provided by the Contractor and the volume of unsuitable material removed (as quantified by the Owner's Geotechnical firm). o Review pay applications and coordinate with other Design Team members for approval. Review and coordinate project change orders as necessary. o Prepare punch lists- * ECA will provide up to five (5)additional site visits to review Amphitheater construction. n Review of structural shop drawings and two(2) site visits by the structural engineer. Four(4)electrical and two(2) MEP site visits and progress reports, including final inspections. If Additional Insurance is required, it can be obtained with an increase in Professional Fees to cover the cost of the Insurance for the period it is required. Assumed all other utilities in the area are on the overhead poles since no underground information was shown on the survey.
