The Orange County ABC Board held its regular meeting on Monday,June 17,2019 at 9:00 AM at the ABC
Board Administrative Office 601 Valley Forge Road HiOsborough,N.C.These are the minutes of the Open
Session.
Present: Keith Bagby,Chairman Patrick Bums,Member

9:00am Mr.Bagby opened the Public Hearing for anyone who wished to be heard concerning the 20192020
Budget.

Call to order: at 9:01am a quorum was present and Mr. Bagby, Board Chairman, called the
regularly scheduled Board Meeting to Order.
Mr.Bagby read the Mission Statement: The Mission of the Orange County ABC Board and our
employees is to serve our locality responsibly by controlling the sale of spirituous liquor,returning
profits to Law enforcement, Alcohol Education, and the County Fund while providing excellent
service in customer friendly,modern and efficient stores.
Mr. Bagby read the Conflict of lateral Statement. The question was asked: does anyone has a
conflict of interest with respect to any matters on the agenda?AB present said nay.
1 Approval of the Open meeting Agenda:Ms. Cousins made a motion to approve the Open meedng
agenda,Mx Carter seconded the motion and the vote carried
2 Meeting Minutes:The Open Meeting Minutes for May 21,2019 were presented.Discussion was held.
Ms. Carter made a modon to approve the open session minutes,Mr.Burns seconded the modon and
the vote carried.
3 Consent Agenda:May 2019
a.Financial Reports:
i.Comparative Statement of Net Assets
ii.Comparative Revenue and Expenses for May 2019 and May 2018
iii Actual-to-Budget May 2019

Discussion was held.Mr.Burns made a modon to approve the May 2019 ConsentAgenda,Ms Carter
seconded the motion and the vote carried

4.Management Updates:
1.Law Enforcement Reports:This report is required by the NCABC.
2.Handbook:The handbook is completed and the updated version is on our website.
4.Oakdale Project Update: The project is moving forward and still has a completion date to finish
near the end of October.Updated phoms were presented at the meeting.
5.House Bill:The Distillery Bill is up for approval.
6. Travel Policy: The continued use of the County Travel Policy by the board was approved by
BOCC in the June 46 2019 meeting
7.Two Year Comp Sales comparison:A comparison of two-year sales were presented and showed
the growth at our stores including the downsizing of our Curboro location during the remodeling
process.
S. Year End Budget Amendment: Discussion was held.Ms. Cousins made a motion to approve the fiscal
year 20182019 Budget Amendmen6 Ms.Carter seconded the motion and the vote rattled (See Attached)
6.Budget Timeline:A budget timeline was presented
a. A request has been made by the Orange County CFO to reconsider the amount granted to the
Sheriffs department.Discussion was held.No changes to the budget at this time were made.Mr.Dubois will
send a letter to Gary Donaldson.
7. Approval 20192020 Budget:The proposed budget was presented to the Board. Discussion was held.Ms
Carter made a motion to approve the 20192020 fiscal year budget,Ma Burns seconded the motion and
the vote carried (See attached)
8.Oakdale Project update:Work on the new Hillsborough store#10 at Oakdale Drive is underway.An updated
Project Budget will be presented monthly at the board meeting throughout the project
Board recommended no trespassing signs be put aroundthe pro/ect site
9. Resolution for the sale of 112 John Earl Rd. Hillsborough NC 27278: The Board owns property at 112
John Earl St Hillsborough NC and will need to approve and pass a resolution authorizing the sale of the
property. Mr. Burns approved the resolution to authorize the sale of the properly at 112 John Bad St
Hillsborough NC,Ms. Cousin.,seconded the motion and the vote carried (SeeAnached)
10.ABC Training:Mr.Dubios gave a presentation on the NC ABC System.
Wayne Bradsher explained how stores are laid out and bow new store shelves are stocked.He also presented
how the ordering process works from the state level down to the stores.
11:06am Ms.Price left the meeting.
11.Board Comments:
• Mr.Bagby was appointed as Board Chair for one year.
• Ms.Carter was appointed for a three-year term.
• Mr.Burns stated we have a new ALE agent Byson Hall.
• Mr.Dubios and Mr.Bums attended the alert meeting with Mr.Dubios speaking on
privatization.
Closed Session in accordance with NCGS 143-318-I1 Personnel Matters.

RESOLUTION
On June 17, 2019 the Orange county ABC board resolves to sell property located
at Granville center 112 John Earl Street, Hillsborough NC 27278. The property will
be listed for sale no later than July 15, 2019. This resolution also authorizes a 10
day upset bid period set to begin after the bids are opened on or after August 14,
2019 satisfying the 30 day advertisement period per NCGS 160A-269. If no bids
are received in the first 30 days the property will remain on the market and a 10
day upset bid period will be begin after a conditional offer is accepted. The ABC
Board must approve the final high offer before the contract is finalized, unless no
upset bid is received, which it will do within 30 days after the final upset bid
period has passed. The Board reserves the right to withdraw the property from
sale at any time before the final high bid is accepted and the right to reject at any
time all bids. Further information may be obtained from the ABC Board, 601
