Present: Keith Bagby,Chairman Jane Cousins,Vice Chairman Patrick Bums,Member Elizabeth Carter,Member Tony DuBois,General Manager Angela Willoughby,Asst.General Manager Renee Price,BOCC Liaison Angel Neighbours,Board Secretary Absent: Chris Willer,Beemer,Hadler&Willett,P.A., Ron McCoy,Finance Officer Mike Lassiter,Member Visitors: Chief Duane Hampton,Hillsborough Police Department LL Tony Sorrell and Investigator Kevin Kuhn,Chapel Hill Police Department Sgt.Brian Whitehursq Orange County Sheriff Department Call to order: at 8:30 am a quorum was present and Mr. Begby, Board Chairman, called the regularly scheduled Board Meeting to Order. Mr. Bagby read the Mission Statement: The Mission of the Orange County ABC Board and our employees is to serve our locality responsibly by controlling the sale of spirituous liquor,returning profits to Law enforcement,Alcohol Education,and the County Fund while providing excellent service in customer friendly,modern and efficient stores. Mr.Bagby read the Conflict of Interest Statement.The question was asked:if anyone has a conflict of interest with respect to any matters on the agenda?Allpresent said nay. Ms.Neighbours,Board Secretary swore in a new Board Member,Elizabeth Carter. 1 Approval of the Open meeting Agenda:Staff requested to add a closed session in accordance with NCGS 143-318.11 Personnel Matters Ms. Cousins made a motion to approve the amended agenda, Mr.Bums seconded the motion and the vote carried 2 Meeting Minutes:The Open Meeting Minutes for November 20,2018 were presented.Discussion was held. Mr.Bums made a motion to accept the open session minutes,Ms Cousins seconded the motion and the vote carried 3 Consent Agenda:November 2018 a.Financial Reports: i.Competitive Statement of Net Assets ii.Comparative Revenue and Expenses for November 2018 and November 2017 iii Actual-to-Budget November 2018 b.November 2018 and Year-to-Date Retail Sales C.Statewide Sales Report Discussion was held.Mr. Bums made a motion to approve the November 2018 Consent Agenda,Ms. Cousins seconded the motion and the vote carried Open Session 1/15/201 Page 1 of 3 pages Orange County ABC Board Open Meeting Board Minutes Tuesday January 15,2019 4. Consent Agenda:December 2018 a.Financial Reports: i.Comparative Statement of Net Assets ii.Comparative Revenue and Expenses for December 2018 and December 2017 iii Actual-to-Budget December 2018 I.December 2018 and Year-to-Date Retail Sales e Statewide Sales Report Discussion was held.Mr. Burns made a motion to approve the December 2018 Consent Agenda,Ms. Cousins seconded the motion and the vote carried 5.Law Enforcement Midyear Reporting: Chief Hampton,Hillsborougb Police Department:Chief Hampton passed out information on the activities from the past year.The police department has continued compliance checks and they are training several new officers to join the inspections and compliance operation team. Investigator Kevin Kuhn, Chapel Hill Police Department: The department offers a monthly BARS training at the Chapel Hill Court House. They have implemented a best-practice training group for ABC permitted businesses in Chapel Hill to receive additional training on responsible alcohol services.They will continue to partner with other departments for compliance checks. Sgt. Brian Whitehurst, Orange County Sheriff Department: Orange County Sheriffs Department continues to have a car stationed at each of the ABC store locations at closing time. Sgt Whitchurst and Officer Roberson conducted our security surveys on all Orange County ABC Board properties.The sheriff's department is training Sgt.Whitehu xt tojoin other departments in compliance checks with-in the county. 6.Management Updates: 1.Intern:Noah Basil has started working on the Employee Handbook project and is expected to finish it this semester. 2.Recurring Topics: The updated recurring monthly topics and meeting dates were discussed. 3.Oakdale Project Timeline:The contractor is hired and the contract has been finalized as of January 10 and construction should start this month.The total project time is 270 days with a projected finish in October.We will schedule a groundbreaking on the day of me next board meeting on Febnmry 19a. 7 Oakdale Constructions Project Financing: Following the Board decision to hire Racanelli Construction of Apex,N.C.to build the new store at 109 Oakdale Drive (Hillsborough), requests for proposals for construction financing were sent to six institutions. Of the six requests we received four responses. The Board and staff reviewed the financing proposals. Discussion was held. Ms. Cousins made a motion to accept the flnancing proposal from Roxboro Savings Bank for the Oakdale Project Mr.Bums seconded the motion and the vote carried Closed Session in Accordance with NCGS 143-318.11 Personnel Matters: 10.30 am Ms. Cousins made a motion to go into closed session,Ms. Carter seconded the motion and the vote carried 10.53 am Ms. Cousins made a motion to return to open session,Me. Burns seconded the motion and the vote carded Open Session 1/15/201 Page 2 of 3 pages Orange County ABC Board Open Meeting Board Minutes Tuesday January 15,2019 S Board Comments: • Mr.Bums let everyone know about the alert meetings in Hillsborough and Chapel Hill. • Commissioner Price said the County Commissioners are looking at a resolution concerning privatization. • Ms.Carter said"thank you"for allowing her to serve on this Board • Mr. Bagby had everyone in the meeting tell a little about themselves to get more acquainted with Ms.Carter. • Mr.Bagby encouraged everyone to visit all of the Orange County ABC Board stores. • Mr.Bagby also encouraged everyone to visit our grantees and join their meetings.
