Gayle Wilson, Solid Waste Director _ 968-2885 TELEPHONE NUMBERS: Hillsborough 732-8181 Chapel Hill 968501 Durham 688-7331 Mebane 336-227-2031 PURPOSE: To extend the Solid Waste Department agreement with Joyce Engineering, Inc. for engineering and hydrogeological services dealing with the permitting and construction of the planned Construction and Demolition (C & D) Landfill located on Eubanks Road, and for general solid waste consulting services that the County may require. BACKGROUND: At their meeting on February 7, 2001, the Board of Commissioners adopted a resolution that endorsed development of a new construction and demolition landfill on Eubanks Road. The new CAD landfill would complement other C8~D waste management activities there as part of a master plan that emphasizes reduction and recycling activities, and assures an environmentally sound and convenient option for managing the residual materials from local generators of construction and demolition waste. Joyce Engineering, Inc. has been providing engineering services to the Solid Waste Department since 1992. Joyce Engineering prepared the Site Plan Application for the proposed C8~D landfill. The~Application was submitted to the NCDENR Division of Waste Management, Solid Waste Section in October 1999. The County needs to extend the contract with Joyce Engineering for ongoing services that will include: • Additional hydrogeological characterization of the planned C 8~ D landfill on Eubanks Road. Four additional wells will be installed on the site. Information obtained during the drilling will be used to prepare geologic cross sections of the substrata and determine the location and flow direction of the groundwater. • A Construction Plan Application for the planned C & D landfill. The application will include construction drawings, sequence of operation drawings, erasion and sediment control plan, closure drawings and construction details. Joyce will also prepare a construction report to accompany the application. • General consulting concerning any C & D landfill issues or unanticipated solid waste issues that may arise during the year. FINANCIAL IMPACT: The expected cost for the C&D landfill-specific work is expected to be about $59,000. Of this amount, approximately $52,000 is already available in the FY 2000-01 Landfill Operations budget. The FY 2001-02 Solid Waste/Landfill Operations budget request will include the additional $7,000 needed to fulfill this contract. The general consulting assistance, to be used on an as-needed basis, will be in an amount not to exceed $25,000. That funding will also be incorporated in the FY 2001-02 Solid Waste/Landfill Operations budget request. RECOMMENDATION(S): The Manager recommends that the Board approve the Addendum to the agreement with Joyce Engineering, subject to final review by staff and the County Attorney, and authorize the Chair to sign it. -- .3 • STATE OF NORTH CAROLINA AGREEMENT FOR ENGINEERING THE COUNTY OF ORANGE SERVICES This Agreement made and entered into by and between the County of Orange, on behalf of its Solid Waste Department, herein referred to as "County" and Joyce Engineering, Inc. herein referred to as "Engineer" for Professional Engineering Services related to permitting and construction of the proposed C&D Landfill on Eubanks Road and other services as directed by the County I. WITNESSETH That for and in consideration of the mutual .promises and conditions set forth below, the County and Engineer agree as follow: 1. Duties of Engineer: The Engineer agrees to provide: a) additional hydrogeologic characterization of the proposed C & D landfill located on Eubanks Road (Attachment A) b) a Construction Plan Application for the proposed C & D landfill c) general consulting services d) and other engineering and hydrogeolgical services that the County may require 2. Duties of County The County shall provide direction to the Engineer as to the specific services required and the schedule of delivery for tasksl.c and l.d. The Engineer shall submit a written scope of work and estimated budget for approval prior to commencing work. 3. Subcontractors: The Engineer shall obtain County approval before using any subcontractors or sub consultants 4. Billing and Payment: The Engineer shall submit regular invoices, using Standard Billing Rates (Attachment B), for work performed and shall be paid for completion of the work performed during that period under the terms of this Agreement. Payment shall be made by the County within thirty (30) days of receipt of an accurate invoice. 5. Insurance: The Engineer shall procure and maintain insurance for protection from claims under worker's compensation acts, claims for damages because of bodily injury including personnel injury, sickness or disease or death of any and all employees or of any person other than such employees and from claims or damages because of injury to or destruction of property including loss of use resulting therefrom.. The Engineer is required to provide policies certifying: a) Worker's Compensation: Coverage to apply for all employees far statutory limits in compliance with the state and federal laws. The policy must include employers' liability with a limit of $100,000 each accident, $100,000 bodily injury by disease each employee and $500,000 bodily injury by disease policy limit. b) Comprehensive General Liability: Shall have minimum limits of $1,000,000 per occurrence combined single limit for bodily injury, liability and property damage liability. This shall include premises and/or operations, independent contractors, products, andlor completed operations, broad form property damage and explosion, collapse and underground damage coverage and a contractual liability endorsement. c) Professional Errors and Omissions Liability: Coverage shall have minimum limits of $1,000,000 per claim and $1,000,000 aggregate. d) The County is to be included as an additional insured on the Comprehensive, General Liability. This requirement is to be stated on the Certificate of Insurance. e) Current, valid insurance policies meeting the requirements herein identified shall be maintained during the duration of the named project. Renewal certificates shall be sent to the County thirty (30) days prior to any expiration dates. There shall also be a 30 .day notification to the County in the event of a cancellation or modification of any stipulated insurance coverage. Certificate of insurance meeting the required insurance provisions shall be forwarded to the County of Orange. Wording on the certificate which states that no liability shall be imposed upon the company for failure to provide such notice is not acceptable and should be deleted. Original policies or certified copies of policies maybe required by the County of Orange at any time. f) Certificates of Insurance for all the insurance coverages described herein shall be submitted to the county upon execution of a contract by the Engineer. g) All insurance required under this agreement shall be written with a company licensed to do business in North Carolina. Certified copies insurance policies may be requested by the County. h) Engineer agrees to indemnify and hold harmless ,the County from all loss, liability, claims or expense (including reasonable attorneys' fees) arising from bodily injury, including death or property damage to any person or persons caused in whole or in part by the negligence or willful misconduct of the Engineer except to the extent same are caused by the negligence or misconduct of the County. 6. Amendment : This agreement maybe amended or cancelled by mutual agreement of the County and the Engineer. 7. Termination :Either the County or the Engineer may terminate this Agreement at any time with or without cause upon giving the other party 21 calendar days prior written notice. County shall within sixty calendar days following termination pay the Engineer for all services rendered and all costs incurred up to the date of termination. This Agreement, unless amended as provided herein, shall be in effect from May 1, 2001 through Apri130, 2004. 5 IN TESTIMONY WHEREOF, the parties have hereunto set their hands and seals the day and year first above written. Actual costs w>71 be as determined from competitive unit cost bids and actual field activities. • Response to Solid Waste Section comments has not been,included in this estimate; as the extent of this effort is difficult or impos~ble W predict until written commems are received.
