THIS AGREEMENT, entered into this 1 day of October, 2019, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
Orange County Artists Guild("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed seven hundread ten dollars and
sixty-seven cents ($ 710.67) have been awarded by the Arts Commission to the Grant
Recipient for the approved Project. The Recipient shall be required to match funds at
least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either
Orange County appropriations or the North Carolina Arts Council, as outlined in the
attached Exhibit A.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2019 and June 30, 2020. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 13, 2020. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$710.67 to the Grant Recipient.
6. Publicity
A. Acknowled eg ment. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org_/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: "This program is supported by the
Orange County Arts Commission."
ii. x North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: "This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources. "
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred)to their main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Governing Law and Priority Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at

Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County,North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Organization The Orange County Artists Guild (OCAG), established in 2001, is a
Description volunteer-run, 501(c)3 non-profit organization of 140 artist members
residing in Orange County. The Mission of OCAG is to promote the
growth and appreciation of the art and fine craft of local artists; to
contribute to the vibrancy and economy of Orange County; to foster
continuing arts education, growth and development of guild
members; and to provide opportunities for artists to exhibit their
work. The organization is governed by 9 board members and several
supporting committees.
The Guild's Open Studio Tour, in its 25th year, is an annual event
featuring over 85 participating artists with 70 artists' studios open to
the public. The tour is an opportunity for artists to provide, free of
charge, a time for the public to meet working artists in their work
spaces/studios and learn about their art and their methodologies.
Many artists will be in the process of making art, allowing visitors to
actually watch a work of art being created. Besides offering
educational and inspirational benefits to the public (many of whom
are families), the Studio Tour promotes tourism and contributes to

Carolina, and from a wide range of other states come here to spend
the day or the weekend visiting studios, purchasing art, staying in
motels, eating in local restaurants and becoming familiar with the rich
culture of Orange County.
The 2019 studio tour dates are November 2-3 and 9-10. OCAG juries
into membership high quality artists from diverse ethnic
backgrounds and all socioeconomic levels residing in Orange
County. Membership currently includes 106 female and 34 male
artists. These members will open their studios to visitors of all ages
and socioeconomic backgrounds.
In addition, the Guild's purpose is to provide year round
opportunities by:
• Hosting an annual information/education booth at Festifall for over
15,000 attendees
• Maintaining a list of over 140 member artists, their contact
information and the locations of their studios
• Providing a website to promote members' artwork with contact
information and an artist liaison to respond to queries about the guild
and its artists
• Offering an organizational Facebook page, Instagram and a blog
publicizing members' events and recent artwork, videos about
artistic process and inspiration, and a publicly accessible calendar of
members' events
• Hosting quarterly meetings with educational programs and speakers
• Coordinating forums and workshops on art related topics
• Promoting and organizing interest and learning groups
• Sponsoring twice yearly pop up art shows for the public
The OCAG Open Studio Tour depends on support from member fees
and donations from the community. OCAG respectfully requests
$2000 to be used to expand our advertising beyond the triangle
making this cultural event available to adults and children of all
races, gender and socioeconomic groups both locally and statewide.

Deficit/Surplus OCAG realized a profit of $654.00 in 2018. To offset profits this year,
the Guild is supporting 4 Young Adult Emerging Artists between the
ages of 21 and 30 by waiving the $250.00 Open Studio Tour
participation fee and the $100 membership fee. The Guild also uses
profits to make donations in support of other Orange county arts
organizations such as the Carrboro Arts Center and Frank Gallery.

Project/Program In past years we ran 2 weeks of ads on WUNC radio at their non-profit
Summary rate for $1040 reaching -116,800 people across the Triangle an
average of 1.8 times each week. Typically OCAG advertises the week
leading up to each tour weekend, which increases awareness of the
tour with local arts patrons when they are planning their weekend
activities.
This year we would like to expand that radio programming to include
the NPR stations in Wilmington and Charlotte in order to drive
awareness with art patrons in those areas. For these areas we would
move up the promotion at least 2 weeks so that listeners have
enough time to plan a day trip or weekend visit to Orange County.
The proposed schedule would include:
1 week flight of 7 spots on WFAE (Charlotte) reaching 35,000 NPR
listeners an average of 1.2 times (42,900 impressions)
2 week flight of 20 spots on WHQR (Wilmington) reaching 40,000 NPR
listeners an average of 1.8 times per week (72,000 impressions per
week)
Like the spots on WUNC, listeners will be directed to visit the Tour
website, sign up for the mailing list and download a brochure to plan
their trip.
This proposed plan would increase our radio reach by 75,000 NPR
listeners across the state, delivering 186,900 impressions. OCAG will
support these radio spots with Facebook ads targeting arts
supporters in the broadcast areas to increase message frequency to
at least 3 impressions across media.

Project Goals Our goal is to expand our outreach, increase awareness and promote
participation in the Orange County Open Studio Tour by arts patrons
across the state. The proposed radio plan will increase the reach of
our messaging by 75,000 listeners in Charlotte and Wilmington areas.
This plan combined with Facebook support will direct users to the
Tour website where they can request a printed map, download a
brochure and map and plan a day trip or weekend visit to Orange
County.
Audience Description The OCAG Open Studio Tour is a kid-friendly, free and open to the
public event. OCAG seeks to expand our radio promotion to reach an
estimated 75,000 additional NPR listeners in Wilmington and
Charlotte, expanding awareness of the tour to these key areas of our
state. Listener racial and cultural estimates are 9% black, 4%
Hispanic, 75% not Black or Hispanic and 12%from NPR. Half of the
persons listening at any given time are between the ages of 36 and
60. Over 50% have a graduate degree and 70% have a college
degree. The listener base is culturally active being 11% more likely to
visit art galleries or museums than the general population. They are
also explorers who are 65% more likely to take 3+ personal trips per
year.
Additonally, in order to reach a broader demographic OCAG places
ads on Facebook. The Guild has found that with exception of people
over the age of 65, more than half of Americans in every age group
say they are on Facebook. Aside from YouTube, no other social
channel has such a broad take-up range across age groups.
Facebook users are 53%female and 47% male. Of this 88%are of age
18-29. In the United States, Facebook is most popular with
millennials. 73 % of U.S. adults who identify as Hispanic say they use
Facebook, versus 70 percent black and 67 percent white.

Location Description An estimated 100 artists in 80+ studios across Orange County, NC
will participate in the OCAG Open Studio Tour. Many locations have
access for individuals with disabilities. Making Orange County artists
visible is not an easy task. There are an estimated 700-800 artists of
all kinds in Orange County and visual artists and fine craftspeople
have relatively few opportunities to be seen and appreciated in the
county, so the advantages of the Tour to the artist are obvious.
Artists enjoy direct contact with art lovers and potential buyers and
gain a much wider exposure of their work. Additionally, Tour visitors
enjoy meeting the artists in a casual atmosphere, viewing a wide
range of the artworks and being able to ask questions about the
artist's or craftsperson's process.
Studio visitors enjoy seeing the context and environment in which
the work is made—how studios reflect the individual artist's
character and perspective. The educational and recreational value of
the Tour is just as important to them as the opportunity to actually
purchase a work of art to take home. Many are curious to get an
inside look at what it really means to create a work of art from
scratch. Others come for inspiration to actually take up an art form
themselves. The Orange County Open Studio Tour brings artists and
the community together in celebration of the creativity and diversity
of the arts in our area.
Artist Description All artists on the tour have been juried into the Orange County Artists
Guild by a committee of professional artists appointed by the OCAG
Board of Directors. Member artists are selected based on their
residence in Orange County, their commitment to their art and the
high quality of their work regardless of age, ethnicity, background or
socioeconomic level. Any fine artist or fine craftsperson may apply
for membership in the Guild, so while OCAG membership is primarily
made up of professional visual artists with considerable experience
and dedication, it is open to emerging artists who want more
understanding of what it means to produce and exhibit their work.
The Guild does not place any restrictions on a member's art or craft
media, content, or style of work. Currently membership includes
acrylic and oil painters whose interests and styles are wide ranging,
ceramicists and potters, woodworkers of all sorts and furniture
makers, textile artists, sculptors, illustrators, collage artists, pastel
painters, photographers, paper artists, glass artists and jewelers.

Festifall for over 15,000 attendees announcing the studio tour
opportunity to attendees.
A Guild website promotes members' artwork with contact information
and an artist liaison to respond to queries about the OCAG and its
artists. In addition, the Guild hosts an organizational Facebook page,
Instagram and a blog publicizing members' events and recent
artwork, videos about individual artists' artistic processes and
inspiration, and a publicly accessible calendar of members' events.
Banners are placed in strategic locations throughout the area prior to
the tour and each studio tour participant is provided professional
signs by OCAG to guide visitors to their studios.

website, blog, social media, printed media, TV and radio as regards to
the amount and effectiveness of advertising in each of these venues.
The survey results are compared with tour artists' numbers of
visitors and sales during the tour, total estimate number of visitors,
how visitors learned about the tour, total number of sales and total
dollars earned.
After the campaign we will have a detailed breakdown of the reach on
Facebook. Last year our Facebook promotions reached 58,172 arts
interested individuals across the greater Triangle. Approximately 70%
of those engaging with our ads were women. Ads were shown to all
age groups over 18. For the first time this year our website will allow
us to track all Facebook traffic.
