THIS AGREEMENT, entered into this 1 day of October, 2019, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
Hillsborough Arts Council ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed seven hundred thirty-three and
seventy-eight ($ 733.78) have been awarded by the Arts Commission to the Grant
Recipient for the approved Project. The Recipient shall be required to match funds at
least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either
Orange County appropriations or the North Carolina Arts Council, as outlined in the
attached Exhibit A.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2019 and June 30, 2020. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 13, 2020. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$733.78 to the Grant Recipient.
6. Publicity
A. Acknowled eg ment. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: "This program is supported by the
Orange County Arts Commission."
ii. x North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: "This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources. "
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.m/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred) to their main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default"), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Governing Law and Priority Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at

Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County,North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Organization The mission of the Hillsborough Arts Council (HAC), a volunteer-
Description driven organization, is to enrich the community through the arts. HAC
achieves this by:
• fostering an appreciation of the arts
• engaging diverse audiences in events and programs
• connecting artists, organizations, and audiences.
For more than thirty years, HAC has been developing and providing
arts events, programs, and educational opportunities for the people
of Hillsborough and surrounding communities. HAC is committed to
providing access to the arts for educational enrichment, community
development, and economic prosperity.
In 2016, HAC created their first part-time paid position to manage

Director in 2018. HAC has eleven members serving on the board of
directors as well as many other volunteers who contribute their time,
skills, and knowledge to the growth of the organization.
HAC offers thirteen arts programs and events annually. These
programs are as follows:
• Last Fridays: Art Walk: Art Walk featuring local galleries and artist
studios in historic downtown Hillsborough on the Last Friday of every
month (January-November).
• Parlor Concerts: Classical, jazz, and folk set in historic homes in
Hillsborough, NC (January-April, dates vary).
• Last Fridays: Concert Series: Music, crafts, performers, film, and
visual art on the Last Friday of every month (April-September).
• Art in the Heart of Hillsborough Art Fair: A juried show and sale of
local arts and crafts in the spring of each year (April).
• Free Spirit Freedom Gospel Festival: A showcase of local vocalists
and musicians that encompass African American musical traditions
(May).
• Paint it Orange: Plein Air Paint Out: Artists paint outside at any
location in Orange County for the annual plein air competition and
Wet Paint art sale (September).
• River Park Concert: A one-day music festival featuring local and
regional musicians and food, drinks, and other vendors (October).
• Handmade Parade: A parade featuring larger-than-life handmade
puppets, costumed marchers, and a variety of performers (October,
even years only).
• Solstice Lantern Walk: A community celebration of the winter
solstice and lantern processional along Riverwalk (December).
• HAC Gallery and Gift Shop: A mix of local artisan goods, crafts, and
fine art available for sale in Downtown Hillsborough (ongoing).
• ArtCycle: The collection of art supplies donated by community
members for redistribution to schools and community centers
(ongoing).
• Public Art: A program committed to bringing new public art projects
to Hillsborough, NC and fostering an appreciation for art in public
spaces (ongoing).
• Classic Film Society: Monthly film screenings accompanied by a
lecture from a scholar on the film or a related topic (ongoing).
HAC serves 20,000-25,000 people annually through events and
programs. This includes an average of about 50% Hillsborough
residents, 25% residents from other areas of Orange County, and
25% non-Orange County residents. Racial, socio-economic, and
gender demographics vary based on program. HAC is committed to
creating access to the arts for all without exception.

Deficit/Surplus Some HAC programs cross over two fiscal years, causing an
apparent surplus of funds that was spent/will be spent in the next
fiscal year. In addition, HAC is deliberately managing a small surplus
in the FY18-19 and FY19-20 budget to account for current planning
that is underway. Strategic planning (expected to be completed by
the end of FY18-19) will bring new programs aimed at diversification
and expansion of HAC. This targeted surplus is geared towards
allowing for proper funding and budgets for those programs as they
are identified and created. The strategic plan can be provided upon
completion for further explanation of usage for projected surplus.

Project/Program The Last Friday Art Walk in downtown Hillsborough occurs monthly
Summary from January to November. The Art Walk features 10 to 15 venues.
Each location is required to exhibit the work of one or more artists
and to host a public reception for the exhibiting artists on the last
Friday of each month. This program offers the public an opportunity
to connect with new, emerging, and established artists as well as
downtown merchants and organizations.
Each year, over 100 artists of various ethnic, cultural, and artistic
backgrounds are highlighted during the Art Walk through solo and
group exhibitions. These collaborative efforts increase visibility for
artists and provide a greater income potential from artwork sales
each month.
Venues include commercial art galleries, artist cooperative galleries,
non-profit organizations, historic sites, and local merchants and
restaurants with designated exhibition space. There are typically 8-10
full season venues (January-November) and 3-5 short season
venues (April-September) that participate each year. Each venue
pays a $45 participation fee, which is a contribution to publicity
efforts made by HAC. HAC facilitates the event by managing venue
participation, this supports the marketing and promotion of
Hillsborough's Last Fridays Art Walk through the creation of a printed
map and venue list, website support, and other advertising efforts.

'roject Goals The primary goal of this program is to promote the month-long
exhibitions at participating Art Walk venues and to increase local
artists' exposure, enhance their careers, and increase sales of their
artwork. This is done through HAC's strategic marketing and
advertising efforts to inform the public about Art Walk and to
encourage Art Walk patrons to explore and support participating
Hillsborough galleries and venues. HAC is responsible for promotion
of the event, while each venue promotes their individual exhibition.
Art Walk is an important program in the overall effort to promote
Hillsborough as an arts and culture destination. HAC strives to
remain an economic driver for the Town of Hillsborough and Orange
County by increasing visitors to the area on a monthly basis.
Audience Description We estimate an average of 600 to 800 people visit downtown during
the Art Walk months with those numbers increasing significantly
during the short season from April to September. The target
audience for Art Walk includes all residents of Hillsborough and the
Triangle region. Although some advertising efforts target art
collectors and buyers, a broad audience is important to continue to
build recognition for Hillsborough as an arts destination and
shopping location.
Arts patrons tend to fit into a narrow cross-section of our regional
demographics. HAC continues to strive to make Art Walk a more
diverse event that appeals to people of all backgrounds. More than
100 artists of various ethnic, cultural and artistic backgrounds are
highlighted in the eleven-month Art Walk season.
Location Description Participating venues vary and are located along or close to Churton
Street in downtown Hillsborough. This includes locations on West
King Street and Margaret Lane, all within a close proximity to the
main thoroughfare. Venues include commercial art galleries, artist
cooperative galleries, non-profit organizations, historic sites, and
local merchants and restaurants with designated exhibition space.

Artist Description Participation in the Art Walk requires venues to feature new,
emerging, or established artists each month, with an artist reception
on the evening of the event. Each venue solicits, selects, and rotates
their exhibitions without oversight from HAC.
More than 100 artists of various ethnic, cultural and artistic
backgrounds are highlighted in the eleven-month Art Walk season.
Many Art Walk exhibitions are shared by more than one artist and
venues often have work by other artists whom they represent on
display and available for purchase.
The Hillsborough Arts Council Gallery is a participating venue and
conducts an open call each year to area artists for one- or two-
person exhibitions in its newly remodeled space. Artists are asked to
provide a written application with supporting images for jurying by a
committee of HAC Gallery volunteers.

- Printed brochures that are distributed to all participating venues.
- Holiday ads in Indy Week's local gift-giving issue in the fall.
