WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ("Project") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed seven hundred fourty-nine and twenty-four ($ 749.24) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4. Responsibilities of the Grant Recipient 1 Revised July 2018 DocuSign Envelope ID:A71 C3E54-9B93-4195-AE3F-FD44AE971 DA4 A. Implementation. The Project implementation shall take place between July 1, 2019 and June 30, 2020. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C. Non—assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 13, 2020. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $749.24 to the Grant Recipient. 6. Publicity A. Acknowled eg ment. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. In addition, all print and promotional material must include the following credit line and logo(s) (check all that apply): i. County Funds Only. Orange County Arts Commission logo required. The Orange County Arts Commission and the North Carolina Arts Council logos are required. Credit line: "This program is supported by the N.C. The Grant Recipient must enter all events, exhibits, and performances open to the public and related to this grant award on the Orange County Arts Commission website at www.artsorange.m/events. In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below (hereinafter referred to as "default"), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 3 Revised July 2018 DocuSign Envelope ID:A71 C3E54-9B93-4195-AE3F-FD44AE971 DA4 (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at htip://www.oran eg countync. og v/departments/purchasing division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. D. Signatures. This Agreement together with any amendments or modifications may be executed electronically. Nature of Arts Organization Organization Organization The mission of the Hillsborough Arts Council (HAC), a volunteer- Description driven organization, is to enrich the community through the arts. HAC achieves this by: • fostering an appreciation of the arts • engaging diverse audiences in events and programs • connecting artists, organizations, and audiences. For more than thirty years, HAC has been developing and providing arts events, programs, and educational opportunities for the people of Hillsborough and surrounding communities. HAC is committed to providing access to the arts for educational enrichment, community development, and economic prosperity. In 2016, HAC created their first part-time paid position to manage programs and volunteers. These programs are as follows: • Last Fridays: Art Walk: Art Walk featuring local galleries and artist studios in historic downtown Hillsborough on the Last Friday of every month (January-November). • Parlor Concerts: Classical, jazz, and folk set in historic homes in Hillsborough, NC (January-April, dates vary). • Last Fridays: Concert Series: Music, crafts, performers, film, and visual art on the Last Friday of every month (April-September). • Art in the Heart of Hillsborough Art Fair: A juried show and sale of local arts and crafts in the spring of each year (April). • Free Spirit Freedom Gospel Festival: A showcase of local vocalists and musicians that encompass African American musical traditions (May). • Paint it Orange: Plein Air Paint Out: Artists paint outside at any location in Orange County for the annual plein air competition and Wet Paint art sale (September). • River Park Concert: A one-day music festival featuring local and regional musicians and food, drinks, and other vendors (October). • Handmade Parade: A parade featuring larger-than-life handmade puppets, costumed marchers, and a variety of performers (October, even years only). • Solstice Lantern Walk: A community celebration of the winter solstice and lantern processional along Riverwalk (December). • HAC Gallery and Gift Shop: A mix of local artisan goods, crafts, and fine art available for sale in Downtown Hillsborough (ongoing). • ArtCycle: The collection of art supplies donated by community members for redistribution to schools and community centers (ongoing). • Public Art: A program committed to bringing new public art projects to Hillsborough, NC and fostering an appreciation for art in public spaces (ongoing). • Classic Film Society: Monthly film screenings accompanied by a lecture from a scholar on the film or a related topic (ongoing). In addition, HAC is deliberately managing a small surplus in the FY18-19 and FY19-20 budget to account for current planning that is underway. Strategic planning (expected to be completed by the end of FY18-19) will bring new programs aimed at diversification and expansion of HAC. This targeted surplus is geared towards allowing for proper funding and budgets for those programs as they are identified and created. Project/Program The Winter Solstice, December 21st, marks the longest night of the Summary year and the beginning of the winter season in the Northern Hemisphere. For the Hillsborough, NC community, the Solstice Lantern Walk has become a non-denominational annual tradition in which community members gather together to celebrate the change of seasons. During the weeks leading up to the event, participants are asked to create handmade lanterns to carry during the walk. Participants walk along the path of Hillsborough's River Walk to the sounds of peaceful music and the quiet of nature just after nightfall. This family-friendly event is accessible to all residents of Hillsborough without exception. To better serve the Hillsborough Community, HAC will offer artist-led Lantern Making Workshops for the 2019 event. These workshops specifically engage Orange County public elementary school after-school programs. This addition to the program will provide a creative opportunity for approximately 400 students throughout the Orange County School District and encourage artists to get involved with their community. HAC will hire musicians and performers for the evening of the event. These performers will be located in key spots along the River Walk as well as River Park. To enhance the peaceful beauty of the event through various types of performances. The celebration of the solstice and creation of lanterns brings together science and art for a special, family-friendly event that brings family, friends, and community members together regardless of background, culture, religion, or other traditions. The Solstice Lantern Walk is accessible for all people, regardless of socio-economic status. The addition of free artist-led workshops in our schools aims to bring awareness and participation from a greater population of Hillsborough area families. Access to art is an important factor in the education and enrichment of young children. This program provides a means to create art and an opportunity learn about the scientific significance of the Winter Solstice. All participants are rewarded with the ability to show off what they created and to enjoy the success of their project. Now in our 5th year, HAC has watched this program grow and expand in exciting ways. In 2018, HAC introduced music to the Solstice Lantern Walk for the first time, and drew record crowds. The feedback provided following the event commended HAC on the addition of music and requested music for future iterations of the event. This year, while maintaining the quiet nature of the event, HAC will hire additional musicians that embody the Native American history of the area, and dancers and other performers that use music, light, and nature to create their work. Audience Description Each year the number of participants for this program has increased. In 2018 the registration was over 4,000 individuals. Each year about forty percent of total participants are from Hillsborough and more than sixty-five percent from Orange County. Participation is tracked through a requested registration for all participants. The addition of a school-age program for 2019 will increase participant diversity and improve access of this program for more families and community members. The event is intended to be accessible to people across all demographics, socio-economic classes, genders, and ability. Racial and cultural demographics have not previously been captured but can be included as an optional field during their registration process. The walk begins at the Eno River Farmer's Market Pavilion on Margaret Lane, where participants gather and lineup. They travel west on the River Walk and make a large loop just before the path crosses the Eno River on the west side of town. The walk ends at the exit from River Walk at Weaver Street, or participants can continue back to the Pavilion. Hillsborough's River Walk is a paved pathway that follows the Eno River through the south end of Downtown Hillsborough. All entry and exit points are handicap accessible. There are no stairs and no rough terrain along the walk, and only slight hills on a paved walkway. Because it is a public walkway with multiple entry points, participants can choose to join the Solstice Lantern Walk for the entire route, or shorten their walk to suit their abilities and needs. Educational programs will take place in the schools, with specific locations determined by the appropriate school staff member. There are seven elementary schools across Orange County, which serve more than 400 students through after-school programming. Many of which meet in cafeterias or gymnasiums, providing ample space for the teaching artists to work with the kids. Artist Description The artists for this project have not yet been chosen but will be comprised of mixed media artists who can assist school children with lantern-making workshops. These will be selected by an open call for volunteers and chosen based on their artistic skills and background. Priority will be given to Hillsborough, NC artists who show both an understanding of the materials provided and a superior quality and craftsmanship in the creation of their work. HAC will not be jurying on the aesthetic properties of the work the artists create to exhibit or sell. Performers will be hired from both direct requests and an open call. As in past years, HAC will attempt to hire musicians who embody the Native American history of the area. This will be done through direct contact or referrals and an open if needed. HAC will open a call for performers (music, dance, conceptual, or other) to be stationed along River Walk and in River Park during the event.
