WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ("Project") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed three thousand nine hundred twelve dollars and ninety-five ($ 3912.95) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4. Responsibilities of the Grant Recipient 1 Revised July 2018 DocuSign Envelope ID:38A39AF6-332B-4E80-822F-6AD8B7324D4B A. Implementation. The Project implementation shall take place between July 1, 2019 and June 30, 2020. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C. Non—assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 13, 2020. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $3912.95 to the Grant Recipient. 6. Publicity A. Acknowled eg ment. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. In addition, all print and promotional material must include the following credit line and logo(s) (check all that apply): i. County Funds Only. Orange County Arts Commission logo required. The Orange County Arts Commission and the North Carolina Arts Council logos are required. Credit line: "This program is supported by the N.C. The Grant Recipient must enter all events, exhibits, and performances open to the public and related to this grant award on the Orange County Arts Commission website at www.artsorange.m/events. In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below (hereinafter referred to as "default"), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 3 Revised July 2018 DocuSign Envelope ID:38A39AF6-332B-4E80-822F-6AD8B7324D4B (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at htip://www.oran eg countync. og v/departments/purchasing division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. HAC achieves this by: •fostering appreciation of the arts • engaging diverse audiences in events and programs • connecting artists, organizations, and audiences. For more than thirty years, HAC has been developing and providing arts events, programs, and educational opportunities for the people of Hillsborough and surrounding communities. HAC is committed to providing access to the arts for educational enrichment, community development, and economic prosperity. In 2016, HAC created their first part-time paid position to manage programs and volunteers. This transitioned to a full-time Executive Director in 2018. HAC has eleven members serving on the board of directors as well as many other volunteers who contribute their time, skills, and knowledge to the growth of the organization. HAC offers thirteen arts programs and events annually. These programs are as follows: - Last Fridays: Art Walk: Art Walk featuring local galleries and artist studios in historic downtown Hillsborough on the Last Friday of every month (January- November). - Parlor Concerts: Classical, jazz, and folk set in historic homes in Hillsborough, NC (January-April, dates vary). - Last Fridays: Concert Series: Music, crafts, performers, film, and visual art on the Last Friday of every month (April-September). -Art in the Heart of Hillsborough Art Fair: A juried show and sale of local arts and crafts in the spring of each year (April). - Free Spirit Freedom Gospel Festival: A showcase of local vocalists and musicians that encompass African American musical traditions (May). - Paint it Orange: Plein Air Paint Out: Artists paint outside at any location in Orange County for the annual plein air competition and Wet Paint art sale (September). - River Park Concert: A one-day music festival featuring local and regional musicians and food, drinks, and other vendors (October). - Handmade Parade: A parade featuring larger-than-life handmade puppets, costumed marchers, and a variety of performers (October, even years only). - Solstice Lantern Walk: A community celebration of the winter solstice and lantern processional along River Walk (December). - HAC Gallery and Gift Shop: An mix of local artisan goods, crafts, and fine art available for sale in Downtown Hillsborough (ongoing). -ArtCycle: The collection of art supplies donated by community members for redistribution to schools and community centers (ongoing). - Public Art: A program committed to bringing new public art projects to Hillsborough, NC and fostering an appreciation for art in public spaces (ongoing). - Classic Film Society: Monthly film screenings accompanied by a lecture from a scholar on the film or a related topic (ongoing). In addition, HAC is deliberately managing a small surplus in the FY18-19 and FY19-20 budget to account for current planning that is underway. Strategic planning (expected to be completed by the end of FY18-19) will bring new programs aimed at diversification and expansion of HAC. Request Summary Prior to hiring its first full-time Executive Director in 2018, the HAC relied on a part-time coordinator and an all-volunteer staff. This part-time and volunteer model placed growth constraints and limits on the performance of the HAC. The new Executive Director is tasked with developing and evaluating policies, coordinating and developing committees, recruiting and managing volunteers, strategic planning, operational and administrative functions, program support, liaison with private, public, and nonprofit community organizations, fundraising, marketing, and publicity. While this is a substantial set of responsibilities, the central concern of the Director is on the core goal: provide a diverse set of programs that create better arts access for all community members. Related long-term goals include: to improve and expand existing programs, serve the community through additional educational programs, and increase support for artists living and working in Hillsborough and Northern Orange County. In order to meet both core and long-term goals, the Executive Director is implementing a three-year strategic plan to increase attendance, offer additional innovative educational and enrichment programs, and promote fundraising. The Executive Director allocates time and resources across the many different areas of responsibility but the majority of time is devoted to the core goal of programs for the community. The best estimate, after a few months in the position, is that approximately 70-75%of Executive Director time is directly related to programs and about 25-30%is used for other administrative tasks, fundraising, liaison, volunteers, planning, and marketing. Organizational Goals HAC's primary goals focus on ways to increase involvement in educational workshops and enrichment opportunities through the arts in Hillsborough and the surrounding communities. The target audiences for these programs include: the general population, schools, senior centers, community centers and other nonprofit groups and organizations. HAC's goals are achieved through a variety of events and programs aimed at engaging audiences, connecting with artists, and fostering an appreciation for the arts in Hillsborough. The Executive Director is directly involved in planning and support of all organizational and program goals and ensures that both administrative and financial goals are met. The Executive Committee, which includes the Executive Director and five board officers, has held strategic planning sessions resulting in the creation of both short-term goals and long-term aspirations for the organization. HAC's three-year strategic plan has a focus on financial, program-related, and organizational objectives that will allow HAC to achieve sustainability through increased positive annual cash flow and a physical space in Hillsborough for performances and events. This plan includes: the development of marketing and outreach committees to expand our ability to reach the members of the community who can most benefit from access to arts education and programs; working to better connect the organization with local artists; and creating some fundamental assessment tools to use across all programs and activities. In addition to developing strategies to increase the organization's financial independence and sustainability, the Executive Committee is looking ahead to hiring an additional staff member for program and volunteer support. HAC's Executive Committee goals have been met? and Executive Director will delegate tasks to members of the Board of Directors and apply assessment tools to determine the success of the plan. Reports will be made regularly to the Executive Committee and assessed and updated at the close of each calendar year throughout the duration of the three-year strategic plan. An assessment matrix will assist in the evaluation of all committees and programs. This matrix will detail the tasks each committee is required to perform and allow for a clear overview of progress across all facets of the organization. The proposed creation of additional educational events will also be a success factor. The intended outcome is to create one or more educational component for each of HAC's thirteen programs. These will be evaluated based on attendance and demographic information that ensures we are reaching underserved populations in need of additional arts enrichment and resources. The success of these programs will be weighed heavily in the consideration of the performance of HAC. Each October, the Personnel Committee conducts an annual performance review of the Executive Director. Criteria for assessment are based on the job description for the position which includes organizational leadership, program oversight, and general administrative duties. A review of ongoing and completed projects, fundraising success, program growth, and related outcomes will also be included. How do you promote HAC's promotions and publicity are under the direction of the Marketing and publicize the work Committee and are implemented by the Executive Director. Publicity efforts of your organization? include program-related posts on Facebook, Instagram and Twitter with targeted paid boosts for special events and programs. Press releases and announcements are shared with an extensive local and regional media contact list as well as through HAC's e-newsletter and postings on the HAC website. In addition, advertising is purchased on WUNC as well as other local print and online media sources that best apply to a particular program. Since the arrival of the Executive Director in October 2018, HAC's online presence has seen an increase in followers and subscribers: E-Newsletter +12%; Facebook +15%; Instagram +22%; Twitter +26%; site visits at the HAC Website (compared to same time period in the prior year) +36%. HAC is working to create better brand recognition through a variety of projects that increase program visibility and promote a connection between HAC's programs and the organization itself. These include: the creation and sale (or giveaway) of branded items: a greater presence for HAC at a variety of partner events in town; and increased one-on-one contact with our local businesses partners and other merchants. Revenue is brought in through the Gallery organization to and Gift Shop in which HAC takes a small commission for items sold. Artists generate revenue. are chosen based on their local connection, uniqueness, and the salability of their artworks. HAC's programs commit an agreed upon percentage to funds raised. This varies by program, each supports HAC with 10%to 15%of earned revenue each fiscal year, while River Park Concert gives 100%of all revenue. The remainder of funds raised by a program supports future iterations of that program. HAC continues to seek ways to improve and expand programs to create greater financial independence and sustainability, increase audience size, and expand support from local merchants and restaurants. Each year, grants, municipal contracts, and sponsorships are received and designated in a variety of ways to programs and the general fund. In addition, HAC raises funds annually through direct donor solicitations, a program that Will be expanded in the next fiscal year to include monthly giving, a major gifts program, and investment giving.
