HomeMy WebLinkAbout2019-590-E AMS - High Performance Building Solutions Link assessment DocuSign Envelope ID:2560017F-D6E8-4CA4-8F6F-11521994BEAA [Departmental Use Only] TITLE Link Samples Assessment FY 2020 ORANGE COUNTY CONTRACT UNDER$5,000.00 NORTH CAROLINA THIS AGREEMENT, made and entered into this 29th day of August, 2019, ("Effective Date")by and between Orange County, North Carolina, a body politic and corporate organized under the laws of the State of North Carolina, (the "County"),party of the first part; and High Performance Building Solutions,Inv (the "Provider"),party of the second part; WITNESSETH: For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby contracts for the services of the Provider, and the Provider agrees to provide the following services to the County in accordance with the terms of this Agreement,time being of the essence: The services and/or materials and/or construction (hereinafter referred to collectively as "Services") to be furnished under this Agreement are as follows: perform a building envelope assessment for the John M. Link Government Services Center, consisting of a quantitative and visual assessment of the building envelope including moisture, thermal and air barrier integrity in order to identify opportunities to improve moisture management and performance of the building, scheduled for week of August 26, 2019 at 200 S Cameron Street,as detailed in provided proposal dated August 20,2019. The term of this agreement rendered shall be from August 29, 2019 to August 30,2019. Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or responsibility granted or required by this Agreement,without the prior written approval of the County. SPECIFIC TERMS I. Payment: The County agrees to pay at the rates specified for Services satisfactorily performed in accord with this Agreement. The amount to be paid by the County shall not exceed one thousand two hundred dollars, ($1,200). Payment shall be made within thirty (30) days of an invoice properly submitted to County. Should Provider fail to perform its duties under the terms of this Agreement, County may, without fault or penalty, withhold any payment associated with the work to be performed until such time as said work is completed. 2. Non—waiver: Failure by County at any time to require the performance by Provider of any of the provisions hereof shall in no way waive or affect the County's right hereunder to enforce the same, nor shall any waiver by the County of any breach be held to be a waiver of any succeeding breach or a waiver of this Non-Waiver Clause. 3. Independent Contractor: The Provider shall operate as an independent contractor, and the County shall not be responsible for any of the Provider's acts or omissions. The Provider shall not be treated as an employee with respect to the Services performed hereunder for federal or state tax, unemployment or workers' compensation purposes. The Provider understands that neither federal, nor state, nor payroll tax of any kind shall be withheld or paid by the County on behalf of the Provider or the employees of the Provider. Insurance: Provider shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers' Compensation Insurance, and any additional insurance as may be required by County's Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing division/contracts.php). If County's Risk Manager determines additional insurance coverage is required such additional insurance shall be designated here (if no additional insurance required mark N/A as being not applicable). Provider shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. 5. Indemni : The Provider agrees,without limitation,to defend, indemnify, and hold harmless Orange County from all losses, liabilities, claims, demands, suits, costs, damages or expenses (including reasonable attorney's fees) arising from bodily injury, including death, to any person or persons or damage to or destruction of any property caused in whole or in part by any negligent or intentional act or omission on the part of the Provider in carrying out Provider's duties and obligations related to the Services to be provided in this Agreement. 6. Termination: This Agreement may be terminated at any time by mutual written agreement of the parties or by the County upon written notice to the Provider. County may suspend this Agreement upon reasonable notice to Provider. 7. Entire Agreement and Signatures: The parties have read this Agreement and agree to be bound by all of its terms, and further agree that it constitutes the complete and exclusive statement of the Agreement between the parties unless and until modified in writing and signed by the parties. Modifications may be evidenced by telefacsimile signature. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the consent of the Parties to utilize electronic signatures and the intent of the parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. 8. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non- Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.oran eg c�ync..og v/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement Provider affirms Provider is and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. 9. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. Should either party initiate litigation to settle any dispute involving the terms of this Agreement such litigation shall be initiated in the General Court of Justice of North Carolina seated in Orange County, North Carolina. 10. Non Appropriation: Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non-appropriation of public funds. Arndt, MBA, CFM Asset Management Services Director Orange County Government Office: 919-245-2658 Cell: 919-612-6565 Background High Performance Building Solutions (HPBS) conducted a limited paper review of a Remediation Project Manual dated August 12, 2019 that included a moisture & mold assessment report conducted in January 2019 and remediation specifications for the Orange County John Link Government Services Center building located at 200 S Cameron Street in Hillsborough. This building has experienced reports of musty odors and visible evidence of moisture intrusion particularly in the negative return plenum above the ceiling tiles. The anticipated cost of the remediation scope has escalated to the level that it is prudent to have a second opinion of the root cause of the moisture intrusion and the remediation scope. The current moisture and mols assessment is based upon a non-invasive visual assessment of moisture, and on surface and air samples collected in January 2019 which were assessed for levels of mold. • One concern is that the January mold assessment report noted that "the air samples showed healthy indoor air measurements in all of the rooms and also above the dropped ceilings". The January mold assessment report did identify higher levels in surface samples; however, surface samples are neither a good indicator of contaminant levels nor are they a useful diagnostic tool. • In addition, the January report identifies that the water intrusion issue is likely due to deterioration of the grout at two bands extending the exterior of the building. The "likely" qualifier does not demonstrate that the dynamics of the moisture problem are well understood. The most important task of a remediation is to understand and correct the source of moisture, otherwise the problem will likely return after remediation. DocuSign Envelope ID:2560017F-D6E8-4CA4-8F6F-11521994BEAA High Performance Building Solutions • The initial limited inspection of images of the moisture damage in the January assessment report would lead HPBS to different conclusions. These images are not consistent with bulk water intrusion, but are consistent with condensation from humid air leakage into the building. Approach HPBS proposes a series of steps to assess the building and the current remediation plans in order to either confirm the planned approach, or to offer alternatives. 1. Site Inspections-The site inspection will include visual inspection and diagnostic equipment to develop a theory of the moisture source and transport mechanism that is consistent with observations. 2. Mold active site Inspections—The visual inspection will include a thorough inspection of the observed surface mold. The assumption made in the January 2019 assessment is that the source of moisture is due to bulk water instruction which generally requires gypsum boards to be removed. Condensation, (which is more likely) on the other hand is a surface phenomenon that often can be remediated at the surface without removing gypsum boards. 3. Demonstration of the root cause of moisture intrusion —The site inspection will include recommendations of invasive inspections and/or monitoring that will prove or disprove the theory of the moisture intrusion episodes. 4. Review the Remediation Plans considering the additional diagnostic information gathered during the inspection/demonstration activities. Building Envelope Assessment Services High Performance Building Solutions (HPBS) proposes to perform a building envelope assessment services for the Orange County John Link Government Services Center building, in Hillsborough, North Carolina. These tasks will provide a quantitative and visual assessment of the building envelope including the moisture, thermal and air barrier integrity in order to identify opportunities to improve moisture management and performance of the building. Initial visual inspection: High Performance Building Solutions will bring its Engineer, Architectural Engineer and an associate Environmental Scientist to conduct a brief inspection of the building to inform a more thorough assessment of the moisture intrusion events. The initial inspection will include air sampling to document the current condition of air borne mold spore levels. The goal will be to develop an initial theory of the moisture intrusion dynamics. The deliverable will be a short, bulleted report of findings. Detailed building envelope assessment plan. HPBS will develop a detailed inspection plan to develop and demonstrate a complete description of the moisture source and transport mechanism of the current moisture problems. The plan will include as needed: building pressure and air moisture monitoring, Infrared thermography inspections, core sampling of Building Envelope Assessment Proposal Orange County Government Services Center building, Hillsborough NC Page 2 of 10 DocuSign Envelope ID:2560017F-D6E8-4CA4-8F6F-11521994BEAA High Performance Building Solutions interior gypsum wall panels to inspect the wall interiors, removal of several bricks on the exterior to inspect possible water and air intrusion sites and additional indoor air quality sampling. Conduct a comprehensive building envelope assessment. HPBS will document with photographs and measurements any air infiltration, moisture management and water intrusion concerns and will identify driving forces that bring unconditioned outside air and moisture into the building. HPBS will document in a written report options to improve the existing building envelope and moisture management systems and to remediate mold damaged material. Documentation will include annotated photographs, qualitative and quantitative measurements. The findings will be presented to the County in a brief PowerPoint type presentation. Report: A detailed Report will describe observations and findings and will make recommendations to improve the building envelope performance and to prevent future moisture intrusion and related problems. Commissioning and General Contracting: HPBS are Certified Building Envelop Commissioning Agents. Currently HPBS conducts Design review, Construction inspections and performance testing for building enclosures. HPBS is also a General Contractor and offers this service for Building Envelope Recommissioning. Mr. Conlin is also a certified Air Barrier Association of America (ABAA) auditor. Meghan McDermott, CxA+BE, BECxP,Architectural Engineer& Owner—Ms. McDermott is one of the co-owners and is the company's business manager. She conducts energy assessments, energy modeling, energy conservation savings calculations and diagnostic investigations for HPBS. Ms. McDermott graduated with Honors from North Carolina Agricultural and Technical State University and holds a Bachelor of Science degree in Architectural Engineering with a concentration in Energy. She is a member if the ABAA technical committee that wrote the US Army Corps of Engineers Air Leakage Test Protocol for Building Envelopes (Version 3) and is also on the ABAA committee that is developing the certification program for Air Leakage Testing. She is a qualified level II thermographer for buildings and roofs and electrical inspection. Client acknowledges that High Performance Building Solutions cannot commence its work hereunder unless and until the building is made available. Anything in the Contract Documents to the contrary notwithstanding,the Client will give the High Performance Building Solutions 14 working days' notice prior to scheduling inspections and testing. Additional fees may be assessed for rush service with shorter than the specified notice or scheduling task items outside of normal working hours(Monday through Friday from Sam to 5pm). The Client shall notify High Performance Building Solutions 5 days prior to a scheduled inspection or test, if the inspection or test is to be cancelled. Any site visits that are cancelled less than 5 days prior to the scheduled visit will be subject to additional charges for travel fees incurred. High Performance Building Solutions will have 10 business days from the testing date to submit all final reports. High Performance Building Solutions shall not be liable for damages resulting from any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, but not limited to,Acts of God,Government restrictions,wars, insurrections,and/or the actions of other subcontractors at the work site. Dates by which testing is scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused. Conditions that would result in additional charges to the Client are: • Additional Client authorized inspections. • Additional Air leakage or thermography testing. • Additional Mobilizations.One mobilization to the project site is included;a fee may be assessed for the additional travel expenses.
