THIS AGREEMENT, made and entered into this Fifteenth day of August, 2020, ("Effective
Date") by and between Orange County, North Carolina, a body politic and corporate organized under the
laws of the State of North Carolina, (the "County"),party of the first part; and Triangle Landscaping Inc. (the
"Provider"),party of the second part;
WITNESSETH:
For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby
contracts for the services of the Provider, and the Provider agrees to provide the following services to the
County in accordance with the terms of this Agreement,time being of the essence:
The services and/or materials and/or construction (hereinafter referred to collectively as "Services")
to be furnished under this Agreement are as follows: Create bus stop bench areas and install benches per
manufacturer instructions, any applicable local government permitting, and NCDOT Encroachment
Agreement at two bus stops: 1.)Bus Stop by Hwy 70 & Ashbury Blvd 2.)Bus Stop at Mebane City Hall.
Process: Secure all necessary permits and permissions,then dig out, erect concrete forms, and pour concrete.
Come back next day to drill and install seats. See Attachment A for details of approved work within NCDOT
encroachment agreement and quote from Provider.
The term of this agreement rendered shall be from August 15, 2019 to October 31,2019.
Provider represents and agrees that Provider is qualified to perform and fully capable of performing and
providing the services required or necessary under this Agreement in a fully competent, professional and
timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in
the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies,
ambiguities,mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not
sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or
responsibility granted or required by this Agreement,without the prior written approval of the County.
SPECIFIC TERMS
I. Payment: The County agrees to pay at the rates specified for Services satisfactorily
performed in accord with this Agreement. The amount to be paid by the County shall not exceed Three-
thousand, six-hundred dollars, ($3,600 ($1,800 for each of two seats). Payment shall be made within thirty
(30) days of an invoice properly submitted to County. Should Provider fail to perform its duties under the
terms of this Agreement, County may, without fault or penalty, withhold any payment associated with the
work to be performed until such time as said work is completed.
2. Non—waiver: Failure by County at any time to require the performance by Provider of any
of the provisions hereof shall in no way waive or affect the County's right hereunder to enforce the same, nor
shall any waiver by the County of any breach be held to be a waiver of any succeeding breach or a waiver of
this Non-Waiver Clause.
3. Independent Contractor: The Provider shall operate as an independent contractor, and the
County shall not be responsible for any of the Provider's acts or omissions. The Provider shall not be treated
as an employee with respect to the Services performed hereunder for federal or state tax, unemployment or

workers' compensation purposes. The Provider understands that neither federal, nor state, nor payroll tax of
any kind shall be withheld or paid by the County on behalf of the Provider or the employees of the Provider.
4. Insurance: Provider shall obtain, at its sole expense, Commercial General Liability
Insurance, Automobile Insurance, Workers' Compensation Insurance, and any additional insurance as may
be required by County's Risk Manager as such insurance requirements are described in the Orange County
Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is
incorporated herein by reference and may be viewed at
http://www.orangecountync.gov/departments/purchasing division/contracts.php). If County's Risk
Manager determines additional insurance coverage is required such additional insurance shall be designated
here N/A (if no additional insurance required mark N/A as being not applicable). Provider shall not
commence work until such insurance is in effect and certification thereof has been received by the County's
Risk Manager.
5. Indemnity: The Provider agrees, without limitation, to defend, indemnify, and hold harmless
Orange County from all losses, liabilities, claims, demands, suits, costs, damages or expenses (including
reasonable attorney's fees) arising from bodily injury, including death,to any person or persons or damage to
or destruction of any property caused in whole or in part by any negligent or intentional act or omission on
the part of the Provider in carrying out Provider's duties and obligations related to the Services to be
provided in this Agreement.
6. Termination: This Agreement may be terminated at any time by mutual written agreement of
the parties or by the County upon written notice to the Provider. County may suspend this Agreement upon
reasonable notice to Provider.
7. Entire Agreement and Signatures: The parties have read this Agreement and agree to be
bound by all of its terms, and further agree that it constitutes the complete and exclusive statement of the
Agreement between the parties unless and until modified in writing and signed by the parties. Modifications
may be evidenced by telefacsimile signature. This Agreement together with any amendments or
modifications may be executed electronically. All electronic signatures affixed hereto evidence the consent
of the Parties to utilize electronic signatures and the intent of the parties to comply with Article I IA and
Article 40 of North Carolina General Statute Chapter 66.
8. Governing Law and Priority: Both parties agree that this Agreement shall be governed by
the laws of the State of North Carolina and Orange County. Provider shall at all times remain in compliance
with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state
and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-
Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by
reference and may be viewed at
hLtp://www.orangecounlync.gov/departments/purchasing division/contracts.php.). Any violation of this
requirement is a breach of this Agreement and County may immediately terminate this Agreement without
further obligation on the part of the County. This paragraph is not intended to limit and does not limit the
definition of breach to discrimination. By executing this Agreement Provider certifies that Provider has not
been identified, and has not utilized the services of any agent or subcontractor identified, on the list created
by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement Provider certifies that
Provider has not been identified, and has not utilized the services of any agent or subcontractor identified, on
the list created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement Provider
affirms Provider is and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina
General Statutes. In determining the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict between the terms of
referenced documents and the terms of this Agreement.

9. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be
resolved by nonbinding mediation. If such mediation fails either parry may initiate litigation to resolve the
dispute. Should either party initiate litigation to settle any dispute involving the terms of this Agreement
such litigation shall be initiated in the General Court of Justice of North Carolina seated in Orange County,
North Carolina.
10. Non Appropriation: Provider acknowledges that County is a governmental entity, and the
validity of this Agreement is based upon the availability of public funding under the authority of its statutory
mandate. In the event that public funds are unavailable and not appropriated for the performance of County's
obligations under this Agreement, then this Agreement shall automatically expire without penalty to County
immediately upon written notice to Provider of the unavailability and non-appropriation of public funds.
IN WITNESS WHEREOF, Orange County and the Provider have signed this Agreement, effective
as of the day first written above.

will it be responsible for any claim for damages brought by any property owner by reason
of the installation.

Encroachment Agreement Special Provisions
1. A copy of the executed encroachment agreement and the approved plans stamped by
NCDOT will be on the site and available for inspection by NCDOT personnel while in
construction is on progress. If safety or traffic conditions warrant such an action, NCDOT
reserves the right to stop all work unless evidence of approval can be shown.
2. It will be necessary for you or your contractor to notify Mr. DeAngeIo Jones, Assistant
District Engineer upon receipt of this letter to schedule a mandatory Preconstruction
Conference, to provide your anticipated date of starting or to review any plan revisions made
by the District Office prior to construction beginning on this encroachment. Mr. Jones can
be reached at (336) 570-6833 between the hours of 8:00 a.m. and 5:00 p.m. Monday through
Friday.
3. When the work has been completed, please notify Mr. Jones by letter at P.O. Box 766,
Graham,North Carolina 27253-0766 in order that a final inspection can be made.
4. WORK ZONE TRAFFIC CONTROL QUALIFICATIONS AND TRAINING
PROGRAM- Effective July 1, 2010, all flagging operations within NCDOT Right of Way
required qualified and trained Work Zone Flaggers. Effective July 1, 2011, qualified and
trained Work Zone Traffic Control Supervisors will be required on Significant Projects.
Training for this certification will be provided by NCDOT approved training sources and/or
private entities that have been pre-approved to train themselves. If you have questions, visit

contact Stuart Bourne, P.E. with NCDOT Work Zone Traffic Control Unit at (919) 250-4159
or sbotime otime@ncdot.gov.
5. That the party of the second part agrees to provide traffic control devices, lane closures, road
closures, positive protection and/or any other warning or positive protection devices
necessary for the safety of road users during construction and any subsequent maintenance.
This shall be performed in conformance with the latest NCDOT Roadway Standard
Drawings and Standard S ecifications for Road and Structures and Amendments or
Supplements thereto. When there is no guidance provided in Roadway Standard Drawings
or Specifications, comply with the Manual on Uniform Traffic Control Devices for Streets
and Highways and Amendment or Supplement thereto. Information as to the above rules and
regulations may be obtained from the Division Engineer of the party of the first part.
6. Work requiring lane closure or restrictions will not be allowed between 7:00 am — 9:00
am and 4:00 p.m. — 7:00 p.m. Monday through Friday unless otherwise directed by the
District Engineer unless otherwise shown on approved plans.
7. At least on lane of traffic shall remain open at all times.
8. Any work requiring equipment or personnel within 5' of the edge of any travel lane shall
require a lane closure with appropriate tapers.
9. Any damage to roadway, structures, or associated appurtenances shall be restored to
its original condition as directed by the District Engineer.
10. Excavation material shall not be placed on the pavement. Drainage structures shall not be
blocked with excavation material.

11. The encroaching party shall comply with all applicable federal, state and local environmental
regulations, and shall obtain all necessary federal, state and local environmental permits,
including but not limited to, those related to sediment control, storm water, wetland, streams,
endangered species, and historical sites.
12. Trenching, bore pits, and other excavations within the safe recovery area shall not be left
open or unprotected so as to expose motor vehicle or pedestrian traffic to unsafe conditions.
The contractor shall comply with all OSHA requirements and provide a competent person on
site to supervise excavations at all times.
13. All suitable backfill material shall be compacted to 95%density in the shoulder areas, 100%
density under pavement areas and in accordance with AASHTO T99 as modified by the
North Carolina Department of Transportation. Note if contractor starts before weather
conditions improve, then the existing material removed shall be replaced with suitable
material as approved by the District Engineer so that proper compaction can be obtained.
Certified compaction test results are to be submitted to the District Engineer upon request.
14. Excavation within 500 feet of a signalized intersection will require notification by the party
of the second part to Mark Aldridge, Deputy Division Traffic Engineer, at telephone number
(336)487-0175. All traffic signal or detect cables must be located prior to excavation.
15. All disturbed areas shall be repaired with the following rate of seed, fertilizer and limestone
in pounds per acre, and the areas properly mulched and tacked:

WITNESSETH
THAT WHEREAS, the party of the second part desires to encroach on the right of way of the public road designated as
Route(s) NC-86, US-70, US-70-BUS, SR-2300, and SR- , located please see attached maps with county-wide bus
1009 stop/seats identified
with the construction and/or erection of: Simme-Seats with attached bus stop signs.
WHEREAS, it is to the material advantage of the party of the second part to effect this encroachment, and
the party of the first part in the exercise of authority conferred upon it by statute, is willing to permit the
encroachment within the limits of the right of way as indicated, subject to the conditions of this agreement;
NOW, THEREFORE, IT IS AGREED that the party of the first part hereby grants to the party of the second
part the right and privilege to make this encroachment as shown on attached plan sheet(s), specifications and
special provisions which are made a part hereof upon the following conditions, to wit:
That the said party of the second part binds and obligates himself to install and maintain the encroaching facility In such safe
and proper condition that it will not interfere with or endanger travel upon said highway,nor obstruct nor interfere with the proper
maintenance thereof,to reimburse the party of the first part for the cost incurred for any repairs or maintenance to its roadways
and structures necessary due to the installation and existence of the facilities of the party of the second part,and if at any time
the party of the first part shall require the removal of or changes in the location of the said facilities, that the said party of the
second part binds himself, his successors and assigns,to promptly remove or alter the said facilities,in order to conform to the
said requirement,without any cost to the party of the first part.
That the party of the second part agrees to provide during construction and any subsequent maintenance proper signs,signal
lights,flagmen and other warning devices for the protection of traffic in conformance with the latest Manual on.Uniform Traffic
Control Devices for Streets and Hicilhways and Amendments or Supplements thereto. Information as to the above rules and
regulations may be obtained from the Division Engineer of the party of the first part.
That the party of the second part hereby agrees to indemnify and save harmless the party of the first part from all damages
and claims for damage that may arise by reason of the installation and maintenance of this encroachment.
It is clearly understood by the party of the second part that the party of the first part will assume no responsibility for any
damage that may be caused to such facilities,within the highway rights of way limits,in carrying out its construction and
maintenance operations.
That the party of the second part agrees to restore all areas disturbed during installation and maintenance to the satisfaction
of the Division Engineer of the party of the first part. The party of the second part agrees to exercise every reasonable
precaution during construction and maintenance to prevent eroding of soil;silting or pollution of rivers, streams, lakes, reservoirs,

other water impoundments,ground surfaces or other property; or pollution of the air. There shall be compliance with applicable
rules and regulations of the North Carolina Division of Environmental Management, North Carolina Sedimentation Control
Commission, and with ordinances and regulations of various counties, municipalities and other official agencies relating to
pollution prevention and control. When any installation or maintenance operation disturbs the ground surface and existing
ground cover,the party of the second part agrees to remove and replace the sod or otherwise reestablish the grass cover to
meet the satisfaction of the Division Engineer of the party of the first part.
That the party of the second part agrees to assume the actual cost of any inspection of the work considered to be necessary
by the Division Engineer of the party of the first part.
That the party of the second part agrees to have available at the encroaching site, at all times during construction,a copy of
this agreement showing evidence of approval by the party of the first part. The party of the first part reserves the right to stop all
work unless evidence of approval can be shown.
Provided the work contained in this agreement is being performed on a completed highway open to traffic;the party of the
second part agrees to give written notice to the Division Engineer of the party of the first part when all work contained herein has
been completed. Unless specifically requested by the party of the first part,written notice of completion of work on highway
projects under construction will not be required.
That in the case of noncompliance with the terms of this agreement by the party of the second part, the party of the first part
reserves the right to stop all work until the facility has been brought into compliance or removed from the right of way at no cost
to the party of the first part.
That it is agreed by both parties that this agreement shall become void if actual construction of the work contemplated herein
is not begun within one(1)year from the date of authorization by the party of the first part unless written waiver is secured by the
party of the second part from the party of the first part.
RIW (161A) : Party of the Second Part certifies that this agreement is true and accurate copy of the form
R/W (161A) incorporating all revisions to date.

seal and attestation by the secretary or by the empowered City official is on file in the Raleigh office of

should be typed directly below their signature.
When the applicant is not a corporation, then his signature must be witnessed by one person. The

SIMME-SEA T GENERAL INSTALLATION INSTRUCTIONS
1. For Simme—Seat installation on on existing sidewalk or other
portland cement concrete paving with a minimum thickness of 4
inches, skip to step 3.
2. For Simme—Seat installation adjacent to existing concrete or at
an isolated position away from concrete paving, refer to Figure E
1, Foundation Installation Instructions, before proceeding with
step J.
J. With the Simme—Seat support boseplote as template, mark the
expansion anchor locations and use on impact drill motor and
7/8—inch masonry bit to drill four 2-112 inch deep holes in the
concrete sidewalk or prepared foundation.
4. Insert the four provided expansion anchors into the drilled holes
and complete their installation according to Figure 2, Anchor
Installation Instructions.
5. Position the Simme--Seat support in place over the expansion
anchors, shim as required to level, and secure with four machine
bolts and flat washers provided. (Refer to Figute 3, Support
Installation)
6. Attach the two seat sections to the Simme—Seat support
gusset plates with JIB—inch bolts and lock nuts provided.
(Refer to Figure 4, Seat Assembly)
7. Insert bus stop sign post into the Simme—Seat base support
tube, and mark the sign post at the top of the base support
tube and at the locations of the two holes in the support tube
where the securing thru—bolt connection will be made.
B. Remove the sign post from the base support tube and drill two
3/S" holes at the marked locations for the thru—bolt
connection.
9. Remove the backing paper from the provided I " wide x 7- 114"
long piece of 3M UHMW polyethylene tape and wrap the tape
around the sign post, centered at the previously marked
location at the top of the support tube. Install the provided
finial on top of the sign post, reinsert the sign post into the
base support tube, and secure the sign post in place with the
5116" x 3- 1/2" bolt, flat washer and lock nut provided. (Refer
to Figure 5, Sign Post Installation)
