This included the programming, schematic design, permit and construction drawings and construction administration services for the Site, Seymour Center and the Southern Human Services Center. After the schematic design work was completed for these three areas the intent for the Southern Human Services Center changed. The work for Southern Human Services was then placed on hold until further notice. During the FY2019-24 budget planning the funding for the Southern Human Services Center expansion and BOCC meeting space was moved out into future years. Therefore this amendment is to credit back the funds for not performing the permit and construction design for this project. Change Order Description: This change order is for a credit back to the Southern Campus Expansion Project to remove the professional services portion of work related to the Southern Human Services Building from the scope of work. Change Order Line Item Cost: The credit is $250,000 deducted from the base contract. Original Contract: $889,640 Deduct for Amendment 1: ($250,000) Revised Contract: $639,540 DocuSign Envelope ID: 588DE211-750B-4443-AF20-9124EAC4B301 NORTH CAROLINA CONTRACT AMENDMENT ORANGE COUNTY THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 1st day of August, 2019 by and between ORANGE COUNTY (hereinafter referred to as “County”) and SMITH SINNETT ARCHITECTURE PA (hereinafter referred to as “Consultant”). WITNESSETH: THAT WHEREAS, the County and Consultant entered into a contract dated November 2, 2017 , (hereinafter the “Original Agreement”), for the provision of consulting services for the reframing of housing program offerings to the County; and WHEREAS, the County and Consultant desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended to reflect an end date by which all Services shall be completed as of February 1, 2021. 2. Exhibit 1 to the Original Agreement is amended by adding the following tasks and services to the Services to be provided by the Consultant: Removal of design services for Phase 2 – Southern Human Services Building and Board of County Commissioners Meeting Space Renovations. 3. Article 5, Section 5.1.1 is amended to reflect a maximum payable not-to-exceed amount of Six Hundred Thirty Nine Thousand, Five Hundred Forty Dollars ($639,540.00). 4. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event that there is a conflict between the Original Agreement and this Amendment, this Amendment shall control. We understand that the overall project scope, as originally defined in the owner- architect agreement, has been reduced and a fee adjustment is necessary.As per our discussion, our contract fee shall be reduced by $250,000 to reflect the deletion of Design Development, Construction Documents, Bid Administration and Construction Administration for the Phase 2 portion of work. By our calculation, after subtracting the previously paid Schematic Design, $91,200 from the $456,000 sum, this will leave enough for the $60,000 fee contingency to address additional services encountered thus far, plus $54,800 for any possible additional services later. It is our understanding that when this portion of the project is funded, we will continue with the originally contracted work at that time. Again, we have sincerely enjoyed working with Orange County and look forward to helping with the above-mentioned work in the future Thank you.
