PURPOSE: To approve an agreement between Orange County and the Orange Soil and
Water Conservation District that would permit the County to administer a donation of $20,000
and a photographic art collection on behalf of the District,
BACKGROUND: Quentin Patterson was along-time employee of the Soil Conservation
Service of the US Department of Agriculture and subsequently along-serving member of the
Orange Soil and Water Conservation District Board. Among many other talents, Mr. Patterson
was an accomplished photographer whose slides were regularly used for educational
presentations, bath locally and nationally, Mr. Patterson passed away on December 31, 2002
at the age of 83, Mrs. Evelyn Patterson has indicated that she would like to provide a donation
to the Orange Soil and Water Conservation District in Quentin's memory that would preserve
his photographic work for future generations, The proposed gift includes a $20,000 monetary
donation and the photographic collection, The details of the proposed donation are outlined in
the accompanying letter from Orange Soil and Water Conservation District Board Chair Roger
Tate,
At the December 6, 2004 regular meeting, the Board authorized the County Attorney to prepare
an agreement that would permit the County to administer the gift on behalf of the Orange Soil
and Water Conservation District, The District is NOT an element of Orange County government
but is, like the County, a body politic and corporate under North Carolina law, Accordingly, the
County has no inherent authority to accept or administer these memorial gifts on behalf of the
District, The agreement prepared by the County Attorney will permit the County to be involved
with the gift, with the property given to the County, and by agreement between the County and
the District, the property and its proceeds will be used in accordance with the terms of the
agreement.
FINANCIAL IMPACT: With the acceptance of this gift, the Soil and Water Conservation
District will have the use of the $20,000 gift to preserve the Quentin Patterson Photographic Art
Collection and for other related educational purposes.
RECOMMENDATION(S): The Manager recommends that the Board approve the
accompanying agreement, subject to final review by the staff and the Gounty Attorney, and
authorize the Chair to sign it.

AGREEMENT REGARDING THE GIFT OF THE QUENTIN
W. PATTERSON PHOTOGRAPHIC ART COLLECTION PR0~7ECT
THIS AGREEMENT is made by and between ORANGE COUNTY, a body
politic and corporate, a political subdivision of the State of
North Carolina, herein "County" or "the County," and ORANGE SOIL
& WATER CONSERVATION DISTRICT, a governmental subdivision of the
State of North Carolina and a body corporate and politic, herein
"District" or "the District."
Y~IITNESSETH
WHEREAS, 4uentin Patterson, who passed away on December 31,
2002 at the age of 83, was a long time employee of the Soil
Conservation Service of the U.S. Department of Agriculture, a
long-serving member of the District Board of Supervisors and an
accomplished photographer whose photographs of nature,
landscapes, animals and buildings and related slide show programs
that include audio tapes (hereafter collectively referred to as
"the Quentin W. Patterson Photographic Art Collection" or "the
Collection") were regularly used for educational presentations
both locally and nationally; and
WHEREAS, Evelyn Patterson, an educator and Quentin
Patterson's widow, has expressed an interest in donating to the
District the Quentin w. Patterson Photographic Art Collection and

the sum of $20,000 for public exhibition of the Collection,
education and other public purposes; and
WHEREAS, the District would like to preserve the Quentin W,
Patterson Photographic Art Collection to be used for' public
exhibit, education and other public purposes including converting
the slide show programs to video and RCD to enhance their value
and utility for these public purposes; and
WHEREAS, County would like to aid in this 4uentin W,
Patterson Photographic Art Collection project by agreeing to
accept the donation of the Collection and the $20,000 on behalf
of the District and to work with the District in the District's
efforts to make the Quentin W, Patterson Photographic Art
Collection project beneficial to the conservation community and
the community at large; and
WHEREAS, County and District desire to enter into this
agreement to formalize their understanding about the
responsibility of each with respect to the Quentin W. Patterson
Photographic Art Collection and the $20,000 gift,
NOW, THEREFORE, County and District agree:
1. County agrees to accept, on behalf of the District, the
Quentin W. Patterson Photographic Art Collection and the sum of
$20,000 upon their being gifted to Orange County by Evelyn
Patterson and to acknowledge these gifts in the name of Quentin

W. Patterson as the Quentin W. Patterson Photographic Art
Collection project gift,
2, County agrees to hold the $20,000, invest it with other
County funds, otherwise account for it separately and pay it over
to the District or to the District's designees upon a request to
do so by duly authorized District representatives for the purpose
of accomplishing the Quentin W. Patterson Photographic Art
Collection project described in this Agreement.
3. District agrees to use the Collection for educational
purposes and to preserve its cultural, historic and artistic
value, to share the Collection as art and to maintain it as a
means of recording culture, history and natural resource
conservation.
4. District and County agree to work together to
accomplish the Quentin W, Patterson Photographic Art Collection
Project described in this Agreement and to ultimately make
available on the District's link to the County's web site so much
of the Quentin W. Patterson Photographic Art Collection that is
desirable and practical.
5, County and District agree to cooperate fully with each
other by all reasonable means and consistent with North Carolina
Law, including the North Carolina Local Government Fiscal Control
Act and the North Carolina Public Records laws, to accomplish the

purpose of the quentin W. Patterson Photographic Art Collection
project gift.
IN WITNESS WHEREOF, the parties have caused this agreement
to be executed by their duly authorized officers, to be effective
from and after 2004.

A little over a year ago, Mr. Quentin Patterson, a former Soil and Water Conservation
District Supervisor passed away. Quentin was retired from the USDA-Soil Conservation
Service and worked in the Hillsborough field office for over 20 years, He worked closely
with the Orange Sail and Water Conservation District and after retiring he served on the
Orange Soil and Water Conservation District (OSWCD) Board of Supervisors for 11
years.
One of Quentin's favorite hobbies was to take photographs of nature, landscapes,
animals, and buildings- Over the years, his photograph collection won him many honors.
One honor that he was very proud of was that his photographs were selected to be used
by the National Association of Conservation Districts (NACD) in their annual Soil
Stewardship Celebrations. Each year, starting in 1982, Quentin would select photographs
that matched a written script, select music and arrange a slide show that was copied by
the NACD and distributed nationally, These slide shows are a collection of many of
Quentin's favorite photographs from his travels through out the country, Through the
years, Quentin also developed slide programs for special interest groups, such as the
Gazden Club, the Historic Hillsborough Association, and the Exchange Club,
We would like to preserve these slide shows and the audiotapes for the historic and
artistic value.. The programs could be used for educational purposes for churches,
schools, and civic groups. Brent Bogue, and Gail Hughes, both with the District office,
and Don Cox, the Treasurer of the Board of Supervisors have been working on this
project with Mrs. Evelyn Patterson. With their assistance, Mrs. Patterson has secured Mr.
Dan Nelson, of Visionaerie Video Productions, to convert the slide show programs to
video and/or CD. The project name is:

Irr memory of Quentin, Mrs. Patterson would like to donate $20,000 to the Orange Soil
and Water Conservation District.. This money will be used to fully fund the Ouentin W.
Patterson Photographic Ar°t Collection rp Oiect, therefore assuring the project will be
completed. Once the project is completed, Ms. Patterson would like the balance of the
funds to remain in the Orange Soil and Water Conservation District's budget and be used
to fund conservation education projects.
Mrs. Patterson would also like to donate the entire Collectio~a to the Orange Soil and
Water Conservation District for future use and distribution as the SWCD Board of
Supervisors and District staff deem suitable,
Mrs, Patterson and the Orange Soil and Water Conservation District are looking forward
to forming a paztnership to make these historic slide programs available to the citizens of
Orange County,. Thank you for wonting with us on this project.
