Ser FY 2019 NORTH CAROLINA CONSULTING SERVICES AGREEMENT UNDER $90,000 ORANGE COUNTY This Agreement, made and entered into this 26th day of February, 2019, ("Effective Date") by and between Orange County, North Carolina a body politic and corporate of the State of North Carolina (hereinafter, the "County") and ECS Southeast, LLP., (hereinafter, the "Consultant"). WITNESSETH: That the County and Consultant, for the consideration herein named, do hereby agree as follows: ARTICLE 1 SCOPE OF WORK 1.1 Scope of Work 1.1.1 This Services Agreement ("Agreement") is for professional consulting services to be rendered by Consultant to County with respect to (insert type of project)Geotechnical engineering services 1.1.2 By executing this Agreement, the Consultant represents and agrees that Consultant is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner. 1.1.3 Time is of the essence with respect to this Agreement. 1.1.4 The services to be performed under this Agreement consist of Basic Services, as described and designated in Article 3 hereof. Compensation to the Consultant for Basic Services under this Agreement shall be as set forth herein. ARTICLE 2 RESPONSIBILITIES OF THE CONSULTANT 2.1 Services to be Provided. The Consultant shall provide the County with all services required in Article 3 to satisfactorily complete the Project within the time limitations set forth herein and in accordance with the highest professional standards. 2.2. Standard of Care 2.2.1 The Consultant shall exercise reasonable care and diligence in performing services under this Agreement in accordance with the highest generally accepted standards of this type of Consultant practice throughout the United States and in accordance with applicable federal, state and local laws and regulations applicable to the performance of these services. Consultant is solely responsible for the professional quality, accuracy and timely completion and submission Revised 12/18 1 DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 of all reports, drawings, specifications, plans, documents and services (hereinafter "Deliverables") related to the Basic Services. 2.2.2 The Consultant shall be responsible for all errors or omissions, in the deliverables prepared by the Consultant. 2.2.3 The Consultant shall correct at no additional cost to the County any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts in any Deliverables prepared by the Consultant. 2.2.4 The Consultant shall assure that all Deliverables prepared by it hereunder are in accordance with applicable laws, statutes, and that any necessary or appropriate applications for approvals are submitted to federal, state and local governments or agencies in a timely manner so as not to delay the Project. 2.2.5 The Consultant shall not, except as otherwise provided for in this Agreement, subcontract the performance of any work under this Agreement without prior written permission of the County. No permission for subcontracting shall create, between the County and the subcontractor, any contract or any other relationship. 2.2.6 Any and all employees of the Consultant engaged by the Consultant in the performance of any work or services required of the Consultant under this Agreement, shall be considered employees or agents of the Consultant only and not of the County, and any and all claims that may or might arise under any workers compensation or other law or contract on behalf of said employees while so engaged shall be the sole obligation and responsibility of the Consultant. 2.2.7 If activities related to the performance of this agreement require specific licenses, certifications, or related credentials Consultant represents that it and/or its employees, agents and subcontractors engaged in such activities possess such licenses, certifications, or credentials and that such licenses certifications, or credentials are current, active, and not in a state of suspension or revocation. ARTICLE 3 BASIC SERVICES 3.1 Basic Services 3.1.1 The Consultant shall perform as Basic Services the work and services described herein and as described in Exhibit Geotechnical engineering services as detailed in the attached ECS propsal NO. 06:21174, dated January 22, 2019. ARTICLE 4 DURATION OF SERVICES 4.1 Scheduling of Services 4.1.1 The Consultant shall schedule and perform its activities in a timely manner. Revised 12/18 2 DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 4.1.2 Should the County determine that the Consultant is behind the agreed upon schedule, it may require the Consultant to expedite and accelerate his efforts, including providing additional resources and working overtime, as necessary, to perform his services in accordance with the approved project schedule at no additional cost to the County. 4.1.3 The Commencement Date for the Consultant's Basic Services shall be 3/1/2019. ARTICLE 5 COMPENSATION 5.1 Compensation for Basic Services 5.1.1 Compensation for Basic Services shall include all compensation due the Consultant from the County for all services under this Agreement except for any authorized Reimbursable Expenses which are defined herein. The maximum amount payable for Basic Services is twenty four thousand and five hundred Dollars ($24,500). Payment for Basic Services shall become due and payable in direct proportion to satisfactory services performed and work accomplished. ARTICLE 6 RESPONSIBILITIES OF THE COUNTY 6.1 Cooperation and Coordination 6.1.1 The County has designated Travis Myren to act as the County's representative with respect to the Project and shall have the authority to render decisions within guidelines established by the County Manager and the County Board of Commissioners and shall be available during working hours as often as may be reasonably required to render decisions and to furnish information. 6.1.2 The County shall be solely responsible for determining whether Consultant as satisfactorily completed Tasks. It is agreed that County shall not unreasonably withhold its determination of satisfactory completion of any Task. In the event the amount of an invoice is disputed County may withhold payment until the dispute is resolved by the parties. County may also withhold payment on an invoice until the satisfactory completion of a Task by Consultant. ARTICLE 7 INSURANCE AND INDEMNITY 7.1 General Requirements 7.1.1 Consultant shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers' Compensation Insurance, Professional Liability Insurance, and any additional insurance as may be required by Owner's Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing division/contracts.php). If Owner's Risk Manager determines additional insurance coverage is required such additional insurance shall be designated here (if no additional insurance required mark N/A as being not applicable). Consultant shall not commence work until such insurance is in effect and certification thereof has been received by the Owner's Risk Manager. Revised 12/18 3 DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 7.2 Indemnity 7.2.1 The Consultant agrees, without limitation, to indemnify and hold harmless the County from all loss, liability, claims or expense, including attorney's fees, arising out of or related to the Project and arising from property damage or bodily injury including death to any person or persons caused in whole or in part by the negligence or misconduct of the Consultant except to the extent same are caused by the negligence or willful misconduct of the County. It is the intent of this provision to require the Consultant to indemnify the County to the fullest extent permitted under North Carolina law. ARTICLE 8 AMENDMENTS TO THE AGREEMENT 8.1 Chan;;es in Basic Services 8.1.1 Changes in the Basic Services and entitlement to additional compensation or a change in duration of this Agreement shall be made by a written Amendment to this Agreement executed by the County and the Consultant. The Consultant shall proceed to perform the Services required by the Amendment only after receiving a fully executed Amendment from the County. ARTICLE 9 TERMINATION 9.1 Termination for Convenience of the County 9.1.1 This Agreement may be terminated without cause by the County and for its convenience upon seven (7) days prior written notice to the Consultant. 9.2 Other Termination 9.2.1 The Consultant may terminate this Agreement based upon the County's material breach of this Agreement; provided the County has not taken all reasonable actions to remedy the breach. The Consultant shall give the County seven (7) days' prior written notice of its intent to terminate this Agreement for cause. 9.3 Compensation After Termination 9.3.1 In the event of termination, the Consultant shall be paid that portion of the fees and expenses that it has earned to the date of termination, less any costs or expenses incurred or anticipated to be incurred by the County due to errors or omissions of the Consultant. 9.3.2 Should this Agreement be terminated, the Consultant shall deliver to the County within seven (7) days, at no additional cost, all Deliverables including any electronic data or files relating to the Project. 9.4 Waiver 9.4.1 The payment of any sums by the County under this Agreement or the failure of the County to require compliance by the Consultant with any provisions of this Agreement or the Revised 12/18 4 DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 waiver by the County of any breach of this Agreement shall not constitute a waiver of any claim for damages by the County for any breach of this Agreement or a waiver of any other required compliance with this Agreement. 9.5 Suspension 9.5.1 County may suspend the work at any time for County's convenience and without penalty to County upon three (3) days' notice to Consultant. Upon any suspension by County, Consultant shall discontinue the work and shall not resume the work until notified to proceed by County. ARTICLE 10 ADDITIONAL PROVISIONS 10.1 Relationship of Parties 10.1.1 Consultant is an independent contractor of the County. Neither Consultant nor any employee of the Consultant shall be deemed an officer, employee or agent of the County. Consultant's personnel shall not be employees of, or have any contractual relationship with, the County. 10.2 Limitation and Assi ng ment 10.2.1 The County and the Consultant each bind themselves, their successors, assigns, and legal representatives to the terms of this Agreement. Neither the County nor the Consultant shall assign or transfer its interest in this Agreement without the written consent of the other. 10.3 Governing Law 10.3.1 This Agreement and the duties, responsibilities, obligations and rights of respective parties hereunder shall be governed by the laws of the State of North Carolina. Consultant shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing division/contracts.php). Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit the definition of breach to discrimination. By executing this Agreement Consultant affirms that Consultant and any subcontractors of Consultant are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. Where applicable, failure to maintain compliance with the requirements of Article 2 of Chapter 64 of the General Statutes constitutes Consultant's breach of this Agreement. By executing this Agreement Consultant affirms Consultant is in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement, Consultant certifies that Consultant has not been identified, and has not utilized the services of any agent or subcontractor, on the Iran divestment list created by the State Treasurer pursuant to G.S. 147- 86.58 and the Israel boycott list created pursuant to G.S. 147-86.81. 10.4 Dispute Resolution Revised 12/18 5 DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 10.4.1 Any and all suits or actions to enforce, interpret or seek damages with respect to any provision of, or the performance or non-performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County, North Carolina and it is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. The Parties may agree to nonbinding mediation of any dispute prior to the bringing of such suit or action. Under no circumstances shall any dispute be addressed through binding arbitration. 10.5 Extent of Agreement 10.5.1 This Agreement, together with the Request for Proposals together with attachments distributed by the County and the Consultant's submitted Proposal, all of which constitute the Contract Documents, represents the entire and integrated agreement between the County and the Consultant and supersedes all prior negotiations, representations or agreements, either written or oral. In the event of a conflict among the terms of the Contract Documents, the priority of documents shall be This Agreement, the County's Request for Proposals, attachments to the County's Request for Proposals, the Consultant's Proposal. This Agreement may be amended only by written instrument signed by both parties. Modifications may be evidenced by facsimile signatures. 10.6 Severability 10.6.1 If any provision of this Agreement is held as a matter of law to be unenforceable,the remainder of this Agreement shall be valid and binding upon the Parties. 10.7 Ownership of Deliverables 10.7.1 All Deliverables, together with all supporting materials, source documentation, data collected, field notes, and working drafts, developed in the performance of this Agreement shall become the property of the County and may be used on any other project without additional compensation to the Consultant. The use of the Deliverables by the County or by any person or entity for any purpose other than the Project as set forth in this Agreement shall be at the full risk of the County. 10.8 Non-Appropriation 10.8.1 Consultant acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Consultant of the unavailability and non-appropriation of public funds. It is expressly agreed that County shall not activate this non-appropriation provision for its convenience or to circumvent the requirements of this Agreement,but only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the County's statutory authority, mandate and/or mandated functions, Revised 12/18 6 DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 by state and/or federal legislative or regulatory action, which adversely affects County's authority to continue its obligations under this Agreement, then this Agreement shall automatically terminate without penalty to County upon written notice to Consultant of such limitation or change in County's legal authority. 10.9 Notices and Si matures 10.9.1 This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the consent of the Parties to utilize electronic signatures and the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. 10.9.2 Any notice required by this Agreement shall be in writing and delivered by certified or registered mail, return receipt requested to the following: Orange County Consultant's Name &Address Attention: Travis Myren ECS Southeast, LLP. PROJECT DESCRIPTION This proposal is based on the following sources of information: • Emails between Mr. Tony Whitaker with Civil Consultants, Inc. and Mr. Tom Schipporeit and Mr. Aubrey Lankford with ECS on December 11, 2018. • Emails between Ms. Collette Ramirez with Lynch Mykins Structural Engineers, P. C. and Aubrey Lankford with ECS between January 4 and January 15, 2019. • The "Subsurface Investigation Exhibit" drawings prepared by Civil Consultants, Inc. dated November 15, 2018. • Google Earth aerial photo dated February 8, 2018. • Site and topographic information obtained from the "Subsurface Investigation Exhibit" drawings prepared by Civil Consultants, Inc. dated November 15, 2018. • The Schematic Design Narrative for the Orange County Environment and Agricultural Center and Parks Operations Base prepared by HH Architecture dated December 6, 2018. • The Preliminary Geotechnical Engineering Report prepared by ECS dated January 29, 2018. • Addendum No. 1 to the Preliminary Geotechnical Engineering Report prepared by ECS dated March 15, 2018. ECS understands the subject site consists of 3 adjoining parcels located along the south side of US 70 West (Cornelius Street) in Hillsborough, North Carolina. The property is further identified by the Orange County Online GIS Database as Parcel Identification Numbers (PINS) 9864392344 (10.33 acres); 9864398253 (8.39 acres); and 9864397758 (2.00 acres). Topographic information provided on the Subsurface Investigation Exhibit drawings prepared by Civil Consultants, Inc. indicates that current site grades range from approximately elevation 608 to 650 feet. Based on previous information provided by Civil Consultants, Inc., we understand there was an old pond located within the southwest portion of the site that showed up on older mapping records. Based on visual observations of the site during our preliminary explorations, it appears that this pond has been backfilled. Based on our review of historical aerial images of the site, it appears that the pond may have been backfilled sometime in 2010. From our site observations, it also appears that additional fill materials may have be imported and stockpiled within the old pond area where the grades appeared to have been raised. Historical images indicate that the fill may have been placed sometime in 2015. Test pits were performed by ECS within the apparent fill area in March of 2018, which confirmed the presence of fill soils. The fill was noted to contain high plasticity soils, organic material, small boulders and various other debris indicating that the fill had been placed in an uncontrolled manner. The planned construction at the site will include a new Environment and Agriculture Center (EAC) Building, Parks Operations Building and Detention Center Building. Our understanding of the proposed structures at this time is based on the following information provided by the project design team. EAC Building We understand the EAC Building will have a footprint area of approximately 18,000 square feet and will be located within the northeast portion of the site. We understand it will be a single story steel framed structure planned to be supported on shallow foundations consisting of conventional spread and continuous footings. The exterior walls of the building will consist of light gauge metal studs and a combination of masonry veneer and formed metal cladding. Alternatively, the exterior walls may consist of load-bearing masonry. Maximum anticipated foundation loads provided by Lynch Mykins are column loads up to 60 kips and wall loads up to 4 kips per foot. Parks Operations Building We understand the Parks Operation Building will have a footprint area of approximately 10,000 square feet and will be located within the southeast portion of the site. We understand it will be a pre- engineered metal building planned to be supported on shallow foundations. Maximum anticipated foundation loads provided by Lynch Mykins are column loads up to 60 kips and wall loads up to 4 kips per foot. Detention Center Building We understand the Detention Center Building will have a footprint area of 65,525 square feet and will be located at the approximate center of the site. Information pertaining to building height and planned construction type has not been provided at this time. We assume the structure is planned to be supported on shallow foundations consisting of conventional spread and continuous footings. Design foundation loads have not been provided to us, but we assume they will be may be moderate (column loads up to 250 kips and wall loads up to 8 kips per foot). Paved drives and parking areas will be included in the development, and a stormwater pond will be constructed at the south end of the property. In addition to the new building and site construction, utility improvements are planned for the offsite water line running along the south side of US 70 West ECS Proposal No:06:21174 Page 1 2 ffi- DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 ECS Southeast, LLP and offsite sewer lines running through a new easement that will tie in at the southeast corner of the development. PROPOSED SCOPE OF SERVICES Based on the project information provided to and obtained by us, in addition to our previous experience with this site, we propose the following scope of geotechnical engineering services for this project: Field Exploration a. Field locate borings by using hand-held GPS unit, referencing existing site features, and using available plans. b. Clear paths through wooded areas using a hydro-axe or similar mulching equipment to provide drill rig access to the relevant borings locations. C. Mobilize an All-Terrain Vehicle (ATV) mounted drilling rig to the site. d. Perform 28 borings to depths of 20 feet below existing grades within the proposed building areas, 2 borings to a depth of 15 feet below existing grades along the proposed sewer utility alignment, and 3 borings to a depth of 15 feet in proposed SCM area. The borings will be extended to the proposed depths below the existing ground surface, unless refusal to drilling advancement causes them to be terminated at a more shallow depth. Hollow stem auger drilling techniques are proposed. e. Perform Standard Penetration Test (SPT) tests at standard intervals within the borings for engineering analysis. f. Obtain 3 bulk samples of auger cuttings from select borings for laboratory testing. g. Measure depth of groundwater within each boring at time of drilling and prior to backfilling. h. Advance 2 hand auger borings within the proposed water utility alignment along US 70 West. Soil cuttings will be visually classified in general accordance with the Unified Soil Classification System. Some soil samples will be returned to ECS' laboratory for testing of index properties. i. Advance 2 hand auger borings to a depth of 10 feet or refusal to evaluate the soils for indications of the seasonal high water table (SHWT). SHWT observations will be conducted during SPT drilling in lieu of performing hand auger borings if possible. The soil cuttings will be visually classified in accordance with the US Department of Agriculture system. The characteristics of the soil will be observed, including texture and color, to determine the depth to the seasonal high water table. The assessment will be conducted in accordance with current soil science practices, current technology, and the North Carolina Division of Environmental Quality Stormwater Design Manual (April, 2017). For your convenience, the "Subsurface Investigation Exhibit" prepared by Civil Consultants indicating the requested boring and test locations is attached to this proposal. Laboratory Testing Upon completion of drilling operations, the samples will be returned to our laboratory in Raleigh, North Carolina for further identification and testing, including: a. Visual-manual classification in accordance with the Unified Soil Classification System. b. 10 natural moisture tests. ECS Proposal No:06:21174 Page 13 DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 ECS Southeast, LLP C. 10 gradation analysis tests (wash sieve). d. 10 Atterberg Limit tests. e. 2 standard Proctor compaction tests (ASTM D 698) f. 2 California Bearing Ratio (CBR)tests. g. 2 remolded expansion index tests (ASTMD D 4829). h. 2 remolded one-dimensional swell pressure tests (ASTM D 4546). Report Upon completion of testing and engineering analysis, we will prepare a final geotechnical engineering report that presents our overall findings and recommendations including those from the preliminary explorations. The final geotechnical engineering report will include the following items: a. Observations from our site reconnaissance including current site conditions, surface drainage features, and surface topographic conditions. b. A review of the published geologic conditions and their relevance to your planned development. C. A subsurface characterization and a description of the field exploration and laboratory tests performed. d. Logs of the soil borings prepared in accordance with the standard practice for geotechnical engineering. A boring location plan will be included, and the results of the laboratory tests will be plotted on the final boring logs or included on a separate test report sheet. Elevations will be interpolated from civil drawings and/or referenced from published topographical maps. e. Recommended allowable soil bearing pressure(s) for conventional shallow foundations (spread footings) and estimates of predicted foundation settlement. We will provide recommendations for suitable intermediate foundations/ground improvement options in the event estimated settlements of shallow foundations are not tolerable. f. Recommendations for slab-on-grade design and construction, including recommendations for subgrade materials and design modulus of subgrade reaction. g. Design and construction recommendations for building retaining walls (below-grade basement, pit, and/or loading dock walls), including lateral earth pressures, sliding resistance coefficients, and allowable bearing pressures. h. Evaluation of the on-site soil characteristics encountered in the soil borings. Specifically, we will discuss the excavatability of the on-site materials and the suitability of the on-site materials for reuse as engineered fill. We will also include compaction requirements and suitable material guidelines. i. Recommendations for seismic site classification in accordance with the 2018 North Carolina Building Code. j. Recommendations for design and construction of the pavements, including a recommended California Bearing Ratio (CBR) design value. We will also include recommended pavement section thicknesses based on estimated or assumed 18-kip Equivalent Single Axle Loads(ESALs). k. Results of seasonal high water table determination. I. Recommendations for design and construction of the proposed wet pond embankment, cut-off trench, and liner. M. ECS Proposal No:06:21174 Page 14 ffi- DocuSign Envelope ID: B01E86EC-6FC1-43CE-8E90-79CF68C52249 ECS Southeast, LLP Utility Clearance We will contact North Carolina One Call to locate underground utilities at the site; however, our experience indicates that North Carolina One Call will not locate utilities beyond the point of distribution (meters or gauge points) on private property. We will coordinate our test boring/pit locations in order to avoid any underground utilities indicated by the North Carolina One Call locating system. However, we will not be responsible for any private utilities not pointed out to us by the land owner or client prior to drilling activities. Site Restoration Upon completion of subsurface exploration drilling, we will backfill each of the boreholes with the drill cuttings and mound the excess spoil back up over the test location. Typically, we will not provide site restoration beyond what is outlined above unless specifically contracted to do so. Alternatively, we can remove excess spoils from job sites and dispose of them in an approved manner for a negotiated additional fee. Please note that some disturbance to off-pavement surface areas, including the possible rutting of lawns, cutting of trees, running over of brush and understory in wooded areas might occur. We will attempt to minimize such disturbance; however, we have not budgeted for site restoration of the site including filling of tire ruts, seeding of lawn areas, or the planting of trees. If necessary, additional site restoration can be provided at an additional cost. Since clearing of site vegetation is required to access the proposed boring locations, please note that minimum 10-foot wide cleared paths will result. We will attempt to minimize disturbance, but felled trees and cleared underbrush should be anticipated in cleared paths. Our Cost Estimate does not include any restoration of cleared areas, moving/chipping of felled trees, etc. If there are any areas where clearing is not to be performed (such as in Resource Protection Areas (RPA) or other areas), those areas must be clearly marked on plans provided to us and should be delineated in the field with flagging prior to our mobilization to the site. ECS cannot be responsible for disturbance of sensitive or restricted areas not identified in this manner. FEE ECS will provide the proposed scope of services outlined in this proposal for a lump sum fee of$24,500. Our fee assumes that the proposed site is reasonably accessible based upon our assumptions detailed in this proposal. If any additional services are requested or required based on differing site conditions, we will contact your office (or assigned representative) for verbal and written authorization for additional services. Any additional services will be performed in accordance with our project unit rates on a time and material basis. SCHEDULE In preparing this proposal, we have assumed that the client will assist in the coordination of our access to the site with the current site owners/occupants. Therefore, for time budget purposes, the entire scope should take about 6 weeks from initial authorization through final report submission. Verbal comments on findings can be provided within 3 days of completion of the borings, if requested. EXCLUDED GEOTECHNICAL SERVICES Without attempting to provide a complete list of all or potential geotechnical services performed by ECS that will be excluded from this proposal, the following are specifically excluded. ECS can perform these services; however, the proposed fees do not cover any of these services.
