This Agreement made and entered into by and between Orange County and the University of North Carolina at
Chapel Hill (UNC) effective this the 15th day of August, 2018.
Whereas, UNC would like to participate in the upcoming Recycling Composition Study to be conducted for
Orange County during fiscal year 2018-19, and
Whereas, the study will be conducted under contract between Orange County and a Solid Waste Consulting Firm
(“Consulting Firm”) to be selected via an informal Request for Proposals issued by Orange County, developed
with input from UNC.
Now Therefore, for the purpose and subject to the terms and conditions hereinafter set forth, the County and
UNC agree as follows:
TERM.
The term of this Agreement will be from August 15, 2018 to June 30, 2019.
GENERAL PROVISIONS.
1. The County will select one Consulting Firm to sort, characterize and report on the quality and nature of
recyclable materials collected by Orange County, its recycling contractor and from UNC.
2. UNC will deliver, or cause to be to delivered, up to ten (10) selected loads of recyclable material to
Orange County’s integrated Solid Waste Management Facility for sorting and characterization during the
sorting study period. Delivery of the loads for sorting will be determined by mutual agreement between
Orange County, UNC and the Consulting Firm. UNC will be responsible for delivering all loads of
recyclables for sorting during the selected recycling sort period. The County will manage the materials
once they have been delivered and be responsible for their proper disposition as recyclables.
3. UNC will receive a technical report and presentation-ready data from the Consulting Firm based on that
characterization study. Protocols and categories for sorting the recyclables are to be set in the contract
between Orange County and the Consulting Firm with input from UNC.
4. Orange County will be the sole party to the contract with the Consulting Firm.
PAYMENT.
1. UNC agrees to reimburse Orange County the cost, up to $5,000, charged by the Consulting Firm for
sorting of recyclable materials coming from UNC, the separate technical report on UNC’s materials from
the sorting study and a set of presentation materials to be derived from that technical report.

2. The payment will be due upon delivery of the report and presentation materials and resulting invoice
from Orange County. Expected time frame for the study is October 2018 with a backup date of late
March or early April 2019.
In Witness Whereof, Orange County and UNC have signed this Agreement effective as of the date first
written above.
