HomeMy WebLinkAbout2016-296 HR - UNC Dept. of Family Medicine to provide health screening and health coaching NR STATE OF NORTH CAROLINA COUNTY OF ORANGE AGREEMENT BETWEEN ORANGE COUNTY AND THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL FOR ITS DEPARTMENT OF FAMILY MEDICINE IN THE SCHOOL OF MEDICINE THIS AGREEMENT made and entered into as of the 1 st day of May, 2016 by and between The University of North Carolina at Chapel Hill,hereinafter referred to as the "UNIVERSITY" for its Department of Family Medicine in the School of Medicine hereinafter referred to as "DEPARTMENT"; and Orange County, a local political subdivision of the State of North Carolina, hereinafter referred to as the "COUNTY". WITNESSETH: WHEREAS,the COUNTY desires to purchase the services of the UNIVERSITY medical staff to provide health screening and health coaching for Orange County employees; and WHEREAS,the UNIVERSITY desires to provide the services of medical staff to provide health screening and health coaching to Orange County employees; and WHEREAS,performance of the activity described herein is consistent with the UNIVERSITY'S goals of research,teaching, education and public service. NOW, THEREFORE, in consideration of the following mutual promises, covenants, and conditions,the COUNTY and the UNIVERSITY agree as follows: 1. The UNIVERSITY shall make available the services in the attached Exhibit A, "Health Screening and Health Coaching Services for Orange County". 2. Compensation a. Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the Provider from the COUNTY for all services under this Agreement. The total cost of the service shall not exceed Twenty- Five Thousand Dollars and 00/100 ($25,000). b. The UNIVERSITY shall invoice the COUNTY monthly based on the cost per unit prices on Exhibit B. Payment for Basic Services shall become due and payable within thirty(3 0) days of UNIVERSITY properly invoicing the COUNTY. Any adjustments to the invoice shall be taken into account in the next invoice or as soon thereafter as reasonably practicable. Payment shall be subject to provisions of Section 3(d). c. Disputes. In the event the amount stated on an invoice is disputed by the COUNTY,the COUNTY may withhold payment of all or a portion of the amount stated on an invoice until the parties resolve the dispute. Should the UNIVERSITY fail to perform its duties under the terms of this Agreement, the COUNTY may, without fault or penalty,withhold any payment associated with the work to be performed until such time as said work is completed. d. Additional Services. The COUNTY shall not be responsible for costs related to any services in addition to the Basic Services performed by the UNIVERSITY unless the COUNTY requests such additional services in writing and such additional services are evidenced by a written amendment to this Agreement. 3. The term of this agreement shall be from May 1, 2016 through June 30, 2017. 4. The person(s)whose services are to be provided pursuant to this agreement is (are) for all purposes an employee of the UNIVERSITY. The UNIVERSITY will provide professional liability coverage for the providers of the patient care services provided under this contract. The UNIVERSITY shall provide the COUNTY with evidence of professional liability insurance in the amount of at least 1 million/3 million upon request. 5. Indemnity: The Parties agree to defend, indemnify, and hold each other harmless from all losses, liabilities, claims, demands, suits, costs, damages or expenses (including reasonable attorney's fees) arising from bodily injury, including death,to any person or persons or damage to or destruction of any property caused in whole or-in part by any negligent or intentional act or omission on the part of the other to the extend provided by North Carolina law. 6. Termination. Either party may terminate this agreement or its renewals at any time without penalty provided that written notice of such termination is furnished to the other party at least sixty(60) days prior to the termination. In the event of such termination any payments due shall be based on services rendered. 7. The COUNTY and the UNIVERSITY hereby agree that in their service, educational and/or employment practices each will comply with such non- discrimination laws as may be applicable to them in the performance of this agreement. 8. This agreement contains the entire understanding of the parties and shall not be altered, amended or modified except by an agreement in writing executed by the duly authorized officials of both parties. 9. The laws of North Carolina shall govern the validity and interpretation of the provisions, terms and conditions of this agreement. 10. With regard to the teaching,research and/or other services to be performed pursuant to this agreement by the UNIVERSITY or any of its schools or subdivisions it is hereby covenanted that the COUNTY or its employees shall not make any use whatsoever of the name of the UNIVERSITY contained therein in any campaign of advertising or in any other manner whatsoever, without the express written permission of the UNIVERSITY, which permission shall not be unreasonably withheld, unless compelled to divulge said name by force of law. It is also agreed that the COUNTY shall not attempt to circumvent the intent of this paragraph by use of descriptive phrases by which one could identify said UNIVERSITY with reasonable certainty. With regard to the program or services provided by the COUNTY and/or the services of the individual providing those services for OCHD pursuant to this agreement it is hereby covenanted and agreed that the UNIVERSITY or its employees shall not use the name of the COUNTY in any campaign of advertising or in any other manner whatsoever, without the express written permission of the x N COUNTY, which permission shall not be unreasonably withheld,unless compelled to divulge said name by force of law. It is also agreed that the UNIVERSITY shall not attempt to.iciroi,mvept the intent of this paragraph by the use of descriptive phrases bytwhich one could identify said COUNTY with reasonable certainty. 11. Non-Appropriation.�ation. Provider acknowledges that the COUNTY is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of the COUNTY's obligations under this Agreement, then this Agreement shall automatically expire without penalty to the COUNTY immediately upon written notice to the UNIVERSITY of the unavailability and non- appropriation of public funds. It is expressly agreed that the COUNTY shall not activate this non-appropriation provision for its convenience or to circumvent the requirements of this Agreement, but only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in Orange County's statutory authority, mandate and/or mandated functions, by state and/or federal legislative or regulatory action, which adversely affects Orange County's authority to continue its obligations under this Agreement, then this Agreement shall automatically terminate without penalty to Orange County upon written notice to UNIVERSITY of such limitation or change in Orange County's legal authority. 12. Notices. Mauro, MD CEO, UNC Faculty Physicians G6 � EXHIBIT A Health Screening and Health Coaching Services for Orange County Wellnessna,Work Background Wellness @Work is a comprehensive worksite wellness program developed by the UNC Department of Family Medicine. We partner with organizations and their employees to create a culture of wellness, improve health behaviors, prevent and improve care for chronic disease, and reduce overall health care costs. Our staff includes physicians, nurse practitioners, registered nurses, tobacco treatment specialists, and health educators and coaches, all with expertise in population health management strategies, health behavior change, preventative medicine and chronic disease care. The program employs rigorous risk stratification of employees based on assessment of health behaviors and chronic illness. We create individualized wellness programs in collaboration with employers to meet the specific needs of their employees. The objective of the program is to provide data-driven interventions that: 1) identify and reduce high risk health behaviors, 2) prevent chronic disease and improve quality of care for chronic disease, 3) reduce unnecessary health care utilization and cost, 4) create a culture of wellness within an employee population, 5) reduce absenteeism and increase employee productivity, 6) provide routine data to employer to assess program effectiveness. Health Screening The staffing model for daily health screening sessions will include two registered nurses, one phlebotomist, and one to two administrative assistants to manage employee check-in and logistics. We will work with the County to determine time and location for multiple screening sessions. Individual employee screenings will last a maximum of 20 minutes. We will provide staffing, equipment and supplies to perform non-fasting standard health screenings for the following factors: Total cholesterol, HDL, LDL, triglycerides, glucose, blood pressure, BMI (Body Mass Index) height, and weight. Cholesterol and glucose levels will be measured by finger stick blood draw method, and individualized feedback will be provided to employees on site. UNC Family Medicine, Wellness @Work is CLIA certified. Health Coaching Following the health screening process, we will identify employees who are at moderate or high risk health levels and invite them to participate in individualized one-on-one health coaching sessions lasting up to 30 minutes each. Our health coaching staff—comprised of registered nurses, health educators, tobacco treatment specialists, and other health care professionals—can provide coaching and resources around a broad range of health topics including: weight management, tobacco cessation, stress management, healthy eating, and chronic disease management. Our health coaches are trained in stages of change and motivational interviewing and coaching techniques that empower and motivate individuals to improve health behaviors and reduce their risk factors. The health coaching process works by 1) helping individuals recognize the impact of lifestyle choices on their health, 2) helping individuals understand the benefits of change, 3) identifying the barriers to change, 4) building skills and providing tools and resources, 5) helping individuals realize the need to take self-responsibility for their decision- making and behaviors, 6) helping a person build the self-efficacy and self-care skills they need to effectively self-manage their improvement goals, and 7) insuring follow through and change with effective accountability methods, 8) and supporting positive change. Coaching Protocol • Review individual health screening data, health risk factors, recent health behaviors and recent medical activity. • Assess health risk perceptions and readiness for change using the Health Belief and Stages of Change models. • Identify barriers to change, and work through resistance and obstacles. • Facilitate self-directed learning, skill-building, and goal setting. • Develop and monitor short and long range health goals (SMART goals). • Co-create an action or wellness plan to facilitate achievement of goals. • Schedule follow up sessions as needed. • Review any areas of concern with the Medical Director • Document progress, provide support, and deal with challenges • Evaluate for new focus/goals • Track participation Scheduling Scheduling will be offered through telephone, secure online portal, or a combination of both, depending on the needs of employees. We will provide a contact telephone number for employee assistance on scheduling, and send reminder phone calls and/or emails prior to screenings/coaching appointments. Privacy Guidelines • The UNC Wellness@ Work Program ensures employee confidentiality by maintaining a privacy wall between employees and organizational leadership. • All UNC Family Medicine and Wellness @Work personnel have had training and education concerning patient privacy and requirements under the HIPAA Privacy Regulations. • All health information obtained during health screening and coaching sessions will be stored within our secure UNC systems according to federal privacy regulations. • Participation in the health screening and health coaching program is strictly confidential. • Health screening areas will be arranged in such a way that ensures patient privacy. • Health coaching will be provided in a private, enclosed space (conference room, office, etc)to be provided by the employer. • No personal or identifiable health information will be shared directly with the employer, or anyone outside the UNC Family Medicine Wellness @Work clinical staff. • All information shared with the employer will be de-identified and reported in aggregate. • A process for outreach to at-risk employees that ensures confidentiality will be developed in collaboration with employer.
