9. The NCACC Trust may only cancel Orange County's contract for health
i Ce coverage through the Trust for tefusiu$or failing to comply with a loss
preveati,on tpcommeadation subndtted to Orange County by the Trust with Orange
County's written consent.
10. To the extent that the NCACC Trust can cancel the Agn+ecrnent under Article VIII,
SecfM 2 of the ApmtneM it m4y only do so following at least thirty(30:,days written
ra dm froma the NCACC Trust to Orsuge County of the NCACC Trust's u.tent to cancel
and the retson(s)for the c:anceRs ion.
11. Tie Agmoment may be eq naeled by Orange County air giving fith a(15)days
wdtma notice to the NCACC Trust if tbe NCACC Trust fails to comply w th the terms
and contdit om of the Agzem=t. Cancellation by Orange County,under this parag rapk
will be preceded by at least thirty(30)days written notice fmm Orange County to the
NCACC Trust or Orange County's intent to cancel and dw r s)for the cancellation.
12. Tbc NCACC Trust covers COBRA participants=der the Trost snit administers
COBRA in;&manner consistient with that provided by Blue Cross and Mutt Shield
through"COBRA Serv."
13. It is acknowledged tbat the NCACC Trust will occasionally Intake chaaSes in the
Imerlocal Agreemeat to mode ewwadc4y and effectively serve all count es;but,it is
also acktowledged that Orange County has the right to cancel its participation at any
sxsary if it does not agree to such dmgcs or if it desires to cancel for any reason.
Any t purporting to chpW underwriting,eligibilitY,benefit,or contribution
r nrcuts may only be made effective, wiihout Orange County's Co nsait,with the
next plan year far which Orange Oouauty has an opportunity to cawd as pr3vidcd in
2 of this Memorandum of Agreem+ust.
