AGREEMENT
THIS AGREEMENT , entered into as of this 41h day of October , 20 00 by and between
the North Carolina Department of Environment and Natural Resources (hereinafter called the " State " ) and
the Counties of Orange and Durham (hereinafter called the " Applicant " ) ;
WITNESSETH THAT :
WHEREAS , the State has executed a Land and Water Conservation Fund Project Agreement with the
United States Department of the Interior , National Park Service , designated Project Number 37 - 00982 ,
a portion of the Applicant ' s eligible costs as defined in the Land and Water Conservation Fund Grants - in-
Aid Manual ; and
WHEREAS , the State has been designated as the recipient of funds reimbursed under the said Project
agreement :
NOW , THEREFORE , the parties hereto do mutually agree as follows :
I . DEFINITIONS OF TERMS
A . The term " State " as used herein means the North Carolina Department of Environment
and Natural Resources as represented by the Secretary of Environment and Natural
Resources , or any representative lawfully delegated the authority to act for the Secretary
of Environment and Natural Resources .
Bo The term " Applicant " as used herein means the State agency , political subdivision , or
public agency which is a party to this agreement and where applicable , the State agency ,
political subdivision or public agency to which funds are to be transferred pursuant to this
agreement . Whenever a term , condition , obligation , or requirement refers to the State ,
such term , condition , obligation , or requirement shall also apply to the recipient State
agency , political subdivision , or public agency , except where it is clear from the nature
of the term , condition , obligation , or requirement that it is to apply solely to the State .
C . The term " NPS " as used herein means the National Park Service , United States
Department of the Interior .

D . The term " Director " as used herein means the Director of the National Park Service or
any representative lawfully delegated the authority to act for such Director .
E . The term " Manual " as used herein means the Land and Water Conservation Fund Manual ,
F . The term " Project " as used herein means that project or project stage that is the subject
to this agreement .
G . The term " Fund " as used herein means the Land and Water Conservation Fund established
by the Land and Water Conservation Fund Act of 1965 , as amended (78 state 897 ) .
H . The term " Act " as used herein means the Land and Water Conservation Fund Act of 1965 ,

III . PROJECT APPLICATION
A . The Application for Federal Assistance bearing the same project number as the agreement
and associated documents is by this reference made a part of the agreement .
B . The Applicant possesses legal authority to apply for the grant , and to finance and construct
the proposed facilities . A resolution , motion or similar action has been duly adopted or
passed authorizing the filing of the application , including all understandings and
assurances contained herein , and directing and authorizing the person identified as the
official representative of the Applicant to act in connection with the application and to
provide such additional information as may be required .
C . The Applicant has the ability and intention to finance the non-Federal share of the costs
for the project . Sufficient funds will be available to assure effective operation and
maintenance of the facilities acquired or developed by the project .
IV . PROJECT EXECUTION
A . The State and the Applicant mutually agree to perform this project agreement in
accordance with the Land and Water Conservation Fund Act of 1965 , as amended (78
State 897 ) ; with the terms , promises , conditions , plans , specifications , estimates , proce -
dures , maps and assurances submitted in conjunction with the project proposal for this
agreement ; and with the terms and conditions of the Manual .
Be The Applicant agrees to execute and complete the project in accordance with the time
schedule set forth in the approved project proposal . Failure to render satisfactory progress
or to complete this or any other project that is the subject of federal assistance under this
program to the satisfaction of the State or the Director may be cause for the suspension
of all obligations of the State under this agreement .
C . Construction contracted for or performed by the Applicant shall meet the following
requirements :
1 . Applicants shall follow state law awarding contracts for construction .
a . Contracts for construction in excess of $ 50 , 000 require the use of the
formal bid procedure .
b . Contracts for construction of $ 5 , 000 to $ 50 , 000 require the use of the
informal bid procedure .
2 . Contracts for construction shall comply with the provisions of 43 CFR Part 12 ,
Uniform Administrative Requirements for Grants and Cooperative Agreements to
State and Local Governments ,
3 . Contracts for construction shall comply with the Office of Management and
Budget Circular No . A - 87 , Cost Principles for State and Local Governments .

4 . Contracts for construction shall include a provision for compliance , with the
Copeland " Anti - Kickback " Act ( 18 U . S . C . 874) , which requires from each
contractor or subcontractor a weekly wage payment statement . Such regulations
are made part of this agreement .
5 . The Applicant shall comply with the Davis Bacon Act (40 U . S . C . 276a to a- 7) as
supplemented by Department of Labor regulations (29 CFR , Park 5 ) , when other
federal funds are used as the match for the Land and Water Conservation Fund
grant .
6 . No grant or contract may be awarded by the Applicant or by any contractor for
the Applicant to any party that has been debarred or suspended under Executive
Order 12549 .
7 . The Applicant shall comply with the contract compliance procedures required by
Executive Order 11246 , as amended ( 3 CFR 169) , and by the Office of Federal
Contract Compliance Programs (OFCC P) of the Department of Labor (41 CFR
60 -4) .
a . The Applicant shall include the following in solicitation for offers and
bids on federally assisted construction contracts over $ 10 , 000 (not
required for newspaper or advertisements) :
( 1 ) " Notice of Requirement for Affirmative Action to Ensure Equal
Employment Opportunity , " including goals , which are to be in-
serted by contracting officer or applicant .
(2) " Standard Federal Equal Employment Opportunity Construction
Contract Specification . "
b . The Applicant shall include the following in construction contracts over
$ 10 , 000 :
( 1 ) " Equal Opportunity Clause . "
(2) " Standard Federal Equal Opportunity Construction Contract
Specification . "
( 3 ) A " Certification of Non- Segregated Facilities " signed by the
prime contractor and subcontractor .
c . The Applicant shall ensure that EEO posters are displayed on federally
assisted construction sites .
d . The Applicant shall ensure that the provisions of the " Equal Opportunity
Clause " are followed for construction contracts involving force account
labor .

5 . The Applicant agrees to incorporate , or cause to be incorporated into all
construction contracts , the following provisions . " During the performance of this
contract , the contractor agrees as follows : "
a . The contractor will not discriminate against any employee or applicant for
employment because of race , color , religion , sex , or national origin . The
contractor will take affirmative action to ensure that applicants are
employed , and that employees are treated during employment without
regard to their race , color , religion , sex , or national origin . Such action
shall include , but not be limited to , the following : employment ,
upgrading , demotion or transfer ; recruitment or recruitment advertising ;
layoff or termination ; rates of pay or other forms of compensation ; and
selection for training , including apprenticeship . The contractor agrees to
Post in conspicuous places , available to employees and applicants for
employment , notices to be provided by the contracting officer setting forth
the provision of this non-discrimination clause .
b . The contractor will , in all solicitation or advertisements for employees
placed by or on behalf of contractor , state that all qualified applicants will
receive consideration for employment without regard to race , color ,
disability , religion , sex or national origin .
c . Include a signed " Certification of Non- Segregated Facilities " in contracts
and require subcontractors to include a signed " Certification of Non-
Segregated Facilities . "
d . Expressly state in all employment solicitation or advertising that the
contractor is an Equal Opportunity Employer .
e . The contractor will send to each labor union or representative or worker
with which he has collective bargaining agreement or other contract or
ided by the agency contracting officer ,
understanding , a notice , to be prov
advising the labor union or workers ' representative of the contractor ' s
commitments under Section 202 of Executive Order No . 11246 as
amended ( 3 CFR 169 ( 1974) ) , and shall post copies of the notice in
conspicuous places available to employees and applicants for employment .
f. The contractor will furnish all information and reports required by
Executive Order No . 11246 , as amended , and by the rules , regulations ,
and relevant orders of the Secretary of Labor , or pursuant thereto , and
will permit access to his books , records , and accounts by the contracting
agency and the Secretary of Labor for purposes of investigation to
ascertain compliance with such rules , regulations , and orders .
g . In the event of the contractor ' s noncompliance with the non-discrimina-
tion clauses of this contract or with any of such rules , regulations , or
orders , this contractor may be cancelled , terminated , or suspended in
whole or in part and the contractor may be declared ineligible for further

government contracts in accordance with procedures authorized in
Executive Order No . 11246 as amended , and such other sanctions may be
imposed and remedies invoked as provided in Executive Order No .
11246 , as amended or by rule , regulations , or order of the Secretary of
Labor , or as otherwise provided by law .
h . The contractor will include the provisions of " a " through " f " in every
subcontract or purchase order unless exempted by rules , regulations , or
orders of the Secretary of Labor issued pursuant to Section 204 of
Executive Order No . 11246 , so that such provisions will be binding upon
each subcontractor or vendor . The contractor will take action with
respect to any subcontract or purchase order as the contracting agency
may direct as a means of enforcing such provisions , including sanction for
noncompliance : Provided however , that in the event the contractor
becomes involved in , or is threatened with , litigation with a subcontractor
or vendor as a result. of such direction by the contracting agency the
contractor may request the State to enter into such litigation to protect the
interest of the State .
9 . The State shall ( 1 ) comply with the above provisions in construction work carried
out by itself, (2) assist and cooperate actively with the Secretary of the Interior
and the Secretary of Labor in obtaining the compliance of contractors and
subcontractors with the above contract provisions and with the rules , regulations ,
and relevant orders of the Secretary of Labor , (3 ) obtain and furnish to the
Secretary of the Interior and to the Secretary of Labor such information as they
may require for the supervision of such compliance , (4) enforce the obligation of
contractors and subcontractors under such provisions , rules , regulations , and
orders , (5 ) carry out sanctions and penalties for violation of such obligations
imposed upon contractors and subcontractors by the Secretary of Labor or the.
Secretary of the Interior pursuant to Part II , Subpart D , of Executive Order No .
11246 , as amended , and (6) refrain from entering into any contract with a
contractor debarred from 11246 , as amended . In addition , the State agrees that
if it fails or refuses to comply with these undertakings , the NPS may take any or
all of this grant ; refrain from extending any further assistance to the applicant
under the program with respect to which the failure or refusal occurred until
satisfactory assurance of future compliance has been received from such applicant ;
and refer the case to the Department of Justice for appropriate legal proceedings .
D . The Applicant agrees to secure completion of the work in accordance with the approved
construction plans and specifications , and shall secure compliance with all applicable
federal , state , and local laws and regulations .
E . The Applicant agrees to permit periodic site visits by the State and the Director to ensure
work progress in accordance with the approved project , including a final inspection upon
project completion .
F . In the event funds should not be available for future stages of the project , the Applicant
agrees to bring the project to a point of usefulness agreed upon by the State and the
Director .

G . Any deviations from the scope of the project in the agreement must be submitted in writing
to the State and the Director for prior approval .
H . The Applicant agrees to comply with the requirements of the Americans With Disabilities
Act of 1990 ( P . L . 101 - 336) and ADA Accessibility Guidelines ; the Architectural Barriers
Act of 1968 (Public Law 90480) and DOI Section 504 Regulations (43 CFR Part 17) .
The State will be responsible for conducting inspections to insure compliance with these
specifications by the contractor . Development plans and specifications shall be available
for review by the State and the Director upon request .
I . The acquisition cost or fair market value of real property including interest in donated
lands shall be based upon the appraisal of a competent appraiser . The appraiser reports
shall be reviewed and approved by the State and NPS . The Applicant shall comply with
the terms of Title II and Title III , the Uniform Relocation Assistance and Real Property
Acquisition Policies Act of 1970 (POLO 91 - 646 ) , 94 State 1894 ( 1970) , and the applicable
regulations and procedures implementing such Act for all real property acquisition and
where applicable shall assure that the Act has been complied with for property to be
developed with assistance under the project agreement .
J . If any tract or parcel of, or interest in , real property subject to being purchased under the
provisions of this agreement , but not identified herein , is found by the State and the
Director for any reason not to be suitable for federal assistance , all obligations of the State
and the United States hereunder shall cease as to such parcel , tract , or interest .
K . Project Administration
1 . The Applicant shall promptly submit such reports as the State and the Director
may request .
2 . Property and facilities acquired or developed pursuant to this agreement shall be
available for inspection by the State and the Director upon request .
3 . The Applicant shall use any funds received by way of advance payment from the
United States under the terms of this agreement solely for the project state herein
described .
4 . Interest earned on funds granted pursuant to this agreement shall not be available
for expenditure by the Applicant , but shall be disposed of according to instructions
issued by the State and the Director .
5 . Because one of the basic objectives of the Land and Water Conservation Fund
Act is to enhance and increase the nation ' s outdoor recreation resources , it is the
intent of the parties hereto that recipients of assistance will use monies granted
hereunder for the purposes of this program , and that assistance granted from the
Fund will result in a net increase , commensurate at least with the federal cost-
share , in a participant ' s outdoor recreation . It is intended by both parties hereto
that assistance from the Fund will be added to , rather than replace or be
substitutes for , local outdoor recreation funds .

V . REIMBURSEMENT OF PROJECT COSTS
A . The Applicant agrees to maintain and make available at proper , times to the State and to
the Director accurate records of all expenditures for costs applicable to this agreement ,
and to submit properly certified billings for such costs in forms prescribed by the State and
supported by detailed data sheets that will facilitate the audit of the Applicant ' s financial
records . Complete accounting records , including original invoices , payrolls , contracts ,
or other documents clearly showing the nature and property of all costs incurred under this
agreement , shall be retained by the Applicant for a period of three years following project
completion ; except the records shall be retained beyond the three -year period if audit
findings have not been resolved . All accounting records and supporting documents will
clearly show the number of the project to which they are applicable .
Be The State agrees to reimburse to the Applicant all federal funds paid to the State as
reimbursement of costs incurred by the Applicant under the terms of the above -referenced
project agreement .
C . The Applicant agrees to refund to the State , subsequent to audit of the project financial
records , any fund required to be refunded to the National Park Service on account of audit
exceptions .
D . Project costs eligible for assistance shall be determined upon the basis of the criteria set
forth in the Manual .
E . Applicant agrees to reimburse the State any costs disallowed by the National Park Service .
VI . PROJECT TERMINATION
A . The Applicant may unilaterally rescind this agreement at any time prior to the
commencement of the project . After project commencement , this agreement may be
rescinded , modified or amended only by mutual agreement . A project shall be deemed
commenced at the time the Applicant signs this project agreement .
Be Failure by the Applicant to comply with the terms of this agreement or any similar
agreement may be cause for the suspension of all obligations of the State hereunder .
C . Failure by the Applicant to comply with the terms of this agreement shall not be cause for
the ' suspension of all obligations of the State hereunder if, in the judgement of the State ,
such failure was due to no fault of the Applicant . In such case , any amount required to
settle at minimum costs any irrevocable obligations properly incurred shall be eligible for
assistance under this agreement .
. D . The Applicant agrees that the benefit to be derived by the State and the United States from
the full compliance by the Applicant with the terms of this agreement is the preservation ,
protection , and the net increase in the quality of public outdoor recreation facilities and
resources available to the people of the State of North Carolina and of the United States ,
and that such benefit exceeds to an immeasurable and unascertainable extent the amount

of money furnished by the United States by way of assistance under the terms of this
agreement . The Applicant furthermore agrees that payment by the applicant to the State
and the United States of an amount equal to the amount of assistance extended under this
agreement would be inadequate compensation to the State and the United States for any
breach by the applicant of this agreement . The Applicant further agrees , therefore , that
the appropriate remedy in the event of a breach by the applicant of this agreement shall
be the specific performance of this agreement .
E . Termination either for cause or for convenience requires that the project in question be
brought to a state of recreational usefulness agreed upon by the State and the Director or
that all funds provided by the National Park Service be returned .
VII . RETENTION , OPERATION , MAINTENANCE , AND USE
A . Purpose . The standards that apply to the retention , operation , maintenance , and use of
properties and facilities acquired or developed with Fund assistance are contained in this
Section .
Be The applicant agrees to operate and maintain solely at its own expense , insofar as it is
legally empowered to do so , for as long as they exist , the facilities and areas covered by
this agreement .
C . Retention and Use . Property acquired or developed with assistance from the Fund shall
be retained and used for public outdoor recreation . Any property so acquired or
developed shall not be wholly or partly converted to other than public outdoor recreation
uses without the approval of the Director . Such approval will be given only if the
conversion is in accord with the current Statewide Comprehensive Outdoor Recreation
Plan that has been found by the Director to be adequate for the purpose of the Act and
only upon such conditions as the Director deems necessary to assure the substitution of
other recreation properties of at least equal fair market value and of reasonably equivalent
usefulness , quality , and location .
The above provisions do not apply to uses made of an assisted area or facility at the time
of approval of assistance for the area or facility in question , when such uses were made
known to the Director at the time of approval of assistance .
D . Operation and Maintenance . Property acquired or developed with assistance from the
Fund shall be operated and maintained as follows :
1 . The property shall be maintained so as to appear attractive and inviting to the
public .
2 . Sanitation shall be kept at reasonable standards for public use . Fire prevention ,
life guard services , and similar activities shall be maintained in accordance with
applicable State and local public health standards .

3 . Properties shall be kept reasonably safe for public use . Fire prevention , life
guard services , and similar activities shall be maintained at levels reasonable to
prevent loss of the lives of users .
4 . Buildings , roads , and other structures and improvements shall be kept in
reasonable repair throughout their estimated lifetime , so as to prevent undue
deterioration and not to discourage public use .
5 . The facility shall be kept open for public use at reasonable hours and times of the
year , according to the type of area or facility .
E . Availability to Users . Property acquired or developed with assistance from the Fund shall
be open to entry and use by all persons , regardless of race , color , creed , national origin ,
age , disability or residence who are otherwise eligible according to reasonable published
rules applicable to the property involved .
F . Reasonable Use Limitations . The Applicant may impose reasonable limits on the type and
extent of use of areas and facilities acquired or developed with Fund assistance when such
a limitation is necessary for maintenance or preservation . Thus , limitations may be
imposed on the number of persons using an area or facility or the type of users , such as
hunters only or hikers only . All limitations shall be in accord with the applicable grant
agreement and amendments .
G . Use of Proceeds of Sales . The proceeds of the sale of assisted areas and facilities must
be held by the State or the Applicant and be disposed of only in accordance with a plan
approved by the Director .
VIII . GENERAL PROVISIONS
A . Conflict of Interest
1 . No official or employee of the Applicant who is authorized in his official capacity
to negotiate , make , accept , or approve , or to take part in such decisions regarding
a contract or subcontract in connection with this project shall have any financial
or other personal interest in any such contract or subcontract .
2 . No person performing services for the Applicant in connection with this project
shall have a financial or other personal interest other than his employment or
retention by the Applicant in any contract or subcontract in connection with this
project . No officer or employee of such person retained by the Applicant shall
have any financial or other personal interest in any real property acquired for this
project unless such interest is openly disclosed upon the public records of the
Applicant , and such officer , employee or person has not participated in the
acquisition for or on behalf of the Applicant .
3 . No member of or delegate to Congress shall be admitted to any share or part of
this agreement , or to any benefit to arise here from , unless such benefit shall be
in the form of an agreement made with a corporation for its general benefit .

4 . The Applicant shall be responsible for enforcing the above conflict of interest
provisions .
B . Political Activity
No officer or employee of the Applicant whose principal employment is in connection with
any activity that is financed in whole or in part pursuant to this agreement shall take part
in any of the political activity prohibited in the Hatch Political Activity Act , 5 U . S . 0 Sec
118K ( 1964 , and as subsequently amended) with the exceptions therein enumerated .
Co Non- discrimination
L The Applicant shall not discriminate against any person on the basis of race ,
color , religion , sex , age , disabililty or national origin in the use of any property
or facility acquired or developed pursuant to this agreement .
2 . The Applicant shall comply with the terms and intent of Title VI of the Civil
Rights Act of 1964 , 78 stat . ( 1964) , and with the regulation promulgated pursuant
to such Act by the Secretary of the Interior and contained in 43 CFR 17 ( 1964) .
3 . The Applicant shall not discriminate against any person . on the basis of residence ,
except to the extent that reasonable differences in admission or other fees may be
maintained on the basis of residence .
D . Flood Disaster Protection
The Applicant agrees to comply with the terms and intent of the Flood Disaster Protection
Act of 1973 ( Public Law 93 -234) and all applicable regulations and procedures
implementing that Act . The Applicant will comply with the provisions of: Executive
Order 11988 , relating to evaluation of flood hazards ; Executive Order 11288 , relating to
the prevention , control , and abatement of water pollution ; and Executive Order 11990
relating to the protection of wetlands .
E . Compliance
1 . The Applicant shall be responsible for compliance with the terms of this
agreement by any other political subdivision or public agency . to which funds are
transferred pursuant to this agreement . Failure by such political subdivision or
public agency to comply shall be deemed failure by the responsible Applicant to
comply with the terms of this agreement .
2 . The Applicant will insure that the facilities under its ownership , lease or
supervision which shall be utilized in the accomplishment of the project are not
listed on the Environmental Protection Agency ' s ( EPA) list of Violating Facilities ,
pursuant to 40 CFR , Part 15 . 20 and that it will notify the State of the receipt of
any communication from the Director of the EPA Office of Federal Activities
indicating that a facility to be utilized in the project is under consideration for
listing by the EPA . The Applicant agrees to comply with all applicable standards ,
orders , or regulations issued pursuant to the Clean Air Act of 1970 .

F . Manual
The Applicant shall comply with the policies and procedures set forth in the Land and
Water Conservation Fund Grants - in-Aid Manual published by the National Park Service ,
United States Department of the Interior .
IX . AUDIT REQUIREMENTS
A . The Applicant shall perform a financial audit annually in accordance with the requirements
of the Single Audit Act of 1984 and OBM Circular A428 , " Audit Requirements for State
and Local Governments . "
B . The Applicant shall provide copies of the audit report to the State .
X . MINORITY BUSINESS ENTERPRISE DEVELOPMENT
A . The Applicant agrees to comply with the requirements of Executive Order 12432 ,
Minority Business Enterprise Development , which encourages greater economic
opportunity for minority entrepreneurs .
XI . FEDERAL ANTI-LOBBYING REQUIREMENTS
A . The Applicant agrees to comply with the requirements of federal law (Sec . 319 , P . L . 101 -
121 ) , which prohibits the recipients of federal grants , cooperative agreements , loans or
contracts from using federally appropriated dollars for the payment of persons for
lobbying activities involving the securing of more federal dollars . The Applicant must
provide a disclosure of the use of non- federal funds for these purposes . If any funds other
id to persons for lobbying activities for more than federal appropriated funds will be pa
federal dollars , the Applicant must complete and submit Standard Form LLL , " Disclosure
Form to Report Lobbying , " in accordance with its instructions .
XII . DEPARTMENT OF DEFENSE APPROPRIATIONS ACT
A . The Applicant shall comply with Section 8136 of the Department of Defense Appropria-
tions Act which provides that : " When issuing statements , press releases , requests for
proposals , bid solicitations , and other documents describing projects or programs funded
in whole or in part with Federal money , all grantees receiving Federal funds , including
but not limited to State and local governments , shall clearly state ( 1 ) the percentage of the
total cost of the program or project which will be financed with Federal money , and ( 2)
the dollar amount of Federal funds for the project or program . "
XIII . DRUG FREE WORKPLACE
A . The Applicant shall comply with the requirements of the Drug - Free Workplace Act of
1988 (43 CFR Part 12 , Subpart D) .
