FY 2016-17 NORTH CAROLINA CONSULTING SERVICES AGREEMENT RFP---UNDER $90,000 ORANGE COUNTY This Agreement, made and entered into this 4th day of October, 2016, (“Effective Date”) by and between Orange County, North Carolina a body politic and corporate of the State of North Carolina (hereinafter, the "County") and Federal Engineering, Inc., (hereinafter, the "Consultant"). WITNESSETH: That the County and Consultant, for the consideration herein named, do hereby agree as follows: ARTICLE 1 SCOPE OF WORK 1.1 Scope of Work 1.1.1 This Services Agreement (“Agreement”) is for professional consulting services to be rendered by Consultant to County with respect to (insert type of project): Countywide Radio Communications Interoperability and Systems Engineering Consulting Services. 1.1.2 By executing this Agreement, the Consultant represents and agrees that Consultant is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner. 1.1.3 Time is of the essence with respect to this Agreement. 1.1.4 The services to be performed under this Agreement consist of Basic Services, as described and designated in Article 3 hereof. Compensation to the Consultant for Basic Services under this Agreement shall be as set forth herein. ARTICLE 2 RESPONSIBILITIES OF THE CONSULTANT 2.1 Services to be Provided. The Consultant shall provide the County with all services required in Article 3 to satisfactorily complete the Project within the time limitations set forth herein and in accordance with the highest professional standards. 2.2. Standard of Care 2.2.1 The Consultant shall exercise reasonable care and diligence in performing services under this Agreement in accordance with the highest generally accepted standards of this type of Consultant practice throughout the United States and in accordance with applicable federal, state and local laws and regulations applicable to the performance of these services. Consultant is solely responsible for the professional quality, accuracy and timely completion and submission DocuSign Envelope ID: 67496B91-FC0D-4188-A6C5-F7496722386E Revised 9/16 2 of all reports, drawings, specifications, plans, documents and services (hereinafter “Deliverables”) related to the Basic Services. 2.2.2 The Consultant shall be responsible for all errors or omissions, in the deliverables prepared by the Consultant. 2.2.3 The Consultant shall correct at no additional cost to the County any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts in any Deliverables prepared by the Consultant. 2.2.4 The Consultant shall assure that all Deliverables prepared by it hereunder are in accordance with applicable laws, statutes, and that any necessary or appropriate applications for approvals are submitted to federal, state and local governments or agencies in a timely manner so as not to delay the Project. 2.2.5 The Consultant shall not, except as otherwise provided for in this Agreement, subcontract the performance of any work under this Agreement without prior written permission of the County. No permission for subcontracting shall create, between the County and the subcontractor, any contract or any other relationship. 2.2.6 Any and all employees of the Consultant engaged by the Consultant in the performance of any work or services required of the Consultant under this Agreement, shall be considered employees or agents of the Consultant only and not of the County, and any and all claims that may or might arise under any workers compensation or other law or contract on behalf of said employees while so engaged shall be the sole obligation and responsibility of the Consultant. 2.2.7 If activities related to the performance of this agreement require specific licenses, certifications, or related credentials Consultant represents that it and/or its employees, agents and subcontractors engaged in such activities possess such licenses, certifications, or credentials and that such licenses certifications, or credentials are current, active, and not in a state of suspension or revocation. ARTICLE 3 BASIC SERVICES 3.1 Basic Services 3.1.1 The Consultant shall perform as Basic Services the work and services described herein and as specified in the County’s Request for Proposal, RFP Number #5217 for Countywide Radio Communications Interoperability and Systems Engineering Services (the “RFP”) issued January 29, 2016, which is fully incorporated and integrated herein by reference together with the following Attachment: Attachment A, Technical Proposal for: Countywide Radio Communications Interoperability and Consulting Services, Attachment B, Cost Proposal for: Countywide Radio Communications Interoperability and Consulting Services both of which are dated March 1, 2016 and Attachment C, Costs for Additional Procurement Support, dated October 4, 2016. 3.1.2 The Basic Services will be performed by the Consultant in accordance with the following schedule: DocuSign Envelope ID: 67496B91-FC0D-4188-A6C5-F7496722386E Revised 9/16 3 Phase 1 – Needs Assessment and Solution Selection Project Milestones Date* Existing Document Review 2 Project Initiation Meeting 3 Needs Assessment and Requirements Discovery 3 Stakeholders Interviews 3 Site Data and Equipment Inventory Review 4 Deliverable: Draft Orange County Radio Systems Alternatives Report 10 Meeting with Orange County to Review the Draft Report and Select Alternatives 11 Deliverable: Final Orange County Radio System Alternatives Report 11 Deliverable: Draft Orange County Radio System Recommendation Report 14 Meeting with Orange County to Review the Draft Report 15 Deliverable: Final Orange County Radio system Recommendations Report 15 Phase 2 – Procurement Project Milestones Date* Deliverable: Draft Orange County Radio System RFP 18 Deliverable: Final Orange County Radio system RFP 19 Develop Vendor Evaluation Criteria 19 Support Vendor Proposal Evaluation TBD * Date – Number of Weeks after Contract Execution 3.1.3 Should County reasonably determine that Consultant has not met the Milestone Dates established in Section 3.1.2 of this Article, County shall notify Consultant of the failure to meet the Milestone Date. The County, at its discretion may provide the Consultant seven (7) days to cure the breach. County may withhold the accompanying payment without penalty until such time as Consultant cures the Breach. In the alternative, upon Consultant’s failure to meet any Milestone Date the County may modify the Milestone Date schedule. Should Consultant or its representatives fail to cure the breach within seven (7) days, or fail to reasonably agree to such modified schedule County may immediately terminate this Agreement in writing without penalty or incurring further obligation to Consultant. This section shall not be interpreted to limit the definition of breach to the failure to meet Milestone Dates. ARTICLE 4 DURATION OF SERVICES 4.1 Scheduling of Services 4.1.1 The Consultant shall schedule and perform his activities in a timely manner so as to meet the Milestone Dates listed in Article 3. 4.1.2 Should the County determine that the Consultant is behind schedule, it may require the Consultant to expedite and accelerate his efforts, including providing additional resources and working overtime, as necessary, to perform his services in accordance with the approved project schedule at no additional cost to the County. DocuSign Envelope ID: 67496B91-FC0D-4188-A6C5-F7496722386E Revised 9/16 4 4.1.3 The Commencement Date for the Consultant's Basic Services shall be October 1, 2016. ARTICLE 5 COMPENSATION 5.1 Compensation for Services 5.1.1 The total compensation for Services shall not exceed a maximum of Eighty-Nine Thousand Nine Hundred Ninety-Nine dollars ($89,999). 5.1.2 Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the Consultant from the County for all services under this Agreement except for any authorized Reimbursable Expenses which are defined herein. The maximum amount payable for Basic Services is Seventy-Three Thousand Four Hundred Seventy-Seven Dollars ($73,477). Payment for Basic Services shall become due and payable in direct proportion to satisfactory services performed and work accomplished. Payments will be in three payments as Project Milestones set out in Section 3.1.2 are satisfactorily achieved as follows: Project Milestone Payment Schedule Payment Site Data and Equipment Inventory Review Week 4 $25,700 Deliverable: Final Orange County Radio System Alternatives Report Week 11 $37,500 Support Vendor Proposal Evaluation Week 20 $10,277 5.1.3 Compensation for Additional Services. County shall not be responsible for costs related to any services in addition to the Basic Services performed by Consultant unless County requests such additional services in writing. Additional Services are list as “optional services” in Attachment A, Technical Proposal (See §1.2). Additional Services and the cost of those services are outlined in Attachment C, Costs for Additional Procurement Support. The County shall not be responsible for any other services other than those listed in Attachment A or C unless requested in writing an evidenced by an amendment to this Agreement. ARTICLE 6 RESPONSIBILITIES OF THE COUNTY 6.1 Cooperation and Coordination 6.1.1 The County has designated Emergency Services Director to act as the County's representative with respect to the Project and shall have the authority to render decisions within guidelines established by the County Manager and the County Board of Commissioners and shall be available during working hours as often as may be reasonably required to render decisions and to furnish information. 6.1.2 The County shall be solely responsible for determining whether Consultant as satisfactorily completed Tasks associated with Milestone Dates. Upon Count y’s written determination to Consultant that a Task has been satisfactorily completed by its accompanying Milestone Date Consultant may submit an invoice for payment. It is agreed that County shall not unreasonably withhold its determination of satisfactory completion of any Task. In the event the amount of an invoice is disputed County may withhold payment until the dispute is resolved by DocuSign Envelope ID: 67496B91-FC0D-4188-A6C5-F7496722386E Revised 9/16 5 the parties. County may also withhold payment on an invoice until the satisfactory completion of a Task by Consultant. ARTICLE 7 INSURANCE AND INDEMNITY 7.1 General Requirements 7.1.1 Consultant shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers’ Compensation Insurance, Professional Liability Insurance, and any additional insurance as may be required by County’s Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php). If County’s Risk Manager determines additional insurance coverage is required such additional insurance shall be designated here (if no additional insurance required mark N/A as being not applicable). Consultant shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. 7.2 Indemnity 7.2.1 The Consultant agrees to indemnify and hold harmless the County from all loss, liability, claims or expense, including attorney's fees, arising out of or related to the Consultant’s services relating to the Project and arising from bodily injury including death or property damage to any person or persons caused in whole or in part by the negligence or misconduct of the Consultant except to the extent same are caused by the negligence or willful misconduct of the County. It is the intent of this provision to require the Consultant to indemnify the County to the fullest extent permitted under North Carolina law for its negligence or misconduct. ARTICLE 8 AMENDMENTS TO THE AGREEMENT 8.1 Changes in Basic Services 8.1.1 Changes in the Basic Services and entitlement to additional compensation or a change in duration of this Agreement shall be made by a written Amendment to this Agreement executed by the County and the Consultant. The Consultant shall proceed to perform the Services required by the Amendment only after receiving a fully executed Amendment from the County. ARTICLE 9 TERMINATION 9.1 Termination for Convenience of the County 9.1.1 This Agreement may be terminated without cause by the County and for its convenience upon seven (7) days prior written notice to the Consultant. 9.2 Other Termination DocuSign Envelope ID: 67496B91-FC0D-4188-A6C5-F7496722386E Revised 9/16 6 9.2.1 The Consultant may terminate this Agreement based upon the County's material breach of this Agreement; provided the County has not taken all reasonable actions to remedy the breach. The Consultant shall give the County seven (7) days' prior written notice of its intent to terminate this Agreement for cause. 9.3 Compensation After Termination 9.3.1 In the event of termination, the Consultant shall be paid that portion of the fees and expenses that it has earned to the date of termination, less any costs or expenses incurred or anticipated to be incurred by the County due to errors or omissions of the Consultant. 9.3.2 Should this Agreement be terminated, the Consultant shall deliver to the County within seven (7) days, at no additional cost, all Deliverables including any electronic data or files relating to the Project. 9.4 Waiver 9.4.1 The payment of any sums by the County under this Agreement or the failure of the County to require compliance by the Consultant with any provisions of this Agreement or the waiver by the County of any breach of this Agreement shall not constitute a waiver of any claim for damages by the County for any breach of this Agreement or a waiver of any other required compliance with this Agreement. 9.5 Suspension 9.5.1 The County may suspend the work at any time for County’s convenience and without penalty to County upon three (3) days’ notice to Consultant. Upon any suspension by County the Consultant shall discontinue the work and shall not resume the work until notified to proceed by County. ARTICLE 10 ADDITIONAL PROVISIONS 10.1 Relationship of Parties 10.1.1 Consultant is an independent contractor of the County. Neither Consultant nor any employee of the Consultant shall be deemed an officer, employee or agent of the County. Consultant's personnel shall not be employees of, or have any contractual relationship with, the County. 10.2 Limitation and Assignment 10.2.1 The County and the Consultant each bind themselves, their successors, assigns, and legal representatives to the terms of this Agreement. Neither the County nor the Consultant shall assign or transfer its interest in this Agreement without the written consent of the other. 10.3 Governing Law 10.3.1 This Agreement and the duties, responsibilities, obligations and rights of respective parties hereunder shall be governed by the laws of the State of North Carolina. DocuSign Envelope ID: 67496B91-FC0D-4188-A6C5-F7496722386E Revised 9/16 7 Consultant shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Anti-Discrimination Policy. Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit the definition of breach to discrimination. By executing this Agreement Consultant affirms that Consultant and any subcontractors of Consultant are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. Where applicable, failure to maintain compliance with the requirements of Article 2 of Chapter 64 of the General Statutes constitutes Consultant’s breach of this Agreement. By executing this Agreement Consultant affirms Consultant is in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement, Consultant certifies that Consultant has not been identified, and has not utilized the services of any agent or subcontractor, on the Iran divestment list created by the State Treasurer pursuant to G.S. 147- 86.58. 10.4 Dispute Resolution 10.4.1 Any and all suits or actions to enforce, interpret or seek damages with respect to any provision of, or the performance or non-performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County, North Carolina and it is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. The Parties may agree to nonbinding mediation of any dispute prior to the bringing of such suit or action. 10.5 Extent of Agreement 10.5.1 This Agreement, together with the RFQ together with attachments distributed by the County and the Consultant’s submitted Response to the RFQ, all of which constitute the Contract Documents, represents the entire and integrated agreement between the County and the Consultant and supersedes all prior negotiations, representations or agreements, either written or oral. In the event of a conflict among the terms of the Contract Documents, the priority of documents shall be This Agreement, the County’s RFQ, attachments to the County’s RFQ, the Consultant’s Response to the RFQ. This Agreement may be amended only by written instrument signed by both parties. Modifications may be evidenced by facsimile signatures. 10.6 Severability 10.6.1 If any provision of this Agreement is held as a matter of law to be unenforceable, the remainder of this Agreement shall be valid and binding upon the Parties. 10.7 Ownership of Deliverables 10.7.1 All Deliverables, together with all supporting materials, source documentation, data collected, field notes, and working drafts, developed in the performance of this Agreement shall become the property of the County and may be used on any other project without additional compensation to the Consultant. The use of the Deliverables by the County or by any person or entity for any purpose other than the Project as set forth in this Agreement shall be at the full risk of the County. DocuSign Envelope ID: 67496B91-FC0D-4188-A6C5-F7496722386E Revised 9/16 8 10.8 Non-Appropriation 10.8.1 Consultant acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County’s obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Consultant of the unavailability and non-appropriation of public funds. It is expressly agreed that County shall not activate this non-appropriation provision for its convenience or to circumvent the requirements of this Agreement, but only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the County’s statutory authority, mandate and/or mandated functions, by state and/or federal legislative or regulatory action, which adversely affects County’s authority to continue its obligations under this Agreement, then this Agreement shall automatically terminate without penalty to County upon written notice to Consultant of such limitation or change in County’s legal authority. 10.9 Notices and Signatures 10.9.1 This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. 10.9.2 Any notice required by this Agreement shall be in writing and delivered by certified or registered mail, return receipt requested to the following: Orange County Federal Engineering, Inc. This proposal assumes Federal Engineering, Inc. will perform all of the tasks as called out in the technical proposal (excluding optional tasks). The deletion of a task, a significant change in scope of one or more tasks, or use of a phased implementation approach may affect the overall price. 2. FE will provide draft and final deliverables electronically to the Orange County, North p Y Carolina. 3. Any optional or additional tasking will be authorized by mutual agreement of the County and FE. Such tasking will be performed on a time and materials basis or on a fixed price basis as mutually agreed upon in a task order by the County and FE. 4. FE's ability to fulfill this task depends, in part, on the willingness and ability of the Orange County, County participants, equipment vendors, service providers, third parties, and others to provide information in a timely manner, and upon the accuracy of the information as supplied. The accuracy of input data, whether provided in electronic or hard copy form, and the recommendations, actions, system designs, and license filings resulting therefrom cannot, therefore, be warranted by FE nor can the performance, suitability, or reliability of I said systems be warranted by FE. x 5. FE will review two radio system vendor proposals. If additional proposals are received, a mutually agreeable amendment to this SOW will be executed by both parties. 6. This proposal is based upon a start date on or before April 4, 2016 and assumes a 19-week schedule to through RFP delivery to the County. The schedule for procurement will be adjusted after determination of the County's procurement requirements and schedule. Delays to the project schedule due to actions or lack of actions on the part of the County, County participants, third parties, and others including, but not limited to vendor protests, protracted contract negotiations, vendor delays that impact the program schedule and/or costs to the County will be brought to the attention of the County project manager in a timely manner, and will be reduced to writing via a mutually agreed upon contract amendment. k' 7. The current County population estimate is a little over 140,000, representing a consistent double digit growth since the 1950 U.S. Census. The enrollment at UNC adds another 29,000 transient residents, as well as visiting families of students and others who come to participate in academic and athletic events. FE also developed a budgetary cost estimate for the system. FE continues to provide implementation oversight services for the first Phase 2 implementation by Cassidian. Most recently, the county selected FE to perform a needs assessment to ascertain the system requirements to provide the required coverage and capacity, verify spectrum availability, number of user subscribers and ensure that the system provides interoperability with the county's existing P25 700/800 MHz system that covers the interior of the jail complex and the campus grounds. Upon county agreement to the requirements resulting from the needs assessment, FE generated an RFP soliciting vendors to provide this system. Yadkin County, North Carolina—FE was selected assist with the procurement process of acquiring a new public safety radio system to comply with FCC narrowbanding requirements. Wide band versus narrow band radios 3. Analog, digital or combination including P25 Phase I and II air interface compatibility 4. Encryption options and capabilities 5. A single infrastructure to serve the combined needs of all users in the County, or ii. Two or more infrastructures (one or more to serve the urban/metro area, and/or one or more to serve the areas outside the urban/metro area)with appropriate interoperability capabilities 8. Both of these types of interference can degrade audio quality when a subscriber unit's antenna simultaneously receives signals broadcast from different sites. Obtain and submit budgetary costs for alternatives presented, and assist the review committee to prioritize acquisitions and implementation Using our in-house FECostProTM tool, FE will estimate the cost of each viable alternative. This high-level, quantitative analysis relies on our team's knowledge base, which spans numerous similar county projects. Cost estimates will be further refined for the single alternative chosen by the County review committee. 3.2.9 Migration Plan (RFP 5.C.5) 5. Develop a comprehensive migration plan for all current infrastructure users. Orange County will benefit from our experience preparing migration plans for hundreds of public safety entities, including municipalities, counties, and states. FE will work with the County to define a user migration plan for the selected solution. A comprehensive transition plan for all current infrastructure users to the new/proposed infrastructure. The plan shall be designed to ensure no loss of functionality and/or capabilities during the transition. FE will include migration planning considerations in the Orange County Radio System Alternatives Report. 3.2.10 Acquisition and Implementation Process Recommendation (RFP 5.C.6) 6 Recommend and submit a planned acquisition and implementation process based on the option approved by the review committee. FE has extensive experience working with clients to determine the best means of procurement. Our expertise allows our clients to realize significant cost savings in their system implementations. FE will work closely with the Orange County project manager and purchasing organization to determine the best means of procuring the new radio system. This will entail analyzing the alternatives outlined in Section 5.B.3.g of the County's RFP and recommending the best alternative for the selected system solution. 3.2.11 Generation of Recommendations Report At the conclusion of the above tasks and before the procurement phase of this project, FE will deliver to the County, a draft Orange County Radio System Recommendations Report. FE will meet with the County to review the report, gather comments, and then issue a final report. This final report will serve as the basis for the development of the equipment vendor RFP. 3.2.12 Vendor Neutral RFP Development (RFP 5.C.7) 7. Development of a vendor-neutral Request for Proposal(RFP) suitable to be released to the vendor community for the purposes of procuring the approved alternative. FE will develop a set of technical specifications for an Orange County public safety P25 radio system based on the County-approved requirements and selected solution for use in an RFP. These specifications will describe the radio system's functional and performance requirements in sufficient detail for vendors to submit consistent proposals, will be verifiable through future acceptance testing, and will stress the use of existing investments wherever possible. The detailed design of the system will be left to the radio system vendor to allow for innovative approaches and to ensure the vendor remains responsible for system performance in accordance with the specifications. These specifications will be the foundation for vendor proposal evaluation and as acceptance criteria. FE's specifications are properly crafted to tightly define performance and at the same time encourage competition and innovation. Facilitation of the RFP process, including staff support to the County in conducting a comprehensive evaluation of RFP responses received. These options are not priced in this proposal; however, pricing can be provided upon County request. Radio System Vendor Contract Negotiations—FE can provide the County with experienced contract negotiations support. As an example, in one of our current county projects in Virginia, our negotiations resulted in a savings of approximately 40 percent of the total cost of the system. Grant Research and Application Support—FE can assist with researching grant and other funding sources to subsidize the implementation of the County's system. We can also assist with completing and submitting applications. Implementation Oversight and Management—FE is fully capable of providing unbiased and objective implementation oversight and management services should the County desire. Many of FE's clients who have contracted our firm to provide needs assessment, design, and/or procurement services have also retained FE to oversee implementation. FE can provide these services to Orange County as well, refining the activities based on the final radio system specifications and approved vendor contract. FE will tailor its approach to your particular needs, gaining a thorough understanding of the legal and policy underpinnings of your current structure as well as an informed view of its strengths and challenges through both documentary research as well as interviews with informed governance participants. Working with the procurement manager, our senior consultant will respond to any technical questions and assist the County in drafting the addendum to vendors. 3. Vendor BAFO Presentations: FE will support the County in preparing the agenda and coordinating with the short-listed vendors for the best and final presentations to be held at the County's offices over two consecutive days. Contract Negotiations: The level of effort for contract negotiation support can vary greatly depending upon the winning system vendor and the County's procurement practices. FE will review the vendor contract and provide one senior consultant for 16 hours of teleconferenced negotiation support to the County during the vendor contract negotiation process. If additional hours or on-site support are required, a mutually agreeable amendment to the scope of work will be executed by both parties. 5. Introduction and background The purpose of this document is to provide interested parties with information to enable them to prepare and submit a proposal for Radio Communications Interoperability and Systems Engineering Services The County, as represented by its Orange County Emergency Services Department, intends to use the results of this process to award a contract for Radio Communications Interoperability and Systems Engineering Services. Z.B. Scope of the Project B.1.1. Project Description Orange County is soliciting proposals to provide professional consulting, planning, and facilitation services relative to its short and long-term Radio communications and interoperability needs. The purpose of the study is to determine the most economical, efficient, reliable and state-of-the-art method for designing and provisioning a new countywide radio communications systems used by local government entities to meet the long term voice communications, paging, and voice interoperability needs of the emergency and non-emergency agencies serving residents,workers, and visitors of Orange County. B.1.2. Objectives Orange County seeks strategic and tactical plans that will review and analyze the current and future requirements for all law enforcement, fire, EMS, public works, schools, planning/inspections,transit, and other County and local government voice and interoperability communications requirements. Orange County requires a plan that will best meet short and long term interoperability needs and addresses other communications system(s) issues such as capacity, RF coverage, features and capabilities along with outlining how the County's current or envisioned systems will be able to migrate towards and integrate with future technologies. The ultimate output of the selected consultant's work shall be development of a vendor-neutral Request for Proposal (RFP) based on recommendations made by the consultant and approved by the committee, suitable to be released to the vendor community for the purposes of procuring the approved alternative, and the development of criteria for ultimate vendor selection. Background The Orange County Emergency Communications Center currently dispatches law enforcement, fire, EMS and all County and local municipality users. The County's existing emergency services (public safety) radio system is a State owned and operated P25 trunked 800MHz system named VIPER. The County operates a VHF voice-tone paging system that is used to page out the fire departments. Much of the VHF infrastructure equipment is aging and is beyond or very near the end of its life expectancy. In addition to the VIPER and County VHF Paging systems,there are numerous other radio systems in operation within the County that are in various stages of decay. Solid Waste and Orange County Transportation and local governments, including the Towns of Carrboro, Chapel Hill, and Hillsborough operate their own, distinct radio systems for various services such as Public Works,Transit, Schools, etc. The Orange Water and Sewer Authority (OWASA) also operate a distinct radio system. Communications issues that have been problematic in many areas of the County including overloading the VIPER system, tower channel imbalance, lack of coverage in all areas of the county, lack of coverage inside buildings, lack of a clear direction on a system design, new partnerships creating changing needs, and cost of ownership have hindered Orange County in reaching a solution to its radio communications system needs. While the County has conducted numerous studies of radio communications, none of these studies has been definitive. None of these studies have provided enough information to provide a clear direction for the policy makers and decision makers in the County to identify a solution to the problem. 1.c. Procuring and Contracting Agent This Request for Proposal (RFP) is issued by the Orange County Purchasing Agent,who is the sole point of contact for the County during the selection process. Multiple Proposals Multiple proposals from a vendor will be permissible however each proposal must conform fully to the requirements for proposal submission. Oral Presentations and Site Visits Selected vendors may be required to make oral presentations and/or site visits to supplement their proposals, if requested by the County. The County will make every reasonable attempt to schedule each presentation at a time and location that is agreeable to the proposer. Failure of a proposer to conduct a presentation to the County on the date scheduled may result in rejection of the vendor's proposal. 3.0 PROPOSAL SELECTION AND AWARD PROCESS 3.A. Preliminary Evaluation The proposals will first be reviewed to determine if requirements in Section 2.0 are met, and if additional mandatory requirements are met (see Section 4.0). Failure to meet mandatory requirements will result in the proposal being rejected. In the event that all vendors do not meet one or more of the mandatory requirements,the County reserves the right to continue the evaluation of the proposals and to select the proposal which most closely meets the requirements specified in this RFP. Proposal Scoring Accepted proposals will be reviewed by an evaluation committee and scored against the stated criteria. The committee may review references, request oral presentations, and conduct an on-site visit and use the results in scoring the proposals. 3.C. Right to Reject Proposals and Negotiate Contract Terms The County reserves the right to reject any and all proposals and to negotiate the terms of the contract, including the award amount,with the selected proposer prior to entering into a contract. If contract negotiations cannot be concluded successfully with the highest scoring proposer,the County may negotiate a contract with the next highest scoring proposer. 3.1). Notification of Intent to Award As a courtesy,the County may send a notification of award memo to responding vendors at the time of the award. Project Schedule and Work Plan As part of this proposal the vendor must submit a proposed project work plan and schedule. The vendor must identify all assumptions and constraints on which the project schedule and work plan are based. 4.G. Proposer References Proposers must include in their RFP a list of organizations, including points of contact (name, address, and telephone number),which can be used as references for work performed in the area of service required. Selected organizations may be contacted to determine the quality of work performed and personnel assigned to the project. The results of the references will be provided to the evaluation team and used in scoring the written proposals. 5.0 SCOPE OF WORK S.A. Introduction and Definitions The following is intended to illustrate the types of services that will be required of the consultant. It is not intended to exclude other services that the consultant believes to be necessary and is able to provide. The actual scope of the work will be determined upon selection of the consultant and shall be mutually agreed upon by both parties. For purposes of responding to this RFP the communications infrastructure shall be understood to include: 1. Two-way radio infrastructure and equipment (base, mobile, portable, pager, fixed receiver) for all County and Town end users serving the residents, workers, and visitors in Orange County that is interoperable with the State VIPER system, our surrounding Counties, and the University of North Carolina - Chapel Hill 2. Communications infrastructure backbone (microwave, fiber, or other) 3. Study Expectations The scope of the study shall include a voice and paging communications infrastructure that enables operability and interoperability to best meet short and long term needs for all agencies served by the Orange County Emergency Communications Center 1. Recommendations as to a proposed approach to the overall study, including: a. Identification of key project milestones. b. Number of expected meetings with the review committee. c. Recommended timeline for the project, mapped out for compatibility with the County budgeting cycles. d. Recommendations on effective stakeholder engagement throughout the process. 2. Development of a comprehensive needs analysis addressing functionality, capability and needs of all current infrastructure users. Inputs shall include information obtained from current infrastructure users and previous studies completed for Orange County. 3. Presentation of infrastructure alternatives to the review committee for the purposes of narrowing the alternatives down to one (1) recommended solution to be approved by the committee that will be the basis of the balance of the project. Alternatives that will be presented shall include pros, cons, advantages, disadvantages, issues and considerations specific to the needs of Orange County users, including, but not limited to: a. Frequency range (low band, high band, UHF, 700, 800), and analysis of spectrum availability within each frequency range b. Wide band versus narrow band c. Analog, digital or combination, including P25 Phase I and II air interface compatibility d. Operating protocol (conventional,trunking, combination) f. One infrastructure or more, meaning: i. A single infrastructure to serve the combined needs of all users in the County, or ii. Two or more infrastructures (one or more to serve the urban/metro area, and/or one or more to serve the areas outside the urban/metro area) with appropriate interoperability capabilities g. Procurement scope, meaning: i. County procures the core infrastructure, and each user entity (Town, OWASA, Schools, and other end users) must procure their own end-user equipment (base, mobile and portable radios, and pagers) ii. County procures all core infrastructure and all end user entity equipment (based on the number of end user equipment items in service at the time of the needs analysis) iii. County procures all core infrastructure and all end user entity equipment, but individual end user entities need to procure infrastructure enhancements to improve coverage or other issues above and beyond what is provided by the current infrastructure h. With respect to the potential options above, interoperability with: i. Agencies serving Orange County residents both on a day-to- day and event related basis. Note: This includes State of North Carolina and University of North Carolina entities, and fire and EMS entities in adjoining Counties that serve territories in Orange County. ii. Interoperability with adjoining County Emergency Service entities (for adjoining County units responding into Orange County, and for Orange County units responding into adjacent Counties). i. Options in (g) shall be presented with detailed propagation studies at standards levels consistent with identified end user needs as approved by Committee. Options analyzed, presented and recommended for consideration shall represent an enabling infrastructure, meaning the infrastructure needs to enable the end users to meet their identified needs, not adapt their needs to the recommended alternative. 4. Once an option in (g) is selected and approved by the review committee: a. Develop a comprehensive cost analysis b. Develop a comprehensive transition plan for all current infrastructure users to the new/proposed infrastructure. The plan shall be designed to ensure no loss of functionality and/or capabilities during the transition. c. Develop a vendor-neutral Request for Proposal (RFP) suitable to be released to the vendor community for the purposes of procuring the approved alternative. Facilitation of the RFP process, including staff support to the County in conducting a comprehensive evaluation of RFP responses received. 5.C. Work to Be Performed Expectations of work to be performed include: 1. Meet with management personnel and end users of the current infrastructure to develop a comprehensive needs analysis addressing functionality, capability and needs of all current infrastructure users. A draft needs analysis shall be presented to the end-users for validation in at least two group meetings, and then to the committee for final approval. 2. Gather, analyze, and document operational, functional, and specific technical information of existing fixed sites and associated equipment for various emergency service departments that serve Orange County residents (may be an Orange County based agency or a Department in a County adjacent to Orange County that serves/protects geography within Orange County), or Orange County emergency service departments that serve residents outside Orange County in order to understand the present status of our communications capabilities. 3. Review interoperability needs with all agencies serving citizens and/or territory within the county and those law and fire/EMS agencies bordering Orange County, including gateway or P25 ISSI needs for users RFP#5217 16 DocuSign Envelope ID:67496B91-FCOD-4188-A6C5-F7496722386E Countywide Radio Communications Interoperability and Systems Engineering Services not served by the proposed infrastructure (i.e.: ambulances from outside Orange County needing inter-communications with Orange County based hospitals) as may be identified. 4. Conduct and analyze coverage studies of proposed infrastructure based on multiple tower sites in order to provide countywide coverage including the potential of new communications sites, additional "satellite" receiver sites, and/or paging sites. 5. Develop a comprehensive migration plan for all current infrastructure users. 6. Recommend and submit a planned acquisition and implementation process based on the option approved by the review committee. 7. Development of a vendor-neutral Request for Proposal (RFP) suitable to be released to the vendor community for the purposes of procuring the approved alternative. 8. Facilitation of the RFP process, including staff support to the County in conducting a comprehensive evaluation of RFP responses received. 9. Create and submit computer aided design (CAD) drawings as required. 10. Obtain and submit budgetary costs for alternatives presented, and assist the review committee to prioritize acquisitions and implementation S.D. Deliverables 1. Documentation and assessment of existing communications capabilities; including review, summarization and validation of previous documents and studies. 2. Analysis of interoperability gaps as provided through interviews of the various existing infrastructure users. 3. Coverage maps depicting current public safety infrastructure user performance for both mobile and portable radios, and paging receivers,to verify gaps as noted from the various interviews. 4.
