ORANGE COUNTY CONTRACT AMENDMENT#1

THIS CONTRACT AMENDMENT ("Amendment") is made and
entered into this 5th day of December 2018 by and between ORANGE
COUNTY (hereinafter referred to as "County") and S&ME, (hereinafter
referred to as"Consultant").
WITNESSETH:
THAT WHEREAS, the County and Consultant entered into a contract
dated 20 November, 2018 (internally designated as 2018-758), for the
provision of services to the County (hereinafter the "Original Agreement");
and

WHEREAS, the County and Consultant desire to modify the Original
Agreement while keeping in effect all terms and conditions of the Original
Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration for the mutual covenants and
agreements made in the Original Agreement and herein, the parties agree to
amend the Original Agreement as follows:
1. Section 3.1.2 shall be amended to include a Task 2 as follows:
"2. Above Ground Landfill Gas Survey (1 Day) and Project
Management, Coordination and Support (1 Field Day) in
accordance with Addendum #2 (Cost Adjustment Budget Estimate,
Attached)."
2. Addendum #2 (Cost Adjustment Budget Estimate) is attached to this
Amendment with Task. Order 483DP-5 being incorporated by reference
therein,
3. The maximum amount payable in Section 5.1.1 shall be revised to Thirty
Two Thousand, Four Hundred Eighty Two Dollars and Five Cents
($32,482,05).

4. Except for the changes made herein, the Original Agreement shall
remain in full force and effect to the extent it is not inconsistent with
this Amendment.

Scope of Services:
As requested by the County in email[Fated December 4,2018,S&ME is submitting this cast adjustment request for one day of above-ground vapor screening,
which will be performed as described in the approved Task Carder 483DP-5 for the Hillsborough Dump.
