NORTH CAROLINA
ORANGE COUNTY CONTRACT AMENDMENT #1
THIS CONTRACT AMENDMENT ("Amendment") is made and
entered into this Eight day of November 2018 by and between ORANGE
COUNTY (hereinafter referred to as "County") and Wrike, Inc., (hereinafter
referred to as "Provider").
WITNESSETH:
THAT WHEREAS, the County and Provider entered into a contract dated
31 October 2018 (titled WRIKE SERVICES AGREEMENT (OCIT-WRIKE
PMSOFT) and internally designated as 2018-719), for the provision of
services (Software Implementation for OCIT - SaaS) to the County
(hereinafter the "Original Agreement"); and
WHEREAS, the County and Provider desire to modify the Original Agreement
while keeping in effect all terms and conditions of the Original Agreement not
inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration for the mutual covenants and
agreements made in the Original Agreement and herein, the parties agree to
amend the Original Agreement as follows:
1. The Term of the Original Agreement found in section 4(a) is hereby
amended to be from 11/02/2018 to 11/01/2019; and,
2. The quote sheet “Attachment A” be replaced in its entirety with the
Revised Quote Sheet “Attachment B” as attached to this document;
and,
3. Except for the changes made herein, the Original Agreement shall remain
in full force and effect to the extent it is not inconsistent with this
Amendment.
IN TESTIMONY WHEREOF, this Amendment has been executed by the
parties hereto, as of the date first above written.

All prices are in US dollars USD. All prices do not include any state and local taxes that may apply. Any such taxes are the responsibility of the
Customer. If you have purchased Professional Services, you must start the implementation process within 30 days. Additional costs for travel
expenses related to Professional Services, if any, will be reimbursed with Licensee’s prior consent. Professional Services shall be deemed delivered
in accordance with the applicable Statement of Work. This is not an invoice.
* Should customer elect to pay via credit card for future invoices, all amounts due will be charged immediately upon issuance of invoice with credit
