HomeMy WebLinkAbout2018-733-E Housing - Urban Design Ventures contract amendment DocuSign Envelope ID:A6B1F58D-A990-4489-BE3C-44337FD5B395 NORTH CAROLINA CONTRACT AMENDMENT ORANGE COUNTY THIS CONTRACT AMENDMENT ("Amendment") is made and entered into this 2nd day of November, 2018 by and between ORANGE COUNTY (hereinafter referred to as "County") and Urban Design Ventures, LLC (hereinafter referred to as "Consultant"). WITNESSETH: THAT WHEREAS, THE County and Consultant entered into a contract dated August 16, 2018, (hereinafter the "Original Agreement"), for the provision of consulting services as it relates to the preparation of the FY 2017 Consolidated Annual Performance and Evaluation Report (CAPER ) for Orange County; and WHEREAS, the County and Consultant desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. In order to ensure the completion of the needed services, the term of the Original Agreement is amended to reflect an end date by which all services shall be completed by January 31, 2019. 2. Exhibit I to the Original Agreement is amended by adding the following tasks and services to the Services to be provided by the Consultant: • Prepare materials for and present at the 2-day HOME Training Event for sub- recipients, potential sub-recipients and CHDOs for the Orange County HOME Consortium. • Provide HOME Technical Assistance including the tasks listed below as assigned by the Director of the Department of Housing and Community Development: o Assistance, as needed, in the preparation of environmental clearance and release of funds from HUD for HOME activities. o Preparation of any program modification or amendments to the approved HOME Program Year. DocuSign Envelope ID:A6B1F58D-A990-4489-BE3C-44337FD5B395 o Provide advice and assistance in the review of requests for funding for housing development from local agencies, CHDOs, nonprofits, housing developers, etc. o Review of documentation for recertification of CHDO organizations. o Assist with the HOME Program drawdowns, projects/activities setup, and reporting accomplishments in IDIS. o Provide assistance in addressing HOME questions, as needed. o Assistance in administering the HOME Consortium Program, as needed. o Assistance with the review and set-up of HOME project files. o Develop a checklist of what needs to be included in all HOME Consortium project files. o Prepare subsidy layering analysis for projects, as needed. o Assist nonprofit organizations which could potentially become a CHDO Organization. 3. Article 5, Section 5.1.1 is amended to reflect a maximum payable not-to-exceed amount of 20 250. 4. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is no inconsistent with this Amendment. In the event that there is a conflict between the Original Agreement and this Amendment, this Amendment shall control. Our firm would welcome the opportunity to be selected to assist Orange County with this HOME 2-Day Training Event on November 14th and 151", UDV staff will prepare for and present at the 2-day HOME Training Event for potential sub-recipients and CHDOs for the HOME Consortium. Compensation — The lump sum amount to assist with this event is $5,000, which includes preparation for the training, flights to and from Pittsburgh to Raleigh-Durham Airport, hotel, rental car, and UDV staff hours. We provide planning consulting services for housing, community and economic development projects, redevelopment projects, rehabilitation programs, urban studies, and architectural services. Our firm will commit the staff and resources necessary to meet the quality and schedule expectations by Orange County. Scope of Services — The HOME Technical Assistance will include the tasks listed below as assigned by the Director of the Department of Housing and Community Development: 1. Compensation — The hourly rate schedule for planning assistance for the staff of Urban Design Ventures, LLC is as follows: ■ Walter J. Haglund, President $1601hour ■ Karl M. Haglund, Vice President $140fhour • David A. Jordan, Senior Planner $1201hour Jon G. Haglund, Senior Planner $110/hour ■ Keith S. Portugal, Planner 1 $ 901hour ■ Brandon T. Wilson, Planner 1 $ 901hour In addition, there will an expense charged for each travel to Orange County. These charges will include: travel time, airfare, lodging, and rental car fees. UDV would submit with its invoices the documentation for these costs. UDV Staff would assist the Orange County staff as needed, for a twelve (12) week period to include the tasks assigned by the Director of the Department of Housing and Community Development, with a not to exceed amount of $9,250. UDV will bill the County on a monthly basis.
