Dear Kevin:
Draper Aden Associates appreciates the opportunity to provide the following proposal to
Orange County Solid Waste Management (Client) for preparation of design plans for the proposed
renovation of the High Rock Road Waste and Recycling Center in Efland, NC. The project involves
the modernization of an existing waste disposal convenience center to include site paving, new
waste compactors, and on-site water and sewer provisions to serve the attendant office.
PROPOSED SCOPE OF WORK
Draper Aden Associates (DAA) will provide professional services as outlined below. The
proposed scope of work has been prepared in general accordance with the engineering standard
of practice and discussions of the project with the Client and consists of the following detailed
services:
TASK 1 DESIGN PHASE SERVICES:
1.Preliminary Site & Grading Plan
DAA will prepare an overall preliminary site and grading plan for discussion with the Client.
This plan will indicate locations of buildings, compactors, dumpsters, other waste disposal
areas, parking areas, driveways, entrances and other pertinent data as required for review
and approval of the design concept. We will then review the revised preliminary site plan
and grading plan with the Client and incorporate review comments into the construction
documents.
2.Construction Documents
Based upon conceptual layout dimensions and a footprint of the proposed buildings,
dumpsters, and compactors (assumed to be the same as those from the Eubanks Road
project, unless provided otherwise by the Client), DAA will complete the site design and
prepare Construction Documents. Construction Documents will be prepared in

accordance with the requirements of the Orange County Planning Department. Specific
scope items included for the Construction Documents submittal are as follows:
Demolition Plan – DAA will prepare a site demolition plan to show the removal of the
existing structures and other improvements located within the work area. The plan will
include notes to direct the contractor to the level of demolition necessary to begin work
on the modified site.
Site Layout Plan – DAA will prepare a Site Layout Plan for the proposed modification based
on dimensional information provided by the Client. The site layout plan will typically show
the following items: building setbacks, adjoining streets, access drives, parking and
loading areas, fencing, limits of asphalt and/or gravel areas, typical dimensions and
additional information as may be required by the Orange County Site Plan Submission
Requirements.
Grading & Drainage Plan –DAA will prepare a Grading & Drainage plan for the proposed
improvements. This plan will show both existing and proposed contours along with spot
elevations as necessary.
Stormwater Quality and Quantity Permitting – It is DAA’s understanding, per the client,
that no new storm water control features will be needed for the project.
Utility Plan – It is assumed that no extension of water and/or sewer utility mains will be
required such that a Utility Plan will not be prepared and is not included in this scope of
services. Water services and well location to the new building(s) will be depicted on the
site layout plan
Erosion Control Plan: It is assumed that this project will result in the disturbance of less
than 1 acre of land such that an Erosion & Sedimentation Control Permit will not be
required. However, since there will still be land disturbance, the project will still require
erosion and sediment control measure. DAA will develop a plan for the contractor to
follow and will indicate appropriate erosion control measures on the Erosion Control Plan.
DAA will also prepare the necessary calculations to appropriately size the control
measures.
Planting and Buffer Plan: The Landscape Plan will be prepared to address local permitting
requirements for the modified site (if required). Preparation of an irrigation plan is not
included in this proposal.
Structural Design Plans – DAA will prepare the appropriate structural plans, detail sheets,
cross sections, and profiles to detail the proposed concrete pads and bollards. Structural
engineering will include the designs and details required for the preparation of
construction documents which will include the structural specifications and pad details.
Electrical Design Plans – DAA will prepare a set of electrical site design plans for the project.
The site plan will depict the new site lighting, location of the empty conduits for the
security cameras (design of security and camera system not included within the scope). A
photometric plan will be provided to obtain approval from the County. Power and lighting

design will be provided for the revised site. Necessary details, panel schedules, and fixture
schedules will be included.
Construction Detail Sheets – DAA will prepare required construction detail sheets for the
project associated with erosion control, pavement sections, and other details as may be
required. Any specialty details required by the project should be provided to DAA by
Client.

3.Project Manual
Draper Aden Associates will prepare a Project Manual for the work associated with the
proposed improvements described above. The Project Manual will consist generally of
Contract Documents, General Conditions and other related documentation including
formats for Pay Requests and Change Orders, and Technical Specifications for the work.
Standard readily available forms will be used to the extent practical. The manual will be
provided to the Owner in electronic format, and up to five printed copies will be made
available. The project manual will be prepared in a format acceptable to the Owner. DAA
will attend a meeting to present final Construction Documents to the Owner for review.
4.Opinion of Probable Construction Costs
Draper Aden Associates will prepare an updated opinion of probable construction costs
for the project at the 50% drawing level and at the final Construction Document (CD) level.
The 50% Design opinion of probable construction costs will be reviewed with the Owner
to identify potential phasing of the work, scope items for deletion or scope items to be
made into bid alternates. The CD level opinion of probable construction costs will be
generated and provided to the Owner to demonstrate compliance with the project budget
prior to advertising for bid.
Draper Aden Associates opinions of probable construction cost are to be made on the
basis of Draper Aden Associates’ experience and qualifications and represent Draper Aden
Associates’ best judgment as an experienced and qualified professional generally familiar
with the construction industry. However, because Draper Aden Associates has no control
over the cost of labor, materials, equipment, or services furnished by others, or over
contractors’ methods of determining prices, or over competitive bidding or market

conditions, Draper Aden Associates cannot and does not guarantee that proposals, bids,
or actual construction cost will not vary from opinions of probable construction cost
prepared by Draper Aden Associates.
TASK 2 PERMITTING PHASE SERVICES:
Consultant will assist Client with obtaining site plan approvals by preparing permit
applications, responding to review comments, and making plan revisions related to plan
review comments. Payments of all permit application or other regulatory fees will be the
responsibility of the Client. The anticipated permitting authorities applicable to this site
include:
x Site development review (Orange County)
x Erosion & Sedimentation Control (Orange County)
x Driveway Permit (NCDOT)- Include notification of any revisions to the existing
driveway.
TASK 3 BID ADMINISTRATION SERVICES
DAA will assist the Owner in advertising the project for bid, conduct a prebid meeting,
issuing addenda as necessary, conducting a bid opening, evaluate the bids received, and
recommendations of award to the Owner. Upon Award of the Bid, DAA will prepare and
assist the Owner in proper execution of the contract documents, respond to contractors’
questions and provide technical support through the contracting process. We will assist
the Owner in obtaining and reviewing construction contract documentation and other
preliminary actions through issuance of formal Notice-to-Proceed.
TASK 4 CONSTRUCTION PHASE SERVICES
DAA will perform Construction Phase Services as follows:
a.Consult with Owner and act as Owner’s representative as provided in the
Construction Contract.
b.Review product submittals and shop drawings from the selected Contractor for
compliance with regulatory and design specifications.
c.Coordinate and oversee the pre-construction meeting.
d.Perform site visits as necessary to observe utility installation and testing, building
construction, review as-built information provided by contractor, inspect site
construction for compliance with approved plans, and address field questions by
contractor. Observations by DAA are not intended to be exhaustive or intensive in
nature, but to verify general compliance with standards and approved plans based
on DAA personnel’s professional judgment. Upon the completion of the site visit,
a written report will be issued to the Owner indicating observations, and specifically
any deficiencies in the work that may need to be addressed.
e.Issue necessary clarifications and interpretations of the Contract Documents as
appropriate to the orderly completion of Contractor’s work. Su ch clarifications and

interpretations will be consistent with the intent of and reasonably inferable from
the Contract Documents. Subject to limitations in the Contract Documents, Draper
Aden Associates may issue field orders authorizing minor variations in the Work
from the requirements of the Contract Documents.
f. Recommend change orders and work change directives to Client as appropriate,
and prepare change orders and work change directives as required.
g.Review Contractor’s applications for payment and, if found to be consistent with
the level of work performed, make recommendation to the Owner of payment.
h.Produce the necessary project closeout and certification documents necessary to
meet the requirements of the local approvals and provide the owner with a record
file. Record Documents will be based on field observations and redline as-built
drawings provided by the contractor and the observations during the site
inspections. DAA shall not have responsibility for acts or omissions of the
contractor or subcontractors, their agents or employees, or other persons
performing the project construction.
Due to the nature of these activities, DAA will complete these items based upon a time and
materials basis per our standard rate schedule. For budgeting purposes, we have included an
estimated fee for this task in the schedule below.

x Change Order and Field Order documents, as necessary, for Owner execution
Additional Services: Services that are not included in this proposal consist of, but are not limited
to, the following:
1.Revisions to the plan requested by CLIENT after first submittal of Design Documents to the
local jurisdiction;
2.Geotechnical report, testing, pavement design and foundation recommendations except as
noted herein;
3.Subsurface utility locating services and subsurface utility engineering (SUE) services except as
indicated herein;
4.Conditional letter of map revision (CLOMR), letter of map revision (LOMR);
5.Individual 404 Permit and/or mitigation design;
6.NCDENR Transportation Facilities Permit;
7.Phase I/II Environmental Site Assessments;
8.Environmental assessments for the presence of wetlands or endangered species.
9.Irrigation design;
10.Phasing plans. This project is being designed and is being permitted as an overall project in
one phase except as noted above;
11.Traffic impact analysis, traffic signalization or other traffic studies;

12.Right-of-way negotiations/acquisition;
13.Preparation of easement acquisition maps;
14.Off-site roadway work except as outlined above;
15.Design of telephone, cable, or gas utilities. DAA can coordinate with these utility companies
and provide them copies of plan sheets as necessary, but the individual companies will design
their own utilities;
16.Design or coordination of water features/ fountains/ pools, exterior signage/graphics or
courtyards;
17.Changes to the construction plans after construction document approval;
18.Construction staking;
19.Review agency fees and plat recording or filing fees. If paid directly by DAA, we will invoice
for these fees as reimbursable expenses;
20.Other CLIENT directed services not specifically included.
COMPENSATION
Compensation for engineering services and reimbursable expenses shall be based on the
following fees. These fees will be invoiced monthly based on our estimation of the percentage
complete on each task or on a time and materials basis depending upon the task.

This proposal is valid for 30 days from the date of the proposal. If the proposal is not accepted
within 30 days, we reserve the right to revise or withdraw the proposal entirely at our discretion.
Please confirm your acceptance of this proposal by signing one copy and returning it to our office.
Our receipt of the executed copy of this proposal will serve as our Notice to Proceed and contract
to perform the work described herein. Work will be conducted in accordance with this
proposal and the existing contract between Orange County and Draper Aden Associates
dated February 22, 2017.
