AMENDMENT TO SERVICES AGREEMENT
NORTH CAROLINA
THIS AMENDMENT, made and entered into this the 22nd day of June, 2017, by and between the County of
Orange, a body politic and corporate of the State of North Carolina, ("County"), and Federal Engineering, Inc.
("Provider");
WITNESSETH:
WHEREAS, the County and Provider entered into a Services Agreement dated, October 4, 2016, to provide
services to be rendered by Provider to County("Original Agreement"); and
WHEREAS, the County and Provider desire to amend the Original Agreement, while keeping in effect all terms
and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties
agree to amend the Original Agreement as follows:
See Attachment A,which is hereby incoprorated into this Agreement as if written herein.
Except for the changes made Attachment A herein, the Original Agreement shall remain in full force and effect to
the extent it is not inconsistent with this Amendment. In the event that there is a conflict between the Original
Agreement and this Amendment,this Amendment shall control.
IN WITNESS WHEREOF, Orange County and the Consultant have signed this Amendment, effective this
the 25th day of April,2017.

ON-CALL TECHNICAL SUPPORT CONSULTING SERVICES
VOICE INTEROPERABILITY PLAN
FOR EMERGENCY RESPONDERS (VIPER) MEETING SUPPORT
1. INTRODUCTION AND ISSUES
Orange County, North Carolina (County) retained Federal Engineering, Inc. (FE) to provide
countywide radio communications interoperability and systems engineering consulting services.
On May 2, 2017, FE presented the Countywide Radio Communications Selected Replacement
Radio Solution Recommendation Report to the County Board of County Commissioners
(BOCC). Following the presentation and subsequent discussion among BOCC Members and
County Emergency Services, the County desires FE to engage in a meeting with the North
Carolina State Highway Patrol (NCSHP) to discuss the feasibility of expanding the State's Voice
Interoperability Plan for Emergency Responders (VIPER) radio communications system for the
County's local use.
2. TASKS TO BE PERFORMED
In response to the County's request, FE will attend one business day of meetings, with the first
half of the day meeting with County Emergency Services and the second portion of the day with
NCSHP.
During these meetings, FE will assist the County with determining the feasibility of expanding
and/or reconfiguring the VIPER system to meet County needs and requirements. FE envisions
this discussion including a potential simulcast configuration for the County, local system

administration privileges, and VIPER's system lifecycle roadmap. Following the meeting, FE will
provide the County with an email summarizing the meeting outcomes and recommended next
steps.
3. ESTIMATED SCHEDULE
Upon executing this Amendment, the County's Project Manager and FE's Project Manager will
mutually agree on the date for the meetings.
4. STAFFING/ORGANIZATION
Mr. Clifton Brown, Senior Consultant, will serve as FE's Project Manager with support from
other staff as necessary.
5. ESTIMATED COST
FE will perform this work on a time and materials basis in accordance with the Contract's rates.
FE estimates the cost to provide VIPER meeting support to be approximately $3,370, as the
following table details.

5.1 Invoicing
FE will invoice the County upon completion of the one day of meetings. The invoice will detail
each task assignment, the resource assigned, the number of hours charged, and details
regarding travel and other direct costs. FE will submit invoices to the County's Project Manager
for processing.
6. BASIS FOR OUR SCOPE OF WORK
1. Amendment 2 assumes Federal Engineering, Inc., will perform the tasks called out in
Section 2.
2. Amendment 2 assumes one business day or eight hours of meeting support plus travel
time.
3. The County will provide information necessary for the project regarding their needs, the
radio system RFP, FCC licenses, current radio systems, backbone systems, existing
sites, and current performance.

4. FE's ability to fulfill these tasks depends, in part, on the willingness and ability of the
County and its project participants, equipment vendors, service providers, third parties,
and others to provide information in a timely manner, and upon the accuracy of the
information as supplied. The accuracy of input data, whether provided in electronic or
hard copy form, and the recommendations, actions, system designs, software, and
license filings resulting therefrom cannot, therefore, be warranted by FE nor can the
performance, suitability, or reliability of said systems be warranted by FE. FE accepts no
responsibility or liability to any third-party with respect to any information or related
content delivered by FE. This information is subjective in certain respects, and, thus,
susceptible to multiple interpretations and may need periodic revisions based on actual
experience and subsequent developments.
5. Amendment 2 is based upon a start date of June 20, 2017, and assumes a negotiated
schedule to completion. Delays to the project schedule due to actions or lack of actions
on the part of the County and/or their project participants, third parties, and others
including, but not limited to vendor protests, protracted contract negotiations, vendor
delays that impact the program schedule and/or costs to the County will be brought to
the attention of the County's Project Manager in a timely manner, and will be reduced to
writing via a mutually agreed upon contract amendment.
6. FE will provide draft and final deliverables electronically to the County.
7. Amendment 2 assumes that the County's Project Manager will schedule meetings,
provide meeting and/or teleconferencing facilities, notify attendees, and arrange for
onsite visits.
