AMENDMENT TO SERVICES AGREEMENT
NORTH CAROLINA
THIS AMENDMENT, made and entered into this the 25th day of April, 2017, by and between the County of
Orange, a body politic and corporate of the State of North Carolina, ("County"), and Federal Engineering, Inc.
("Provider");
WITNESSETH:
WHEREAS, the County and Provider entered into a Services Agreement dated, October 4, 2016, to provide
services to be rendered by Provider to County("Original Agreement"); and
WHEREAS, the County and Provider desire to amend the Original Agreement, while keeping in effect all terms
and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties
agree to amend the Original Agreement as follows:
See Attachment A,which is hereby incoprorated into this Agreement as if written herein.
Except for the changes made Attachment A herein, the Original Agreement shall remain in full force and effect to
the extent it is not inconsistent with this Amendment. In the event that there is a conflict between the Original
Agreement and this Amendment,this Amendment shall control.
IN WITNESS WHEREOF, Orange County and the Consultant have signed this Amendment, effective this
the 25th day of April,2017.

ON-CALL TECHNICAL SUPPORT CONSULTING SERVICES
BOARD OF COUNTY COMMISSIONERS (BOCC) MEETING SUPPORT
1. INTRODUCTION AND ISSUES
Orange County, North Carolina (County) retained Federal Engineering, Inc. (FE) to provide
countywide radio communications interoperability and systems engineering consulting services
in October 2016. As the project progressed, the County identified the need to have FE provide
additional consulting services involving developing and conducting presentations to project
stakeholders including County agencies, potential system sharing partners, and potential
system users.
2. TASKS TO BE PERFORMED
As requested by Orange County, FE will:
• Develop and deliver a draft Microsoft° PowerPoint presentation for use at the May 2,
2017, Board of County Commissioners (BOCC) meeting to the County for review
• Deliver a final PowerPoint presentation to the County
• Present the PowerPoint at the May 2, 2017, BOCC meeting in Hillsborough, North
Carolina
• Address questions and comments from stakeholders following the presentation
3. ESTIMATED SCHEDULE
Upon execution of this agreement the County Project Manager and FE will mutually agree on a
schedule for tasks to be performed, with the presentation scheduled for May 2, 2017.

4. STAFFING/ORGANIZATION
Mr. Clifton Brown, Senior Consultant, will serve as FE's Project Manager with technical support
from other staff as necessary.
5. COST
Assignments will be performed on a time and materials basis in accordance with the Contract
hourly rates. The following table identifies the estimated costs for the tasks in Section 2.

5.1 Invoicing
FE will invoice the County upon the completion of the BOCC meeting on May 2, 2017. The
invoice will detail each task assignment, the personnel assigned, the number of hours charged,
and details regarding travel and other direct costs. Invoices will be submitted to the County
Project Manager for processing.
6. ASSUMPTIONS AND CONSTRAINTS
6.1 Cost for Additional Services
Any additional tasking will be authorized by mutual agreement of the County and FE via a
Contract Amendment Task Order. Such tasking will be performed on a time and materials basis
in accordance with the Contract hourly rates or on a fixed-price basis as mutually agreed upon
in a task order by the County and FE.
6.2 Basis for our Scope of Work
1. This SOW assumes Federal Engineering, Inc., will perform tasks as necessary and
approved by the County as called out in Section 2.
2. The County will provide information necessary for the project regarding their needs, the
radio system RFP, FCC licenses, current radio systems, backbone systems, existing
sites, and current performance.

3. FE's ability to fulfill these tasks depends, in part, on the willingness and ability of the
County and its project participants, equipment vendors, service providers, third parties,
and others to provide information in a timely manner, and upon the accuracy of the
information as supplied. The accuracy of input data, whether provided in electronic or
hard copy form, and the recommendations, actions, system designs, software, and
license filings resulting therefrom cannot, therefore, be warranted by FE nor can the
performance, suitability, or reliability of said systems be warranted by FE.
4. This proposal is based upon a start date of April 25, 2017, and assumes a negotiated
schedule to completion. Delays to the project schedule due to actions or lack of actions
on the part of the County and/or their project participants, third parties, and others
including, but not limited to vendor protests, protracted contract negotiations, vendor
delays that impact the program schedule and/or costs to the County will be brought to
the attention of the County's Project Manager in a timely manner, and will be reduced to
writing via a mutually agreed upon contract amendment.
5. FE will provide draft and final deliverables electronically to the County.
6. This SOW assumes that the County's Project Manager will schedule meetings, provide
meeting and/or teleconferencing facilities, notify attendees, and arrange for onsite visits.
