ORANGE COUNTY
AMENDMENT TO PERFORMANCEAGREEMENT
NORTH CAROLINA
THIS AMENDMENT, made and entered into this the12th day ofDecember, 2017, by and between the County of
Orange, a body politic and corporate of the State of North Carolina, (“County”), and Tides Center (“Provider”);
WITNESSETH:
WHEREAS, the County and Providerentered into a PerformanceAgreement datedDecember 11, 2017, to provide
services to be rendered by Providerto the residents of Orange County(“Original Agreement”); and
WHEREAS, the County and Providerdesire to amend the Original Agreement, while keeping in effect all terms
and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties
agree to amend the Original Agreement as follows:
THIS AGREEMENT, made and entered into the first day of July 2017, “Effective Date,” by and between
the County of Orange, a political subdivision of the state of North Carolina, 200 South Cameron Street,
Hillsborough, NC 27278 (“County”), and Tides Center, a not-for-profit corporation, located at 1014 Torney
Avenue Presidio Building #1014, San Francisco, CA 94129 (“Provider”).

Except for the changes made to the first paragraph of the Original Agreement and to section 15. Notices herein, the
Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In
the event that there is a conflict between the Original Agreement and this Amendment, this Amendment shall
control.
IN WITNESS WHEREOF, Orange County and the Consultanthave signed this Amendment, effective this
the 12th day of December, 2017.
