Memorandum of Understanding between Orange County, North Carolina and Durham
Technical Community College
Paramedic Academy
This Memorandum of Understanding is entered into this 18th day of September, 2018, by and
between the Orange County by and through its Department of Emergency Services (referred to as
“OCES”) and Durham Technical Community College (referred to as “DTCC”) (collectively referred to
as the “Parties”).
WHEREAS, the parties desire to enter into this Memorandum of Understanding in order to
establish the mutually agreed upon conditions upon which DTCC will provide certain services to
OCES in connection with the Orange County Paramedic Academy Program; and
WHEREAS, the DTCC is an approved Educational Institution as defined by the rules of the
North Carolina Medical Care Commission to provide a paramedical educational program; and
WHEREAS, Orange County is a local governmental entity that employees paramedics in its’
OCES department and has a paramedic academy training program; and
WHEREAS, OCES desires that DTCC provide paramedic education to its employees in the
paramedic academy training program.
NOW, THEREFORE, the parties to this Memorandum hereby agree as follows:
1.Durham Tech will provide the following:
a.Lesson plans;
b.Training documentation;
c.Clinical sites for required rotations;
d.Faculty and instructional costs;
e.Equipment;
f.Approve schedule of instruction;
g.Approve clinical competency requirements;
h.All costs associated with the course; and
i.Attest that course requirements will not change once a class has begun, any change to
course requirement will require a new MOU between Orange County and Durham
Technical Community College
j.DTCC will provide a Schedule of Instruction (See Exhibit A), as may be amended from
time to time, that shall at a minimum meet the most current edition of the National EMS
Education Standards for Paramedic Education and the courses must be approved by the
North Carolina Office of Emergency Medical Services.
2.Orange County EMS will provide the following:
a.Approve a schedule for their employees;
b.Pay contracted employees 10% below the starting salary of a paramedic to attend class,
clinical and testing;
c.Ensure that all students clinical hours are completed as a third rider;
d.Provide a primary preceptor for the students;

e.Ensure that students wear DTCC uniforms during internship clinical hours and classroom
time;
f.Obtain FERPA releases for all contracted students;
g.Monitor student progress through close communication with lead instructor; and
h.Participate in competency testing
3.That students will be required to:
a.Follow all the established guidelines for all Durham Tech students enrolled in the
Continuing Education Paramedic Program.
b.Prior to beginning the Academy successfully complete an Anatomy & Physiology course.
(This requirement can be met by taking EMS 3000, or having successfully completed BIO
163 or 168&169. EMS 3000 is eligible for fee waiver, and is held online. EMS 3000 will not
count towards the degree program.)
c.Meet OEMS requirements:
i.Have a high school diploma or high school equivalency diploma.
ii.Reading comprehension, English language and mathematical skills on a post-secondary
level. Students who have completed a college level English and/or Math course or are
eligible to enroll in a college level English and/or Math course meet the requirement.
Students who do not meet this requirement must take the NCDAP Reading/English and
Math placement test. These placement tests are offered at DTCC.
4.Both Parties agree that all student records shall remain the property of the DTCC and shall be
subject to the confidentiality and disclosure provisions of applicable federal and state statutes
and regulations. Neither party shall release or forward to any person any student record,
including, but not limited to, the student’s identity or any "directory information" as defined in
the party's own policies, without the written consent of the student.
5.Tuition and Costs Associated with the Paramedic Academy (see Exhibit B), as may be amended
from time to time, shall not be the responsibility of DTCC.
6.Term: This Memorandum shall be effective from August 20, 2018 to August 19, 2019, and may
automatically be renewed each year thereafter unless terminated by either party upon sixty
(60) days written notice to the other.
7.Termination. This Agreement or its renewals may be terminated at any time without penalty
by either party provided that written notice of such termination is furnished to the other party
at least 90 days prior to termination. In the event of such termination any payment shall be
prorated to the date of termination.
8.Amendments or Modification. This Agreement shall not be altered, amended or modified,
except by an agreement in writing executed by the duly authorized officials of both parties.
9.Subcontract or Assignment. The Parties shall not sub-contract out any of the services provided
for in this Agreement or make any assignment of this Agreement (including rights to payments)
without the prior written consent of the other Party.

10.Relationship of the Parties. DTCC shall operate as an independent contractor, and the OCES
shall not be responsible for any of the DTCC’s acts or omissions. Neither DTCC nor any
employee of DTCC shall be deemed to be an officer, employee or agent of the OCES. DTCC shall
not be treated as an employee with respect to the Services performed hereunder for federal or
state tax, unemployment or workers' compensation purposes
11.Insurance. DTCC, an agency of the State of North Carolina, is responsible for its and its
employees’ negligence as provided under North Carolina law. DTCC shall maintain insurance
sufficient to adequately insure itself during the performance of these services.
12.Indemnity. DTCC agrees to defend, indemnify and hold harmless Orange County from all losses,
liabilities, claims, demands, suits, costs, damages or expenses (including reasonable attorney’s
fees) to the extent provided by the North Carolina Tort Claims Act, arising from bodily injury
including death, to any person or persons or damage to or destruction of any property caused
in whole or in part by any negligent or intentional act or omission on the part of the DTCC, its
agents, or assigns directly or indirectly related to the Services performed pursuant to this MOU.
13.Intent to be Bound. The Parties have read this Agreement and agree to be bound by all of its
terms, and further agree that the documents constitute the complete and exclusive statement of
the Agreement between the parties.
14.Entire Understanding. The Agreement contains the entire understanding of the Parties and
shall not be altered, amended or modified, except by an agreement in writing executed by the
duly authorized officials of both parties.
15.Governing Law. Both Parties agree that this Agreement shall be governed by the laws of the
State of North Carolina and Orange County. DTCC shall at all times remain in compliance with
all applicable local, state, and federal laws, rules, and regulations including but not limited to all
state and federal anti-discrimination laws, policies, rules, and regulations and the Orange
County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is
incorporated herein by reference and may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any
violation of this requirement is a breach of this Agreement and County may immediately
terminate this Agreement without further obligation on the part of the County. This paragraph
is not intended to limit and does not limit the definition of breach to discrimination. By
executing this Agreement DTCC certifies that DTCC has not been identified, and has not utilized
the services of any agent or subcontractor identified, on the list created by the State Treasurer
pursuant to G.S. 147-86.58. By executing this Agreement DTCC certifies that DTCC has not been
identified, and has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement DTCC
affirms DTCC is and shall remain in compliance with Article 2 of Chapter 64 of the North
Carolina General Statutes. In determining the basic services to be provided, should any
documents be referenced in or attached to this Agreement, the terms herein shall have priority
in any conflict between the terms of referenced documents and the terms of this Agreement.
16. Dispute Resolution: Neither Party may initiate binding arbitration. Any disputes shall be
resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to

resolve the dispute. Should either Party initiate litigation to settle any dispute involving the
terms of this Agreement such litigation shall be initiated in the General Court of Justice of North
Carolina seated in Orange County, North Carolina.
17.Notices. Any notice required by this Agreement shall be in writing and delivered by certified or
registered mail, return receipt requested to the following:

18.Signatures: This Agreement together with any amendments or modifications may be executed
electronically. All electronic signatures affixed hereto evidence the consent of the Parties to
utilize electronic signatures and the intent of the parties to comply with Article 11A and Article
40 of North Carolina General Statute Chapter 66.
IN WITNESS WHEREOF, the parties hereto have caused this Memorandum of Understanding to be
signed by its duly authorized officials.

Exhibit A
Schedule of Instruction
North Carolina Office of Emergency Medical Services requires a minimum of 1, 000 hours of a
Paramedic Education Course. DTCC Schedule of Instruction provides 1,040 hours of course study
which, among other things, addresses weather, remediation, and any other unforeseen events.
The requirements for a Paramedic Course are outlined below; with a breakdown of the
instructional units.

There are various scheduling options to complete the requirements. A thirty-two hour a week
schedule is recommended; this is a rigorous schedule but addresses the concern of getting
paramedics trained in a shorter time frame. As the program progresses, some of the Tuesday’s &
Thursday’s may be used for clinical or additional lab time.
Upon successful completion of the program, the students will be eligible to sit for the NC and
National Registry Exams.

The didactic portion will require seventy, (70) classes of eight, (8) hours a day.
