DocuSign Envelope ID: 1640431D- 872F- 4BC9- ACA1- 2226D9788920 OUTSIDE AGENCY PERFORMANCE AGREEMENT THIS AGREEMENT, made and entered into the first day of July 2018, ( "Effective Date ") by and between the County of Orange, a political subdivision of the State of North Carolina, 200 South Cameron Street, Hillsborough, North Carolina, 27278, ( "County ") and Orange County Partnership for Young Children, a not - for - profit corporation, located at 120 Providence Rd, Suite 101, Chapel Hill, NC 27514 ( "Provider "). WITNESSETH: WHEREAS, it is in the interests of the County that said program be assisted by the County and thereby enhance its availability to residents of the County, and said program addresses an important community human services need, as identified by the Board of Commissioners. NOW, THEREFORE, in consideration of the above and the mutual covenants and conditions hereafter set forth, the County and Orange County Partnership for Young Children agree as follows: 1. Term of the Agreement. The term of this Agreement shall be a program year beginning July 1, 2018 to June 30, 2019. 2. Scope of Services. a. Provider will provide services, as outlined in the attached Outside Agency Funding Application and any amendments or revision thereto which is attached as Exhibit "A" and incorporated by reference, to the residents of Orange County. The Scope of Services and the Program Budget may be different from the original application based on County appropriation; however, any revisions or amendments to this Agreement must be approved in writing by the County and attached to this Agreement as Exhibit B. b. The Provider shall be solely responsible for the means, methods, techniques, sequence, safety program and procedures necessary to properly and fully complete the work set forth in the Scope of Services. 3. Funding. a. The County agrees to appropriate for the provision of services described in Exhibit A, Scope of Services and more particularly described in the Revised Program Budget, the maximum sum of $5,950. b. All funds appropriated shall be used for purposes described in Exhibit A. Any funds not used for the purposes stated shall be returned to the County. Any changes in the use of funds must be authorized in writing by the County prior to any expenditure of the funds by the Provider. If the funds are expended not in accordance with the Scope of Services, at the discretion of the County the Provider may be required to repay the funds to the County. c. The Provider shall be paid in four equal installments in the amount of $1,487.50. The first payment is contingent upon receipt of the agency's performance agreement; the remaining payments are contingent upon receipt of the request for reimbursement and related supporting documentation. d. The County's obligation to make the quarterly payments is contingent upon receipt of Progress Reports, which show satisfactory progress toward completion of performance measures and an accounting of expenditures as detailed in the attached Scope of Services. Once Provider has satisfied its obligations as provided in (d) payment will be made 21 days after receipt of the Progress Report and Request for Reimbursement or 21 days after due date of Progress Report whichever is later. £ The County is not obligated to provide any other support to Provider in this or in succeeding fiscal years. 4. Agency Reporting. a. Provider will provide Orange County a Progress Report that includes a fiscal report and updates on performance measures as outlined in the Scope of Services. Progress Report dates are: July 1 — December 31; January 1 — March 31 and April 1 - June 30. Reports are due on January 11, April 12, and July 12 of the program fiscal year. b. Provider agrees to allow the County to inspect its financial books and records, which document costs of those services, upon reasonable notice during normal working hours. 5. Termination. a. In the event of any of the circumstances set forth below (hereinafter referred to as "default "), the County may immediately terminate this Agreement, in whole or in part, and from time to time. Notice of termination must be in writing, state the reason or reasons for the termination, and specify the effective date of the termination: i. In the event that Provider shall cease to exist as an organization or shall enter bankruptcy proceedings, be declared insolvent, or liquidate all or substantially all of its assets, or significantly reduce its services or accessibility to Orange County residents during the term of this Agreement; or ii. In the event that Provider shall fail to render a satisfactory accounting as provided section 4 above, the County may terminate this Agreement and Provider shall return all payments already made to it by the County for services which have not been provided or for which no satisfactory accounting has been rendered; or iii. In the event of any fraudulent representation by the Provider in an invoice or other verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. iv. Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the work identified in the Scope of Services or to comply with any provision of this Agreement, as determined by the County in its sole discretion. v. Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. b. In the event of default by the Provider, the county may elect to terminate this Agreement, in whole or in part and/or require the Provider to repay the funds within ten (10) business days from written notice of default. The County may (but shall not be required to) grant the Provider an opportunity to cure the default without termination of this Agreement. This clause shall not be interpreted to limit the County's remedies in law or in equity. Notwithstanding the foregoing, either party may terminate the agreement at any time without penalty; provided that written notice of such termination is furnished to the other party at least 30 days prior to termination. In the event of such termination, any payment due shall be prorated to the date of termination and any unused funds shall be returned to the County within 10 days of termination. d. Any termination of this Agreement for default under this section that is later deemed to be unjustified shall be deemed a termination for convenience. 6. Insurance. a. General Requirements. The Provider shall purchase and maintain, during the period of performance of this Agreement, insurance: i. Worker's Compensation. For protection from claims under workers' or workmen's compensation acts; ii. Comprehensive General Liability Insurance covering claims arising out of or relating to bodily injury, including bodily injury, sickness, disease or death of any of the Consultant's employees or any other person and to real and personal property including loss of use resulting thereof, iii. Comprehensive Automobile Liability Insurance, including hired and non -owned vehicles, if any, covering personal injury or death, and property damage; and iv. Professional Liability Insurance, covering personal injury, bodily injury and property damage and claims arising out of or related to the performance under this Agreement by the Consultant or his agents, consultants and employees. b. All insurance policies (with the exception of Worker's Compensation and Professional Liability) required under this Agreement shall name the County as an additional insured party and as a certificate holder. Relationship of the Parties. Provider is an independent contractor of the County. Provider represents that they have or will secure, at his own expense, all personnel required in performing the services under this Agreement. Such personnel shall not be employees or have any contractual relationship with the County. All personnel engaged in work under this Agreement shall be fully qualified and shall be authorized and permitted under federal, state and local law to perform such services. 8. Compliance with all Laws. The Provider, at its sole expense, shall comply with all laws, ordinances, orders and regulations of the federal, state or local governments, as well as their respective departments, commissions, boards, and officers, which are in effect at the time of execution of this Agreement or are adopted at any time following execution of this agreement. 9. Subcontract. The County and Provider deem the services provided under this Agreement to be personal in nature and Provider may not subcontract any rights or duties under this Agreement to any other party without prior written consent from the County. 10. Assignment. The Provider shall not assign this Agreement, including the rights to payment, to any other party without the prior written consent of the County. 11. Indemnification. Provider agrees to defend, indemnify, and hold harmless the County, for all loss, liability, claims or expense (including reasonable attorney's fees) arising from bodily injury, including death or property damage, to any person or persons caused in whole or in part by the negligence or willful misconduct of the Provider, except to the extent same are caused by the negligence or willful misconduct of the County. It is the intent of this section to require Provider to indemnify the County to the extent permitted under North Carolina law. Nothing in this section is intended to affect or abrogate the County's sovereign immunity defenses. 12. Non - Appropriation. This Agreement is subject to the availability of funds to purchase the specified services and may be terminated at any time if such funds become unavailable. 13. Non - Discrimination. Provider agrees as part of consideration of the granting of funds by Orange County the parties hereto for themselves, their agents, officials, employees and servants agree not to discriminate in any manner of these basis of race, color, gender, national origin, age, handicap, religion, sexual orientation, familial status or veterans status with reference to any activities carried out by the grantee, no matter how remote. The parties hereto further agree in all respects to conform to the provision and intent of Orange County Civil Rights Ordinance, as amended and the Orange County Non - discrimination Policy. This provision is enforced by action for specific performance, injunctive relief, or other remedy as by law provided; this provision shall be binding on the grantees, the successors and assigns of the parties hereto with reference to the above subject manner. 14. Living Wage. Orange County is committed to providing its employees with a living wage and encourages agencies if funds to pursue the same goal. The County's living wage is $ 14.25 per hour. To the extent possible, Orange County recommends that Orange County Partnership for Young Children provide a living wage to its employees. 15. Notice. The Parties hereto agree and understand that written notice, mailed or delivered, to the last known address shall constitute sufficient notice to the County and the Provider. Entire Agreement. This Agreement, including any referenced attachments, constitutes the entire Agreement between the parties and shall supersede, replace or nullify any and all prior Agreements of understandings; written or oral, relating to the matters set forth herein, and any such prior Agreements or understandings shall have no force or affect whatsoever on this Agreement. The County and Provider have read this Agreement and agree to be bound by all of its terms, and further agree that this Agreement constitutes the complete and exclusive statement of the Agreement between the County and Provider. 17. Severability. All clauses found herein shall act independently of each other. If a clause is found to be illegal or unenforceable, it shall have no effect on the other provisions of this Agreement. It is understood by the parties hereto that if any part, term or provision of this Agreement is by the Courts held to be illegal or in conflict with any laws of the State of North Carolina or the United States, the validity of the remaining portions or provisions shall not be affected, and the rights and obligations of the parties shall be construed and enforced as if the Agreement did not contain the particular part, term or provision held to be invalid. a. Governing Law. This Agreement and the duties, responsibilities, obligations and rights of respective parties hereunder shall be governed by the laws of the State of North Carolina. By executing this Agreement Provider affirms that Provider and any subcontractors of Provider are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor, on the list created by the State Treasurer pursuant to G.S. 147 - 86.58. 18. Signatures. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. We focus on the early years of a child's life from birth to age five, which is the most critical time in a child's development. Our program priorities focus on the county's most vulnerable families and children. c) Types of Services the Agency Provides (bullet format): OCPYC's services include • Administration, technical assistance, and financial support for Orange County's NC Pre - K providers • Administration of Smart Start funding that provides programming in parenting education, literacy programming, early childhood education, children's health, early intervention, family support, and subsidy enhancements • Training and technical assistance for child care providers on early education and health related topics Training and technical assistance for child care providers to improve nutrition, including from farm to child care provider activities; provide opportunities for exercise; and provide enrichment activities through building outdoor learning environments. The Partnership operates the Transplanting Traditions Community Farm that serves low - income families in the refugee and immigrant community. Its services include: • Development and maintenance of 8 acres of land for cultivation • Training and technical assistance on sustainable agriculture practices, native plant development, and healthy food and nutrition strategies a Training in entrepreneurship and successful business practices • Development of markets for crops • Implementation of a Community Supported Agriculture program • Implementation of a food sharing program for hunger relief • Implementation of a teen program • Development of a cultural community space • Continued outreach to and information sharing with the community d) Agency's History with Providing These Services: The TTC Farm focuses on serving low- income families in the refugee and immigrant community by providing refugee adults and youth access to land, healthy food and agricultural and entrepreneurial opportunities. The farm provides a cultural community space for families to come together, build healthy communities and continue agricultural traditions. According to 2017 data, 100% of families served by TTC Farm are considered low income based on the U.S. Federal Poverty Guidelines and 13% of that 100% are considered below the poverty level. The Farm is designed to collaboratively and comprehensively address the issues of obesity, economic instability and food insecurity. The TTC Farm is located outside of Chapel Hill and Carrboro just 4 miles from the largest refugee neighborhood in the county. In Spring 2007, OCPYC, concerned with issues of childhood obesity and food insecurity, launched the Healthy Kids Campaign with the start of 3 community gardens that provided gardening, nutrition and outdoor education programming to low- income families, with 90 percent refugee and immigrant families. These became known as the Growing Healthy Kids Community Gardens. In 2010, OCPYC received the Refugee Agricultural Partnership Grant from the Office of Refugee Resettlement allowing 14 refugee families to move from the Growing Healthy Kids community gardens to Triangle Land Conservancy land, forming Agency Information 1/22/2018 6:18:22 PM DocuSign Envelope ID: 1640431D- 872F- 4BC9- ACA1- 2226D9788920 EXHIBIT A: PROVIDER'S OUTSIDE AGENCY APPLICATION Transplanting Traditions Community Farm (TTCF). TTCF is entering its eighth year of operation currently on 8 acres, directly supporting 32 refugee families or 147 individuals. Based on 2017 Year End data, 1,014 additional refugee individuals received fresh traditional produce grown by TTCF farmers on a regular basis. We have been involved with health - related initiatives, including the community gardens mentioned above. The Healthy Kids Campaign sought to ensure that children were provided with opportunities for healthy eating and exercise through working with child care providers and caregivers to develop strategies for better nutrition and active play. We partnered with the North Carolina Partnership for Children and the Blue Cross Blue Shield Foundation of North Carolina for 6 years in implementing SHAPE NC, a program that works with child care providers to improve nutritional offerings, exercise through active play, and enriching activity through building outdoor learning environments. We have expanded this program into our Growing Up Healthy Initiative, serving 13 centers to date. We developed the Growing Green Early Educators Garden Network to support the development of healthy nutrition practices, child care gardens, outdoor learning environments, and incorporation of STEM concepts into outdoor learning. e) Other Pertinent Agency Information (Ex. The organization has not experienced any major changes in the past year with administration. We have added a new position to support early childhood initiatives. The Partnership is now administering a subsidy enhancement program and Dolly Parton's Imagination Library. These issues adversely affect the refugee and immigrant communities in Orange County, specifically in Chapel Hill and Carrboro. North Carolina resettles some of the highest numbers of refugees each year. Although the population of Chapel Hill /Carrboro makes up less than 1 % of the total population of N.C., over 10% of the total refugee population from Burma lives in this area. The TTC Farm focuses on serving low- income families in the refugee and immigrant community. Services proposed include the continued access to land to grow healthy traditional foods, weekly translated workshops focused on agricultural topics and small farm business development; youth programming focused on nutrition, active living and leadership development; implementation of a "Share a Share" program in collaboration with PORCH, which provides traditional vegetables for 125 refugee families in need on a monthly basis while providing economic support for TTCF farmers; and outreach to support Farm to Pre -K activities, which will link the farm to the broader community and promote healthy growth and development of our young children. e) Describe the community need or problem to be addressed in relation to the Chapel Hill Human Services Needs Assessment, Orange County BOCC Goals and Priorities, Town of Chapel Hill Council Goals, Carrboro Board Priorities, or other community priorities (i.e. Council /Board Goals). OCPYC is requesting funding aimed at improving economic stability through our farm incubator, health and nutrition of refugee residents in need, and creating linkages to the broader community. OCPYC has provided and expanded these services since the farm's inception in 2010. Studies of other refugee and immigrant communities in the U.S. have shown high rates of obesity in resettled refugee children which may be based on stress, food insecurity, caregivers' unfamiliarity with local food culture, poverty and lack of access to familiar food items. According to the U.S. Census, North Carolina has significantly higher food insecurity rates (17.1%) than the national average (14.7 %). Over a quarter of minorities, which include refugees and immigrants, are classified as food insecure by the USDA making the work of the TTC Farm crucial. The earlier families can be reached, and these barriers addressed, the more successful and healthier families will be. Childhood obesity and weight continue to be prevalent issues in Orange County, statewide and nationally. Research shows that weight gain begins within ten years of immigration. (Obesity Among US Immigrant Subgroups Duration of Residence, Goal, McCarthy, Phillips, Wee, JAMA, 12115104 -VOI 292, No. 23) Transplanting Traditions Community (TTC) Farm strives to address the needs of the entire family through providing a space to grow healthy, culturally appropriate foods and provide educational workshops on nutrition and healthy eating. Access to culturally appropriate fresh food directly impacts the daily diets and health of those involved with the project. Based on data collected during 2016 year end interviews, refugee farmers with TTC Farm reported they saved an average of $82.00 on groceries per week by growing at the farm. This is also specifically due to families able to grow culturally appropriate and familiar vegetables that are otherwise hard to find in N.C. f) Who is your target population of individuals to benefit from this program and how will they be identified and connected with the program? The TTC Farm focuses on serving low- income families in the refugee and immigrant community. The TTC Farm is located outside of Chapel Hill and Carrboro just 4 miles from the largest refugee neighborhood in the county. The location of the farm allows for increased accessibility and regular attendance to programming directly, correlated to the success of the program and significant program growth each year. Beneficiaries are identified through referrals within the refugee community and from refugee support agencies. Data is collected through intake interviews and end of year evaluations with each family. g) Describe the credentials of the program manager and other key staff. (Ex. Identify Program Manager and credentials, describe training provided to volunteers, etc.) Kelly Owensby, project director, has provided program development and teaching and organizing in the refugee community and holds a BA in anthropology and environmental studies. Her experience includes hands -on agriculture experience on local farms in sustainable specialty crops. Nicole Accordino, assistant project director, has provided program development expertise and coordinates volunteers, youth programming, and outreach efforts, and she holds a BA in sustainable agriculture. She has extensive experience with garden -based curriculum development. Vera Fabian, agricultural specialist, works with the CSA and mentors beginning farmers. Her experience includes hands -on farming and community garden development and instruction for schools. Translated classroom workshops focused on agricultural topics, finance, business planning, conflict resolution and leadership occur Jan -Feb twice a week. Hands -on, on -farm workshops occur March - November twice a week. Share a Share program food distribution occurs monthly during the farming season. Referrals and connections to service providing agencies occur year round. Workshops and technical assistance for teen programming occur on an event basis one to two times per month during the school year and weekly during summer break. Outreach activities with the Farm to Childcare activities will take place across the year. i) Why is funding this program a good investment for the community? How does funding this program add value to the community? (250 words OR LESS) The TTC Farm is designed to collaboratively and comprehensively address the issues of obesity, economic instability and food insecurity. Refugee farmers with TTC Farm are able to both increase supplemental income through selling produce as well as increase fresh fruits and vegetable intake by growing food for their families to consume. In 2017, five farm families earned $61,708 through the CSA program. In 2017, TTCF reached an increased number of refugees in Orange County by supplying healthy, culturally significant food through the expanded Share a Share program. In partnership with PORCH, TTCF provided 576 refugee individuals with monthly traditional produce while simultaneously providing $8,121 in supplemental income to eight female TTCF farmers. In 2017, the program donated 2,342 pounds of traditional produce to PORCH and supported an average of 124 refugee families on a monthly basis. Additionally, in order to make the fruits and vegetables grown on the farm more accessible to the greater refugee and immigrant community, farmers market produce within in their own community, with sales of traditional produce in 2017 reaching $3,455. One hundred percent of farmers reported a decrease in food insecurity for 2017. During 2017 End of Year interviews farmers reported they save an average of $48 per week on groceries during the farming season and $30 per week during the winter by growing and preserving food grown. Overall, TTCF farmers are more economically and food secure by growing at the farm and keep money in the local economy by selling at the Chapel Hill and Carrboro farmers markets, maintaining 150 local CSA vegetables subscription customers and selling and gifting produce within their own community. Additionally, expanding outreach efforts to the child care community through the Farm to Childcare Collaborative increases market potential, increases healthy food consumption, and builds cultural understanding. j) Describe what would happen if requested funding is not awarded at all or if a reduced allocation is recommended. This funding helps to ensure that our farm staffing is supported and that we can retain our translator/interpreter. The translator is critical to the operation and function of the farm. With a reduced allocation, we would steer human services funding toward supporting the translator/interpreter and seek other sources of funding for other personnel. k) What percentage of your target population is low- moderate income? According to 2017 data, 100% of families served by TTC Farm are considered low income based on the U.S. Federal Poverty Guidelines. Eleven teens regularly engaged with 130 event and workshop hours during first half of FY18. Additionally, teens regularly engage in bigger picture work that relates to food and social justice. Most recent accomplishments include the youth led national Rooted in Community conference co- hosted by Transplanting Traditions. Additionally, with the support of Chapel Hill Carrboro Youth Forward- Bridging the Gap grant, Rea Rea Wei, a past youth participant was hired in 2017 to work as the Refugee Youth Program Coordinator. Rea Rea began attending Guilford college on as a Bonner Scholar this Fall and her work with TTCF was central to her Bonner application. From July to December, TTCF staff and TTCF youth program participants provided 18 tours to 313 individuals from local and national entities including; universities, public school classes, community organizations, funders and businesses. TTCF staff provided two on -farm workshops per week from July to October. Each workshop lasted approximately one hour. Workshops included weekly CSA farmer meetings and weekly agricultural focused workshops open to all levels of farmers. Additionally, farmers participated in three, half -day field trips to established area farms to learn specific agricultural techniques. • In November 2017, OCPYC received a GSK Impact Award for our work with Transplanting Traditions Community Farm and Growing Up Healthy, including our farm to child care activities.
