OUTSIDE AGENCY PERFORMANCE AGREEMENT
THIS AGREEMENT, made and entered into the first day of July 2018, ( "Effective Date ") by and between
the County of Orange, a political subdivision of the State of North Carolina, 200 South Cameron Street,
Hillsborough, North Carolina, 27278, ( "County ") and Orange County Living Wage, a not - for - profit
corporation, located at 218 Lake Manor Road, Chapel Hill, NC 0 ( "Provider ").
WITNESSETH:
WHEREAS, it is in the interests of the County that said program be assisted by the County and thereby
enhance its availability to residents of the County, and said program addresses an important community
human services need, as identified by the Board of Commissioners.
NOW, THEREFORE, in consideration of the above and the mutual covenants and conditions hereafter set
forth, the County and Orange County Living Wage agree as follows:
1. Term of the Agreement. The term of this Agreement shall be a program year beginning July 1,
2018 to June 30, 2019.
2. Scope of Services.
a. Provider will provide services, as outlined in the attached Outside Agency Funding
Application and any amendments or revision thereto which is attached as Exhibit "A" and
incorporated by reference, to the residents of Orange County. The Scope of Services and
the Program Budget may be different from the original application based on County
appropriation; however, any revisions or amendments to this Agreement must be approved
in writing by the County and attached to this Agreement as Exhibit B.
b. The Provider shall be solely responsible for the means, methods, techniques, sequence,
safety program and procedures necessary to properly and fully complete the work set forth
in the Scope of Services.
3. Funding.
a. The County agrees to appropriate for the provision of services described in Exhibit A,
Scope of Services and more particularly described in the Revised Program Budget, the
maximum sum of $18408.
b. All funds appropriated shall be used for purposes described in Exhibit A. Any funds not
used for the purposes stated shall be returned to the County. Any changes in the use of
funds must be authorized in writing by the County prior to any expenditure of the funds by
the Provider. If the funds are expended not in accordance with the Scope of Services, at the
discretion of the County the Provider may be required to repay the funds to the County.
The Provider shall be paid in four equal installments in the amount of $4,602. The first
payment is contingent upon receipt of the agency's performance agreement; the remaining
payments are contingent upon receipt of the request for reimbursement and related
supporting documentation.
d. The County's obligation to make the quarterly payments is contingent upon receipt of
Progress Reports, which show satisfactory progress toward completion of performance
measures and an accounting of expenditures as detailed in the attached Scope of Services.

e. Once Provider has satisfied its obligations as provided in (d) payment will be made 21
days after receipt of the Progress Report and Request for Reimbursement or 21 days after
due date of Progress Report whichever is later.
£ The County is not obligated to provide any other support to Provider in this or in
succeeding fiscal years.
4. Agency Reporting.
a. Provider will provide Orange County a Progress Report that includes a fiscal report and
updates on performance measures as outlined in the Scope of Services. Progress Report
dates are: July 1 — December 31; January 1 — March 31 and April 1 - June 30. Reports are
due on January 11, April 12, and July 12 of the program fiscal year.
b. Provider agrees to allow the County to inspect its financial books and records, which
document costs of those services, upon reasonable notice during normal working hours.
5. Termination.
a. In the event of any of the circumstances set forth below (hereinafter referred to as
"default "), the County may immediately terminate this Agreement, in whole or in part, and
from time to time. Notice of termination must be in writing, state the reason or reasons for
the termination, and specify the effective date of the termination:
i. In the event that Provider shall cease to exist as an organization or shall enter
bankruptcy proceedings, be declared insolvent, or liquidate all or substantially all
of its assets, or significantly reduce its services or accessibility to Orange County
residents during the term of this Agreement; or
ii. In the event that Provider shall fail to render a satisfactory accounting as provided
section 4 above, the County may terminate this Agreement and Provider shall
return all payments already made to it by the County for services which have not
been provided or for which no satisfactory accounting has been rendered; or
iii. In the event of any fraudulent representation by the Provider in an invoice or other
verification required to obtain payment under this Agreement or other dishonesty
on a material matter relating to the performance of services under this Agreement.
iv. Nonperformance, incomplete service or performance, or failure to satisfactorily
perform any part of the work identified in the Scope of Services or to comply with
any provision of this Agreement, as determined by the County in its sole discretion.
v. Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
b. In the event of default by the Provider, the county may elect to terminate this Agreement, in
whole or in part and/or require the Provider to repay the funds within ten (10) business days
from written notice of default. The County may (but shall not be required to) grant the
Provider an opportunity to cure the default without termination of this Agreement. This
clause shall not be interpreted to limit the County's remedies in law or in equity.

c. Notwithstanding the foregoing, either party may terminate the agreement at any time
without penalty; provided that written notice of such termination is furnished to the other
party at least 30 days prior to termination. In the event of such termination, any payment
due shall be prorated to the date of termination and any unused funds shall be returned to
the County within 10 days of termination.
d. Any termination of this Agreement for default under this section that is later deemed to be
unjustified shall be deemed a termination for convenience.
6. Insurance.
a. General Requirements. The Provider shall purchase and maintain, during the period of
performance of this Agreement, insurance:
i. Worker's Compensation. For protection from claims under workers' or workmen's
compensation acts;
ii. Comprehensive General Liability Insurance covering claims arising out of or
relating to bodily injury, including bodily injury, sickness, disease or death of any
of the Consultant's employees or any other person and to real and personal property
including loss of use resulting thereof,
iii. Comprehensive Automobile Liability Insurance, including hired and non -owned
vehicles, if any, covering personal injury or death, and property damage; and
iv. Professional Liability Insurance, covering personal injury, bodily injury and
property damage and claims arising out of or related to the performance under this
Agreement by the Consultant or his agents, consultants and employees.

c. All insurance policies (with the exception of Worker's Compensation and Professional
Liability) required under this Agreement shall name the County as an additional insured
party and as a certificate holder. Evidence of such insurance and all correspondence shall

7. Relationship of the Parties. Provider is an independent contractor of the County. Provider
represents that they have or will secure, at his own expense, all personnel required in performing
the services under this Agreement. Such personnel shall not be employees or have any
contractual relationship with the County. All personnel engaged in work under this Agreement
shall be fully qualified and shall be authorized and permitted under federal, state and local law to
perform such services.
8. Compliance with all Laws. The Provider, at its sole expense, shall comply with all laws,
ordinances, orders and regulations of the federal, state or local governments, as well as their
respective departments, commissions, boards, and officers, which are in effect at the time of
execution of this Agreement or are adopted at any time following execution of this agreement.
9. Subcontract. The County and Provider deem the services provided under this Agreement to be
personal in nature and Provider may not subcontract any rights or duties under this Agreement to
any other party without prior written consent from the County.
10. Assignment. The Provider shall not assign this Agreement, including the rights to payment, to
any other party without the prior written consent of the County.
11. Indemnification. Provider agrees to defend, indemnify, and hold harmless the County, for all
loss, liability, claims or expense (including reasonable attorney's fees) arising from bodily injury,
including death or property damage, to any person or persons caused in whole or in part by the
negligence or willful misconduct of the Provider, except to the extent same are caused by the
negligence or willful misconduct of the County. It is the intent of this section to require Provider
to indemnify the County to the extent permitted under North Carolina law. Nothing in this
section is intended to affect or abrogate the County's sovereign immunity defenses.
12. Non - Appropriation. This Agreement is subject to the availability of funds to purchase the
specified services and may be terminated at any time if such funds become unavailable.
13. Non - Discrimination. Provider agrees as part of consideration of the granting of funds by Orange
County the parties hereto for themselves, their agents, officials, employees and servants agree not
to discriminate in any manner of these basis of race, color, gender, national origin, age, handicap,
religion, sexual orientation, familial status or veterans status with reference to any activities
carried out by the grantee, no matter how remote. The parties hereto further agree in all respects
to conform to the provision and intent of Orange County Civil Rights Ordinance, as amended and
the Orange County Non - discrimination Policy. This provision is enforced by action for specific
performance, injunctive relief, or other remedy as by law provided; this provision shall be
binding on the grantees, the successors and assigns of the parties hereto with reference to the
above subject manner.
14. Living Wage. Orange County is committed to providing its employees with a living wage and
encourages agencies if funds to pursue the same goal. The County's living wage is $ 14.25 per
hour. To the extent possible, Orange County recommends that Orange County Living Wage
provide a living wage to its employees.
15. Notice. The Parties hereto agree and understand that written notice, mailed or delivered, to the
last known address shall constitute sufficient notice to the County and the Provider. All notices
required and/or made pursuant to this Agreement to be given to the County and the Provides shall
be in writing and mailed to the party addressed as follows:

16. Entire Agreement. This Agreement, including any referenced attachments, constitutes the entire
Agreement between the parties and shall supersede, replace or nullify any and all prior
Agreements of understandings; written or oral, relating to the matters set forth herein, and any
such prior Agreements or understandings shall have no force or affect whatsoever on this
Agreement. The County and Provider have read this Agreement and agree to be bound by all of
its terms, and further agree that this Agreement constitutes the complete and exclusive statement
of the Agreement between the County and Provider.
17. Severability. All clauses found herein shall act independently of each other. If a clause is found
to be illegal or unenforceable, it shall have no effect on the other provisions of this Agreement. It
is understood by the parties hereto that if any part, term or provision of this Agreement is by the
Courts held to be illegal or in conflict with any laws of the State of North Carolina or the United
States, the validity of the remaining portions or provisions shall not be affected, and the rights
and obligations of the parties shall be construed and enforced as if the Agreement did not contain
the particular part, term or provision held to be invalid.
a. Governing Law. This Agreement and the duties, responsibilities, obligations and rights of
respective parties hereunder shall be governed by the laws of the State of North Carolina. By
executing this Agreement Provider affirms that Provider and any subcontractors of Provider are
and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General
Statutes. By executing this Agreement Provider certifies that Provider has not been identified, and
has not utilized the services of any agent or subcontractor, on the list created by the State Treasurer
pursuant to G.S. 147 - 86.58.
18. Signatures. This Agreement together with any amendments or modifications may be executed
electronically. All electronic signatures affixed hereto evidence the intent of the Parties to
comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Provider have signed this Agreement, effective on
the last date this Agreement is signed by both parties as indicated by the dates set forth under signatures
below.

2. AGENCY INFORMATION (Be Very Brief and Concise)

a) Years in Operation, Date of Incorporation (Month /Year): 0712015
Orange County Living Wage met initially on May 2, 2015, and was incorporated on July
30, 2015. We've been operating for just over 2.5 years.
b) Agency's Purpose /Mission (no more than a few sentences):
Orange County Living Wage (OCLW) is a 501(c)3 nonprofit that promotes a living wage
as the minimum wage a worker should earn in Orange County, NC. Through our
voluntary employer certification program, we certify Orange County employers that pay
all part - and full -time employees a living wage. For 2018 the living wage is defined as
$13.70/hour without employer - provided health insurance and $12.20/hour with
employer- provided health insurance.
Our goals are to raise wages for workers in Orange County by:
• Rewarding and recognizing employers who pay their workers a living wage;
• Providing employers with incentives to pay a living wage; and
• Connecting consumers to living- wage - certified employers and encouraging them to
support those businesses and organizations.
c) Types of Services the Agency Provides (bullet format):
Orange County Living Wage:
Raises wages for lower -wage workers, so that more people who work in our county
can afford to live here.
• Provides a clearly calculated wage that is referenced to US HUD rent data, so that
employers and the community have a shared understanding of the minimum income
needed to live in Orange County.
• Makes the business case for living wages as a benefit to local employers and to the
community.
• Promotes our employers directly to consumers to increase consumer support of
living wage businesses and motivate more employers to certify and raise wages.
To accomplish the above, we:
• Contact diverse employers to advocate for our program and for the business
benefits of paying living wages;
• Meet with business owners 1 employers who wish to apply for certification;

• Review potential employers' applications (submitted at no charge to them through
our website);
+ Publicize our certified living wage employers through certification materials (decals
and certificates), website, social media, print media, newsletters, WCHL PSAs, and
quarterly "boycotts."
• Communicate and advocate for our program through print and social media; at
meetings with community groups and elected officials; and by speaking and "tabling"
at local and regional events.
d) Agency's History with Providing These Services:
OCLW began certifying living wage employers in the summer of 2015. We certified 48
employers in 2015 and 55 in 2016. In 2017, we certified 42 new employers and re-
certifying 41 employers from our 2015 roster. Our employers are for- profit and nonprofit
businesses and organizations. Led by Orange County government, all municipalities
and other public employers in the County are certified as living wage employers,
including the Towns of Carrboro, Chapel Hill, and Hillsborough, both public school
systems, OWASA, and Orange County ABC.

As of January 2018, OCLW has certified 141 living wage employers who have
cumulatively raised wages by $641,475. In the fall of 2017 we hired a part -time
Certification Coordinator to ensure a steady stream of employer contacts and new
certifications.. Our Certification Coordinator, Rachel Mehalek, will help launch our
Aspiring Employer program, a new effort with six to eight employers who do not yet
qualify for certification but want to raise compensation to meet our wage criteria.
"Aspiring employers" will partner with OCLW and our living- wage- certified employers to
develop wage- raising strategies.

We show a small surplus for estimated FY 2017 -2018 and projected FY 2018-
2019. Regarding FY 2616- 2017's larger surplus, our Communications Coordinator
chose to contribute time as a volunteer, so in 2017 we had funding for a position
that no longer required compensation. We determined that a newly created
position of Certification Coordinator would best serve our program and make most
effective use of County funds. We hired our Certification Coordinator (Rachel
Mehalek) in late October of 2017. We'll see the surplus decrease as Rachel's
hours accrue.

our 2017 end -of -year direct appeal and not using grant funds) to develop new
sources for employer contacts and increased impact;
University of North Carolina's Department of Communications, specifically
with Associate Professor Sarah Dempsey, who will make living- wage - related
projects and internships available to students;
• Cooperative Initiatives of the Carolinas Credit Union League, whose director,
Jeff Hardin, has volunteered to produce a 2018 series of videos on living -
wage- earning employees (the sequel to his 2017 employer- focused videos).

d) Summarize the program services proposed and how the program will address a
Town /County priority /goal?
The Town and County goals and priorities we address are to provide more living wage
jobs, support community prosperity, and enable affordable housing.
Through our voluntary employer certification program, Orange County Living Wage
advocates for county -wide wage gains for workers. Our living wage is indexed to the
cost of housing in Orange County. We provide a clear reference point for employers
who are looking to help their workers live in our county by paying them enough to do
so. We provide incentives for employers to certify and raise wages, and we promote
our living -wage- certified employers as a model for the future of our County.
North Carolina's minimum wage is mired at the federal rate of $7.25. For workers with
families, this is a poverty wage. With little prospect of wage action at the state level,
North Carolina's counties and towns must advocate for fair pay for lower -wage
workers. Our program is one tool within the County's and Towns` mix of strategy and
support for building wealth, empowering citizens, and improving outcomes around
poverty. Increasing wages will enable more County residents to meet their basic
needs and better support their families — and to live where they work.

The Chapel Hill Town Council's Goals for 2016 -2078 aim to "support community prosperity."
Chapel Hill's Human Services Needs Assessment states that our area needs more living wage
jobs.
Certification of our current roster of 141 employers covers 7,799 employees and has
led to a cumulative wage increase of $041,175. Workers at the lower end of the wage
spectrum tend to spend money close to home on basic needs. Using a conservative
formula* to gauge local impact, certification - related wage increases from 2010 and
2017 led to a likely local economic stimulus of more than a million dollars.
*Wage gains from 2016 + wage gains from 2017 x 1.21 (with 1.21 as the multiplier)
The Town of Carrboro wants to help citizens "develop a human environment that promotes
trust, mutual respect acceptance, happiness and wellbeing."
In 2018, there is nothing less respectful to a hard - working individual than our federal
minimum wage of $7.25. North Carolina has chosen not to raise the state's minimum
wage, and has passed laws forbidding municipalities to do so. For a worker with a
family, the minimum wage — or even several dollars higher — affords little wellbeing,
happiness, or respect. Promoting a fair wage for an hour's work puts more money in
workers' pockets; shows respect for their work; recognizes the challenges of making
ends meet with lower wages; and puts community values into effective and measurable
action.
The Town of Carrboro also aims to "develop innovative approaches to support the community.
OCLW's work with a wide variety of employers is an innovative approach to supporting
community. We partner with businesses who voluntarily choose to pay workers living
wages; this collaboration moves beyond labels of "pro- business" or "pro- worker" to
implement a program that supports businesses, respects workers, and strengthens
community.
By partnering with OLCW, businesses and employers publicly endorse our mission and
affirm the importance of paying all their employees fairly. However, when businesses
can't meet the living wage threshold and decline to certify, we do not pass judgement,
engage in negative publicity, or organize boycotts. We respect the ongoing, daily
challenges our local business owners face in meeting payroll and paying rent.
Orange County's Board of County Commissioners' goals include "increasing the number of
living wage jobs" in the county, as they implement planning and development policies" that
create a balanced, dynamic local economy and reject inequity."
The Towns' and the County's goals, assessments, and priorities consistently emphasize
affordable housing.
Orange County's living wage calculation connects directly to a worker's ability to afford
housing in our area. We use a four -year average of US HUD Fair Market Rent data
(from four counties, with our area's data double - weighted) to define and justify our
living wage rates. Our living wage calculation assumes that no more than 30% of
income is spent on housing. Because rents increase, so does our living wage. Our

annually revised living wage defines the minimum amount required to rent a modest
one- bedroom apartment in Orange County.
Our work supports community prosperity by raising wages and increasing the number
of living wage jobs. The U.S. Federal Reserve (St. Louis Office l GEOFRED
Geographical Economic Data) reports that in 2015, 33% of Orange County residents
are "rent burdened," paying more than 30% of their income in housing costs. Our
county's poverty rates (around 13 %) are lower than the state's (around 15 %), but
within Orange County are deep pockets of poverty. And within the lower general
poverty rate, poverty rates rise sharply for women, African Americans, Latinos, and
children.
More workers earning higher wages increases access to housing, helps meet families'
basic needs, and targets inequity.
f) Who is your target population of individuals to benefit from this program and how will they
be identified and connected with the program?
Our target population includes workers who are currently making less than the 2018
Orange County living wage of $13.70, or $12.20 with employer- provided health
insurance. Our target population also includes every employer who is paying their
employees less than living wages. And, once employers have certified, our program
continues to serve their employees by working to re- certify those same employers in
two years, thus ensuring longevity of living wage jobs.
The impact of our certification program is on employees and workers. However, we
work mostly with employers to achieve results, with program contacts occurring
through business owners and the heads of municipalities or agencies.
Our certification team maintains a target list of diverse employers culled from
databases and identified through our own community connections. Certification team
members present our program to employers through on -site visits, emails, and phone
calls. Once a business is certified, we promote them to the community through decals
(to place on storefront windows), framed certificates (to place prominently on- site),
OCLW's website, print and social media, public service announcements on WCHL,
regional events, fundraisers, brochures, and mare. In 2017 we sought specific ways to
publicly highlight our living -wage employees, through WCHL PSAs and social media.
And, our 2018 video series will feature employees.
g) Describe the credentials of the program manager and other key staff. (Ex. Identify Program

Kimberly Brewer has been a resident of Chapel Hill since 1982. She is an Associate
Director at Tetra Tech, an international environmental engineering consulting firm,
where she has been a project manager since 1996. For eight years, she served as the
Director of Resource Conservation and Project Manager for Triangle J Council of
Governments, in addition to its Interim Executive Director. Ms. Brewer has served the
community on a number of boards and committees including the Town of Chapel Full
Planning Board, Chapel Hill Storm Water Advisory Board, and Comprehensive Plan
Steering Committee.

In FY 2018 -2019 we will contact and certify new employers, and we will work with our
2016 -2017 employers to prepare them for re- certification in FY 2018 -2019. Our
Aspiring Employers program (described in section 2.e, "Other Pertinent Information ")
will begin in spring 2018 and evolve during the year.
ij Why is funding this program a good investment for the community? How does funding this
program add value to the community? (250 words OR LESS)
Employees of living - wage - certified employers have seen cumulative wage raises of
$641,175, leading to a likely local economic impact of more than a million dollars. In
2017, employers who originally certified in 2015 were due for re- certification (which
occurs every two years). Significantly, 88 % of these employers chose to re- certify. To
qualify for re- certification, these employers had to show they met our 2017 wage
criteria, with wages $,40 more per hour than in 2015.
Investment in our program raises wages for workers, promotes employers who shape a
dynamic local economy, creates meaningful local economic stimulus, and builds the
equity- oriented community that Orange County residents want to live in.
In FY 2018 -2019, in addition to our Aspiring Employers program, OCLW will begin a
systematic process of outreach to the County's largest employers who are not currently
certified. Some of the County's "Top 10" employers are nationally based and not
headquartered in NC. Our goal is to begin conversations with employers such as
Walmart to better understand their wages and benefits and to advocate for wages that
meet our community's expectations.
j) Describe what would happen if requested funding is not awarded at all or if a reduced
allocation is recommended.
Without funding, our program takes a deep nosedive: new certifications stall; re-
certifications decrease; and employers revert to paying what they feel is a "fair
enough" wage for an undervalued population (low -wage workers). We'll work to write
grants and fundraise in the community, but in 2018, it's a crowded field of agencies
desperate for funding.
Reduced allocations would affect our ability to pay for accurate, attentive
bookkeeping, timely updates to our website's employer roster, and effective
promotional materials. The quality of the program would erode. If our program
declines, we may lose key large employers such as the school systems and
municipalities, who expect quality and consistency from OCLW in exchange for their
public partnership. If we lose these larger employers, many workers stand to lose
ground in wages.
The backslide won't come all at once, but will occur over time. Facing each year's new
round of financial challenges, employers will stop setting wages based on OCLW's
rent - indexed living wage. Instead, they'll pay what they feel is a "fair enough" wage.
Our certification team members often speak with employers who believe they pay a

living wage at $10 or even $11 dollars an hour. By providing a clear standard for a
rent - indexed living wage, our certification program defines the minimum amount that
qualifies as an actual living wage in Orange County, and makes a clear case for the
benefits of paying that wage with employers.

Our target "beneficiary" is primarily low - income individuals, yet we contact and certify a
variety of businesses to promote living wages as the expectation across Orange
Cou nty.

In 2017, we organized our first employer event to get feedback on our program. We
also surveyed our employers to gauge the impact of living wages on their work. We'll
build on those efforts in FY 2018 -2019 with another employer gathering and an
updated survey. Our spotlight on employees will also increase through a new series of
videos, newsletter stories, WCHL PSAs, and community events.

• Raise wages through new certifications and re- certilications
• Target key large employers in the County and engage with theta around wages and certification

Outside Agency Performance Agreement
Chief Contact, Administrators, Chief Executive Officer and Chief Financial Officer
I certify that I have provided a list of the chief contact, administrators, chief executive officer and chief
financial officer for my agency with this Agreement and that I will keep it current to the County of Orange.
The list should be in writing with the name, title, residential address; phone and email address and if
possible, fax number.
Officers and Board of Directors
I certify that I have provided a current list of the Officers and Board of Directors with this Agreement and
that we will continue to update the list as changes occur. The list should be in writing, with the name,
physical address, mailing address and if possible, phone, fax and email address.
Budget Submission
I certify that I have provided a budget for the period to be covered by funding Orange County, and that any
substantive changes made to this budget have been in advance authorized in writing by Orange County.
Annual Financial Review
I certify that I have provided a copy of the latest annual Financial Review for our agency and the budget
adopted by the agency for the fiscal years encompassing this Agreement. If not, please explain on a
separate sheet of paper.
Alignment with Organization's Mission
I certify that the programs and services for which this funding is requested align with the mission of the
organization.
Intended Purpose
I certify that the funds provided to the agency under the terms of this Agreement will be used for a public
purpose and shall only be used for the purposes intended and any money not used for those purposes will be
promptly returned to Orange County.

reclulrCn1C11ts. OCI.W is a 111111- prol1t operating with limite(] I'Unds mill primarily volunteers.
OC:LW has three paid workers all of whom are part -time independent contractors.. and therefore
are not eligible for and do not require Worker's Compensation insw_Irance. As for general liability
insurance. UCLW hereby assumes all risk and liability in-v llvc'd w itll the swipe of work
presented in this Iitnding application and releases the county for said liability.
