WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non - profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ( "Project ") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed one thousand nine hundred forty - six dollars ($ 1,946) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar - for- dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4. Responsibilities of the Grant Recipient 1 Revised July 2018 DocuSign Envelope ID: E271EC54- B954- 46F4- BCE3- 9FB02C9E1328 A. Implementation. The Project implementation shall take place between July 1, 2018 and June 30, 2019. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10 %, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C. Non —assi ng ment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 12, 2019. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $1,946 to the Grant Recipient. 6. Publicity A. Acknowled ems. Credit must be given to the Orange County Arts Commission and /or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org /grantee- resources and may not be altered in any way. The Orange County Arts Commission and the North Carolina Arts Council logos are required. Credit line: "This program is supported by the N. C. The Grant Recipient must enter all events, exhibits, and performances open to the public and related to this grant award on the Orange County Arts Commission website at www.artsorange.org /events. In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he /she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself /herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below (hereinafter referred to as "default "), the Arts Commission may immediately terminate this Agreement: 0 Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (n) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 3 Revised July 2018 DocuSign Envelope ID: E271EC54- B954- 46F4- BCE3- 9FB02C9E1328 (m) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti - discrimination laws, policies, rules, and regulations and the Orange County Non - Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http: / /www.oran ec�ountync. _og v/departments /purchasing division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147 - 86.58. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147 - 86.81. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. D. Signatures. This Agreement together with any amendments or modifications may be executed electronically. Our Mission is "to foster, sustain, and share the art and joy of choral music and to enrich the Triangle community through excellent performances of music from diverse cultures and historical periods." VOICES is a grassroots auditioned community chorus that is administered by a working board of 12 elected members serving 3- year terms. Paid staff is limited to our Artistic Director and rehearsal accompanist — both part time. Our fifth Artistic Director, Stephen Futrell, DMA, joins us effective June 1, 2018. Our accompanist and concert pianist /keyboardist, Shoko Abe, DMA, continues in this role for her second season. Both resumes are attached. VOICES Symphonic Chorus' 100+ members perform two concerts a year; CANTARI, our 25- member select ensemble performs three concerts annually; and SUMMER VOICES, at 40+ members performs more informal music biennially. Thus, VOICES presents five or six unique concert programs every year to collective audiences of about 1300. Programs reflect our mission; music from diverse cultures and periods highlight works by contemporary and local composers infrequently available to our audience. For example, in May, 2017, "Latin American Connections" was presented by CANTARI with Sisters' Voices Girls' Choir with Emmanuel Trifilio on bandoneon. CANTARI performed French compositions, a program of Handel and an international program introducing a new composition by Jeremy Jennings, a former member. (See choral work samples.) VOICES members primarily come from Orange and Chatham counties with some from Durham and Alamance. Members range from 18 to 87 in age; we work to enable those with disabilities to participate and offer scholarships. Members are recruited via Triangle SINGS, our own website, our Mail Chimp list, local newspaper ads, at Festifall, and through VOICES members. Since 2015, VOICES rosters have included 259 unique individuals; CANTARI's about 50. Since 2015, we estimate membership has included 8 AA, 10 each Asian and Hispanic, and at least 6 from foreign countries. Seniors comprise approximately 40% of VOICES and 15% of CANTARI while students comprise about 10% of each group. Audience demographics reflect the composition of the choruses. Total ticket sales in FY17 -18 were 1,229: 566 seniors, 391 adults, 109 students, 163 complimentary tickets to donors/VIPs /members of the opposite chorus. To assess audience composition and reaction, we distributed surveys at the December VOICES concerts (n =300), and the March CANTARI concert (n =100). Response rates were 22% and 44% respectively. About half lived in Orange County. Seniors made up 67% of VOICES and 55% of CANTARI respondents. Reported education levels were 62% graduate, 30% bachelors and 8% two -year degrees for both groups. A significant number of respondents omitted requested income data. Ethnicity appeared to reflect the composition of the choruses. Respondents were asked to rate (on 7 point Likert scales) their enjoyment of this concert (Mean =6.48 VOICES, 6.67 CANTARI) and how likely they were to attend again (6.60 VOICES, 6.48 CANTARI). Specifically, we request $3,000 to support the salary of our rehearsal accompanist, Shoko Abe, DMA. Dr. Abe is an Asian American from Japan. VOICES will provide the remaining $5,400 to support Dr. Abe's salary from operating funds. Shoko Abe served as rehearsal accompanist in the 2017 -18 season. Her patience and skills on piano, electronic keyboard, and organ as well as her ability to lead and simultaneously accompany sectionals are appreciated deeply by the chorus members. Dr. Abe also serves as our concert keyboardist. Samples of Dr. Abe's work are enclosed. The Poulenc flute sonata illustrates her skills and was performed for her dissertation concert in Texas earlier this year. The Claussen and Forrest pieces were performed with VOICES and CANTARI, respectively, at their May, 2018 concerts and illustrate Dr. Abe's collaborative skills. Dr. Abe holds the Doctor of Musical Arts in Collaborative Piano, awarded in April, 2018, from the University of North Texas, following degrees earned with high honors in piano performance from Fukushima University and Showa University of Music in Japan. Dr. Abe is working in the United States on a green card. Her resume is attached. Support from OCAC will enable VOICES and CANTARI choruses to rehearse with a skilled accompanist with our newly appointed Artistic Director, Stephen Futrell, DMA. Dr. Futrell has asked Dr. Abe to continue as accompanist for the 2018 -19 season and she has accepted. DocuSign Envelope ID: E271EC54- B954- 46F4- BCE3- 9FB02C9E1328 Organizational Goals The two primary goals of VOICES are to provide a setting for our members to enjoy singing, and to engage the community in the appreciation of cultural heritage embodied in music. Our financial goal for FY2019 is to generate a surplus of $8,000 to stabilize our operating reserves. VOICES is a large community arts organization that strives for excellence in presenting 5 -6 unique concert programs each year in Orange County. Our organization places a high value on offering a very diverse and challenging repertoire for our members and on introducing new compositions or those infrequently performed in addition to a more traditional choral repertoire. As can be appreciated from the attached income /expense statements and projections, our annual operating budgets average $85,000 +/- 7,000 for operating funds. An additional $12,000 + /- in pass- through funds for membership services such as music, performance folders and attire are reimbursed by the members. (Of note, VOICES also serves the Carolina International Chorale during years when it travels. This budget - neutral activity is reflected in travel income /expense lines in FY2017 and FY2018.) Each season's operating budget is directly influenced by the musical programs which translate to costs for instrumentalists, rental of large instruments such as tympani, and the need for soloists, an organist, or other solo instrumentalist. A limited number of venues can support the staging requirements of our large symphonic chorus with an orchestra. Historically VOICES has used Hill Hall on the UNC- Chapel Hill campus for these concerts and area churches for CANTARI's performances (University United Methodist, Chapel of the Cross, and Holy Trinity Lutheran). After years of stable, positive cash flow, FY2017 ended in a large deficit due in part to the closure of Hill Hall for renovations. The loss of this economical venue for two years resulted in both a significant increase in costs for hall rental (Carolina Theatre of Durham; Memorial Auditorium) as well as a reduction in December ticket sales. This loss was compounded by the unusually large orchestras required by the programs for both VOICES concerts during FY2017. Thus, VOICES began FY2018 with a cash reserve insufficient to meet our Fall, 2017 operating expenses, which we supplemented from our endowment. Previously, the board had positioned VOICES on a 3- year plan to recoup our reserves. In FY2018, we project we will have recouped the funds borrowed from our endowment and built the end - of -year operating reserve to acceptable levels. This outcome was achieved through careful programming choices, excellent ticket sales, and a successful matching funds campaign in the Fall of 2017. This Grass Roots Grant from OCAC will assist VOICES in achieving a stable financial position again that will permit us to perform in the settings that provide the most enjoyment for both our members and Orange County audiences. Specifically, dues were raised in 2017 -18 for VOICES members; CANTARI dues will be considered for increase this year. Members solicit advertisements from area merchants and corporations, especially those affiliated with VOICES, for publication in our program. This program is used for all of our concerts, increasing the appeal for advertisers, and generates $9,000+/ - annually. The chorus members undertake one major fundraiser in the Fall (pecan sales) which generates about $2,500 in income. A similar additional fundraiser is being evaluated for the Spring of next year. The Board initiated steps to re- create a culture of ownership among members in 2017 to increase member donations and ticket sales. As a result, a matching fund drive was highly successful in the Fall and ticket sales increased for all concerts this year. We are also the beneficiaries of several members and non - members who make significant donations every year. VOICES has been blessed to receive an endowment in honor of Joel J. and Eleanor Cely Carter, created by their children. It has steadily grown to a current balance of about $35,000. This fund exists specifically to showcase new composers or support commissions of new choral works. It can also be used to meet unexpected operating needs. The FY2018 YTD figures also reflect a highly successful campaign launched in Spring, 2018 to fund an endowment in honor of our retiring Director of 18 years, Sue T. Klausmeyer, DMA. Sue leaves a significant record of championing diversity and excellence in community choral performance, introducing new works and unique instrumentalists to our community while maintaining a commitment to classical and modern organ works. This endowment fund will honor her legacy by providing annual income for unique instrumentals, exceptional organists, vocal soloists, or commissions of new compositions. Chorus members and external donors raised almost $23,000 this April /May to honor Sue. These endowment funds are reflected in the 2018 projected income. The Board will be seeking matching funds from corporations and private foundations to supplement this endowment in FY2019.
