THIS AGREEMENT, entered into this 8 day of August, 2018, by and between Orange County
( "County "), by and through the Orange County Arts Commission ( "Arts Commission ") and
North Carolina Arts in Action ( "Grant Recipient ").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non - profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
Approved Grant Project. Grant funds are provided under this Agreement for the project
( "Project ") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed two thousand two hundred three
dollars ($ 2,203) have been awarded by the Arts Commission to the Grant Recipient for
the approved Project. The Recipient shall be required to match funds at least dollar -for-
dollar with cash from the Grant Recipient's funds not derived from either Orange County
appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1,
2018 and June 30, 2019. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Proj ect.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10 %, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non —assi -nent. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 12, 2019. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$2,203 to the Grant Recipient.
6. Publicity
A. Acknowled_eg ment. Credit must be given to the Orange County Arts
Commission and /or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee- resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: "This program is supported by the
Orange County Arts Commission. "
ii. x North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: "This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources. "
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsoranmm/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred) to their main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he /she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself /herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
"default "), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Governing Law and Priority Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti - discrimination laws, policies, rules, and
regulations and the Orange County Non - Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at
http: / /www.oran e� countync. _og v /departments /purchasing division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147 - 86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147 - 86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Organization North Carolina Arts in Action (NC AIA) uses dance, music and
Description performance to instill self- esteem, perseverance, and excellence in
children. NC AIA is an internationally acclaimed in- school, curriculum
based, performing arts program for elementary students. As an
affiliate of the National Dance Institute (NDI) in New York, the program
is directed at developing life skills such as self- esteem, teamwork,
and focus among students, particularly those who are underserved.
We provide dance teaching from trained instructors, live music, and
allow students rigorous exercise. NC AIA benefits 12 schools across
Durham, Orange, Chatham and Wake counties and directly serves
more than 1,200 children this year. NC AIA works with every child in
the fourth grade at each school. A Lead Teacher /Choreographer,
Musician, and Assistant Teacher lead every class. NC AIA reaches
diverse low- income communities, and its partner schools are Title I.
Since 2005, NC AIA has reached over 6,600 North Carolina students
through direct instruction. More than just another dance education
program, NC AIA motivates children to believe in themselves,
provides an environment with professional expectations, yet the
nurturing and encouragement to develop a personal standard of
excellence. Teachers report that students who struggle in a
traditional classroom gain confidence and increase their ability to
focus.
Implementing NC AIA in Title I schools is in direct response to a
community need. School administrators believe that the NC AIA
program enhances student learning. Rashkis Elementary's program
assists Rashkis' underserved population. Rashkis has 468 children
with these demographics: 32% are Asian; 11 % are Hispanic; 13% are
Black; 42% are White; 0.52% are American Indian; and 3% are two or
more races, and 31 % participate in the Free And Reduced Lunch
program. Our staff of 4 full time and 11 contract employees includes
1 Hispanic, 5 Black and 9 white employees. Our board of 14 includes
2 Hispanic, 2 Black, and 10 white members, and one member of the
LGBT community.
NC AIA uses dance and music to define a standard of excellence
through active movement, intellectual stimulation and artistic
expression to build essential life skills children can carry into school
and throughout life. One teacher reported, "Students who struggled
academically were able to "shine" in NC AIA. This self- esteem that
had been lacking started to spread into their academics, and they no
longer gave up easily or considered themselves unable to do
assignments." NC AIA's in- school program provides four months of
weekly dance instruction to fourth grade students culminating in a
full -scale performance for the entire school and community. The
program's distinctive features are using dance as a medium to teach
life skills; professional teaching artists trained in the NDI pedagogy
teach the children; and an accompanist plays live music in every
session! Arts in Action's expertise is teaching children how to find
excellence in themselves and enhancing their learning experience in
the classroom. The residency is an inclusive program — every child
participates, regardless of social background, abilities or talent.

Project /Program NC AIA's program is active in one Orange County School — Rashkis
Summary
Elementary, where it has just celebrated its 13th year of
performances. We are also exploring bringing the program to an
elementary school in Hillsborough, which may come to fruition in the
incoming school year depending on NC AIA staff availability. NC Arts
in Action is committed to serving all children, and with a focus on
underserved children in Durham, Chatham, Orange, and Wake
County Schools with high rates of students participating in the free
and reduced lunch program. These schools lack additional
opportunities to engage children in activities beyond basic
instruction. Children in these schools are typically ESL students
living in poverty stricken areas of our community, with varying
degrees of parental support and intervention. These children don't
have the ability or resources to engage in out -of- school activities and
have a very limited world view. Rashkis Elementary is a Title 1
School, with 31 % of students receiving free and reduced lunch.
Grant funding of $3,500 from the Orange County Arts Commission
and other partners will help NC AIA reach 100 elementary school
children in Rashkis Elementary School in Orange County in 2018 -19.
As a direct result of these grants, the work of Arts in Action can be
sustained in public schools eager for arts education for their
students, but with little money to support it internally. The yearly cost
per school involved in NC AIA is $17,280.

Project Goals Through an engaging dance pedagogy, NC AIA's in- school residency
seeks to provide inclusive dance opportunities that are grounded in
the Essential Standards and North Carolina Common Core State
Standards. Specifically, the residency seeks to:
1. Introduce fourth grade students to the basic elements of dance
(body control, focus, time and space) in an inclusive, non - threatening
way (NC Dance Essential Standard 4.DM.1)
2. Foster in students an understanding of how to use performance
values (kinesthetic awareness, concentration, focus, and etiquette)
to enhance dance performance (NC Dance Essential Standard
4.CP.2) and build upon their ability to demonstrate chronological
thinking that will serve as a building block for more sophisticated
dance education in subsequent grades (NC Dance Essential
Standard 4.CP.1.1)
3. Develop critical life skills such as leadership, teamwork, self -
confidence, self - discipline, focus, resilience and commitment to
excellence by using dance as both a tool to reinforce academic
development and appreciation for the arts and humanities and an
activity that can be practiced outside the classroom.
4. Use the arts as a platform to build strong communities. In
partnership with the teachers and staff, through high quality dance
education, the residency focuses on providing a well- rounded
educational experience to all students regardless of language
barriers or socioeconomic status.
Additionally, the culminating performance for the residency is based
on a cross - curricular theme, which students explore via dance during
the residency. Last year's theme was Financial Literacy. This year's
theme will be announced later in June.
Audience Description Rashkis has 516 children with these demographics: 32% are Asian;
11 % are Hispanic; 13% are Black; 42% are White; 0.52% are American
Indian; and 3% are two or more races, and 31 % participate in the Free
And Reduced Lunch program. The entire fourth grade, of about 100
students, directly participates in our program. The entire school
watches the final performances, as do parents and community
members, board members and supporters.

Location Description This project seeks funding for NC Arts in Action's program at Mel and
Zora Rashkis Elementary School, located at 601 Meadowmont Lane in
Chapel Hill. The NC AIA in- school residency is an inclusive program
that provides all children, regardless of talent, abilities, or special
needs, the opportunity to dance and perform. In NC AIA, children with
disabilities and non - disabled peers dance in partnership, with the
goals of maximizing participation and challenging every dancer to
achieve their best through teamwork, creativity, empathy, and
discovery. Many dance steps in NC AIA have been adapted to work
for all children. For example, if a child is in a wheelchair, instead of
doing a plie in eight counts (a movement in which a dancer bends the
knees and straightens them again), he or she can roll the chair
forward and back in eight counts. Other techniques the program
uses for working with children of all abilities successfully include:
visual aids, taking time to allow for solo demonstration, breaking the
class into smaller groups, and improvisation. Every 4th grader at
Rashkis, including those who have limited proficiency in English,
those receiving special education services, and those with physical
limitations, will participate in the residency.
To make the program accessible to as wide an audience as possible,
4th graders will present two performances, one during the school day
for their peers, and one in the evening for the community. All the
sessions, including the performances, will take place at the school's
gym.

Artist Description 1. The four artists running the Orange and Durham County school
programs are Marlon Torres, Alton Tisino, Doug Largent and Tiana
Sutton. NC AIA's Executive Director, Marlon Torres, oversees the
program in all schools. As former principal dancer of the international
modern dance company Galumpha, Marlon created and performed
award - winning choreography showcased around the world. His work
as a Planner, Trainer, and Developer of Project Management
Concepts through Body Movement received the 2014 Platinum
Award from the NC Project Management Institute. He holds an MBA in
marketing from the University of Leicester in the UK and earned a
B.A. in theatre and dance from Binghamton University. Marlon is
Hispanic.
2. Musical Director Doug Largent is a Carrboro, NC -based music
director, double bassist, jazz organist and pianist. After earning his
degree at UNC- Chapel Hill, Doug worked in New York City as a
freelance musician at jazz clubs such as The Blue Note, Smalls, and
the Jazz Standard. As a studio musician, he contributed to hundreds
of projects, including Emmy - winning children's programs Wonder
Pets, Sesame Street, and Third and Bird. After moving back to NC in
2010, Doug has played in productions at NC Theater, Burning Coal
Theater, and Raleigh Little Theater. He served on the faculty of The
UNC Jazz Workshop. His jazz group The Doug Largent Trio has
released five albums. Doug plays organ and bass at Unity Church of
the Triangle and Cornerstone Presbyterian. He accompanies ballet
classes at Duke University. Doug is a part -time employee of Arts in
Action. Doug is white.
3. Artistic Director Alton Tisino has conceived, orchestrated, and
scripted several of NCAIA's in- school performances during his seven
years with NC AIA. He holds a B.A. in communication studies from
Texas State University —San Marcos, and assisted Jacques
d'Amboise in several residencies. Alton is also a published
composer. His credits include 3 original holiday compositions for
national recording artist Yolanda Rabun's critically acclaimed album,
Christmastime, as well as her adult contemporary hit single, Hold on
to your dreams. Alton is African American.
4. Tiana Sutton is a dancer and choreographer who has been with NC
AIA for the past year. She teaches hip hop at several area schools
and is trained in the NDI methodology. Tiana is African American.

Productions, produced three videos for targeted audiences, to help
us promote our work throughout the community. In addition, we
produce a printed annual report, thrice yearly print newsletters, and a
monthly electronic newsletter, to market NC Arts in Action throughout
the Triangle and region.
How will you NC Arts in Action draws from evaluations, direct quotes from
evaluate the success students, parents, teachers and administrators to see if the intended
of the program? targets have been met. NC Arts in Action has secured the assistance
of The Link Group in RTP. Link has developed child friendly
assessment tools who in turn share them with the WCPSS internal
evaluation and research staff for further input and refinement.
Gathering good data is a critical goal for NC Arts in Action. In
addition, the Arts in Action program success will be measured
through a combination of data related to: Number of students
participating in the program; Increase in pre -NC Arts in Action and
post -NC Arts in Action academic achievement and measurable

with an internationally acclaimed curriculum and teaching
