A scope of work and not -to- exceed fee proposal is presented below. Introduction Orange County has requested a proposal to incorporate findings from previous tasks performed by AGR under this agreement, including the input received at the Orange County Solid Waste Advisory Group meeting on June 4, 2018. The following activities are anticipated: • Draft scope of services with options /questions for staff in the margins. Conference call with County staff to receive comments. Prepare final scope of services. It is assumed that any other elements of a potential Request for Proposals to develop a Solid Waste Management Plan for Orange County, including proposer qualifications and experience, proposal evaluation criteria, procurement schedule, etc. will be prepared by County staff. Any additional tasks not described above will be conducted under a separate Task Authorization with Draper Aden Associates. Draper Aden Associates (DAA) has teamed with A. Goldsmith Resources, LLC to provide the requested services. The proposed scope of work from A. Goldsmith Resources, LLC is attached. It is our understanding that Orange County has review and agreed to the work outlined in this proposal as well as the fee. The proposal outlines the work to be completed, A. Goldsmith Resources, LLC's fee, and a project schedule. To this fee will be added the 10% DAA markup as previously agreed upon. WITNESSETH: That the County and Provider, for the consideration herein named, do hereby agree as follows: 1. Services a. Scope of Work. i) This Services Agreement ( "Agreement ") is for professional services to be rendered by Provider to County with respect to (insert type of project): engineering and environmental services. ii) By executing this Agreement, the Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner. iii) Time is of the essence with respect to this Agreement. iv) The services to be performed under this Agreement consist of Basic Services, as described and designated in Section 3 hereof. Compensation to the Provider for Basic Services under this Agreement shall be as set forth herein. 2. Responsibilities of the Provider a. Services to be provided. The Provider shall provide the County with all services required in Section 3 to satisfactorily complete the Project within the time limitations set forth herein and in accordance with the highest professional standards. b. Standard of Care. i) The Provider shall exercise reasonable care and diligence in performing services under this Agreement in accordance with the highest generally accepted standards of this type of Provider practice throughout the United States and in accordance with applicable federal, state and local laws and regulations applicable to the Revised 6/16 DocuSign Envelope ID: 1COFA69C- 6757 -43BD- 8570- E9C8F4DE644E performance of these services. Provider is solely responsible for the professional quality, accuracy and timely completion and /or submission of all work related to the Basic Services. ii) Provider shall be responsible for all errors or omissions of its agents, contractors, employees, or assigns in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts at no additional cost to the County. iii) The Provider may, upon advance written notice to County, subcontract the performance of any work under this Agreement. Should Provider elect to subcontract the performance of any work under this Agreement Provider shall require the subcontractor(s) to indicate in writing that it agrees to be bound by Sections 7, 8, and 11 of this Agreement. This authorization for subcontracting and the requirements for compliance by subcontractor with Sections 7, 8, and 11 shall not create, between the County and the subcontractor, any contractual or any other relationship. iv) Provider is an independent contractor of County. Any and all employees of the Provider engaged by the Provider in the performance of any work or services required of the Provider under this Agreement, shall be considered employees or agents of the Provider only and not of the County, and any and all claims that may or might arise under any workers compensation or other law or contract on behalf of said employees while so engaged shall be the sole obligation and responsibility of the Provider. v) If activities related to the performance of this Agreement require specific licenses, certifications, or related credentials Provider represents that it and/or its employees, agents and subcontractors engaged in such activities possess such licenses, certifications, or credentials and that such licenses certifications, or credentials are current, active, and not in a state of suspension or revocation. 3. Basic Services a. Basic Services. i) The Provider shall perform as Basic Services the work and services described herein and as specified in the County's Request for Proposals or Request for Qualifications (the "REP ") "RFP Number 5225 for "Engineering and Environmental Services" issued November 17, 2016, and the Provider's proposal, which are fully incorporated and integrated herein by reference together with Attachments (designate all attachments). In the event a term or condition in any document or attachment conflicts with a term or condition of this Agreement the term or condition in this Agreement shall control. Should such conflict arise the priority of documents shall be as follows: This Agreement, the County's RFP together with attachments, Provider's Proposal together with attachments. Revised 6/16 2 DocuSign Envelope ID: 1COFA69C- 6757 -43BD- 8570- E9C8F4DE644E ii) The Basic Services will be performed by the Provider in accordance with the following schedule: (Insert task list and milestone dates) Task Milestone Date 1. Engineering Services As set forth in Scope of Work iii) Should County reasonably determine that Provider has not met the Milestone Dates established in Section 3(a)(ii), County shall notify Provider of the failure to meet any applicable Milestone Date. The County, at its discretion may provide the Provider seven (7) days to cure the breach. County may withhold the accompanying payment without penalty until such time as Provider cures the breach. In the alternative, upon Provider's failure to meet any Milestone Date the County may modify the Milestone Date schedule. Should Provider or its representatives fail to cure the breach within seven (7) days, or fail to reasonably agree to such modified schedule, County may immediately terminate this Agreement in writing, without penalty or incurring further obligation to Provider. This section shall not be interpreted to limit the definition of breach to the failure to meet Milestone Dates. 4. Duration of Services a. Term. The term of this Agreement shall be from March 1, 2017 to February 28, 2022. b. Scheduling of Services i) The Provider shall schedule and perform its activities in a timely manner so as to meet the Milestone Dates listed in Section 3. ii) Should the County determine that the Provider is behind any County established schedule, it may require the Provider to expedite and accelerate its efforts, including providing additional resources and working overtime, as necessary, to perform its services in accordance with the approved project schedule at no additional cost to the County. iii) The Commencement Date for the Provider's Basic Services shall be March 1, 2017. 5. Compensation a. Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the Provider from the County for services under this Agreement. This Agreement is intended to be an umbrella agreement for the performance of multiple services that may or may not be anticipated during the term of the Agreement. Prior to any service being provided County and Provider shall agree in writing on a compensation amount for that specific service. Upon completion of the service Provider shall submit an invoice to County as provided herein. In the event the amount stated on an invoice is disputed by the County, the County may withhold payment of all or a portion of the amount stated on an invoice until the parties resolve the dispute. Payment for Basic Services may only be made after receipt of a properly submitted invoice. Additional Services. County shall not be responsible for costs related to any services in addition to the Basic Services performed by Provider unless County requests such additional services in writing and such additional services are evidenced by a written amendment to this Agreement. 6. Responsibilities of the County a. Cooperation and Coordination. The County has designated (Gayle Wilson) to act as the County's representative with respect to the Project and shall have the authority to render decisions within guidelines established by the County Manager and/or the County Board of Commissioners and shall be available during working hours as often as may be reasonably required to render decisions and to furnish information. 7. Insurance a. General Requirements. Provider shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers' Compensation Insurance, and any additional insurance as may be required by County's Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http: / /www.orangecountync.gov /departments /purchasing division /contracts.php. If County's Risk Manager determines additional insurance coverage is required such additional insurance shall consist of (if no additional insurance required mark N/A as being not applicable). Provider shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. 8. Indemnity a. Indemnity. The Provider agrees to defend, indemnify and hold harmless the County from all loss, liability, claims or expense, including attorney's fees, arising out of or related to the Project and arising from bodily injury including death or property damage to any person or persons caused in whole or in part by the negligence or misconduct of the Provider except to the extent same are caused by the negligence or willful misconduct of the County. It is the intent of this provision to require the Provider to indemnify the County to the fullest extent permitted under North Carolina law. 9. Amendments to the Agreement a. Chan;;es in Basic Services. Changes in the Basic Services and entitlement to additional compensation or a change in duration of this Agreement shall be made by a written Amendment to this Agreement executed by the County and the Provider. The Provider shall proceed to perform the Services required by the Amendment only after receiving a fully executed Amendment from the County. This Agreement may be terminated without cause by the County and for its convenience upon seven (7) days prior written notice to the Provider. b. Other Termination. The Provider may terminate this Agreement based upon the County's material breach of this Agreement; provided, the County has not taken all reasonable actions to remedy the breach. The Provider shall give the County seven (7) days' prior written notice of its intent to terminate this Agreement for cause. c. Compensation After Termination. i) In the event of termination, the Provider shall be paid that portion of the fees and expenses that it has earned to the date of termination, less any costs or expenses incurred or anticipated to be incurred by the County due to errors or omissions of the Provider. ii) Should this Agreement be terminated, the Provider shall deliver to the County within seven (7) days, at no additional cost, all deliverables including any electronic data or files relating to the Project. d. Waiver. The payment of any sums by the County under this Agreement or the failure of the County to require compliance by the Provider with any provisions of this Agreement or the waiver by the County of any breach of this Agreement shall not constitute a waiver of any claim for damages by the County for any breach of this Agreement or a waiver of any other required compliance with this Agreement. e. Suspension. County may suspend the Basic Services and this Agreement at any time for County's convenience and without penalty to County upon three (3) days' notice to Provider. Upon any suspension by County, Provider shall discontinue the Basic Services and shall not resume the Basic Services until notified to proceed by County. 11. Additional Provisions a. Limitation and Assignment. The County and the Provider each bind themselves, their successors, assigns and legal representatives to the terms of this Agreement. Neither the County nor the Provider shall assign or transfer its interest in this Agreement without the written consent of the other. b. Governing Law. This Agreement and the duties, responsibilities, obligations and rights of respective parties hereunder shall be governed by the laws of the State of North Carolina. c. Compliance with Laws. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti - discrimination laws, policies, rules, and regulations and the Orange County Anti - Discrimination Policy and Orange County Living Wage Policy viewable at the webpage referenced in Section 7a. above. Any violation of this Revised 6/16 5 DocuSign Envelope ID: 1COFA69C- 6757 -43BD- 8570- E9C8F4DE644E requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Provider affirms that Provider and any subcontractors of Provider are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor, on the list created by the State Treasurer pursuant to G.S. 147 - 86.58. d. Dispute Resolution. Any and all suits or actions to enforce, interpret or seek damages with respect to any provision of, or the performance or non - performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County, North Carolina. It is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. Binding arbitration may not be initiated by either Party, however, the Parties may agree to nonbinding mediation of any dispute prior to the bringing of a suit or action. e. Entire Agreement. This Agreement, together with the RFP and its attachments and the Proposal and its attachments, represents the entire and integrated agreement between the County and the Provider and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both parties. Modifications may be evidenced by facsimile signatures. f. Severability. If any provision of this Agreement is held as a matter of law to be unenforceable, the remainder of this Agreement shall be valid and binding upon the Parties. g. Ownership of Work Product. Should Provider's performance of this Agreement generate documents, items or things that are specific to this Project such documents, items or things shall become the property of the County and may be used on any other project without additional compensation to the Provider. The use of the documents, items or things by the County or by any person or entity for any purpose other than the Project as set forth in this Agreement shall be at the full risk of the County. h. Non - Appropriation. Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non - appropriation of public funds. It is expressly agreed that County shall not activate this non - appropriation provision for its convenience or to circumvent the requirements of this Agreement, but only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the County's statutory authority, mandate and/or mandated functions, by state and /or federal legislative or regulatory action, which adversely affects Revised 6/16 6 DocuSign Envelope ID: 1COFA69C- 6757 -43BD- 8570- E9C8F4DE644E County's authority to continue its obligations under this Agreement, then this Agreement shall automatically terminate without penalty to County upon written notice to Provider of such limitation or change in County's legal authority. i. DocuSign Envelope ID: 1COFA69C- 6757 -43BD- 8570- E9C8F4DE644E REQUEST FOR QUALIFICATIONS # ENGINEERING AND ENVIRONMENTAL SERVICES THE COUNTY OF ORANGE, NORTH CAROLINA Orange County's Solid Waste Management Department (Department) is soliciting multi - disciplined general engineering /solid waste services to be available to support the ongoing and recurring need for engineering and environmental consulting services to perform tasks beyond the capacity of the Department. INTRODUCTION The Department consists of recycling, sanitation and landfill functions. The recycling function includes recyclable materials collection, processing and marketing, and is provided through both in -house and contract services. Orange County is one of the leading state entities with regard to waste reduction success and is currently in the process of evaluating its solid waste goal with having exceeded its goal of 61 percent waste reduction. The landfill function includes oversight and maintenance of two closed MSW landfills, one of which was closed in 2013, oversight and maintenance of a closed construction and demolition landfill and operation of a construction and demolition (C &D) landfill. The County currently transfers waste out of county utilizing a non - County owned and operated transfer station. Additional landfill related functions include operation of scrap metal and white goods recycling, scrap tire recycling, cardboard recycling and yard waste /clean wood /storm debris recycling /mulching. Landfill staff also sells mulch and compost to the public. Methane is presently recovered by the University of North Carolina for conversion to electricity. The sanitation Division operates and maintains the County's Waste and Recycling Centers. All five of the County's staffed Waste and Recycling Centers have been studied for updating the site layout and services rendered. One center was updated and reopened in May 2013. Another is scheduled for updating in the very near future. The three remaining sites will need to be designed and permitted over the next five years. SUBMISSION REQUIREMENTS PROPOSAL FORMAT Orange County has achieved one of the highest verifiable waste reduction rates in the State of North Carolina as calculated by the NC Waste Management Division. Draper Aden Associates completed the design and permitting of the full service waste and recycling center that could see up to 800+ customers in a single day. The facility design included relocation of the current landfill scales and scale operator building, full recycling services, household hazardous waste, swap shop, and disposal for all types of customer waste. Project was bid in October 2016 and is slated for construction in early 2017. DAA will administer the contract and be responsible for construction management and inspections. Storage and Support Facilities Draper Aden Associates provided design, permitting, and construction management for the new Recycling Bin Storage and Assembly building at the Solid Waste Department office complex on Eubanks Road. This building was constructed to allow staff a place to receive, assemble and store residential recycling bins until they could be dispersed to a customer. Project was completed in early 2016. Our project approach and understanding regarding each of these programs is provided at the end of this proposal. Watauga County Landfill Watauga County, North Carolina Master Planning Master planning for the existing County landfill, as well as permit design for its expansion was performed. A leachate management system was evaluated, with pump and haul, on site treatment and pretreatment evaluated. Recycling / Baling Facility and Transfer Station Draper Aden Associates completed the design, permitting DocuSign Envelope ID: 1COFA69C- 6757 -43BD- 8570- E9C8F4DE644E Section Two Experience and construction management of a solid waste baling and materials processing (recycling) facility, for Watauga County, the Cities of Boone and Blowing Rock, and Appalachian State University. The facility manages 200 tons per day of refuse, as well as all recyclables collected by the region's recycling program. Facility size is 22,000 square feet, including tipping floor, baling floor, recycling processing area and loading dock. When landfill expansion plans were terminated, we designed the conversion of the facility to a recycling center and solid waste transfer station. The conversion made use of an innovative means to implement grade separation at the formerly single grade building. Assessment Plan During expansion planning for the County's landfill /balefill facility, groundwater testing indicated organic impact to groundwater. Negotiations with the NCDEQ resulted in a phased plan for groundwater impact analysis and corrective action. Monitored Natural Attenuation (MNA) was ultimately chosen as the corrective action program, following an Assessment of Corrective Measures (ACM). Landfill Closure CQA 7 Final closure of the 20 -acre facility was completed with Draper Aden Associates providing full -scale construction management and inspection services. A gas management system was designed into the project. Groundwater and Gas Management Draper Aden Associates was tasked with determining the rate, character, and extent of groundwater contamination and gas migration off -site and into surrounding residential and commercial areas. Migration of gas has extended into fractured bedrock beneath the facility. Draper Aden Associates is continuing in the assessment effort, working closely with the state to develop a cost - effective program to alleviate the issue. Solid Waste Management Program Springfield Road Landfill Henrico County, Virginia Draper Aden Associates has worked with Henrico County on key components of the Springfield Road Landfill (SRLF) facility for a total of 18 years, including the past six years. Draper Aden Associates has provided comprehensive solid waste management services to Orange County for many years as well as other local governments and local government entities for over three decades in the Mid - Atlantic and Southeastern regions. Since we have concentrated on serving local governments, we understand the constraints under which local governments operate. Several factors are important to successful solid waste management programs including comprehensive asset management, service to citizens, and management of regulatory compliance and environmental liabilities. A comprehensive asset management strategy evaluates revenue - generating facilities, like the active Eubanks Road Solid Waste Facility, and the value associated with the available air space versus maintenance costs and regulatory compliance issues at closed facilities, like the two MSW landfills on this site. This approach evaluates both the long -term, life -cycle costs versus the short -term operational concerns to develop an appropriate operational and compliance strategy that addresses the pressures to provide ever - increasing services more cost - effectively. Section Two of this proposal outlines the range of solid waste management services we provide to our clients and illustrates the ways in which we are best positioned to assist OCSWM with your solid waste management operations. Landfill Engineering, Permitting, and Construction Our design permitting services have resulted in successful projects for the development of new landfills with state -of- the -art liner and leachate collection systems, as well as cap design and closure as airspace is filled. Additionally, we work with owners to bid and procure the services of qualified contractors to competitively implement the design. Our construction management, geotechnical, and surveying services ensure that the construction projects are completed according to specifications and regulatory requirements. These personnel specialize in landfill construction projects and are therefore able to efficiently complete the required testing and surveying needed to complete projects on time and on budget. We have provided design and permitting services for construction and demolition debris landfills, yardwaste facilities, convenience and collection centers, and recycling facilities. We continually evaluate new technologies for applications to solid waste related projects. Laser scanning technology has proven useful and cost - effective for quickly calculating soil stockpile volumes and managing soil resources. Aerial mapping technologies are also rapidly evolving and are reducing costs for topographic mapping to determine compaction rates and remaining air space. As these costs come down, more frequent aerial surveying becomes possible and enables you to more closely monitor operations and revise plans and practices as needed. Relationships with NCDEQ are critical to successful permitting, construction and operation of solid waste facilities. Additionally, our involvement with trade organizations such as SWANA, and our work in the solid waste industry across several states enables us to be in the forefront of the changing industry and apply new technologies to the benefit of our clients. 37 Two significant challenges for operating landfills are soil resources for liner systems, daily cover and closure, and leachate management and treatment. As noted in Section Two, which describes our relevant work, we have successfully completed soil borrow studies and leachate system design. Since leachate from the Eubanks Road landfill is discharged to the sanitary sewer, leachate management and treatment may be less of an issue for the OCSWM compared to other facilities; however, maintenance of the collection system and strategies to minimize leachate generation will help to lower future operational costs. Landfill Gas Management Landfill gas management is important not only for regulatory compliance, but also for managing operational issues such as odor control and minimizing a source of VOCs to leachate and groundwater. As noted in Section Two: Experience, we have completed Title V permitting and greenhouse gas reporting for several clients. Our field services personnel have successfully operated and maintained active LFG collection systems. This includes monitoring gas production and optimizing gas extraction by balancing the system and isolating areas of the system that require repair as landfills settle. One particular success is at the Henrico County, Virginia, Springfield Road Landfill where LFG is being extracted to generate electricity. A year ago the system was extracting approximately 540 scfm from the landfill. During the past year, through trouble- shooting, balancing, and repairing the extraction system we have optimized the extraction rate and are now pulling 950 scfm with over 50% methane and less than 0.5% oxygen. Solid Waste Facility Operations Assistance Our staff is prepared to assist the OCSWM with operations at the Eubanks Road Facilities. Several of our local staff are licensed Landfill Operators (MOLO) through SWANA and have a wealth of experience with multiple sites across North Carolina and other states. Our engineers, field services personnel, construction managers, and surveyors have decades of experience in the solid waste industry and can provide the input needed to optimize your operations. Additionally, our network of solid waste clients can put you in touch with other operators who can also provide insight and assistance. Transfer Station and Convenience Center Design With the possibility of OCSWM permitting and constructing a solid waste transfer station in the near future, DAA is prepared to assist OCSWM with the many steps and components necessary for a successful project. As you are aware, gaining the support of the public, local residents, and the governing board is a must. We have successfully assisted our clients with public presentations, data gathering, creation of exhibits, and arguing on their behalf to help a project gain the support and approvals necessary to move forward. Our in -house design team includes the expertise necessary to design a solid waste transfer station or a small waste convenience center for OCSWM. DocuSign Envelope ID: 1COFA69C- 6757 -43BD- 8570- E9C8F4DE644E Section Seven Approach and Understanding 38 Our approach to the environmental monitoring and control programs at OCSWM landfills has been, and continues to be, based on historical knowledge of conditions at the facility, assessment of data derived from the groundwater monitoring program, and economic conditions. For example, the concentrations of certain regulated constituents in groundwater, in certain monitoring wells at the facility, exceed their respective "Groundwater Protection Standards! As a result, NCDEQ required that the North landfill enter a Groundwater Corrective Action program. During the several years in which the facility has been in Corrective Action, our strategy for managing the program has been based on two key concepts: (1) the quality of groundwater underlying the landfill represents negligible risk to human health and (2) the economic recession of the last several years has placed severe constraints on the budgets of local governments. For these reasons, our strategy has been to expend only enough effort on Corrective Action to prevent NCDEQ from pressing the OCSWM to embark on a more aggressive program of groundwater remediation. Another example is our Alternate Source Demonstrations (ASDs) that we have prepared on behalf of OCSWM. Draper Aden Associates has prepared ASDs for arsenic, cobalt, lead, selenium, and vanadium, each of which was subsequently approved by NCDEQ. ASDs are one of the available regulatory mechanisms to address "suspect" groundwater exceedances over site - specific background levels or groundwater protection standards. As a results, our successful demonstrations that sources other than the landfill have caused the apparent exceedance have allowed OCSWM to avoid unnecessary escalation in the groundwater monitoring program as they pertain to arsenic, cobalt, lead, selenium, and vanadium. Below is a brief overview of our experience, as a firm, specifically working on OCSWM environmental management programs. Orange County Regional Landfill: North (Closed) Facility Corrective Action Program (background). In a letter from Mr. Gayle Wilson ( OCSWM) to Mr. Ervin Lane (NCDEQ; dated May 28, 2009), OCSWM accepted the corrective measures remedies presented in the ACM report (prepared by Draper Aden Associates; submitted October, 2008). The selected remedies include: monitored natural attenuation (MNA), enhanced bioremediation, direct oxidation. In a letter from Mr. Ervin Lane to Mr. Mike Meagher ( OCSWM; dated September 11, 2009), NCDEQ approved the Groundwater Corrective Action Permit Modification Application. OCSWM implemented the following measures at the facility: institutional controls, engineering controls. In order to accelerate the remediation schedule, Draper Aden Associates assisted OCSWM in advancing from monitored natural attenuation to the more active components of the primary (phase 1) remedy: direct oxidation, enhanced biodegradation. Groundwater Injection Program - Hydrogeochemical Assessment. On behalf of OCSWM, Draper Aden Associates prepared an application to renew a permit to inject potassium permanganate into the groundwater in selected areas of the North landfill.
