BACKGROUND: Orange County Information Technologies and the Town of Hillsborough, along with Orange County’s Finance and Asset Management Services teams, sought qualified firms to provide fiber design, engineering services, and construction administration for the connection of Orange County and the Town of Hillsborough’s facilities. By expanding the scope of the Orange County Fiber Project Phase 1 to include the Town of Hillsborough scope, economies of scale were achieved. Orange County and the Town of Hillsborough are collaborating on a joint fiber optic network project to connect respective facilities. Hillsborough is the county seat of Orange County and as such, the two governments share Hillsborough’s downtown. Many Hillsborough and Orange County facilities are also located in close proximity to each other and potentially share a common route for fiber. It is recommended that Orange County and the Town of Hillsborough 1 collaborate on the design and build out of the respective fiber networks to take advantage of economies of scale. Anticipated routes in common will be primarily underground in separate conduits, with unique Orange County routes being aerial and unique Town of Hillsborough routes being underground. The Town of Hillsborough would like to build a redundant loop that has excess capacity to allow for future needs as well as the option to lease to a third-party last mile provider. Staff anticipates routes in common to equal approximately 6.8 miles, with Town of Hillsborough and Orange County unique miles at 10.6 miles each. FINANCIAL IMPACT: The total cost for the design and engineering work for this project is $383,688. Per the proposed County-Town Memorandum of Understanding, the Town of Hillsborough will cover fifty percent (50%) of the cost ($191,844). Funding for Fiber Network Build Phase 1 currently exists in the FY2017-18 budget. It is worth noting that this contract will produce a set of specifications and documents to allow for the bidding out of the actual construction of a fiber network. While construction management is included in the attached contract, construction costs are not, i.e., hiring a fiber construction contractor and running the fiber itself is not. The total FY 2017-18 allocation for this project is $1,160,000. Orange County will be the primary administrator for the agreement with the Town of Hillsborough reimbursing Orange County as described in the attached Memorandum of Understanding. This is the first of a planned three phase project. As each of the three phases is completed, Orange County staff will pursue leasing excess fiber capacity to help offset ongoing maintenance costs. SOCIAL JUSTICE IMPACT: The following Orange County Social Justice Goals are applicable to this item: • GOAL: FOSTER A COMMUNITY CULTURE THAT REJECTS OPPRESSION AND INEQUITY The fair treatment and meaningful involvement of all people regardless of race or color; religious or philosophical beliefs; sex, gender or sexual orientation; national origin or ethnic background; age; military service; disability; and familial, residential or economic status. • GOAL: ENSURE ECONOMIC SELF-SUFFICIENCY The creation and preservation of infrastructure, policies, programs and funding necessary for residents to provide shelter, food, clothing and medical care for themselves and their dependents. • GOAL: ENABLE FULL CIVIC PARTICIPATION Ensure that Orange County residents are able to engage government through voting and volunteering by eliminating disparities in participation and barriers to participation. This project should yield better data services to all of the existing customers in Orange County’s Hillsborough Facilities, e.g., at the Department of Social Services and the Department of Health. Furthermore, the Town of Hillsborough and the County intend to seek out partners to improve 2 broadband services for Orange County/Hillsborough residents, thereby addressing digital inclusion issues. RECOMMENDATION(S): The Manager recommends the Board: 1) review the attached draft Memorandum of Understanding (MOU) with the Town of Hillsborough regarding the Hillsborough Fiber Optic Network project, which includes payment arrangements, roles and responsibilities for Orange County and the Town of Hillsborough; 2) approve and authorize the Manager to sign the MOU based upon final review by staff and the County Attorney; 3) review the attached contract for the design, engineering and construction management for an Orange County -Town of Hillsborough Fiber Project Design and Engineering contract with Columbia Telecommunications Company (CTC); and 4) contingent upon final approval and signature of the MOU with the Town of Hillsborough, approve and authorize the Manager to sign the contract with CTC based upon final review and approval by staff and the County Attorney in the amount of $383,688 for the Orange County-Town of Hillsborough Fiber Optic Network project. 3 Attachment 1 INTERLOCAL AGREEMENT BETWEEN TOWN OF HILLSBOROUGH AND THE COUNTY OF ORANGE FOR CONSTRUCTION AND OPERATION OF A FIBER NETWORK IN THE TOWN OF HILLSBOROUGH AND THE UNICORPORATED AREAS OF ORANGE COUNTY This agreement is dated, made, and entered into as of the by the County of Orange, a North Carolina political subdivision (“Orange”) and the Town of Hillsborough, a North Carolina municipal corporation ("Hillsborough"). Purposes. The purposes of this agreement are (1) to further the economic development potential of fiber network pathways identified by Town of Hillsborough and the County of Orange in their respective planning documents as particularly suitable for development, as well as (2) to promote the public health and safety of residents within the Town of Hillsborough. 1. Design. Orange will solicit and receive proposals for the design of fiber infrastructure to serve Hillsborough. Before awarding contracts for such design, Orange will provide Hillsborough with the proposals and other responses to the request for proposals so that Hillsborough may review and comment to Orange regarding the selection of the designer(s). Orange will then proceed to negotiate the professional fees with the designer(s). The fees must be satisfactory to Hillsborough. Orange will not select any designer to which Hillsborough objects based on the qualifications and/or professional fees. If Hillsborough does not object within a reasonable time to a designer and its proposed fee structure, Orange may award a contract to the designer for such design in which the proposed fee structure applies. Hillsborough will reimburse Orange for all payments that Orange is required to pay under the contracts. Therefore, Orange will invoice Hillsborough at a rate of 50% of the invoices are received from the selected designer(s) for payments made or required to be made under the design contracts. Hillsborough will pay each invoice within thirty (30) days after it receives it. 2. Construction. Orange will solicit bids for the construction of the infrastructure. Orange will share the proposals with Hillsborough. Hillsborough may comment to Orange as to which contractor(s) the award should be made. If Orange concurs, and if Orange determines it appropriate to do so, Orange will award the contract(s) to those contractor(s) and execute contract(s) with them. If Orange does not concur, or if Orange otherwise finds it appropriate to rebid, Orange will rebid and continue the process described in this paragraph until Orange makes an award unless the Orange County Manager and the Hillsborough Town Manager jointly agree to suspend or abandon the process. By authorizing their respective managers to sign this agreement, the parties' governing bodies authorize them to agree to suspend or abandon the process if they jointly determine it is prudent to do so. If the managers do not jointly agree it is prudent to suspend or abandon the process, it is agreed that suspension or 4 abandonment will not be effective unless the parties' governing bodies jointly agree to suspend or abandon. 3. Payment. For each construction contract, Orange will invoice Hillsborough from as invoices are received from the selected construction contractor for payments made or required to be made under the construction contracts. Hillsborough will pay each invoice within thirty (30) days after it receives it. Provided however Hillsborough shall not be required to pay for services that were not appropriately authorized or ratified by Orange or which Orange did not find to be satisfactorily performed by the contractor, provided that Orange will not be liable to Hillsborough for making a finding of satisfactory performance. Orange will insert in the construction contracts a provision stating, "Town of Hillsborough, a municipal corporation of NC, is a third-party beneficiary of this contract." 4. Construction Standards. In all respects except to the extent otherwise stated in this contract, the construction will be done in accordance with (i) Orange standards, requirements, and procedures, including approvals of plans, conducting inspections, requiring tests and certifications, and requiring as- built drawings, and (ii) any applicable federal and state standards. 5. Ownership of and Responsibility for Infrastructure. Orange will be the owner of and responsible for the operation and maintenance of the infrastructure constructed under the construction contracts and as jointly agreed upon as built drawings. All construction contracts shall provide for the indemnification and defense by the contractors of both Hillsborough and Orange. 6. Fees and Charges. Except to the extent specified otherwise, Hillsborough will have no right to any fees and charges collected by Orange, and nothing in this agreement will affect the use or disposition of those fees and charges. 7. Nondiscriminatory Policies. Orange will not establish policies that impose a level of broadband service in Hillsborough that is inferior to that provided to similarly situated users of Orange broadband services. 8. Duration. This agreement shall be perpetual, unless terminated earlier by mutual agreement. Nevertheless, this contract shall terminate if construction of the infrastructure has not begun within three (3) years of the date of this agreement. On such termination, all obligations that are still executory on both sides are discharged but any right based on prior breach or performance survives. The governing body of each party hereto has determined the duration provided in this paragraph to be reasonable. 9. Appointment of Personnel. The County Manager shall designate persons to carry out Orange’s obligations under this agreement. The Town Manager shall designate persons to carry out Hillsborough’s obligations under this agreement. 10. Amendment and Termination. This agreement may be amended or terminated by agreement of the parties. An amendment is not valid unless signed by both parties and otherwise in accordance with requirements of law. An amendment is not enforceable against Hillsborough unless it is signed by its 5 Town Manager, or a deputy or assistant Town Manager. An amendment is not enforceable against Orange unless signed by the County Manager or Chair of the Board of County Commissioners. 11. Notice. (a) All notices and other communications required or permitted by this agreement shall be in writing and shall be given either by personal delivery, UPS, Federal Express, or certified United States mail, return receipt requested, addressed as follows. A change of address, fax number, or person to receive notice may be made by either party by notice given to the other party. Any notice or other communication under this agreement shall be deemed given and sent at the time of actual delivery, if it is personally delivered. If the notice or other communication is sent by United States mail, it shall be deemed received upon the third calendar day following the day on which such notice or other communication is deposited with the United States Postal Service or upon actual delivery, whichever first occurs. 12. No Third Party Rights Created. This agreement is intended for the benefit of the two parties and not any other person and no rights or benefits are created for or granted to any third party by this agreement. 6 Revised 10/17 DEPT REQ REV 5/18 1 [Departmental Use Only] TITLE Fiber Project Phase 1 FY 2018 NORTH CAROLINA SERVICES AGREEMENT OVER $90,000.00 RFP/RFQ ORANGE COUNTY This Services Agreement (hereinafter “Agreement”), made and entered into this 4th day of June, 2018, (“Effective Date”) by and between Orange County, North Carolina a political subdivision of the State of North Carolina (hereinafter, the "County") and Columbia Telecommunications Company (CTC), (hereinafter, the "Provider"). WITNESSETH: That the County and Provider, for the consideration herein named, do hereby agree as follows: 1. Services a. Scope of Work. i) This Services Agreement (“Agreement”) is for professional services to be rendered by Provider to County with respect to (insert type of project): the design, engineering, construction administration and preparation of construction bid documents for an Orange County and Town of Hillsborough joint fiber network. ii) By executing this Agreement, the Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner. iii) Time is of the essence with respect to this Agreement. iv) The services to be performed under this Agreement consist of Basic Services, as described and designated in Section 3 hereof. Compensation to the Provider for Basic Services under this Agreement shall be as set forth herein. 2. Responsibilities of the Provider a. Services to be provided. The Provider shall provide the County with all services required in Section 3 to satisfactorily complete the Project within the time limitations set forth herein and in accordance with the highest professional standards. b. Standard of Care. i) The Provider shall exercise reasonable care and diligence in performing services under this Agreement in accordance with the highest generally accepted standards of this type of Provider practice throughout the United States and in accordance 7 Revised 10/17 DEPT REQ REV 5/18 2 with applicable federal, state and local laws and regulations applicable to the performance of these services. Provider is solely responsible for the professional quality, accuracy and timely completion and/or submission of all work related to the Basic Services. ii) Provider shall be responsible for all errors or omissions of its agents, contractors, employees, or assigns in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts at no additional cost to the County. iii) The Provider shall not, except as otherwise provided for in this Agreement, subcontract the performance of any work under this Agreement without prior written permission of the County. No permission for subcontracting shall create, between the County and the subcontractor, any contract or any other relationship. iv) Provider is an independent contractor of County. Any and all employees of the Provider engaged by the Provider in the performance of any work or services required of the Provider under this Agreement, shall be considered employees or agents of the Provider only and not of the County, and any and all claims that may or might arise under any workers compensation or other law or contract on behalf of said employees while so engaged shall be the sole obligation and responsibility of the Provider. v) If activities related to the performance of this Agreement require specific licenses, certifications, or related credentials Provider represents that it and/or its employees, agents and subcontractors engaged in such activities possess such licenses, certifications, or credentials and that such licenses certifications, or credentials are current, active, and not in a state of suspension or revocation. 3. Basic Services a. Basic Services. i) The Provider shall perform as Basic Services the work and services described herein and as specified in the County’s Request for Proposals or Request for Qualifications (the “RFP”) “RFP Number 5242 for “Design, Permitting, & Construction Administration for Orange County – Town of Hillsborough Fiber Optic Network” issued October 13, 2017, and the Provider’s proposal, which are fully incorporated and integrated herein by reference together with Attachments RFQ 5242, RFQ Addendum 1 and CTC Scope of Work and Pricing for Orange County – Town of Hillsborough Fiber Optic Network. (designate all attachments). In the event a term or condition in any document or attachment conflicts with a term or condition of this Agreement the term or condition in this Agreement shall control. Should such conflict arise the priority of documents shall be as follows: This Agreement, the County’s RFP together with attachments, Provider’s Proposal together with attachments. ii) The Basic Services will be performed by the Provider in accordance with the following schedule: (Insert task list and milestone dates) 8 Revised 10/17 DEPT REQ REV 5/18 3 Milestone Task NTE Cost Date A) Consulting and Design Services A1. As-Built, GIS, and Facility Management, and Dig Safe Electronic Record Development iii) Should County reasonably determine that Provider has not met the Milestone Dates established in Section 3(a)(ii), County shall notify Provider of the failure to meet the Milestone Date. The County, at its discretion may provide the Provider seven (7) days to cure the breach. County may withhold the accompanying payment without penalty until such time as Provider cures the breach. In the alternative, upon Provider’s failure to meet any Milestone Date the County may modify the Milestone Date schedule. Should Provider or its representatives fail to 9 Revised 10/17 DEPT REQ REV 5/18 4 cure the breach within seven (7) days , or fail to reasonably agree to such modified schedule, County may immediately terminate this Agreement in writing, without penalty or incurring further obligation to Provider. This section shall not be interpreted to limit the definition of breach to the failure to meet Milestone Dates. 4. Duration of Services a. Term. The term of this Agreement shall be from June 4, 2018 to completion. b. Scheduling of Services i) The Provider shall schedule and perform its activities in a timely manner so as to meet the Milestone Dates listed in Section 3. ii) Should the County determine that the Provider is behind schedule, it may require the Provider to expedite and accelerate its efforts, including providing additional resources and working overtime, as necessary, to perform its services in accordance with the approved project schedule at no additional cost to the County. iii) The Commencement Date for the Provider's Basic Services shall be June 4, 2018. 5. Compensation a. Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the Provider from the County for all services under this Agreement. The maximum amount payable for Basic Services is three hundred eighty-three thousand six hundred eighty-eight Dollars ($383,688.00). The maximum amount payable for each Project Task shall be as shown in Section 3(a)(ii). In the event the amount stated on an invoice is disputed by the County, the County may withhold payment of all or a portion of the amount stated on an invoice until the parties resolve the dispute. Provider may invoice monthly. The amount due for payment shall be eighty-five percent (85%) value of the portion of the work satisfactorily completed on individual Project milestones as set out in Section 3(a)(iii). County shall retain fifteen (15%) (the “Retainage”). Determination of percentages of work satisfactorily completed on individual Project milestones will be at the discretion of the County based upon the preliminary project timeline. (For example, the maximum compensation for the acquisition and administration of Pole Attachment Agreements shall be $8,297.20. Invoices may be submitted and paid as a percentage of work satisfactorily completed so that, for example, upon demonstration that half the necessary agreements were completed $4,148.60 would be invoiced with $3,526.31 due for payment and $622.29 kept as retainage.) Final payment of the Retainage shall not be due to Provider until thirty (30) days after final completion of the Basic Services has been satisfactorily completed. b. Additional Services. County shall not be responsible for costs related to any services in addition to the Basic Services performed by Provider unless County requests such additional services in writing and such additional services are evidenced by a written amendment to this Agreement. 6. Responsibilities of the County 10 Revised 10/17 DEPT REQ REV 5/18 5 a. Cooperation and Coordination. The County has designated (the Orange County Chief Information Officer) to act as the County's representative with respect to the Project and shall have the authority to render decisions within guidelines established by the County Manager and/or the County Board of Commissioners and shall be available during working hours as often as may be reasonably required to render decisions and to furnish information. 7. Insurance a. General Requirements. Provider shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile Insurance, Workers’ Compensation Insurance, and any additional insurance as may be required by County’s Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.) If County’s Risk Manager determines additional insurance coverage is required such additional insurance shall consist of N/A (if no additional insurance required mark N/A as being not applicable). Provider shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. 8. Indemnity a. Indemnity. The Provider agrees, without limitation, to defend, indemnify and hold harmless the County from all loss, liability, claims or expense, including attorney's fees, arising out of or related to the Project and arising from property damage or bodily injury including death to any person or persons caused in whole or in part by the negligence or misconduct of the Provider except to the extent same are caused by the negligence or willful misconduct of the County. It is the intent of this provision to require the Provider to indemnify the County to the fullest extent permitted under North Carolina law. 9. Amendments to the Agreement a. Changes in Basic Services. Changes in the Basic Services and entitlement to additional compensation or a change in duration of this Agreement shall be made by a written Amendment to this Agreement executed by the County and the Provider. The Provider shall proceed to perform the Services required by the Amendment only after receiving a fully executed Amendment from the County. 10. Termination a. Termination for Convenience of the County. This Agreement may be terminated without cause by the County and for its convenience upon seven (7) days prior written notice to the Provider. b. Other Termination. The Provider may terminate this Agreement based upon the County's material breach of this Agreement; provided, the County has not taken all reasonable actions to remedy the breach. The Provider shall give the County seven (7) days' prior written notice of its intent to terminate this Agreement for cause. 11 Revised 10/17 DEPT REQ REV 5/18 6 c. Compensation After Termination. i) In the event of termination, the Provider shall be paid that portion of the fees and expenses that it has earned to the date of termination, less any costs or expenses incurred or anticipated to be incurred by the County due to errors or omissions of the Provider. ii) Should this Agreement be terminated, the Provider shall deliver to the County within seven (7) days, at no additional cost, all deliverables including any electronic data or files relating to the Project. d. Waiver. The payment of any sums by the County under this Agreement or the failure of the County to require compliance by the Provider with any provisions of this Agreement or the waiver by the County of any breach of this Agreement shall not constitute a waiver of any claim for damages by the County for any breach of this Agreement or a waiver of any other required compliance with this Agreement. e. Suspension. County may suspend the Basic Services and this Agreement at any time for County’s convenience and without penalty to County upon three (3) days’ notice to Provider. Upon any suspension by County, Provider shall discontinue the Basic Services and shall not resume the Basic Services until notified to proceed by County. 11. Additional Provisions a. Limitation and Assignment. The County and the Provider each bind themselves, their successors, assigns and legal representatives to the terms of this Agreement. Neither the County nor the Provider shall assign or transfer its interest in this Agreement without the written consent of the other. b. Governing Law. This Agreement and the duties, responsibilities, obligations and rights of respective parties hereunder shall be governed by the laws of the State of North Carolina. c. Compliance with Laws. Provider shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.) Any violation of this requirement is a breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Provider affirms that Provider and any subcontractors of Provider are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement Provider certifies that Provider has not 12 Revised 10/17 DEPT REQ REV 5/18 7 been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81. d. Dispute Resolution. Any and all suits or actions to enforce, interpret or seek damages with respect to any provision of, or the performance or non-performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County, North Carolina. It is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. Binding arbitration may not be initiated by either Party, however, the Parties may agree to nonbinding mediation of any dispute prior to the bringing of a suit or action. e. Entire Agreement. This Agreement, together with the RFP and its attachments and the Proposal and its attachments, represents the entire and integrated agreement between the County and the Provider and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both parties. Modifications may be evidenced by facsimile signatures. f. Severability. If any provision of this Agreement is held as a matter of law to be unenforceable, the remainder of this Agreement shall be valid and binding upon the Parties. g. Ownership of Work Product. Should Provider’s performance of this Agreement generate documents, items or things that are specific to this Project such documents, items or things shall become the property of the County and may be used on any other project without additional compensation to the Provider. The use of the documents, items or things by the County or by any person or entity for any purpose other than the Project as set forth in this Agreement shall be at the full risk of the County. h. Non-Appropriation. Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County’s obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non-appropriation of public funds. It is expressly agreed that County shall not activate this non-appropriation provision for its convenience or to circumvent the requirements of this Agreement, but only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the County’s statutory authority, mandate and/or mandated functions, by state and/or federal legislative or regulatory action, which adversely affects County’s authority to continue its obligations under this Agreement, then this Agreement shall automatically terminate without penalty to County upon written notice to Provider of such limitation or change in County’s legal authority. i. A. Consulting and Design Services CTC proposes to initiate this effort by requesting and reviewing pertinent information from the County. We will then facilitate a kick-off meeting with the County to establish key project parameters. Specific agenda items will include, but are not limited to: • Review and refine the project scope of work • Establish the initial project schedule based on available information • Assign project points of contact and define communications protocols, including progress reporting expectations and formats • Review any additional available infrastructure documentation • Discuss anticipated network operating model and corresponding impacts to the design strategy • Define technical and functional design objectives for the network • Establish processes for County and Town review of engineering and permitting CTC proposes to further refine the County’s system-level network design to meet its own internal needs in a way that is cost-effective to deploy, and that also 1) meets critical requirements for resiliency of network communications; 2) provides scalability to support the varying needs of other anchor institutions within the community; and 3) can promote the County’s economic develop objectives. We understand that the County have explored a range of technical approaches and network architectures, and will require assistance solidifying these plans before proceeding with more detailed design efforts. CTC will advise the County in these matters to ensure subsequent detailed designed tasks are aligned with County’s desired strategic direction. Our work will build on the strategic planning and system-level design work we have performed in the past year and a half for the Town of Hillsborough, so we expect that we can hit the ground running with a firm understanding of the many priorities and challenges the County seeks to address with this project. We understand that the requested design is limited to the physical layer of the network (conduit, fiber, etc.), and does not necessarily include network electronics—but that the design must consider current and emerging network technologies in developing the physical-layer network 19 CTC Proposal to Orange County and the Town of Hillsborough April 17, 2018 2 topology. CTC will prepare a system-level design, including applicable schematics and/or specifications identifying key system-level parameters impacting later design phases, such as: • The type and quantity of fiber optic components and related components (termination panels, connector types, splice enclosures, etc.) • Preliminary fiber routes • The selection of a candidate hub location(s) and requirements for physical network path diversity • Logical backbone network schematics • A reference design encompassing all key design parameters for all applicable network layers Using the County’s (and Town’s) GIS base maps, our existing high-level route maps, and any additional guidance received from the County, a CTC outside plant engineer will conduct an on- site field verification and survey of the fiber routes. The CTC engineer will walk out the routes, input GPS coordinates, and photograph, sketch, and take detailed notes on topography, rights- of-way, road crossings, railroad crossings, “hydro lines” (e.g., creeks, streams, rivers), and “hydro areas” (e.g., wetlands, bodies of water). The field survey will include measuring the green space available within the right-of-way for placement of conduit, and recording other pertinent details, which may include: • Storm drains • Edge of pavement • Water and sewer lines • Slack storage • Splice cases • Vault/hand-hole locations • Required hardware • Building entry points • Private roads and rights-of-way To inform our detailed design efforts, CTC will determine permits required for construction of the network, to include any right-of-way encroachment permits and utility easement modifications. Based on our field verification, we will prepare a list of required permits. CTC will document and report potential barriers to construction, such as environmental protection areas. 20 CTC Proposal to Orange County and the Town of Hillsborough April 17, 2018 3 CTC shall provide preliminary engineering designs for County and Town review and approval. These designs typically include: • Running line of fiber and conduit/aerial strand • Road names • Railroads and crossings • Fixed markers/significant landmarks (e.g., fire hydrants, valves, poles) • Environmental protected areas (e.g., wetlands, bodies of water) • Flood plains • Easements • Rights-of-way • Fiber cable type and placement • Any applicable public utilities or assets • Any applicable private utilities or assets • Termination points • Fiber entry and installation, as applicable CTC will prepare complete engineering work documents for the pathway design (aerial and underground), cable design specification, and cost estimates, to include: • Engineering detail sheets/“typicals” (i.e., the standard set of required construction parameters, covering details such as methods for utility pole attachment, depth of conduit placement, and type of hand-hole specifications, which will accompany all engineering prints) • GIS-based network maps • Permit submissions/CAD engineering prints • Material specifications • Bill of Materials (BOM) • Deployment cost estimates • Splice matrices • Network logical (“stick”) schematics CTC will produce a job package containing “Issued For Construction” (IFC) EWDs, including a final BOM, itemized cost estimates, proof of permit issuance, and approved engineered drawings, splice matrices, material specifications. 21 CTC Proposal to Orange County and the Town of Hillsborough April 17, 2018 4 CTC will also assist the County through a procurement process for the construction of the fiber network. For a competitive procurement, CTC will assist with the preparation of an Invitation for Bids (IFB) or Request for Bids (RFB) for construction of the network based on approved engineering designs, to include technical specifications, scope of work language, and evaluation criteria. As part of this task, CTC will assist in responding to vendor questions during the bid process and/or preparing IFB addenda, as needed. CTC will then assist with the review and evaluation of bids received by the County, to include preparing required scoring matrices and/or evaluation guidelines. B. Path and Permit Administration CTC will initiate and manage the submissions of permit applications mutually agreed to being required for the project, and will track each application through to approval. To ensure the timely approval of our permit applications, we will follow-up on issues raised by the permitting authorities. When an issuing entity identifies any concerns in its initial review of a permit application, the reviewer will typically return the plans, send an email about the issue, or call the engineer or project coordinator to discuss the concern. If an application or portion of an application were returned to us, our project coordinator would discuss the necessary changes (e.g., corrections, questions) with the project engineer, who would then make appropriate revisions and resubmit the application (if necessary), or simply email or call the permit reviewer to provide the information requested. The County’s (and Town’s) current system-level network design requires multiple railroad and bridge crossings. The specific crossing locations impact the route design and must be vetted as early in the project timeline as possible. Railroad crossings generally each require the execution of an agreement to obtain the necessary licenses and permits. Additionally, railroads generally require submission of an engineering design specific to each crossing as part of the permitting process. CTC will facilitate these railroad crossings by performing the following: • Verifying ownership of each railroad crossing and reviewing any available application submission requirements • Performing site surveys to make relevant measurements and, to the extent possible, identifying and documenting existing aerial and underground crossings • Obtaining standard Occupancy/Encroachment Agreements from the railway owner for County and Town review, signature, and/or negotiation, and providing guidance to the County and Town regarding any technical concerns and alternatives 22 CTC Proposal to Orange County and the Town of Hillsborough April 17, 2018 5 • Preparing and submitting application forms and required technical exhibits The County will be responsible for any related fees required by the railway owners. CTC will perform an environmental desk review to assess in detail the potential for environmental impact, verifying and optimizing the network routes against available databases of wetlands, floodplains, historic preservation areas, endangered species territories, and other protected resources. We will also engage the North Carolina Department of Environmental Quality (DEQ) and/or the U.S. Army Corps of Engineers for initial consultation to review our preliminary findings, and to determine the need to initiate formal permit application processes with either or both entities. If needed, on an optional basis, we will prepare required environmental permit applications and track those applications through to approval. CTC will oversee the administration of pole attachment and underground agreements required for the project. CTC does not anticipate the requirement for easement packages; these are typically not needed for middle mile fiber optic deployment. However, if, based on the final designs, easement packages are required, CTC will develop them. CTC will review insurance certificate requirements in the construction contractor procurement documentation for adequate terms. Once the County has selected a contractor, we will compare the terms provided with the requirements and track any changes from the contractor. CTC will not be responsible for evaluating any claims against insurances. C. Make-Ready Administration CTC will perform the engineering necessary to complete the pole attachment applications according to the requirements of the ratified pole attachment agreements provided by the County and Town. We anticipate this will include the measurement of existing pole attachments and documenting related physical attributes (guys, grounding, anchors, etc.). The proposed scope and pricing anticipates that the make-ready engineering, including any required structural load and cable sag analysis, will be performed by the pole owner. CTC’s engineers will coordinate and conduct meetings and ride-outs with the construction contractor and utility pole owner to gather information for pole owner approvals and licensing. We will also coordinate the payment by the County and Town of any engineering fees from local utilities. Data from these activities will inform the Task A deliverables and pole attachment applications. 23 CTC Proposal to Orange County and the Town of Hillsborough April 17, 2018 6 CTC will track pole attachment applications, the status of make-ready work reported by the pole owners, payments, and final licensing issued. D. Demarcation Design CTC will prepare detailed designs for the building entry and demarcation for up to 19 fiber termination points. We will work with County staff to determine optimal termination points, and will survey and document the inside plant pathway from each termination point to the point of building ingress. Where necessitated by functional requirements for network resiliency, this will include identifying physically diverse entry points and inside plant pathways. Our designs will detail the specifications for any applicable termination panel hardware, cable management, conduit pathway (including requirements for rigid metallic conduit, firestopping, and core drilling), and related workmanship. E. Construction Management CTC will serve as the owner’s representative overseeing the performance of the selected fiber construction Contractor to the extent needed to augment the County’s own project manager and/or inspectors. Construction management activities will be dependent on the selected construction vendor’s County-approved schedule and scope of work. To provide the County with a potential timeline for our services, we a construction and acceptance schedule of approximately 29 weeks. CTC will provide the following services during construction management. • Attend a project kick-off meeting, and facilitate regular project status conference calls with the Contractor and County and City. • Review and approve project timelines for engineering and construction prepared by the Contractor • Review Contractor construction management and safety plans • Develop quality assurance inspection checklists to facilitate construction oversight • Perform onsite inspection during construction for safety. workmanship and adherence to design specifications • Perform X NUMBER of onsite post-construction inspection for compliance with the approved designs and workmanship, to include a detailed review of accuracy and completeness for a sampling of as-built documentation provided by the Contractor; this may include verifying 24 CTC Proposal to Orange County and the Town of Hillsborough April 17, 2018 7 slack loop cable lengths, verifying proper bonding/grounding, and verifying the location of outside plant assets (splice enclosures, slack loops, hand-holes, etc.) using precision GPS receivers • Review Contractor construction invoices for consistency with design and observed construction progress • Review all Contractor-provided fiber optic performance test data, and perform independent testing (OTDR and power meter) for a suitable sampling to validate Contractor-provided test data • Prepare a comprehensive report documenting the results of our test data review, independent testing, and post-construction inspection to provide verification that the network, as installed, is suitable for the County’s and Town’s purposes and conforms to the approved final design CTC will produce final as-built revisions to applicable EWDs, to include construction CAD prints, GIS data, and splice matrices/schematics. We will prepare final GIS and facility documentation to support locating in response to underground utility locate (“811”) locate requests. As-builts will be based on field data collected by the County’s construction Contractor. We estimate the project will require a period of approximately six months from project initiation to completion of construction bid specifications, and includes estimated timeframes for negotiation of necessary utility pole attachment agreements and associated make-ready engineering to be performed by the utility pole owners. Actual timeframes will depend on a number of factors ranging from existing utility pole conditions and congestion of underground ROW, to permitting requirements and cooperation of railway owners. 28
