Box 8181, Hillsborough, NC 27278 (hereinafter "Licensor" or "County ") with, to, and for the benefit of Orange Water and Sewer Authority (OWASA) of the State of North Carolina, whose address is 400 Jones Ferry Rd, Carrboro, INC 27810 (hereinafter "Licensee "). WITNESSETH: For good and valuable consideration, and subject to the terms and conditions hereinafter set forth, the Licensor does hereby license unto the Licensee and Licensee does hereby accept the limited use of and access to Licensor's property identified by PIN 9870 -54 -8312 (the "Property ") as set forth herein. Licensee desires, and Licensor authorizes Licensee, its agents and contractors, to install 904mhz wireless device for water meter reading (hereafter "Mueller Systems Mi.Hub ") on the Licensor's Property as shown on Exhibit 1, attached hereto and described as follows: 1. RENA Community Center Scope of Work. Licensee and its agents and contractors shall be responsible for maintaining the Mueller Systems Mi.Hub as nearly as possible in its current condition and location except as noted in section (d) below. In consideration of the foregoing and subject to the terms and conditions described herein, the Licensor does hereby grant unto the Licensee the right and privilege and license over, upon, and through the Property to construct, install, re- construct, maintain, repair, modify, or remove the Mueller Systems Mi.Hub, and maintain the Mueller Systems Mi.Hub as nearly as possible in its current condition at the location noted above together with a right and license to go upon the Property whenever the same is reasonably necessary for the purposes of constructing, inspecting, maintaining, and repairing said Mueller Systems Mi.Hub. IT IS UNDERSTOOD AND AGREED by the parties that: a. Said License shall commence on the date first above recorded and will continue until such time as it is terminated pursuant to the terms of this License Agreement. b. The execution and delivery of this License Agreement by the Licensor and its acceptance by the Licensee shall not obligate the Licensee to construct or re- construct the Mueller Systems Mi.Hub. Licensee shall utilize the licensed area for the limited purpose of constructing and maintaining the Mueller Systems Mi.Hub as noted herein. d. The Licensor shall in all other respects remain the fee owners of the Property and areas subject to this License Agreement, and may make all lawful uses of the Property not inconsistent with the License. e. The Licensor shall not be held responsible for any construction, reconstruction, or maintenance of the Mueller Systems Mi.Hub unless such authority is released to it by the Licensee and Licensor agrees in writing to such release. f, The Licensee shall not perform any sub -grade maintenance or modification to the Mueller Systems Mi.Hub without prior written authorization by the Licensor. g. In the event the Licensee fails to install the Mueller Systems Mi.Hub within one (1) year of the date of this License Agreement or fails to maintain the Mueller Systems Mi.Hub its condition and location as described in Exhibit 1 and Licensor or its successors, heirs, or assigns notifies the Licensee in writing of such failure and the Licensee does not cure such failure to construct or perform necessary maintenance within thirty (30) days of receipt of written notice, such failure will result in termination of the license Agreement immediately upon the expiration of the thirty (30) day cure period, and Licensor or its successors, heirs, or assigns may take possession of and remove the Mueller Systems Mi.Hub from the Property. h. Licensee shall obtain, at its sole expense, Commercial General Liability Insurance, Automobile insurance, Workers' Compensation Insurance, and any additional insurance as may be required by County's Risk Manager as such insurance requirements are described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance Coverage Requirements (each document is incorporated herein by reference and may be viewed at http://www.orangecountviic.qov/del2ai-tments/purchasing divisionlcontracts. h . Licensee shall not commence work until such insurance is in effect and certification thereof has been received by the County's Risk Manager. i. Licensee agrees, without limitation, to defend, indemnify, and hold harmless Licensor from all losses, liabilities, claims, demands, suits, costs, damages or expenses (including reasonable attorney's fees) arising from bodily injury, including death, to any person or persons or damage to or destruction of any property caused in whole or in part by any negligent or intentional act or omission on the part of the Licensee or its agents or contractors related to the installation, use, operation, maintenance, or access to the Mueller Systems Mi.Hub. j. The license granted herein is for the benefit of the Licensee and shall not be transferred, assigned, or otherwise conveyed by the Licensee; and that Licensor or its successors, heirs, or assigns may re -enter and take possession of the Mueller Systems Mi.Hub in the event the Licensee so transfers, assigns, or conveys the Mueller Systems Mi.Hub. This license Agreement may be otherwise terminated by mutual agreement of the Licensee and Licensor. k. Licensor, at Licensee's option, may terminate this License Agreement upon thirty (30) days' notice to Licensee. Should Licensor exercise this option Licensor shall endeavor to provide other areas situated as near as possible to the location of the Mueller Systems Mi.Hub as contemplated by this License Agreement for the installation of Licensee's Mueller Systems Mi.Hub.. Licensor covenants with Licensee that Licensor is seized of the premises in fee simple, has the right to convey the rights, privileges, and license which are granted herein, and that title is free and clear of all liens and encumbrances which may affect the said rights, privileges, and license conveyed herein. M. The term of this License Agreement shall be two (2) years. The License Agreement may be renewed upon mutual written agreement of the parties. n. Both parties agree this License Agreement shall be governed by the laws of the State of North Carolina and Orange County. Licensee shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti - discrimination laws, policies, rules, and regulations and the Orange County Non - Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http : / /www.orangecountync.gov/ departments/ purchasing _division /contracts.php.). Any violation of this requirement is a breach of this License Agreement and Licensor may immediately terminate this Agreement without further obligation on the part of the Licensor. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. o. By executing this License Agreement Licensee certifies that Licensee has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147- 86.58. By executing this License Agreement, Licensee certifies that Licensee has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G. S. 147 - 86.81. By executing this License Agreement Licensee affirms Licensee is and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. Box 8181 Hillsborough, NC 27278 Dear Mr. Thompson, I represent Mueller Systems, the provider of Orange Water and Sewer Authority's Advancement Metering Infratstructure System. This system is desigend to increase OWASA's efficiency and offer their customers next generation features to better manage their water usage by reading the meters through wireless technology. The system will allow the residents near the Rogers Road Community Center the ability to use the OWASA comumer web portal to view their hourly usage and use water smarter. To set budgets and help control their water usage costs, and also to receive water usage notifications that may end up saving residents money by catching leaks or usage patems that can contribute to higher bills. We request the permission to mount a wireless device on the outside of the Rogers Road Community Center. Mueller Systems will install the device at absolutely no cast to the county. The device is monitored and maintained by Mueller Systems and will be no burden to Orange County or the buildings Tennants, Mueller Systems has secured all applicable permits with the Town of Chapel Hill for the site: including the wireless zoning permit and the building permit attached to this letter. This device will be installed to ensure the least amount of visual clutter, and all parts will be colorized to the building to ensure the device blends in to the sourrounding environment. Mueller Systems will need access to the building for approximately two to three hours to complete the installation, and would request that the intallation can occurduring the week of '9 April 2018 or immediately following. Mueller Systems will work closely with Orange County and all building maintenance personell to ensure the device is installed to the satisfactions of all stakeholders. We will scheudle the installtion and notify all interested parties that the installtion is occuring, and provide as -built documetation of the final install for reference. Scope of work Each site will have unique requirements that will be documented individually later in this document. All sites will utilize the Mi.Hub XR Collector; which consists of the Mi.Hub enclosure and remote mount antenna. Detailed installation instructions are provided for Mi.Hub XR in the corresponding installation manual provided under separate cover. Schedule Mueller Systems is requesting the installation be scheduled upon agreement. Standard workweek is assumed, and no work would be required outside "normal business hours" of approximately 8:00am to 5:00pm Monday through Friday. A project manager from Mueller Systems will be onsite at all times, and a project manager from OWASA will be on call during the installation timeframe. Access to all sites will be pre - arranged by Mueller Systems with school contacts and all sites will be available for work over consecutive days. Mueller Systems' installation timeframe assumes one working day to complete this site. Mueller Systems will coordinate the work with OWASA and any other site specific contacts to ensure mutually agreeable dates are selected for installation. This is increasingly important given recent droughts and growing demands being placed on a water distribution system that is inefficient, outdated and in need of upgrade. While smart metering has many benefits, certain consumer groups have questioned the long -term health effects associated with radio frequency (RF) transmissions generated by smart meters. The issue has been studied by a wide variety of government, industry and scientific organizations, including the Federal Communications Commission (FCC), the Environmental Defense Fund and the Utilities Telecom Council. Their Findings indicate that the RF transmissions generated by smart meters are as safe as those generated by other household appliances and devices, including microwave ovens, cellular phones and laptop computers. According to the Environmental Defense Fund, "By making smart investments in a "smart" green grid, we can greatly reduce our use of dirty energy, improve air quality and the health of millions of Americans affected by dangerous air pollution, and advance our energy independence and economic growth." The Mi.NetO System The Mi.Net® Mueller Infrastructure Network for Utilities, Mueller Systems' advanced metering infrastructure system, is fully compliant with FCC guidelines governing RF transmissions. These guidelines were adopted in 1985 and are based on recommended guidelines published by the National Council on Radiation Protection and Measurements. The Mi.Net System operates in the 900 MHz band. The 900 MHz system is a band used by multiple consumer and household electronics and the output power is closely regulated by the FCC. RF transmissions in this unlicensed band are typically far fewer than for many other devices. Additionally, the effective radiated output power of the Mi.Net System is one watt or less. Key Points (1) RF transmissions decrease as the distance from the device increases. A cell phone placed directly against a person's ear generates 5,000 uWlcm (micro -watt per centimeter) compared to 40 uWlcm generated from three feet away from a smart meter that is always on, (California Council of Science and Technology). In other words, a cell phone's RF transmissions are 125 times more powerful than a smart meter under these parameters. (2) Radio devices transmit RFs when they are in use, and a smart meter is in use only a fraction of the time compared to other household devices. For example, the Mi.Net System transmits once a day for a fraction of a second, while a typical cell phone or laptop may be used almost continuously throughout the day. Conclusion RF transmissions have been and will continue to be part of our daily lives, and it is important to separate fact from rumor. We appreciate the enormous amount of third -party research that has been conducted by government, industry and scientific organizations, which indicate that the RF trans- missions generated by smart meters are as safe as those generated by other household appliances and devices. According to the World Health Organization, "From all evidence accumulated so far, no adverse short- or long -term health effects have been shown to occur from the RF signals produced by base stations. Since wireless networks produce generally lower RF signals than base stations, no adverse health effects are expected from exposure to them."
