ORANGE COUNTY
AMENDMENT #1 TO AGREEMENT
NORTH CAROLINA
THIS AMENDMENT, made and entered into this the 20 day of March, 2018, by and between the County of Orange,
a body politic and corporate of the State of North Carolina, ( "County "), and Patriot Properties, Inc. ( "Vendor ");
WITNESSETH:
WHEREAS, the County and Vendor entered into a Services Agreement dated, November 16th 2009, to provide
services to be rendered by Vendor to County ( "Original Agreement "); and
WHEREAS, the County and Vendor desire to amend the Original Agreement, while keeping in effect all terms and
conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties
agree to amend the Original Agreement as follows:
1. Purchase of the module to "Upgrade to .NET" (including conversion, implementation and training). The
upgrade will include:
a. AssessPro version 5 (AP5)
b. Upgrading of the PIN App to work with the AP5 database and table structure;
c. Training on all new products
d. Integrated SketchPro graphical sketching program
e. NCPTS extract
f. WebPro assistance to feed the website from AP5
g. All current necessary SQL views
h. Integreated AssessPro desktop GIS Viewer
i. Integration with Data Cloud Solutions' product called MobileAssessor
j. Integration with the Spatialest Inc products of Spatialest, Comper, Comper for Citizen and Property
Record Card
2. AMEND Section 1(D) EQUAL EMPLOYMENT OPPORTUNITY to include the following language:
Vendor shall not discriminate based upon race, ethnicity, color, national origin, religion,
creed, age, sex, gender, gender identity, gender expression, marital status, familial status,
disability, political affiliation, veteran status, disabled veteran status.
3. AMEND Section I(G) GOVERNING LAW AND JURISDICTION to include the following language:
This Agreement and the duties, responsibilities, obligations and rights of respective parties
hereunder shall be governed by the laws of the State of North Carolina. By executing this
Agreement Provider affirms that Provider and any subcontractors of Provider are and shall
remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes.
By executing this Agreement Provider certifies that Provider has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list created by the
State Treasurer pursuant to G.S. 147 - 86.58. By executing this Agreement Provider certifies
that Provider has not been identified, and has not utilized the services of any agent or
subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-
86.81.
4. ADD Section I(NN) with the following language:
NN. ELECRONIC SIGNATURES All electronic signatures affixed
hereto evidence the consent of the Parties to utilize electronic signatures and intent of the
Parties to comply with Article IIA and Article 40 of North Carolina General Statutes
Chapter 66.
5. The total amount encumbered and payable for the product and services included in this amendment shall not
exceed eighty -five thousand dollars ($85,000.00).
6. Payment schedule for the encumbered eighty -five thousand dollars ($85,000.00) shall be:

a. Thirty-seven thousand five hundred ($37,500) payable upon software installation onto the Orange
County server;
b. Eighteen- thousand seven hundred fifty ($18,750) payable upon completion of vendor - provided
training;
c. Eighteen- thousand seven hundred fifty ($18,750) payable upon go live with AP5. Go live shall be
defined as Orange County having signed off on all testing and training as successful and the system
is in full production. A written confirmation shall be provided to Patriot Properties once Orange
County is prepared to move forward with the final payment of contract terms;
d. Five - thousand ($5,000) payable upon implementation of Spatialest integration;
e. Five - thousand ($5,000) payable upon implementation of MobileAssessor integration.
Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is
not inconsistent with this Amendment. In the event that there is a conflict between the Original Agreement and this
Amendment, this Amendment shall control.
IN WITNESS WHEREOF, Orange County and the Consultant have signed this Amendment, effective this
the 20 day of March, 2018.
