SCOPE OF WORK FOR CONSULTING SERVICES BETWEEN SCS
ENGINEERS AND ORANGE COUNTY, NC FOR SOLID WASTE
MANAGEMENT PROFESSIONAL CONSULTING SERVICES
SUPPLEMENTAL CONSULTING ACTIVITIES FOR FINANCIAL
PRO FORMA/RATE STUDY AND DEVELOPMENT OF INITIAL
PLANNING DOCUMENTS FOR AN INTEGRATED MATERIALS
MANAGEMENT FACILITY
SCOPE OF SERVICES TO BE PERFORMED:
SCS Engineers' (SCS) engineering and consulting work for Orange County pertaining to
solid waste planning involved additional activities beyond the scope of services identified in
previous Work Orders. A summary of these supplemental work efforts, along with
reference to the original Work Order and an explanation of the specific costs incurred by
SCS, are presented below.
Preparation of a Solid Waste Financial Plan

As requested by the County, SCS performed the following work efforts in excess of the
activities outlined in the original Work Order:
• Presentation/delivery of the findings of the revised Financial Plan and Rate Study at
a Board of Orange County Commissioners Meeting on February 16, 2017. This
involved communications with County personnel and efforts to incorporate revisions
to select portions of the deliverable report and powerpoint presentation as well as
SCS' labor and travel expenses to attend the meeting.
Preliminary Economic Feasibility Study
Original Contract Title & Date: Development of Initial Planning Documents for an
Integrated Materials Management Facility and Regional Framework Considerations —
2/20/17 (SCS Project No. 02216202.01 Task 2)
Under Task 2 of this assignment, SCS prepared a Preliminary Economic Feasibility Study
for purposes of assessing the feasibility of an IMMF Facility/Transfer Station (Facility)
proposed to be located in Orange County. Over the course of the development of the
Preliminary Financial Pro Forma, SCS performed analyses that were broader than
anticipated under the scope of services outlined in the original Work Order, incurring costs
stemming from the complexity and depth of the financial modeling effort. SCS found it
necessary to identify and develop two separate financial structures; one in which Orange
County serves as the sole owner of the Facility and another in which the ownership stake is
split according to waste tonnage disposed between the 5 identified stakeholders. In addition,

SCS believed that for the model to be truly helpful and robust, various scenarios in regards
to growth/decline of waste quantities, rate cost increases, and financing structure had to be
integrated into the model. These changes took additional time resources above and beyond
what was expected and resulted in costs exceeding that originally outlined in the scope of
services for the project.
Solid Waste Reduction and Diversion Planning
Original Contract Title & Date: General Engineering and Environmental Management
Services — 5/22/17

SCS met with County staff on 3/16/17 to brainstorm the action items and work efforts
pertaining to the County's long -term waste reduction plan. SCS' understands the County is
developing a scope /plan for future professional services related to Waste Reduction and
Diversion to be delivered by SCS and the original intention was to commence services in
Spring /Summer 2017. However, the County has delayed the schedule for these work
efforts. SCS incurred costs associated with time and travel expenses to participate in the
meeting as well as development of the listing of potential Scope of Work ideas that was
submitted to the County.
. COMPENSATION:
SCS will be compensated for time and expenses in accordance with SCS' standard rates in effect
at the time of performance. The budgetary fee estimate is as follows:
• Preparation of a Solid Waste Financial Plan
$3,000
• Preliminary Economic Feasibility Study
$3,250
• Solid Waste Reduction and Diversion Planning
$3,000
The total compensation for this Work Order will not exceed $9,250 without the County's
authorization.
A. AGREEMENT BY THE PARTIES:
This scope of work is submitted pursuant to the terms of the Agreement dated May 22, 2017
between SCS Engineers and Orange County.
