PURPOSE: To approve a resolution to officially change the name of the Orange County Unified
Transportation Advisory Board (OCUTAB) to the Orange Unified Transportation Board
(OUTBOARD) and to consider a resolution approving Rules of Procedure for the Orange Unified
Transportation Board.
BACKGROUND: The Orange County Board of Commissioners approved A Resolution
Establishing the Orange County Unified Transportation Advisory Board in May 2005.
Recruitment efforts resulted in a citizens group that had its first meeting in May 2006. During
that time, the transportation board has commonly been referred to by the acronym OUTBOARD,
for Orange Unified Transportation Board.
The transportation board discussed rules of procedure at its first meeting in May 2006, and
approved rules of procedure at the following meeting in June, The County Board of
Commissioners must endorse the rules of procedure. Attachment 1 is a resolution officially
changing the name of the board to Orange Unified Transportation Board, and endorsing the
Orange Unified Transportaticn Board's Rules of Procedure.. Attachment 2 is the "Rules of
Procedure, Orange Unified Transportation Board", as adopted by that board .June 21, 2006.
FINANCIAL IMPACT: There is no financial impact associated with this item.
RECOMMENDATION(S): The Manager recommends that the Board approve the Resolution
Endorsing Name Change and Rules of Procedure for the Orange Unified Transportation Board

A RESOLUTION ENDORSING NAME CHANGE AND RULES OF PROCEDURE FOR THE
ORANGE UNIFIED TRANSPORTATION BOARD
WHEREAS, the Orange County Board of Commissioners endorsed the establishment of the
Orange County Unified Transportation Advisory Board (OCUTAB) on May 17, 2005, to advise
the County Board of Commissioners, and provide information and comments on major
transportation issues and recommendations regarding the overall planning and programming of
transportation improvements in the County and
WHEREAS, board members, staff and others know and refer to the Orange County Unified
Transportation Advisory Board as the acronym OUTBOARD, for Orange Unified Transportation
Board; and
WHEREAS, the transportation board has approved Rules of Procedure to guide its conduct and
actions at meetings; and
WHEREAS, the transportation board conducts business under the direction and guidance of the
County Board of Commissioners;
NOW THEREFORE BE IT RESOLVED that the Orange County Board of Commissioners
endorse the name Orange Unified Transportation Board (OUTBOARD) as the official name of
the Orange County Unified Transportation Advisory Board that was established by the County
Board of Commissioners on May 17, 2005; and
BE IT FURTHER RESOLVED that the County Board of Commissioners endorses the attached
Rules of Procedure of the Orange Unified Transportation Board.

RULES OF PROCEDURE
ORANGE UNIFIED TRANSPORTATION BOARD
ARTICLE I -PURPOSE AND DUTIES
A. Purpose
The purpose of the Orange Unified Transportation Board shall be to advise the
Board of County Commissioners (BOCC) on major transportation issues, and
provide to the Board recommendations regarding the overall planning and
programming of transportation improvements in the county.
B. Duties
The Orange Unified Transportation Board shall have the fallowing specific duties:
1, Identify and prioritize the County's roadway and transit needs along with
associated costs and specific sources of funding;
2, Assist in development and review of the transportation component of the
Comprehensive Plan;
3. Provide recommendations to the Board regarding Federal and State
legislation affecting transportation in Orange County; and
4, Explore and make recommendations on innovative techniques and methods
to improve the efficiency and capacity of existing and future transportation
systems.
ARTICLE 11 -OFFICERS
A. Officers
The elected officers of the Orange Unified Transportation Board shall consist of a
Chair and a Vice Chair.
The Chair shall preside at all meetings and hearings of Orange Unified
Transportation Board and have the duties normally conferred by
parliamentary usage on such officers.
The Vice Chair shall serve as Acting Chair in the absence of the Chair, and at
such times shall have the same powers and duties as the Chair.

B. Election Procedures and Terms of Office
The procedures for election of the Chair and Vice Chair shall be as follows:
1, These officers shall be elected by the Orange Unified Transportation Board
from among its members at the regular meeting in June of each year. They
shall take office at the following regular meeting.
2, The candidate for each office receiving a majority vote of the Orange Unified
Transportation Board members present shall be declared elected,
3. The officers shall be elected for a term of one year. They shall be eligible to
succeed themselves, but shall not serve more than three consecutive terms.
4. Vacancies in the office shall be filled immediately for the unexpired term by
the regular election procedure,
ARTICLE III -MEMBERS
A. Membership
1. Members of the Orange Unified Transportation Board shall be Orange County
residents.
2. Members of the Orange Unified Transportation Board shall be appointed by,
and serve at the pleasure of, the BOCC.
3. The Orange Unified Transportation Board shall have fourteen appointed
members as follows, plus at least one County Commissioner who shall serve
as a liaison to the BOCC:
a, Seven members, one from each township:
• Little River Township
• Cedar Grove Township
• Cheeks Township
• Hillsborough Township
• Eno Township
• Bingham Township
• Chapel Hill Township
b, Four members from the following advisory boards having
transportation interests:
• Commission for the Environment
• Economic Development Commission
• Planning Board
• Transportation Services Board

c, Three at-large members with expertise or specific interests in the
following areas:
• Bicycle transportation
• Pedestrian access and safety
• Transit
a. Appointed members shall serve a term of three years with initial terms
staggered as follows:
a, The following five members shall serve an initial term of one year;
thereafter three years:
• little River Township representative
• Bingham Township representative
• Chapel Hill Township representative
• Orange County Commission for the Environment representative
• Pedestrian access and safety advocate
b, The following four members shall serve an initial term of two years;
thereafter three years:
• Cheeks Township representative
• Eno Township representative
• Transportation Services Board representative
• Transit advocate
c, The following five members shall serve an initial term of three
years:
• Cedar Grave Township representative
• Hillsborough Township representative
• Orange County Economic Development Commission
representative
• Planning Board representative
• Bicycle transportation advocate

B. Attendance
1. Any member of the Orange Unified Transportaticn Board who misses more
than three consecutive meetings or more than one-half of the meetings in a
calendar year, for something other than an approved absence as determined
by the Chair, may lose their status as a member and may be replaced by the
BOCC.

2. Absence due to sickness, death of an immediate family member, professional
leave, or other valid reason shall be considered an approved absence and
shall not affect the member's status..
3. In the event of a long illness or other cause for prolonged absence, the
member may be replaced.
ARTICLE IV -ADMINISTRATION
A. Staff
The Orange County Planning and Inspections Department shall serve as staff to
the Orange Unified Transportation Board.
B. Secretary
The Planning and Inspections Department Director, or designee, shall serve as
Secretary to the Orange Unified Transportation Board. The Secretary shall keep
all minutes and records of the Orange Unified Transportation Board and provide
proper and legal notice of regular and special meetings to members and the
public.
ARTICLE V -MEETINGS
A. Regular Meetings
Regular meetings of the Orange Unified Transportation Board shall be held the
third Wednesday of each month at 7:00 p.m. Meeting locations shall be in
Orange County and alternate between Hillsborough and Chapel Hill, according to
a schedule approved by the Board. The meetings shall adjourn not later than
9:00 p..m. unless extended for the meeting in session by an affirmative vote of at
least a majority of members present..

B. Special Meetings
Special meetings may be called by the Chair or by the written request of at least
three other members of the Orange Unified Transportation Board, The location
of the meeting shall be in Orange County. The notice of such a meeting shall
specify the purposes of the meeting and no other business may be considered
except by unanimous consent of the Orange Unified Transportation Board
members present.
C. Meeting Notice
The Secretary shall give five days notice for both regular and special meetings,
D. Quorum
A quorum shall consist of a majority of the regular appointed members of the
Orange Unified Transportation Board,
2. A quorum shall be present for conduct of formal business.
E. Votin
The vote of a majority of those members present shall be sufficient to decide all
matters before the Orange Unified Transportation Board, provided a quorum is
present.
F. Conduct of Meetings
All business to be considered shall be listed on the agenda. To secure such
consideration, a request must be received by the Chair or Secretary at least
seven days before any regular scheduled meeting. No other business may
be considered except by an affirmative vote of at least a majority of the
Board members present.
All special business or items not specifically noted an the regular meeting
agenda may be deferred by the Orange Unified Transportation Board until the
next regular meeting date.
2. The order of business at regular meetings shall be:
a, Call to order and roll calk
b. Consideration of additions to the agenda,
c. Board Comments
d, Call for approval of minutes of previous meeting,
e. Consideration of remaining items on the agenda.

4. The order of business for special meetings shall be as set out in the meeting
call.
5, All meetings of the Orange Unified Transportation Board shall be open tc the
general public.
6, Far procedures not covered by these rules, the Orange Unified Transportation
Board shall follow the rules contained in the most recent edition of Roberts
Rules of Order, Revised.
G. Cancellation of Meetings
Whenever there is no business for the Orange Unified Transportation Board, the
Chair may dispense with a regular meeting by giving notice to all members not
less than twenty-four hours prior to the time set for the meeting,
ARTICLE VI -AMENDMENTS
These Rules of Procedure may, within the limits allowed by law, be amended at any
time by an affirmative vote of at least a majority of the full membership of the Orange
Unified Transportation Board provided that such amendment shall have first been
presented to the membership in writing at a regular or special meeting preceding the
regular meeting at which the vote is taken, and provided further, that any amendment
shall be reviewed by the BOCC.
